The most realistic reverse scenario is large industrial and data-center load falling short of promises, a lengthening regulatory lag combined with continuous issuance, the valuation reverting toward 15-18x P/E, and the share price possibly returning to the $55-75 area, implying a permanent capital loss of 33%-50%. Ideal buy $80-90, corresponding to roughly a 15%-20% discount to neutral intrinsic value; $90-105 is acceptable to hold; above $120 is clearly overvalued.

The catch is that this is a capital-intensive, heavily regulated utility that continually depends on financing and reinvestment, rather than the asset-light, strongly cash-generative Buffett-style ideal business. As of the May 26, 2026 close, ETR traded at about $111.97, corresponding to a market cap of roughly $51.27 billion, an enterprise value of roughly $81.76 billion, a TTM P/E of about 28.6x, P/B of about 3.0x, and EV/EBITDA of about 14.9x, while TTM free cash flow was negative and the share count grew about 4.8% over one year, which suggests the market has already paid a high price for growth and defensiveness. On balance, it looks more like a good-quality regional utility trading at an insufficiently restrained price than an obviously margin-of-safety "cheap acquisition."

Is there a margin of safety at the current price: not obvious. Under the conservative-to-neutral valuation framework I lay out later, the current price sits roughly at the upper edge of the neutral range to the middle of the optimistic range, closer to "good company but not cheap" than to "picking up a stable asset at a discount." For investors who are balanced-to-conservative with a holding horizon of 10-plus years, this does not mean it cannot be bought, but rather that there is no need to rush to buy at this price.

Suitable investor type: Better suited to long-term value/income investors who can understand U.S. regulated utilities, accept high capex and near-term free-cash-flow pressure, and prioritize long-term dividends and moderate compounding; less suited to deep-value investors seeking high returns on capital, asset-light high-free-cash-flow businesses, or entry at a significant discount.

Biggest uncertainties: First, whether the load growth from data centers and large industrial customers materializes as management expects, and whether it materializes fast enough to cover the financing and execution pressure created by the $57 billion capital plan. Second, whether the regulatory environment continues to allow Entergy to recover capex, storm-restoration, and capacity-related costs promptly and fully. Third, whether severe storms, nuclear power, rising financing costs, and equity-financing dilution will keep "accounting earnings growth" from translating into "per-share intrinsic value growth." Business and Industry

How this company actually makes money

Fact: Entergy's core business is vertically integrated electric utility service across four Southern U.S. states. At year-end 2025 it operated five operating companies supplying power to roughly 3.1 million retail customers, spanning residential, commercial, industrial, and governmental segments. The company's revenue comes essentially from regulated electricity rates, transmission and distribution charges, and a variety of formula rate plans and investment-recovery riders. In 2025, electric operating revenue was about $12.775 billion, natural gas revenue about $113 million, and other revenue about $59 million, for total operating revenue of about $12.947 billion. In its Q1 2026 report, management stressed that retail sales growth was driven especially by industrial load, with Q1 2026 industrial sales up about 15% year over year.

Fact: The charging logic of this business is not "raise prices with the market" in a free market, but rather to gradually fold "prudently incurred costs" and "new capital investment" into the rate base for recovery, through regulator-approved capital structures, authorized ROEs, base rates, formula rate plans, and dedicated riders. At year-end 2025, the authorized ROE ranges of the five operating companies were roughly between 8.85% and 12.26%, and several subsidiaries use FRPs (formula rate plans) and accompanying riders covering generation, transmission, and distribution investment recovery. Inference: This means Entergy's "pricing power" is not consumer-brand pricing power, but rather a regulator-granted right to a return; it is very steady, but it lags, and it is politically constrained.

Fact: Entergy's revenue is highly recurring, because customers' daily electricity use is high-frequency and non-discretionary, and distribution assets have a natural geographic-monopoly characteristic. Opinion: This is a basically understandable business: who the customers are, where the money comes from, why it must keep investing, and why earnings are stable but cash is not necessarily ample—the logic is all quite clear. The complexity lies not in the business model but in the accounting and regulatory details of regulatory procedures, storm-cost recovery, nuclear operations, AFUDC, deferred regulatory assets, and tax-credit sales; so it is more complex than Coca-Cola but easier to understand than most industrial growth stocks. Business understandability score: 4/5.

Opinion: If the stock market closed for 5 years, would I be willing to hold this business? Yes, but only if the purchase price is reasonable. After 5 years of a closed market, Entergy would in all likelihood still have customers, still have a transmission and distribution network, still have a state regulatory framework, and still keep paying dividends; but if the entry price has already fully pulled forward the next 4–5 years of growth expectations, then "willing to hold" does not equal "willing to buy now."

Industry and competitive landscape

Fact: The U.S. regulated electric utility industry as a whole is a mature industry, with long-term stable, low-volatility demand, but it is not zero-growth. U.S. total demand was flat for over a decade, and in recent years has resumed growth driven by electrification, manufacturing reshoring, and data centers. The EIA also notes that commercial computing/data-center electricity use will become one of the strongest building end-use loads. Inference: The industry is evolving from a "low-growth defensive asset" toward "low volatility plus partial growth," but the growth comes from capex and rate-base expansion, not high-margin software-style expansion.

Fact: The main comparable companies include Duke Energy, Southern Company, Dominion Energy, and NextEra Energy. On current valuation, Entergy's TTM P/E is about 28.6x, P/B about 2.96x, and EV/EBITDA about 14.89x; Duke is roughly 19.2x, 1.82x, and 11.32x; Southern is roughly 24.0x, 2.86x, and 12.96x; Dominion is about 2.11x P/B and 13.24x EV/EBITDA; NextEra is about 22.3x P/E, 3.31x P/B, and 20.14x EV/EBITDA. Inference: The market positions Entergy as "more growth-oriented than traditional southeastern utilities, but not enjoying the highest valuation premium the way NextEra does."

Opinion: Within each service territory, this industry's profit pool is highly concentrated, because local distribution and retail supply are essentially exclusive or quasi-exclusive; but in secondary-market valuation, the industry does not award every company the same premium, and the differences come mainly from the regulatory environment, load-growth outlook, nuclear/renewable mix, financing costs, and execution credibility. Entergy's industry position is not bad: it is a better company within a good industry, but the industry itself does not generate extremely high returns on capital, and growth must be bought with capital. Fact: Entergy's most important moat comes from licenses, franchises, and regulatory barriers. The company holds vertically integrated utility platforms in each state, the overwhelming majority of board members are independent, and the board directly oversees strategy, risk, and nuclear/operational matters; on the business side, cost recovery is supported by multiple formula rates and riders. For a competitor, replicating a system that has local franchise rights, an installed transmission and distribution asset base, a regulatory-recovery history, and a nuclear plus new-generation power mix would require many years and tens of billions of dollars in capital, and in reality is nearly infeasible.

Fact: Entergy's "ability to raise prices" during inflation is not free pricing but cost-recovery ability. This ability is strong with the support of FRPs and various riders, but it comes with lags and political risk. The core of the company's 2025–2029 earnings growth is likewise not sales volume alone, but "load growth + capital plan + rate recovery." Inference: This kind of moat can usually sustain earnings even in downturns; historically the company posted positive net income in 2023, 2024, and 2025, but high interest rates and storms can compress the elasticity of its shareholder returns.

Fact: The moat is not widening across the board. Regulatory barriers and customer lock-in are very stable, but the capital markets' tolerance for utilities depends on interest rates, financing costs, and regulatory support; meanwhile, the company is placing its growth bet on higher industrial/data-center load and larger capex. Opinion: I would judge Entergy's moat status as broadly stable, locally widening: the traditional grid-franchise barrier is stable, growth is widening because of data centers and industrial load, but if these projects fail to materialize, the valuation premium the market grants will narrow quickly. Moat strength score: 4/5.

Management and Capital Allocation

Is management trustworthy

Fact: The 2025 proxy statement shows that, apart from the CEO, all directors are independent, and all standing board committees (except the executive committee) are composed of independent directors; the company uses a "CEO-and-Chairman plus a strong independent Lead Director" structure, in which the Lead Director convenes meetings of independent directors, chairs executive sessions without management present, reviews agendas, and serves as a channel for shareholder communication. The company also explicitly prohibits directors and executives from short-selling, hedging, pledging, and margin transactions in Entergy securities.

Fact: The company imposes stock-ownership requirements on executives: the CEO must hold common stock worth 6 times base salary, executive vice presidents 3 times, and senior vice presidents 2 times; as of the most recent annual review in the 2025 proxy statement, all NEOs met the ownership requirements. The company's 2024 say-on-pay support was about 96%, averaging about 95% over the past five years. In addition, the clawback policy effective October 2023 covers a broader scope than the minimum Dodd-Frank requirement. Inference: This indicates a governance framework that is broadly mature, standardized, and shareholder-friendly.

Fact: But by a "Buffett-style owner-operator" standard, Entergy's management does not have that kind of large founder ownership. The proxy statement shows directors and executives combined hold less than 1% of shares outstanding, while StockAnalysis shows insider ownership of about 0.28%. Opinion: This is not a story where "management and shareholders are naturally, tightly aligned," and looks more like a governance structure of "standardized incentives plus professional managers in a regulated industry." For a utility this is acceptable, but it should not be overstated.

Is capital allocation rational

Fact: The main thrust of capital allocation is clear: large-scale reinvestment first, continuous dividends, minimal buybacks, and equity issuance to shore up the capital structure when needed. In 2025 the company paid about $1.074 billion in common dividends, with full-year dividends per share of $2.44; 2024 was $2.30 and 2023 was $2.17. The current annualized dividend is about $2.56, for a yield of about 2.29%, with about 11 consecutive years of increases. Meanwhile, the $500 million buyback authorization approved in 2010 still had $350 million remaining at year-end 2025, showing that buybacks are not a primary capital-allocation tool.

Fact: What truly dominates Entergy's capital allocation is capex and financing. The Q1 2026 report/presentation shows the company updated its four-year 2026–2029 capital plan to about $57 billion, corresponding to a four-year equity-financing plan of about $6.6 billion; by year-end 2025 it had cumulatively sold about $2.8 billion of notional amount under its ATM/forward program, and in February 2026 it physically settled about 4.61 million shares to raise about $346 million in cash, while a March 2025 forward sale of 17.8 million shares still had to be settled by September 2026. Shares issued rose in 2025 from about 562 million to about 583 million. Inference: This is rational but not exactly "shareholder-friendly" capital allocation—rational, because utility growth depends on capital; not friendly enough, because shareholders' per-share stake is continually diluted.

Fact: Management does not report only good news. The 2025 proxy statement disclosed that the compensation committee, citing the company's poor 2024 performance on serious injuries and fatalities (including four contractor deaths), cut the annual incentive from a calculated 151% to 142%, effectively resetting the safety-metric performance to zero; this shows that, at the disclosure level, management and the board are willing to acknowledge some execution problems. Opinion: I would put management integrity and governance in the upper-middle range, but capital allocation only at moderate: it is rational and institutionalized, yet hard to call "excellent." Reading one: growth exists, but it is not "high-quality free-cash-flow growth." From 2023 to 2025, revenue rose from $12.147 billion to $12.947 billion, and operating profit from $2.618 billion to $3.202 billion; 2024 net income attributable to parent was clearly below 2023 due to one-time factors, interest rates, and other items, and in 2025 it recovered to $1.758 billion. Q1 2026 adjusted EPS was $0.86, and the company also raised its 2027–2029 adjusted EPS outlook, targeting a CAGR above 8% for 2025–2029. Inference: The accounting-earnings path is broadly upward, but volatility stems from weather, interest rates, taxes, and non-recurring items; this looks more like growth "co-shaped by regulation and financial engineering" than organic growth from a high-margin business model.

Reading two: returns on capital are adequate, but far from exceptional. StockAnalysis shows Entergy's current ROE at about 10.75% and ROIC at about 4.01%, with the trailing-12-month ROE disclosed in 1Q26 at 11.0%. This is broadly consistent with the roughly 9%–10% authorized utility ROE range, and shows that it is a company that "anchors its return on capital at a moderate level through the regulatory framework," rather than one that can earn excess returns via brand, software, or network effects.

Reading three: the balance sheet can survive, but it is not comfortable. At year-end 2025 the company's debt-to-capital was 64.3%, about 64.1% excluding securitized debt, with net debt/net capital about 62.6%; by the Q1 2026 report, total debt was about $34.18 billion, cash about $3.57 billion, total debt/total capital about 66%, Debt/EBITDA about 6.12x, and interest coverage about 2.12x. The good news is that Moody's/S&P still rate the parent Baa2/BBB+, with higher ratings for the main operating subsidiaries, and management expects CFO pre-working-capital/debt and FFO/debt to remain above the rating agencies' thresholds; the bad news is that leverage is indeed not low, and it must be maintained with continuous capital-market access during a high-capex period.

Reading four: earnings are not fake, but they are a long way from "freely distributable cash." In 2025 net income attributable to parent was about $1.758 billion, but TTM free cash flow was about -$2.97 billion, with TTM operating cash flow of about $5.44 billion and capex of about $8.41 billion. The 2025 capex of $7.685 billion was also markedly higher than the year's depreciation, amortization, and decommissioning expense of $2.306 billion. Opinion: This is not a signal of financial fraud, but a typical utility accounting reality: earnings can be genuine, and can even keep rising through rate-base growth in the future, but during an expansion phase, the cash truly "distributable to the owners" is very limited.

Reading five: no clear evidence of financial fraud so far, but accounting complexity is high. The company has numerous items such as regulatory assets/liabilities, AFUDC, nuclear decommissioning funds, fuel-cost deferrals, natural-gas asset sales, and production-tax-credit sales; for example, in 2025 the allowance for equity funds used during construction was $181 million, and net cash taxes also included $547 million in proceeds from production-tax-credit sales. Inference: These items are not unusual for a utility, but they make the "earnings-to-cash-flow" mapping more complex than for an ordinary industrial company, and investors must continually watch regulatory assets, storm-restoration costs, and capitalized interest.

Owner Earnings and Valuation

Fact: 2025 net income attributable to parent was about $1.758 billion; the same year's depreciation, amortization, and decommissioning-related expense was about $2.306 billion; the TTM operating cash flow disclosed in Q1 2026 was about $5.44 billion, with TTM free cash flow of about -$2.97 billion.

Assumption: To estimate Entergy using Buffett-style "owner earnings," you cannot simply take GAAP FCF, because current capex includes substantial growth rate-base investment; but you also cannot lazily ignore all growth capex, because grid and generation assets are highly capital-intensive. My conservative treatment is: Owner earnings ≈ net income attributable to parent + non-cash charges such as depreciation and amortization − maintenance capex − normalized working-capital drag. For maintenance capex, I use neither all capex nor pure depreciation, but assume 110%–125% of depreciation and amortization, because U.S. Southern distribution, storm-resilience, and nuclear-related maintenance will not run much below accounting depreciation. Working capital is estimated as a small net outflow of $0.05–0.15 billion. This assumption is clearly imperfect, but it is more conservative than treating all capex as "growth."

Conservative estimate: 2025 owner earnings ≈ 1.758 + 2.306 − 2.7 to 2.9 − 0.05 to 0.15 = about $1.05 billion to $1.31 billion; taking the midpoint, about $1.20–1.25 billion. Using the current market cap of about $51.27 billion, the equity multiple of owner earnings is roughly 41–43x; using the enterprise value of about $81.76 billion, EV/owner earnings is roughly 65–68x. Opinion: From the angle of "how much real, distributable cash the business can produce," the current price is not cheap.

Opinion: This is also Entergy's core valuation difficulty. If you view it as "a utility growing on adjusted EPS," the valuation is not outrageous; if you view it as "a business priced on freely distributable cash flow," it is clearly expensive. For a long-term owner, I prefer the latter, because what truly protects permanent capital is per-share cash returned, not an accounting target for EPS.

Intrinsic value estimate

I use the 2025 owner-earnings midpoint of $1.25 billion as the starting point, and offer three scenarios. The values here are assumptions, not facts.

Opinion: As long as you accept that "owner earnings are not adjusted EPS, but the real cash left after deducting reasonable maintenance capex," then the current share price is only defensible in the optimistic scenario. This is the primary reason I do not give a "Buy" rating.

Inference: Using the current valuation bands of Duke/Southern/Dominion/NextEra, Entergy sits above most traditional regulated utilities and below the growth leader NextEra.
