The margin of safety is not evident. The most important real-world catalyst is the 2025 APS rate case, expected to be resolved in the fourth quarter of 2026. If the allowed ROE is low or recovery is slow, the growth story could quickly turn into “spend more, recover slowly, refinance again.” The ideal buying range is $75–85, leaving room for regulatory risk and financing dilution.

If PNW is viewed as a business to hold for the long term, even with the mindset of "buying the whole business," my conclusion is: this is an easy-to-understand utility business with stable demand and a regulatory moat, but it is not the kind of outstanding company that can compound at high returns, distribute abundant cash, and grow without repeated external financing. Its core asset, APS, operates in a relatively fast-growing Arizona service territory, with favorable room for customer growth, commercial load growth, transmission and distribution investment, and generation investment. But that growth depends heavily on regulatory approval, capital-market financing, and future rate recovery. This is not a utility that simply collects cash with little effort.
Based on data around the close on May 29, 2026, PNW traded at about $99.74, with a market capitalization of about $12.35 billion. Financial tools showed a forward P/E of about 18.6x. Compared with the company's 2025 full-year GAAP diluted EPS of $5.05, the trailing multiple is about 19.8x. Annualized dividends, based on $3.64 per share, imply a dividend yield of about 3.65%, which is below the 4.45% U.S. 10-year Treasury constant maturity yield on the same date. This means buying PNW today is not a bet on superior current cash yield. It requires confidence in subsequent 5% to 7% earnings growth, reasonably smooth rate recovery, and no material valuation compression. For a balanced but conservative long-term investor, the margin of safety is not obvious.

Largest uncertainties:
The final outcome of the 2025 APS rate case. In the company's latest update, APS requested a net revenue increase of about $611 million and proposed a formula rate adjustment mechanism. The final decision is expected in Q4 2026. This is the most important valuation anchor.
The quality of growth and financing. The company still plans large-scale capital spending in 2026 to 2028 and expects to raise additional debt and equity financing. If load growth, especially from large commercial and industrial or high-load customers, falls short of expectations, returns will come under material pressure.
True distributable cash flow is weaker than accounting earnings. Operating cash flow improved meaningfully from 2023 to 2025, but full-scope free cash flow, defined as operating cash flow minus capital expenditures, remained negative. This shows that growth does not "produce more cash as it grows"; rather, it "requires more cash as it grows."

How This Company Actually Makes Money
Fact: Pinnacle West is an investor-owned electric utility holding company based in Phoenix, Arizona. Almost all of its revenue and profit come from its principal subsidiary, APS. APS is one of Arizona's largest and oldest electric utilities, serving about 1.4 million retail customers across 11 of Arizona's 15 counties. Its reporting segment is essentially a regulated electric utility business, including retail service, some wholesale activity, and related generation, transmission, and distribution operations.
My understanding: This is a highly typical and easy-to-understand regulated utility: the company first invests large amounts of capital to build and maintain generation assets and transmission and distribution networks. It then recovers costs, depreciation, debt costs, and a portion of authorized equity returns over a longer cycle through rate systems approved by the Arizona Corporation Commission, or ACC, and FERC. In other words, PNW makes money through franchised service territories + regulator-authorized returns + continuous capital investment entering the rate base, rather than through brand premiums, product innovation, or frequent discretionary price increases.
Who are the customers: residential, commercial, industrial customers, and some native-load wholesale customers. In the short term, weather affects electricity usage. Over the medium to long term, population inflows, commercial expansion, and high-load customers such as data centers affect electricity sales and rate-base growth. The company discloses a long-term customer growth expectation of 1.5% to 2.5%. Its 2026 guidance calls for weather-normalized retail sales growth of 4% to 6%, rising over the long term to 5% to 7% and extending through 2030, with extra-large commercial and industrial customers as an important driver.
Are revenues recurring, stable, and predictable: From a demand perspective, electricity demand is highly recurring. From a collection perspective, utility payments are relatively stable. From an earnings perspective, two layers matter: one is that revenue and demand themselves are highly stable; the other is that shareholder returns are not fully stable, because they are affected by regulatory lag, allowed ROE, approved capital structure, fuel and purchased power recovery mechanisms, weather deviation, and the capital spending cycle. PNW experienced earnings pressure in 2022 because of an earlier unfavorable rate decision. That point is critical.
Cost structure: For a utility, the core costs are fuel and purchased power costs, operations and maintenance costs, depreciation and amortization, and interest expense rather than marketing expenses. If the stock market closed for 5 years, would I be willing to own this business? At the right price, yes. At the current price close to $100, I would be more cautious. The business is sound, yet it is like a capital-intensive pipeline that needs continuous refinancing and continuous regulatory negotiation, rather than a business that can quietly compound through internally generated cash even if the market closes.
Business understandability score: 4/5. The business itself is very clear. The real complexity lies in regulation, rate mechanisms, and capital structure.
Industry and Competitive Landscape
Electric utilities are a mature industry, but PNW's Arizona service territory is not "mature and stagnant." It has the characteristics of an "incremental market within a mature industry": population inflows, commercial development, and the addition of very large-load customers are pushing up investment needs and electricity sales growth over the next several years. The company discloses that its service territory is among the faster-growing regions in the United States, and customer growth in Q1 2026 was 2.2%, with commercial and industrial electricity sales growing faster.
"Competition" in this industry is different from ordinary consumer or manufacturing businesses. Traditional retail electric service has no real direct competitor inside its franchised service territory. It is closer to "single-territory monopoly + regulator-constrained returns." The real competition lies in:
whether regulators allow sufficiently full returns;
whether large customers continue buying power from the grid instead of developing self-supply;
whether distributed generation, storage, and efficiency improvements erode marginal load;
which utilities can secure lower-cost capital in the capital markets.
On a peer comparison basis, PNW's current valuation is roughly in the middle of traditional regulated utilities:

My judgment is: this is a qualified company in an industry with stable demand, strong regulation, and low free cash flow. Industry demand is stable, but the earnings ceiling is determined by regulators. The industry is hard to disrupt while remaining capital-intensive, with a low return ceiling. The industry is defensive, but it is hard to produce exceptional returns on capital. For value investors, this means PNW looks more like part of a bond substitute allocation than a high-quality compounding machine.
Industry attractiveness score: 3/5. The strengths are stability, necessity, and high entry barriers. The weaknesses are heavy regulation, high capital spending, weak free cash flow, and returns capped by the system.

The core evidence behind this assessment is that PNW/APS's business is fundamentally an institutional moat built on franchised service territories, transmission and distribution networks, nuclear/transmission/generation permits, rate base, and regulatory recovery mechanisms. The company's currently approved ACC/FERC rate base totals about $12.23 billion, with an ACC allowed ROE of 9.55% and a FERC allowed ROE of 10.75%. At the same time, the company is pursuing the 2025 rate case and a formula rate adjustment mechanism to reduce regulatory lag.
This moat looks stable rather than steadily widening. More precisely: the moat itself is stable, while the width of the return available to shareholders depends on regulatory friendliness. Earnings pressure in 2022 came from an unfavorable rate decision. New retail rates took effect in 2024, and the 2025 new case and FRAM proposal show that the company is trying to repair the moat from "assets with weak returns" toward "assets with more reasonable returns." Therefore, I do not think PNW's moat is clearly widening. I would define it as: stable moat, high regulatory variability.
In an inflationary environment, the company can raise prices, but not freely. It needs adjustment mechanisms, rate cases, or formula rates to recover higher costs, so there is a time lag. The company also identifies "reducing regulatory lag and timely cost recovery" as one of its core objectives in investor materials. This is completely different from a consumer brand that can raise prices directly.
In an economic downturn, PNW will probably remain profitable because residential and commercial electricity demand is extremely hard to eliminate. But it will not necessarily become a "cash cow" in a downturn, because depreciation, interest, and continuous capital spending do not disappear. Shareholders have seen precisely this feature over the past few years: earnings are resilient, but full-scope free cash flow is not abundant.
Moat strength score: 3/5. The strength lies in "licenses and regional monopoly." The weakness lies in "return availability and capital intensity." It has a moat, but not the kind of moat that easily produces excess returns on capital.
Management and Capital Allocation
The company completed a CEO transition in 2025, with Ted Geisler taking over. In the 2026 proxy materials, he laid out clear strategic priorities: expanding the grid, balancing reliability and affordability, improving investment recovery speed, advancing talent development, and securing resources in advance for Arizona's long-term economic growth. This strategic framing is consistent with what a utility should be doing. There is no story-driven drift.
From a governance perspective, I think management and the board at least meet the standard of being credible, rational, and structurally sound: the company has anti-hedging and anti-pledging policies, a clawback mechanism consistent with NYSE rules, and stock ownership requirements for executives and directors. The CEO requirement is 5x base salary, while senior management is typically 2x or 1x. The company also discloses that all NEOs, other executives, and non-executive directors comply with these ownership guidelines.
But under a strict standard of whether shareholders and management are deeply aligned, I would not give a high score. As of March 12, 2026, all directors and executives together held about 229,500 shares, a very small percentage of total shares outstanding. The CEO personally held about 37,600 shares. This does not constitute a strong owner structure in which management moves closely with ordinary shareholders. Utilities are often like this, but from a Buffett-style perspective, it is not a positive.
On capital allocation, management's behavior is broadly logical for a utility, but not exciting:
cash is first allocated to capital expenditures;
then to maintaining and growing the dividend;
while relying heavily on debt and equity financing;
with almost no evidence of buybacks at clearly undervalued prices. In 2025, the company paid common stock dividends of about $423 million. In 2024 and 2025, it issued net equity of about $341 million and $85 million, respectively. The 2026 to 2028 financing framework also expects $1.0 billion to $1.2 billion of holding-company equity financing to maintain a balanced capital structure. For conservative shareholders, this means the company is growing, but per-share value growth will be meaningfully diluted by refinancing needs.
The most positive point about management is that it has avoided overly aggressive incentive design aimed at simply "stacking EPS." Annual cash incentives still include earnings, reliability, customer experience, safety, and other operating dimensions. The 2026 long-term incentive metrics were also adjusted, reducing the emphasis on the old MW installation metric and moving toward a mixed set of indicators more closely tied to reliability and affordability. In addition, some 2025 O&M incentive metrics were not automatically adjusted in management's favor even when adjustments were permitted, suggesting the board maintains some independence from management.
Management and capital allocation score: 3/5. Rational, compliant, and reasonably transparent, but ownership alignment is ordinary. Because this business is regulated, the ceiling for capital allocation is naturally lower.

The most important point is that revenue growth has not translated into per-share free cash flow growth. From 2021 to 2025, revenue rose from about $3.8 billion to about $5.3 billion, but net income attributable to the parent only recovered from its 2022 to 2025 trough. On an EPS basis, 2025 EPS of $5.05 remained below the $5.47 in 2021. This shows that PNW's growth carries a strong element of recovery lag, financing sharing, and equity dilution.
Cash flow is improving directionally: operating cash flow rose from $1.208 billion in 2023 to $1.805 billion in 2025, and Q1 2026 still generated $235 million of operating cash flow. But capital expenditures rose at the same time from $1.846 billion to $2.625 billion, causing full-scope free cash flow to remain negative from 2023 to 2025. What helps balance-sheet resilience is that APS's common equity ratio under regulatory constraints was still 50% at the end of March 2026, above the 40% dividend restriction line. Credit ratings also remain investment grade with a stable outlook.
Financial Quality Assessment
Are earnings real cash earnings or accounting earnings? My judgment is: the earnings are real, but the "freely distributable" cash earnings are much weaker than accounting earnings. Utility accounting earnings are not fake. They reflect regulator-allowed capital recovery and equity returns. But because large capital expenditures continue and much of the recovery must be reflected gradually through future rates, EPS cannot be directly equated with "cash that can be distributed to shareholders today." This is also why PNW can keep growing its dividend while still relying continuously on debt and equity financing.
Does growth require large amounts of capital investment? The answer is very much yes. The company's APS capital plan for 2025 to 2028 totals about $10.35 billion. It also expects total capital investment of about $8.0 billion in 2026 to 2028, supported by debt and equity financing. Capital spending priorities include gas generation, transmission, distribution, nuclear power, and other system construction. Cumulative potential investment in transmission expansion through 2035 exceeds $6.0 billion. This is not asset-light growth.
Does the company make more money as it grows, or need more money as it grows? More precisely: as it grows, long-term accounting profitability may improve, but short- to medium-term cash needs increase. This is the classic feature of a regulated utility. Growth eventually enters the rate base, but before it does, the company must finance, build, wait for approval, and bear interest and execution risk. For conservative investors, this point is critical.
Are there signs of financial fraud, aggressive accounting, or earnings manipulation? I do not see obvious red flags. Deloitte continues to audit the company. Governance includes clawback, anti-hedging, and ownership requirements. The complexity in the financial statements mainly comes from regulatory assets/liabilities, nuclear decommissioning trusts, lease liabilities, deferred fuel costs, and other common utility items, rather than obvious accounting tricks. The real risk is not fraud. It is that EPS looks stable while shareholder free cash flow and financing pressure are not stable.
Can the company survive an economic downturn? Probably yes. Reasons include:
electricity demand is essential;
APS still has investment-grade ratings;
the ACC-constrained equity ratio still has a buffer;
one of the company's disclosed long-term objectives is to maintain PNW's FFO/Debt in the 14% to 16% range and maintain APS's equity ratio above 50% in its capital structure. But "having survivability" does not mean "shareholder returns will necessarily look attractive."
Owner Earnings Analysis
This is the part of the report that requires the most restraint. For a capital-intensive utility, the key to Owner Earnings is determining how much capital expenditure is truly maintenance capital expenditure after adding back depreciation. This is almost impossible to pin down as precisely as for a consumer goods company. The company does not directly disclose "maintenance capex," so the following can only be a conservative estimate.
Known facts:
2025 net income attributable to the parent was about $617 million.
2025 depreciation, amortization, and nuclear fuel amortization were about $970 million.
2025 capital expenditures were about $2.625 billion.
The 2026 to 2028 capital expenditure structure shows clearly expansionary projects, including new gas generation, large-scale transmission expansion, and new customer construction, so not all spending is "maintenance of the status quo."
My conservative assumptions:
Conservative scenario: maintenance capital expenditures of about $1.15 billion, plus normalized working capital consumption of $50 million;
Base scenario: maintenance capital expenditures of about $1.00 billion, plus working capital consumption of $25 million;
Optimistic scenario: maintenance capital expenditures of about $900 million, with working capital approximately neutral.
Based on this, 2025 Owner Earnings are roughly:
Conservative: about $390 million
Base: about $560 million
Optimistic: about $690 million The calculation is: net income attributable to the parent + depreciation and amortization - maintenance capital expenditures - normalized working capital consumption. The range above is a reasonable boundary for "true distributable cash flow," rather than a precise answer.
Based on the current share price of $99.74 and Q1 2026 shares outstanding of 121.19 million, current equity value is about $12.09 billion. This means the market is valuing PNW at roughly:

Valuation, Margin of Safety, and Opportunity Cost
Current Valuation Snapshot
As of May 29, 2026, PNW's share price was about $99.74. Based on 121.19 million shares outstanding as of April 28, 2026, equity value was about $12.09 billion. As of March 31, 2026, the company had cash of about $6.4 million, short-term borrowings of about $594 million, long-term debt due within one year of $600 million, long-term debt of $9.802 billion, and net debt of about $10.99 billion. Based on this, enterprise value excluding lease liabilities was about $23.08 billion.
Based on Q1 2026 shareholders' equity of $7.068 billion and 121.19 million shares, book value per share was about $58.3, and the current P/B was about 1.71x. If 2025 EBITDA is roughly estimated as net income attributable to parent + taxes + interest + depreciation and amortization, it was about $2.11 billion, implying a current EV/EBITDA of about 10.9x. Because 2025 full-scope free cash flow was negative, P/FCF has no explanatory value. Together, these numbers show that PNW's valuation is better assessed through P/E, P/B, EV/EBITDA, and dividend/bond comparisons, rather than through the traditional P/FCF lens used for cash-cow stocks.
Intrinsic Value Estimate
Method One: Owner Earnings Discount Method
This is a relatively strict valuation method for a capital-intensive utility. I treat it as a lower-bound constraint, not the only truth.

The conclusion embedded in these ranges is clear: if you require the company to generate freely distributable cash after large-scale capital expenditures, PNW's current share price is only barely supportable under fairly optimistic owner earnings assumptions. This is one of the most important reasons I do not assign a "Buy" rating.
Method Two: Relative Valuation
Currently verifiable peer forward P/E multiples are roughly: AEE 19.4x, XEL 22.9x, ES 14.6x, EIX 7.6x, while PNW is at 18.6x. Looking at P/E alone, PNW is broadly around the peer median to slightly above it: far from absurdly expensive, yet certainly not cheap. Because EIX has a special wildfire-liability discount, excluding EIX makes PNW's comparison with AEE, XEL, and ES look closer to fair value than to a discount.
More importantly, PNW's dividend yield is about 3.65%, below the 4.45% U.S. 10-year Treasury yield on the same date. In other words, the market is not giving investors a higher immediate cash return despite the utility's "bond-like" attributes. Instead, investors must accept lower cash yield and greater regulatory and financing uncertainty in exchange for future growth. For conservative investors, these odds are not particularly attractive.
Method Three: Asset and Book Value Method
For a regulated utility like PNW, book value and rate-base value matter more than liquidation value. On one hand, it owns real assets: generation, transmission, distribution, nuclear power, construction in progress, and regulatory assets. On the other hand, these assets are highly specialized, and in a true liquidation their value may not exceed book value. As of March 31, 2026, the company had total assets of about $30.69 billion and shareholders' equity of about $7.07 billion. It also had substantial debt, regulatory liabilities, and lease liabilities. The company is not net cash, and there is no obvious "hidden asset discount" story.

Acceptable hold price range: $85 to $100 If you already own it, it remains a stable regulated business, and there is no need to sell mechanically just because it is "not especially cheap."
Clearly overvalued price range: above $110 Once the stock enters this range, the market is almost pre-pricing multiple favorable outcomes: a strong 2025 rate-case result, realization of long-term 5% to 7% growth, continued smooth capital-market access, and no valuation compression.
Comparison With Indexes, Treasuries, and Other Opportunities
If we look only at possible total returns over the next 10 years, my rough scenario assessment for PNW is:
Conservative scenario: 4% to 5% annualized
Base scenario: 7% to 9% annualized
Optimistic scenario: 10% to 12% annualized
The intuition behind this estimate is "dividend yield + EPS growth - valuation change." In the conservative scenario, PNW's excess return over the 4.45% U.S. 10-year Treasury is not abundant. In the base scenario, it can slightly outperform bonds, but may not clearly outperform a long-term index. It only becomes attractive in the optimistic scenario.
So if you ask me: is buying it clearly better than buying an index? My answer is: no clear advantage. If you ask: does it deserve one of the slots in a portfolio that can only hold 5 assets? My answer is: unless your portfolio clearly needs a U.S. regulated utility for defense and dividends, it is not "irreplaceable" enough.
Risks, Checklist, and Final Conclusion
Most Important Risks and the Bear Case
Regulatory risk is the first risk. The 2025 APS rate case has not yet been resolved, and the company's requested revenue increase, ROE, formula rate mechanism, and related items directly determine return quality over the next few years. If the final outcome tilts materially toward a conservative regulatory position, such as a lower allowed ROE, a formula rate mechanism with little practical effect, or slower recovery timing, PNW's "growth story" would quickly become a story of "spending more, recovering slowly, and refinancing again."
Financing and leverage risk is the second risk. The company maintains investment-grade ratings, but capital spending intensity is high, and it still needs additional debt and equity financing in 2026 to 2028. If high interest rates persist, capital markets become volatile, or credit ratings are downgraded, shareholder returns will face both higher financing costs and greater dilution. In Q1 2026, the company's total debt was already close to $11.0 billion, with substantial lease liabilities and continuing capital needs.
Growth realization risk is the third risk. The market has begun to give PNW some growth premium, based on Arizona in-migration, high-load customers, data centers, and transmission expansion. If project approvals are delayed, customer contracts are canceled, or load ramps fall short of expectations, the stock price will likely react before the fundamentals fully show disappointment. Because the current valuation is no longer cheap, growth shortfalls would hurt a lot.
Other important risks include: nuclear asset operations and decommissioning obligations, wildfire and extreme weather, fuel and purchased power cost volatility, distributed generation and large-customer self-supply trends, complexity around regulatory assets/liabilities and leases in the accounting, and the relatively low ownership of directors and executives, which creates a more "professional-manager" than "owner-operator" incentive structure.
The strongest opposing view is actually simple:
"You think you are buying a regulated growth utility; what you may actually be buying is a capital-intensive financing machine that must keep borrowing and issuing equity, while the ceiling on returns is set by regulators. The current price already includes a fair amount of good news, leaving you with very little true margin of safety."
I think this is a strong bear case and one that deserves serious attention.

The areas that most need continued tracking, and that should not currently be treated as "known," are:
the true share of maintenance capital expenditures, which directly affects Owner Earnings;
the final text of the 2025 APS rate case, which is the largest real-world hook for valuation;
the quality of large commercial/industrial and high-load customer demand realization, especially whether it truly converts into high-quality, recoverable rate base rather than upfront investment followed by waiting.

【Final Recommendation】 PNW is not a bad company. It can even be described as a reasonably good U.S. utility with decent quality and regional growth characteristics. But from the perspective of a long-term business owner, a good business does not automatically equal a good investment, especially when the price is already near fair value and true distributable cash flow is not abundant. If you already own it, I would be more inclined to treat it as a hold-type defensive asset. If you are considering a new purchase, I would suggest waiting for a better price, or waiting until the rate case becomes clearer before deciding. The real moat is here, but the real margin of safety is not here at the moment.
