Conclusion First

Preliminary conclusion: I am rating NiSource Inc. "Watch." This is a very easy to understand, demand-stable, strongly regulation-protected utility business: the company operates regulated natural gas and electric utilities across six states, serving about 3.3 million natural gas customers and 500,000 electric customers; in 2026 management raised its five-year capital plan to about $28 billion and positioned data centers and grid investment as new growth levers. The question is not "is this a good company," but rather is this a good deal worth acting on right now: as of the close on May 28, 2026, NI traded at about $46.77, corresponding to a market cap of about $22.42 billion, enterprise value of about $39.16 billion, a TTM P/E of about 23.2x, P/B of about 2.32x, and a dividend yield of about 2.6%. For a high-capex, regulated utility whose free cash flow has been negative for years and which still plans to raise $300–500 million per year via ATM issuance in the coming years, this valuation looks more like "fair to expensive" than "clearly margin-of-safety."

Investment rating: Watch. Core judgment: NiSource's business model is stable and its moat comes mainly from licenses and regulatory barriers; operating profit and operating cash-flow quality are not bad. But it is not an asset-light, high-return compounding machine — the cash actually distributable to owners is constrained by heavy capital spending and ongoing financing needs. The data-center and GenCo model does provide real upside optionality, but the current price already reflects, to a considerable degree, an optimistic combination of assumptions: continued rate-base growth, successful data-center execution, and manageable financing. For a long-term (10-year-plus), balanced-to-conservative investor, I would rather own this business at a lower price than chase a "good company" at today's level.

Does the current price offer a margin of safety: Not clearly. Suitable investor type: long-term, conservative-leaning value investors who value stable demand and dividends and can accept a utility's low growth rate and financing dependence; not well suited to investors chasing high ROIC, asset-light, high-free-cash-flow compounding.

The biggest uncertainties: First, whether data-center capex can actually be delivered on schedule, on return, and at a manageable cost of financing; second, how much continued debt and equity financing over the next several years will dilute per-share intrinsic value; third, whether the pace of regulatory approval and cost recovery stays "fast recovery, low lag."

Separating facts, assumptions, inferences, and opinions

Breaking the judgment apart, facts: the current price is about $46.77; 2025 net income was about $930 million; operating cash flow was about $2.4 billion; capital spending was about $2.8 billion; the 2026–2030 capital plan is about $28 billion. Assumptions: in my valuation I assume that Owner Earnings growth over the next 10 years lands roughly between 2.5%–6.5%, discount rates of 7.5%–8.5%, and a terminal growth rate of 2.0%–3.0%. Inference: the current price roughly reflects a "base case," or even a "base case tilted optimistic," scenario, and it does not leave a conservative investor enough room for error. Opinion: if you want to buy this the way you would "acquire a business for the long run," rather than "chase a low-volatility momentum stock," I would lean toward waiting.

Understanding the Business and the Industry Landscape

NiSource's core assets are not complicated: it distributes natural gas across several states under the Columbia brand, and operates both gas and electric business in Indiana through NIPSCO. The company describes itself as one of the largest fully regulated utility companies in the United States; on a full-year 2024 basis, it served about 3.3 million natural gas customers and 500,000 electric customers, mainly across six states: Indiana, Ohio, Pennsylvania, Maryland, Virginia, and Kentucky. The segment revenue the company disclosed for the first quarter of 2026 makes this clear: the Columbia business is essentially natural gas distribution, while NIPSCO covers both gas and electric transmission/distribution/generation.

How does it make money? Fundamentally not by "selling more stuff," but by earning an allowed return on regulated assets. Natural gas costs, fuel, and certain tracked expenses have approved recovery mechanisms in many states; NiSource further disclosed in its March 2026 investor materials that its regulatory mechanisms allow about 85% of capital spending to enter cash recovery within 12 months, which is a fairly critical cash-flow buffer for a utility. In other words, this is not a consumer-goods company's "brand pricing power," but a utility's "regulatory recovery plus rate-base growth."

In terms of revenue quality, this is a repeatable, stable, predictable business, but one affected by weather and regulatory timing. In its first-quarter 2026 report, the company explicitly stated that higher energy costs are largely passed straight through to customers and roughly match the corresponding portion of period revenue, so the impact on net income is limited; but weather, usage, approval timing, and construction progress still create quarterly volatility. That is also why I consider NiSource "easy to understand, but not extremely simple": the underlying economics are simple, but the financial statements — especially regulatory assets/liabilities, minority interests, and the recovery timing of different mechanisms — are not.

At the industry level, regulated utilities overall are a mature industry with stable traditional demand, but new growth drivers are coming from grid modernization, aging pipeline replacement, electric load growth, and data centers. The EIA projected in early 2026 that U.S. electricity demand would keep growing in 2026 and 2027, marking the first four consecutive years of growth since 2007; a key driver behind that is large computing centers. The EIA also noted in May 2026 that data-center servers already accounted for a meaningful share of U.S. commercial electricity use in 2025, and that share is expected to keep rising over the long run. For NiSource, this means: the ceiling for what used to be a "low-growth utility" industry has been raised somewhat, but that hasn't changed its fundamentally capital-intensive, regulated, return-capped nature.

The "competitive landscape" needs to be stated clearly: within its actual service territories, NiSource is really facing regulators, not a competitor fighting for customers on the same street; so in a strict sense it does not win through market-share battles, advertising wars, or channel wars, but through existing service territory, state regulatory relationships, capital-execution capability, and financing capability. If you insist on finding "competitors," they are really comparable names in the capital markets, such as Atmos Energy, CenterPoint, WEC Energy, and Duke Energy. NiSource's current valuation is not meaningfully cheaper than this peer group.

My answer to "would I be willing to hold this business if the stock market closed for five years" is: yes, I'd be willing to hold this business, but I would not be willing to ignore the price I paid. This kind of company will very likely still be around in five years, customers will still be using gas and electricity, and the pipeline and grid will keep entering the rate base; but if you pay too much, the return will largely be stolen by valuation compression and dilution from share issuance.

Business-understandability score: 4.5 / 5. Industry-attractiveness score: 3.0 / 5. My definition here: demand is high quality, competition is mild, and durability is strong, but capital intensity is high and the return ceiling is regulation-constrained, so I would not call this a "great industry" — more a "solid company in a stable industry."

Moat and Management

NiSource's moat is not a brand, not a network effect, and certainly not a data flywheel; its most fundamental moat is licenses, regulatory permits, service territory, and capital-intensive infrastructure. A new entrant cannot simply spend more on marketing to lay a second natural-gas-distribution and grid network in Ohio or Indiana, nor can it easily obtain regulatory standing equal to the incumbent's existing assets. This makes the company's moat more of an "institutional moat plus physical-asset moat." In its investor materials the company repeatedly emphasizes its six-state, multi-jurisdiction footprint and rapid cost-recovery mechanisms, and regulatory arrangements aligned with its investment cycle; these are genuinely important, and hardest-to-replicate, advantages in the utility world.

Breaking it down by category: brand advantage is weak, because customers mostly don't switch gas or electric distribution service because they "like the brand"; cost advantage is limited, because what matters for a regulated utility isn't driving costs to the absolute minimum, but putting costs into the rate base and rates prudently and approvably; scale advantage is medium-to-strong, reflected in the financing and execution capacity that comes from its six-state portfolio, roughly 3.8 million customers, and sizable capital plan; network effects are essentially absent; switching costs are extremely high but come from the regulatory structure rather than customer loyalty; channel advantage is not strong; franchise licenses and regulatory barriers are very strong; data advantage is limited; and corporate culture and operating capability are medium-to-strong, because in the end a utility competes on safety, reliability, and on-time, on-budget execution.

What matters more to me is whether this moat is widening, holding steady, or narrowing. My judgment: broadly stable, with local signs of widening. It is stable because the exclusivity of its core gas and electric distribution networks hasn't changed; it is widening in that, if the data-center and GenCo model lands successfully, NiSource's "growth-optionality value" in Indiana would be higher than that of many traditional gas-distribution utilities. But this part is still early-stage and shouldn't be treated as an already-realized widening of the moat. The company itself discloses that GenCo assets do not enter NIPSCO's existing rate base, and that the goal is to shield existing retail customers from the construction costs of new large-load buildout while passing the savings back to existing customers; that shows the design is smart, but it still depends heavily on contracting, construction, financing, and regulatory approval all succeeding at once.

In an inflationary environment, NiSource doesn't enjoy a consumer-goods-style free ability to raise prices, but it does have some "lagged pricing / cost-recovery" ability within its regulatory framework. This point matters: whether it can raise prices doesn't depend on brand, but on whether state regulatory mechanisms continue to support capital recovery and a reasonable return. In an economic downturn, the company is also very likely to stay profitable, because gas and electric demand is a necessity of daily life; the company posted positive net income every year from 2021 to 2025, and net income continued to grow in the first quarter of 2026.

On management, my assessment is "broadly credible and prudent in style, but capital allocation is not excellent — call it rational." On the facts: Lloyd Yates has served as CEO since February 2022 and has more than 40 years of experience in regulated utilities; the board's nominee slate includes 11 independent directors, and the governance structure is relatively standard. The 2026 proxy statement discloses that the company's 2025 Say-on-Pay approval rate was about 97%, that executive compensation is weighted toward performance pay, and that there is a clawback policy, stock-ownership requirements, prohibitions on certain problematic practices, and a double-trigger change-in-control arrangement.

But to be honest, executives' and directors' "skin in the game" is not high. By StockAnalysis's measure, insider ownership is only about 0.27%; this means the constraint shareholders place on management comes mainly from compensation design and board governance, rather than management having a large amount of personal wealth tied up alongside shareholders. The company does require the CEO to hold shares worth 6x salary and EVPs 3x, but the proxy statement only says NEOs are "on track within a five-year window," which doesn't give me the strong sense of alignment that comes from "management has most of its wealth in the stock."

On capital allocation, two things need to be viewed together. The first is the sale of a 19.9% minority stake in NIPSCO to Blackstone. This deal closed in 2024, and management explicitly stated the purpose was to support its fastest-growing utility, strengthen the balance sheet, and fund transition-related capital needs; this move is essentially "selling a minority stake for lower-cost capital," which is a pragmatic step for a highly capital-intensive utility. The second is that, in the financing mix for the 2026–2030 $28 billion capital plan, the company itself projects about 40%–45% to come from new debt and about 5%–10% from equity, and explicitly states it will issue $300–500 million in equity per year via ATM. In other words, NiSource is not reinvesting abundant free cash flow — it is rolling forward on "operating cash flow plus debt plus new equity issuance plus minority-interest capital" combined. That's rational for the company; it's not quite as "shareholder-friendly" for per-share value growth.

Moat-strength score: 4.0 / 5. Management and capital-allocation score: 3.0 / 5. The reasoning is simple: the moat is strong, but capital allocation is constrained by the nature of the industry, and future dilution is very real.

Financial Quality and Owner Earnings

First, a five-year snapshot of key financials: from 2021 to 2025, NiSource's revenue grew from $4.7 billion to $6.5 billion, operating profit rose from $1.0 billion to $1.8 billion, and net income rose from $585 million to $930 million; operating cash flow rose from $1.2 billion to $2.4 billion, but capital spending also rose from $1.8 billion to $2.8 billion, causing free cash flow to stay negative for years running, still -$420 million in 2025. Over the same period, long-term debt rose from $9.2 billion to $15.5 billion. This is a very typical utility curve of "profit growing, rate base growing, but cash being eaten up by capital spending."

I would suggest treating the table below as a "corporate-health table," not a "stock-catalyst table."

Margin trends are broadly rising: per figures compiled by StockTitan from SEC disclosures, NiSource's operating margin rose from 21.3% to 28.1% between 2021 and 2025, and net margin rose from 12.4% to 14.2%. This shows the company is not in a "revenue growing, margins collapsing" bad-growth pattern. On the other hand, the interest burden has risen just as visibly: 2025 interest expense was about $639 million, a marked increase from $341 million in 2021; using roughly $1.8 billion of 2025 operating profit, interest coverage works out to only about 2.8x — safe, but not much of a cushion.

Cash-flow quality is not poor. 2025 operating cash flow was about $2.4 billion, against net income attributable to common shareholders of about $930 million; per StockTitan's compilation, operating cash flow was about 2.54x net income. That means the company's profit is not being propped up by aggressive accruals. What's really dragging down free cash flow is not earnings manipulation, but capital spending. For a utility, that is a "feature of the business model," not a "flaw in accounting quality"; but as a shareholder you still have to bear the consequences: both the dividend and growth depend more on external financing markets staying open.

On the balance sheet, at the end of the first quarter of 2026, common shareholders' equity was about $9.66 billion, total shareholders' equity was about $11.93 billion, long-term debt (including the current portion) was about $15.48 billion, short-term borrowings were about $1.29 billion, and cash was only $71.9 million; the current ratio was about 0.65–0.69, and net debt/EBITDA was about 5.35x. I would not call this balance sheet "dangerous," because utilities are naturally this debt-heavy; but I would also not describe it as "extremely sound." It relies on continuous financing, and that point is stated quite plainly in the company's own funding-source table for its $28 billion capital plan.

Within working capital, accounts receivable reached $1.2 billion in FY2025, up about 24% from $964 million in FY2024; but this kind of change is often tied to weather, billing cycles, and cost pass-through timing for a utility, and shouldn't simply be read as "collections deteriorating." In the first quarter of 2026, working-capital changes consumed $531.5 million of operating cash flow, which again shows how volatile a single quarter's cash flow can be, and why one quarter shouldn't be used as a stand-in for full-year health.

On shareholder-return policy, NiSource continues to pay dividends but has essentially no meaningful buybacks. The current annualized dividend is about $1.20 per share, for a yield of about 2.56%, with dividend growth of about 6.8% over the past year; but since the company doesn't generate positive free cash flow, this dividend still remains, in an economic sense, partly dependent on financing capacity and regulatory recovery. More importantly, the share count keeps rising: the 2025 average diluted share count was about 474.5 million shares, up from 456.0 million in 2024 and 447.9 million in 2023; and the company still plans to keep raising capital through ATM issuance going forward. For long-term shareholders, that is not a minor issue.

Putting it together, my conclusion on financial quality is: Profit is real, and cash flow is real, but chronically negative free cash flow is equally real. There is no obvious sign of accounting manipulation or aggressive accounting; the real challenge is that growth requires a lot of capital, and the faster the growth, the greater the reliance on external debt and equity financing. That's different from a "the more it grows, the more cash-starved it gets" bad business, because most of its capital spending does eventually enter the rate base and earn a return; but it is also absolutely not a "the more it grows, the more cash floods in" excellent business.

Owner Earnings analysis

The hardest part of applying Buffett-style Owner Earnings to a utility is that it's very difficult to cleanly separate maintenance capex from growth capex. NiSource's 2025 net income attributable to common shareholders was about $929.5 million; backing it out roughly from EBITDA of about $3.0 billion and EBIT of about $1.8 billion, non-cash depreciation and amortization is about $1.1–1.2 billion. 2025 operating cash flow was about $2.4 billion, which shows working capital and deferred items were, on net, a source of cash overall. That leaves only one real point of disagreement: of the $2.8 billion in 2025 capital spending, how much was "maintenance"?

My conservative approach is not to pretend I know the precise answer, but to give a range. If maintenance capex is estimated at $1.3–1.6 billion, then 2025 Owner Earnings falls roughly in the $800 million–$1.1 billion range; the conservative estimate I use is about $900 million. Against a current equity market cap of about $22.4 billion, the market is pricing this company at roughly 20–25x Owner Earnings. That is not outlandish for a high-certainty utility, but it is absolutely not cheap.

I want to stress two things here: Free cash flow running structurally below net income doesn't automatically mean the business is bad, because a large share of that capital spending is itself the source of future rate base and allowed returns. But Owner Earnings shouldn't be equated with operating cash flow either, because treating all that heavy capex as "growth" would be overly optimistic for a utility. So my conclusion is: NiSource's true earning power is probably somewhat higher than GAAP net income, but noticeably lower than the figure many investors would imagine just by looking at operating cash flow.

Intrinsic Value, Margin of Safety, and Price Range

I use three valuation methods, and I'll put the conclusion up front: the current price sits closer to "the upper end of fair value / the lower end of the optimistic case" than to "the conservative case." That is also the core reason I'm giving a "Watch" rather than a "Buy" rating.

Method one: Owner Earnings discounted cash flow

I use three scenarios for a 10-year discounted equity free cash flow. The starting points are 2025 Owner Earnings of $800 million / $950 million / $1.1 billion, respectively; growth rates for the first 10 years of 2.5%–3.0% / 4.0%–5.0% / 5.5%–6.5%, respectively; discount rates of 8.5% / 8.0% / 7.5%, respectively; and terminal growth rates of 2.0% / 2.25%–2.5% / 2.5%–3.0%, respectively. The reason I'm not using a higher growth rate is that although the company has put forward a target of 8%–9% consolidated adjusted EPS CAGR for 2026–2033, that is a management target, and it requires large-scale data-center projects, smooth financing, and smooth regulatory recovery as preconditions; for a conservative valuation, I'm not willing to take all of that at face value.

Method two: relative valuation

Among comparable utilities, NiSource's current valuation sits in a not-cheap spot: NiSource: P/E 23.16x, P/B 2.32x, EV/EBITDA 13.13x, ROIC 4.71%; Atmos Energy: P/E 21.11x, P/B 1.94x, EV/EBITDA 15.11x, ROIC 4.81%; CenterPoint: P/E 25.89x, P/B 2.41x, EV/EBITDA 13.95x, ROIC 3.79%; WEC: P/E 22.24x, P/B 2.57x, EV/EBITDA 14.91x, ROIC 4.29%; Duke: P/E 19.03x, P/B 1.80x, EV/EBITDA 11.26x, ROIC 3.74%.

This dataset yields two important conclusions. First, NiSource is not trading at a meaningful discount. It is more expensive than Duke, and it isn't much cheaper than Atmos either. Second, NI's EV/EBITDA isn't extreme, but its P/E and P/B are already not low, and the company still plans to keep issuing equity and taking on debt over the next several years — which means the "it's cheap" bull case doesn't really hold up. If you back into a price using this peer group's median P/E and P/B, NiSource's implied stock price comes out to roughly $44; the EV/EBITDA median would give a higher figure, but I would discount that because EV/EBITDA is more prone to overstating equity value for a high-capex utility. On balance, relative valuation supports "fair to expensive" rather than "undervalued."

Method three: asset or liquidation value

For a regulated utility like NiSource, a strict "liquidation value" approach doesn't carry much meaning: these assets weren't built to be sold, but to serve customers long term within a regulated framework and earn a return on that basis. What's actually useful as a reference is book common equity and the rate base. At the end of the first quarter of 2026, common shareholders' equity was about $9.66 billion, corresponding to book value per share of about $20.15; at the current price, the market is roughly assigning 2.3x P/B. Framing it against the 1.8–2.2x P/B typically seen for mature regulated utilities, the asset-based approach lands roughly at $36–44 per share; even at 2.4x P/B, it would come out to only about $48 per share. This shows the current price already reflects "continued book-value growth and rate-base expansion" fairly fully.

Combined valuation conclusion

The final ranges I arrive at are: Conservative intrinsic-value range: $28–34 per share. Fair intrinsic-value range: $35–43 per share. Optimistic intrinsic-value range: $44–52 per share.

Against the current price of about $46.77: relative to the conservative estimate, it's a clear premium; relative to the fair estimate, it's a mild-to-moderate premium; only relative to the optimistic estimate does it come close to fair. So my conclusion is that the current price does not offer an adequate margin of safety.

Required margin of safety: at least 20%–25% relative to the "fair value midpoint." Ideal buy-price range: $28–34. Acceptable holding-price range: $35–43. Clearly overvalued range: I would treat above $50 as clearly expensive, especially before the data-center business has been more fully proven out through execution.

Risks, Bear Case, and Opportunity Comparison

The most important risk isn't short-term weather, and it isn't missing quarterly EPS by a few cents — it's where permanent capital loss could come from.

The first category of risk is regulatory and recovery risk. NiSource's business logic depends on approved returns and cost recovery. If the capital plan keeps rising while approvals lag, recovery slows, or the allowed rate of return gets cut, shareholder returns get hit twice: real capital needs rise on one side, while the return earned per unit of capital falls on the other. The company itself explicitly lists "whether the expected regulatory outcome is obtained" as a core risk in its materials.

The second category of risk is financing and leverage risk. The company's five-year plan states explicitly that about 40%–45% of funding will come from net new debt and 5%–10% from equity, with about $300–500 million expected to be raised each year via ATM issuance. If interest rates stay elevated, credit spreads widen, or equity markets don't offer a good price, NiSource's per-share growth could come in well below rate-base growth. For shareholders, the scariest outcome isn't the company failing to survive — it's holding for ten years only to find the company's assets and profits keep getting bigger while the intrinsic value allocated to your one share doesn't grow much at all.

The third category of risk is data-center strategy risk. This is the story the market is currently most willing to pay for, and also the part most likely to get overvalued. NiSource's collaborations with Amazon and Alphabet genuinely open up room to imagine long-duration load growth and new regulatory structures, even offering a savings figure of about $1.0–1.25 billion for existing customers; but the company itself also acknowledges in its materials that construction, financing, MISO resource accreditation, customer performance, contract termination, and future realization of returns could all diverge from expectations. For "bulls," this is a growth option; for "value investors," it is first and foremost a new set of execution risks.

The fourth category of risk is customer-concentration and policy-backlash risk. NiSource's traditional retail utility customer base is very diversified, so this risk is low there; but new large-load business concentrates growth on a small number of hyperscalers. Reuters has also reported that other states have begun worrying that data centers could push up residential electricity prices and strain grid resources.     The bearish narrative inflection point would be the opposite: ATM issuance running above plan and share-count growth eating into EPS; financing costs or credit metrics deteriorating; IURC, MISO, construction progress, or customer performance seeing delays; existing customers not actually feeling the GenCo benefit, instead triggering rate or regulatory backlash; and analysts starting to cut target prices back from a "data-center premium" to an ordinary utility valuation.
