Nebius Group: A Long-Term Owner's Perspective

The contradiction lies in the texture of cash flow. Q1 operating cash flow of $2.258 billion looks pretty, but $3.2 billion came from customer prepayments, and the cash that lands in owners' pockets is still negative; over the same period capital expenditure was $2.473 billion, burning cash faster than revenue grows. Profit is equally questionable: the vast majority of Q1 net income of $621 million is a book revaluation of non-listed equity such as ClickHouse, not earned from operations. Add the disclosed material internal-control weakness and the change of server depreciation from 4 years to 5 years, and the books cannot support the valuation.

At $220 and a $55.8 billion market cap, EV/2026 revenue is already 16-18x, and the market is already paying for the optimistic scenario. The ideal buy range is $80-110; the founder's 55% voting power corresponds to only 13% economic interest, so governance offers no extra concession.

Bottom Line Up Front

Preliminary rating: Watch. Viewed through the lens of "acquiring a business for the long term" rather than "chasing the AI trend," Nebius today looks more like an AI infrastructure company in a phase of rapid expansion, with commercial value that may grow larger but with owner earnings still unproven, rather than an already-mature good business that reliably harvests cash. The industry it operates in is genuinely attractive—strong demand, fast sector expansion, customers willing to prepay—but its cash-flow quality, capital-expenditure intensity, customer concentration, accounting comparability, and valuation today are all still insufficient to give a conservative long-term investor an adequate margin of safety. At the current share price of about $219.94 and roughly 253.9 million shares outstanding, the market capitalization is about $55.8 billion, meaning the market has already, to a large extent, prepaid for optimistic outcomes years into the future.

Core judgment. Nebius's core business has clearly converged on AI cloud: in Q1 2026 group revenue was $399 million, of which Nebius AI Cloud revenue was $389.7 million, about 98%; management's 2026 revenue guidance is $3.0 billion to $3.4 billion, with a stated full-year ARR target of $7 billion to $9 billion. This shows the business is growing very fast, but it also means the core support for the current valuation is not realized free cash flow but rather high expectations for future scale, utilization, margins, and financing capacity.

Is there a margin of safety at the current price: no. On a rough calculation at the current price, Nebius's equity value is about $55.8 billion; using the midpoint of 2026 revenue guidance of $3.2 billion, enterprise value/revenue is still roughly in the 16 to 18 times range; measured against 2025 revenue of $529.8 million, the valuation is even more front-loaded. At the same time, the company's Q1 2026 operating cash flow was $2.258 billion, but capital expenditure over the same period reached $2.473 billion, and operating cash flow was heavily driven by customer prepayments—not the same as a Buffett-style good business that "already spits out cash steadily."

The type of investor this suits. It is better suited to growth investors or thematic investors who can tolerate high volatility and understand AI infrastructure and capital-intensive expansion logic; it is not really suitable for the typical long-term value investor, nor for the ordinary investor who just wants to "buy it and hold peacefully for ten years without looking." For a holding discipline aimed at balanced risk appetite with "watch" as the objective, I lean toward continuing to track it rather than initiating a heavy position at the current price.

The biggest uncertainties. The three most important points are: first, whether the strong bargaining power and high utilization created by today's GPU/power scarcity are a durable structural advantage or a temporary supply imbalance; second, whether the high growth management describes can ultimately convert into real owner earnings rather than continue to be swallowed by capital expenditure; and third, whether over the next several years the company will need to keep raising large amounts of capital and diluting shareholders in order to actually bring its signed projects to fruition.

Understanding the Business and Its Industry Position

Fact: Nebius's business today can already be summarized as "providing compute, a cloud platform, and related software services for AI workloads." In its 2024 20-F the company described its retained assets as several international businesses: Nebius AI, Toloka, Avride, TripleTen, plus a Finnish data center and minority equity investments; but judging from subsequent operating results, the revenue center of gravity has clearly shifted toward the AI cloud core business. In 2024, Nebius segment revenue was $68.3 million, Toloka $26.4 million, and TripleTen $28.8 million; by Q1 2026, Nebius AI Cloud's single-quarter revenue had reached $389.7 million, about 98% of group revenue. This means that buying NBIS today is essentially buying an AI cloud infrastructure expansion story, not a diversified holding platform.

Fact: customers are mainly AI-native companies, model developers, and inference providers, while it is also breaking into large enterprise and hyperscaler contracts. At the end of 2024 the company disclosed that Nebius's customer development focuses on AI-native companies, model developers, tool developers, and inference providers; in 2025 it signed a multi-year dedicated GPU infrastructure contract with Microsoft, and in 2026 it signed a new long-term AI infrastructure supply agreement with Meta, in which the already-specified dedicated capacity portion is $12 billion in size, accompanied by additional purchase commitments from Meta on certain clusters, bringing the total contract value to a maximum of about $27 billion. These all indicate that the customer tier is moving up, but they also indicate that the weight of large customers is rising.

Fact: Nebius's pricing model is not a high-gross-margin pure software subscription, but rather closer to a hybrid model of "compute leasing + platform services + related tools." The company's website and business materials repeatedly emphasize that it provides NVIDIA GPU clusters, on-demand compute, storage, managed services, and the Token Factory/AI Cloud platform; the ARR metric for Nebius AI Cloud is not a typical SaaS remaining contract value, but rather a run-rate of "the last month of the quarter's revenue times 12." In other words, this "ARR" is more like revenue velocity than already-locked recurring subscription revenue. For a value investor, this is an important detail: revenue repeatability is strengthening, but predictability is still strongly tied to capacity coming online, utilization, customer expansion, and the pricing environment.

Inference: this business is "understandable," but not simple. Its core logic is not complicated: first secure power, land, data centers, and GPUs, then use proprietary software and hardware and the platform to attract customers, and push up fixed-asset utilization as fast as possible; the difficulty is that revenue recognition, customer prepayments, the cadence of capacity deployment, GPU generational transitions, depreciation lives, financing instruments, and enormous growth capex make the financial statements far more complex than those of a traditional consumer or software company. For a long-term owner, this is not "incomprehensible," but it is by no means "simple and transparent." Business understandability score: 3/5.

Opinion: if the stock market closed for five years, I would not be willing at the current price to treat this as a business mature enough to lock in and hold with peace of mind. The reason is not that the industry is bad, but that the company is still in a phase of "must keep expanding, keep financing, keep delivering." For a Buffett-style framework, the truly attractive companies can usually advance on internally generated cash flow even without help from capital markets; Nebius is at least not yet in that state today.

Fact: the industry itself is a high-growth industry. Gartner expects global generative AI spending to reach $644 billion in 2025, up 76.4% year over year; IDC estimates global AI infrastructure spending will reach $318 billion in 2025 and exceed $1 trillion by 2029; McKinsey expects data-center-related capital expenditure demand of about $6.7 trillion by 2030, of which about $5.2 trillion is AI-related; and Synergy believes neoclouds' revenue will exceed $23 billion in 2025 and approach $180 billion by 2030. In terms of demand direction, Nebius is standing on a large wave.

Inference: this is an "unformed company in a good industry," not a "mature good company in a good industry." Industry attractiveness score: 4/5. Demand is very strong, supply is constrained in the short term, and the industry is expanding fast; but technology, generations, capital, supply chains, and power constraints all weigh heavily, and the winners and losers of the industry are not yet settled. Nebius is in the right position, but it has not yet proven it can definitely convert the industry's boom into long-term high-return capital.

Moat and Competitive Landscape

Fact: Nebius has some genuine competitive elements, but most are still "in formation" and not yet strong enough to be called a durable moat. The company emphasizes its proprietary servers, racks, data-center design, and cloud platform; in Q1 2026 it said contracted power had exceeded 3.5GW, of which owned capacity accounts for more than 75%, and it raised its year-end contracted-power target to more than 4GW. At the same time, the company has obtained NVIDIA Reference Platform Cloud Partner/Reference Platform NCP qualification and has earned enterprise-security certifications such as SOC 2 Type II and ISO 27001. These are all real barriers: power, sites, delivery, engineering experience, hardware-software co-design, and compliance.

But from a Buffett framework, these look more like "high entry barriers" than "a moat of durable excess returns." The reasons are: first, the truly strongest rivals are not small players but AWS, Azure, Google, Oracle, and more direct AI neocloud competitors such as CoreWeave; second, customers are mostly highly technically capable with non-trivial bargaining power, and if supply loosens, pricing power may recede; third, GPU generations iterate extremely fast, so today's hardware scarcity and rental prices do not necessarily equal stable high returns over the next ten years. In the short term, Nebius benefits from supply-demand mismatch; in the long term, whether it can hold high gross margins still depends on platform stickiness, customer switching costs, and the value of the software layer.

Item-by-item judgment. Brand advantage: weak to medium—it has some name recognition within AI developer circles, but is far from a traditional "brand premium." Cost advantage: medium—proprietary hardware/data-center design and a relatively high proportion of owned sites may help lower costs, but this has not yet been validated in long-term ROIC. Scale advantage: in formation—3.5GW+ of contracted power and the large-scale sites after 2026 are hard thresholds, but still small compared with hyperscalers. Network effects: weak—the cloud business has ecosystem factors, but far weaker than consumer internet platforms. Switching costs: medium-to-weak—once an enterprise's training/inference workloads are bound to the platform toolchain, migration services, governance, and data flows, stickiness rises, but for now it is still mostly performance/price driven. Channel advantage: weak to medium—large-customer contracts and the developer platform are strengthening. Patent/regulatory barriers: limited—security certifications help, but do not constitute a license-type moat. Data advantage: limited—Toloka has been deconsolidated, so the data advantage is no longer fully internal. Culture/engineering capability: medium-to-strong—this is where management is most worth paying up for. Capital-allocation capability: not yet proven.

Inference: the moat right now looks more like a "bridge-building phase" than a "rent-collecting phase." Moat strength score: 2/5. For a competitor to replicate Nebius would require at least several billion dollars of capital, a two-to-five-year build cycle, power and site resources, deep cooperation with NVIDIA, and large-scale engineering talent; but this does not mean others cannot do it. CoreWeave has already proven that on this track, capital and orders can concentrate onto a handful of leading players at extremely high speed. Nebius's moat right now is closer to "first-mover + execution + supply constraint" than a brand/network-effect moat that can keep expanding for over ten years.

Fact and inference combined: Nebius has phased pricing power in an inflationary/scarcity environment, but whether it can remain reliably profitable in an economic downturn is still unknown. In its Q1 2026 shareholder letter the company explicitly noted that pricing for the newest GPU generation continues to rise and that prior-generation chips also received price support; meanwhile, Q1 AI cloud adjusted EBITDA margin reached 45%. This shows that short-term bargaining power is decent and operating leverage is real. But this looks more like a joint result of tight supply and rising utilization, and is not sufficient to prove the company can hold high margins steadily through an ordinary cycle.

Management and Capital Allocation

Fact: founder control is very strong, but for minority shareholders the pros and cons coexist. As of March 31, 2025, Arkady Volozh held about 12.94% of the economic interest through arrangements such as the LASTAR Trust, yet controlled about 55.04% of the voting power; Class B shares carry 10 votes each. This shows management is strongly bound to the long-term direction of development, but it also means governance is not a fully aligned "one-share, one-vote" structure. For a value investor, this kind of structure is worth a premium only when management is highly credible and capital allocation is excellent over the long term. Nebius does not yet have a long enough standalone track record to enjoy that kind of governance premium.

Fact: management shows some rationality in capital allocation, but is very aggressive. At the end of 2024 the company explicitly abandoned a share buyback it might previously have pursued, judging that in the current environment deploying capital into AI infrastructure creates more value for shareholders; it then completed a $700 million private equity financing, followed in 2025 by a $1 billion public offering and $2.75 billion of convertible bond financing, and in Q1 2026 raised a further $6.3 billion through NVIDIA prepaid warrants and convertible securities. Directionally, this is consistent with "grabbing capacity first during the track's window period"; in terms of cost, it corresponds to obvious equity dilution, rising debt, and a higher execution bar.

Fact: the company mainly uses cash for reinvestment, capacity expansion, and completing its technology stack, rather than dividends. The Q1 2026 shareholder letter disclosed that since the start of the year the company had acquired Tavily, announced the acquisition of Eigen AI, and obtained the Clarifai team along with an IP license; over the same period, the company kept expanding sites, raising contracted power, and planned to keep using debt, an ATM program, and customer prepayments to support expansion. For an early-stage growth company this is normal; but for a value-investing framework it means that "cash-distribution rights" currently belong essentially to the future, not the present.

Fact: governance and accounting controls are a real warning item. In both its 2024 annual report and its 2025 annual report summary, Nebius disclosed material weaknesses in internal control over financial reporting; in Q1 2026, the company also changed the useful life of servers and network equipment from 4 years to 5 years, applied prospectively from 2026. This does not indicate financial fraud, but it at least indicates two things: first, the company is in a phase of rapid expansion and its control systems are under strain; second, the depreciation convention carries some room for management judgment, and this happens to be one of the most sensitive accounting items for a capital-intensive company.

Opinion: my assessment of management is "visionary, engineering-flavored, and capable of execution, but with capital allocation still under stress testing." Management and capital-allocation score: 3/5. They are most likely right about strategic direction and dare to invest heavily during the window period; the problem is that value investors care more about whether intrinsic value per share is growing, not whether the enterprise's scale is racing ahead. Nebius right now looks more like it is using capital-market credit to buy time, rather than using a validated cash engine to compound.

Financial Quality and Owner Earnings

First, let's look at the key financial profile. A special reminder is needed: starting in 2025 Toloka was deconsolidated, so comparability between 2025 and prior years is reduced; and GAAP net income for 2025 and 2026 is affected by non-cash equity-investment revaluations, so one cannot look at net income alone.

The 2022–2024 data in the table mainly comes from Nebius's 2024 20-F; the 2025 data comes from the FY2025 earnings release; the Q1 2026 data comes from the company's Q1 report/shareholder letter. Net income for 2025 and 2026 is strongly affected by non-cash investment revaluations, so it can only serve as an "accounting result" reference and cannot directly represent real distributable cash.

Fact: revenue is growing extremely fast, but capital consumption is faster. Revenue grew from $13.5 million in 2022 to $117.5 million in 2024, further to $529.8 million in 2025, and reached $399 million in Q1 2026 alone. But 2024 operating cash flow from continuing operations was still -$307.7 million, and capital expenditure reached as high as -$807.7 million; in Q1 2026 capital expenditure reached -$2,472.9 million, far exceeding that quarter's revenue. In value-investing terms, this company is not "the more it grows, the more cash it produces"; rather, at least so far, it remains the type that "the more it grows, the more capital it eats."

Fact: the income statement "turning positive" does not mean real earnings power is stable. Net income from continuing operations in 2025 was $29 million, but that year also recognized about $598.9 million of equity-investment revaluation gains; net income from continuing operations in Q1 2026 was $621.2 million, of which about $780.6 million came from revaluation gains on non-listed equity investments, and ClickHouse's new financing round in January 2026 brought about $781 million of non-operating, non-cash gains to that position. In other words, GAAP profit in the two most recent periods was significantly "flattered," and what should really be watched is still the core business's operating leverage and cash conversion.

Fact: the surge in Q1 operating cash flow was driven mainly by customer prepayments. From the end of 2025 to Q1 2026, deferred revenue soared from $1,577.5 million to $4,778.1 million, an increment of about $3,200.6 million; over the same period accounts receivable increased from $720.3 million to $1,479.2 million, an increment of about $758.9 million. This means Q1 2026's $2.258 billion of operating cash flow was not purely generated by "cash earned from services already delivered," but was largely supported by prepayments from large customers. Prepayments are of course a good thing, because they reduce financing needs; but from an owner-earnings perspective, this looks more like a form of operating financing and cannot be simply equated with cash that is already freely distributable.

Conservative owner-earnings estimate. If I estimate Q1 2026 owner earnings using a more conservative, Buffett-leaning method, I would handle it as follows: starting from operating cash flow from continuing operations of $2.258 billion, first strip out the sharply increased deferred revenue of about $3.201 billion, so as not to treat customer prepayments directly as distributable cash; then deduct a conservative maintenance-capex proxy—at least the quarter's depreciation and amortization of $212 million. On this basis, conservative owner earnings are about -$1.16 billion per quarter. If all capital expenditure is treated as cash flow that should be deducted, that quarter's free cash flow is about -$215 million, worse still. The key here is not whether any single point estimate is precise, but that the conclusion is very clear: the company today is not yet an enterprise with positive and stable owner earnings.

Judgment. Profit is still more "accounting profit + operating leverage amid expansion" than genuinely steady-state cash profit; growth still requires large amounts of capital investment; the statements show no evidence on which I can assert "fraud," but the combination of a material control weakness, extended depreciation lives, and revaluation gains propping up profit is enough to make me rate accounting quality as "requires continued vigilance." If macro or AI demand weakens in the future, the enormous cash on the balance sheet can provide a cushion, but given the huge capital-expenditure commitments, fast equipment depreciation, and strong asset specificity, survivability cannot be judged crudely from balance-sheet cash alone.

Valuation, Margin of Safety, and Opportunity Cost

Now for the most critical judgment: at this price, is it worth it. The current share price is about $219.94. Based on 253.9 million shares outstanding at the end of March 2026, equity market capitalization is about $55.8 billion. At the end of March 2026 the company's cash and restricted cash totaled about $9.627 billion, and interest-bearing debt was about $8.450 billion; on a simple "equity value + debt − cash and restricted cash" basis, enterprise value is still roughly around $54.7 billion to $55.0 billion.

Method one: owner earnings / normalized cash-flow discounting. This step must first acknowledge a fact: current owner earnings are negative or near-negative, so one cannot mechanically extrapolate from the most recent year's cash flow. I can only use the company's own disclosed 2026 revenue guidance of $3.0 billion to $3.4 billion, the Q1 2026 AI Cloud adjusted EBITDA margin of 45%, and management's stated aim of achieving a 20%–30% EBIT margin over the medium-to-long term to run scenario analysis. The following is inference, not fact.

My conclusion: the current share price is already near or within the "optimistic scenario" range. This means that today you are not buying a good business at a cheap price; you are buying, at a relatively expensive price, a future that still requires a great deal of execution to realize. For a balanced-risk-appetite investor, this does not conform to the margin-of-safety principle of "look at the downside first, then the upside."

Method two: relative valuation. Nebius's most comparable public name today is operationally closer to CoreWeave, but its financial maturity is closer to that of an "extremely early-stage capital-intensive growth stock"; to avoid being biased by peers' high valuations, I put it at the same table as DigitalOcean, a cloud infrastructure company with more mature cash flow.

Nebius's problem is not "peers are all expensive so it should be too," but rather: before owner earnings have stabilized, it is already far more expensive than cloud companies with stable cash flow, and to justify this premium it needs to deliver much stronger scale and profit than it does today.

Method three: asset/liquidation value. As of the end of March 2026, total shareholders' equity was about $7.242 billion, equating to a book value per share of about $28.5; cash and restricted cash on the books was about $9.627 billion, with interest-bearing debt of about $8.450 billion, plus $1.614 billion of non-listed equity investments. After ClickHouse raised financing in January 2026 at a valuation of about $15 billion, the book revaluation of Nebius's stake contributed about $781 million of non-cash gains. What the asset approach tells me is not "the company is only worth book value," but rather: the distance between the current market capitalization and the asset safety cushion is very large. This stock is not a typical asset-discount stock, but a typical growth-expectation stock.

Margin-of-safety judgment. The ranges I give are as follows: Conservative intrinsic-value range: $30-70/share; Fair intrinsic-value range: $80-150/share; Optimistic intrinsic-value range: $160-240/share.

On this basis, the current price offers no margin of safety against either the conservative or the neutral valuation; even against the optimistic valuation it is only near the high end. My discipline would be: ideal buy price $80-110; acceptable long-term holding price $110-150; above $180 clearly means paying up front for a lot of optimistic expectations; around $220 looks more like "a good story paired with an expensive price."

Comparison with the index and the risk-free rate. Reuters reporting shows that on May 18, 2026, the U.S. 10-year Treasury yield rose to 4.631%; meanwhile, Reuters market reporting from late April shows the S&P 500's forward P/E is about 20.8x, corresponding to a forward earnings yield of about 4.8% (this is my calculation based on that multiple). In other words, the return the market currently demands even for ordinary large-cap U.S. equities is already not low. Nebius, as a high-uncertainty name, should by rights significantly outperform this threshold to be worth tying up capital; yet at the current price, I do not see that kind of "clearly above Treasuries and the index" certainty premium.

Risks, Comparisons, Checklist, and Final Verdict

The most important risk is not short-term volatility, but permanent loss of capital. For Nebius, the most dangerous scenario is this: the company signs big deals at the tightest point of industry supply-demand, ramps up capacity expansion, and piles up enormous capital expenditure, only for GPU supply to loosen a few years later, customers to shift more toward building in-house or toward larger cloud providers, pricing power to decline, and utilization to fall short of expectations, ultimately forming a combination of "expensive assets + mediocre returns." At that point, the fixed assets that look "scarce" today could instead become low-return assets.

Main risk list. Competition risk: from CoreWeave and the hyperscalers.
