Core Judgment: IREN is no longer just a bitcoin miner; it is transforming into an AI Cloud infrastructure provider at extremely high speed. The company genuinely holds a few strong cards: large-scale secured power and land, two high-caliber contracts with Microsoft and Nvidia, and delivery capability validated by customers. The problem is that the current share price has already priced a substantial portion of future success into the valuation, while the company today remains in a phase of "heavy capital investment, heavy financing, and light distributable cash flow." From the perspective of a long-term business owner, this looks more like a high-volatility, execution-driven growth bet than a mature, high-certainty business that steadily generates cash.
Is there a margin of safety at the current price? No. As of May 20, 2026, IREN's share price was about $47.74, with a market cap of about $15.93 billion. As of March 31, 2026, the company's book shareholders' equity was about $2.66 billion; the same quarterly report also disclosed that capital-expenditure commitments had risen to $11.90 billion, and the company expects it may recognize roughly $520 million in additional impairment in the future as it shifts Childress further from mining toward AI. In other words, the money you pay today buys several years of high-intensity construction and execution delivery, rather than existing assets and current cash flow.
Suitable Investor Type: Better suited to growth/thematic investors with a high risk tolerance, especially those willing to bet on a supply shortage in AI infrastructure and able to tolerate financing, dilution, accounting volatility, and project-delivery volatility; less suited to traditional long-term value investors who put "stable free cash flow, low capital intensity, and predictable returns" first.
The Biggest Uncertainty: First, whether the Microsoft/Nvidia contracts and the larger AI pipeline can be powered up, installed, and billed on schedule. Second, how high the true owner-earnings margin can actually be once AI Cloud matures. Third, whether intrinsic value per share will be continuously diluted if the company keeps relying on the ATM, convertible notes, equipment leasing, and stock-based compensation.
Understanding the Business
Is this a business I can understand? The answer: yes, but its complexity should not be underestimated.
In business essence, IREN does two things. First, it mines bitcoin using ASIC equipment and electricity, with revenue coming from the bitcoin it earns and sells by providing hash rate to mining pools. Second, it installs GPU servers in its own data centers and sells GPU compute, storage, and supporting services to AI training and inference customers, charging by contract term or by usage. In its fiscal 2025 annual report, the company explicitly defined itself as an "owner and operator of next-generation data centers," whose data centers host both GPU-based HPC/AI services and ASIC-based bitcoin mining; by March 31, 2026, the company directly defined itself in its quarterly report as a "vertically integrated AI Cloud provider."
What is the core business? As of March 31, 2026, the company has two reportable segments: Bitcoin mining and AI Cloud Services. In the first nine months of fiscal 2026, the former generated revenue of $511.5 million and the latter $58.28 million; in other words, the real center of gravity for revenue still comes mainly from bitcoin mining, but the strategic center of gravity has clearly shifted toward AI. The company also states plainly in its quarterly report that AI Cloud Services is the "strategic priority," and that while bitcoin mining still contributes revenue, it is expected to decline over time.
Who are the customers? The counterparties for the bitcoin-mining business are essentially mining pools, and the economic outcome ultimately remains highly exposed to the bitcoin price and network-wide hash rate. The customers for the AI Cloud business are third-party AI compute customers, including both short-cycle on-demand customers and longer-term contract customers; as of June 30, 2025, the company disclosed that its AI Cloud customer contract terms range from on-demand to 3 years. In 2026, the company further disclosed strategic contracts of much larger scale: a total contract value of about $9.7 billion with Microsoft and a total contract value of about $3.4 billion with Nvidia. This means the AI business's customer structure has rapidly shifted from "relatively dispersed small-scale GPU leasing" to "large, long-term contracts with a few top-tier customers."
How does the company charge? Is revenue recurring, stable, and predictable? Revenue recognition for the AI Cloud business is closer to "service-type recurring revenue": the company recognizes the fixed portion on a straight-line basis over the contract term and recognizes revenue for the excess/usage-based portion according to actual usage. This model is far more stable than a miner selling off the bitcoin it mines each day. The problem is that AI's revenue share is still low at this stage, and most large contracts remain at the "signed/disclosed but not yet fully flowing into revenue" stage, so predictability is improving but not yet mature. Mining revenue, by contrast, is inherently a volatile revenue stream heavily dependent on the BTC price, halvings, network-wide difficulty, and electricity prices, rather than stable recurring revenue.
What is the cost structure? This is a very typical "high fixed assets + high energy + high depreciation + high financing" business. In the first nine months of fiscal 2026, the most central cost items were electricity, depreciation and amortization, and administrative expenses: during that period the company recognized $305.6 million in depreciation and amortization, while capital-expenditure cash outflows reached $2.609 billion in net cash used in investing activities. For the mining segment, electricity is the single most critical direct cost; for AI Cloud, on top of electricity there are also GPU, networking, cooling, construction, and operations-and-maintenance costs.
Does it depend on a few customers, suppliers, channels, policies, or key people? The answer is "yes, and to no small degree." The AI business has clearly concentrated toward a few large customers; on the equipment side it is highly dependent on GPU supply and delivery; on the energy side it depends on grid access, interconnection approvals, and systems such as ERCOT/BC Hydro; on governance, the two co-founders Daniel Roberts and Will Roberts together control 35.4% of the voting power through Class B shares and their holdings, and enjoy the control conferred by a dual-class share structure.
Is this business simple, transparent, and easy to understand? "Buy power, buy chips, build data centers, sell compute" is not itself hard to understand; what is hard is that the economic outcome is not simple. The mining part is like a commodity business, the AI part is like a data-center/GPU-leasing business during a period of supply shortage, and the company is currently in the middle of switching between the two business models, so accounting profit, cash flow, financing activities, and true owner earnings can easily diverge significantly.
If the stock market closed for 5 years, would I be willing to hold this business? If the entry price were low enough, I would be willing to keep tracking it; but at the current price, I am not willing to treat it as a typical value stock I could hold comfortably even with the market closed. Because the company's returns over the next five years depend on too many unrealized assumptions about construction, financing, customer onboarding, and margins.
Business Understandability Score: 3/5. The business model can be understood, but what truly determines returns is whether one can accurately grasp the per-share cash return after heavy capital expansion, rather than merely understanding the business process. This part remains insufficiently transparent for now.
Industry and Competitive Landscape
IREN actually spans two industries, and the quality of these two industries differs greatly. Bitcoin mining is a classic cyclical, commoditized, fast-iterating, price-taker industry; AI data centers / AI Cloud benefit from structural demand growth but require extremely high capital expenditure, strong supply-chain capability, strong power-acquisition capability, and sustained financing capability. In its 2025 report, the International Energy Agency projected that global data-center electricity consumption will rise to about 945 TWh by 2030, roughly double the 2024 level, with AI as one of the most important drivers; the United States will account for the largest share of this round of growth. This broad direction is a tailwind for IREN.
But a tailwind does not mean a good company in a good industry has already secured its position. AI Cloud's real competitors extend well beyond other listed miners to stronger cloud providers, hyperscale data-center operators, GPU ecosystem partners, and infrastructure platforms with cheap-power/capital advantages. IREN's advantage is that, earlier than many miners, it treated "power + land + data centers" as core assets rather than treating only ASICs as core assets; as of March 31, 2026, the company disclosed 4.51GW of secured power capacity, with facilities already spread across multiple sites in North America and Europe. This asset portfolio qualifies it to enter the AI infrastructure race but does not automatically grant it pricing power over customers.
Who are the main competitors? If we look only at public-market comparables "transitioning from mining to AI/HPC," Core Scientific, TeraWulf, Riot, Cipher, Marathon, and Cleanspark are a more realistic peer group. By current market cap, IREN's roughly $15.93 billion is already significantly higher than RIOT's roughly $7.87 billion, CIFR's roughly $7.62 billion, CORZ's roughly $7.40 billion, WULF's roughly $9.03 billion, MARA's roughly $4.73 billion, and CLSK's roughly $3.35 billion. This shows that what the market grants IREN is a markedly higher "probability-of-successful-AI-transition" premium.
What is the company's position in the industry? In the world of pure miners, IREN is no longer a small player: as of the end of June 2025, the company operated 810MW of data-center capacity and about 50 EH/s of installed hash rate; by the end of March 2026, installed hash rate was about 38 EH/s, indicating it is actively shrinking or converting part of its mining assets to make way for AI. On the AI side, about 150,000 GPUs are installed or in transit, which moves it from "testing the waters of AI" to "truly betting on AI." But compared with mature hyperscalers, it remains a new entrant on the infrastructure supply side rather than a demand-side platform giant.
Is long-term industry demand stable? The long-term direction of AI compute demand is steadily upward; bitcoin-mining demand, however, does not equate to "stable demand" and is instead driven jointly by the BTC price, halvings, difficulty, and energy prices. The company itself disclosed that the net electricity cost per bitcoin rose from $18,127 in FY24 to $25,642 in FY25, mainly because of the 2024 halving and rising network-wide hash rate. This fact reminds us that IREN is working hard to leave an industry where earning "excess profit" is increasingly difficult.
Industry Attractiveness Score: 3/5. AI infrastructure is a good direction; bitcoin mining is not. IREN has not picked the wrong trend. Its real problem is that, in the process of migrating from a poor industry to a good one, shareholders must first bear high capital expenditure, high uncertainty, and high dilution.
Moat and Management Capital Allocation
Moat Assessment: there are some "asset-type barriers," but no typical durable consumer/software moat has yet formed.
On the evidence, IREN's most respectable moat lies in power, land, data-center construction, and delivery/execution capability, rather than brand, network effects, or patents. The annual report disclosed that as of June 30, 2025, the company held 2,910MW of secured grid-connected power, about 95% of it in Texas; by March 31, 2026, the company disclosed this figure had risen to 4,510MW. This kind of "grid-side resources + project delivery + operational campuses" genuinely takes time, approvals, capital, and local relationships to replicate. Microsoft and Nvidia signing on in turn also shows that external customers regard IREN as a platform with real delivery capability rather than just a slide deck.
But this "moat" has several limits. First, it is closer to an entry barrier than an excess-return barrier; in other words, it can get you onto the track without necessarily earning you high returns over the long run. Second, customers do not necessarily have strong stickiness to IREN itself; they care more about on-time delivery, compute pricing, SLAs, and power and cooling reliability. Third, the industry does not lack competitors willing to spend heavily to replicate similar capabilities. Network effects are basically absent, channel advantages are limited, and data advantages are not obvious either.
My itemized assessment: Brand advantage: weak; cost advantage: moderate; scale advantage: moderate; network effects: none; switching costs: low-to-moderate; channel advantage: weak; licensing/grid-connection/approval barriers: moderate; data advantage: weak; corporate culture/operating capability: above-moderate; capital-allocation capability: below-moderate. On balance, Moat Strength Score: 2/5. The moat is widening in direction, but it is still far from wide enough to let long-term value investors rest easy.
Is management trustworthy? I give a "neutral-to-positive" judgment. The positive is that management is willing to disclose risks openly: including past financial-statement restatements, material weaknesses in internal control, tariff disputes, GST disputes, and possible future additional impairments; moreover, the 2025 10-K shows that the historical material weaknesses have been remediated and the effectiveness of internal control has been audited by the auditor. The negative is that the company's capital operations are extremely aggressive: ATM, convertible notes, equipment financing, prepayments, and M&A all deployed together, making the capital structure and per-share value very hard to track.
Are management and shareholders aligned? The two co-founders and co-CEOs together controlled 35.4% of the voting power as of August 15, 2025 through Class B shares and their holdings; each Class B share carries 15 votes, and this control structure lasts until at most November 17, 2033. This means they are not "without skin in the game"; but it also means external shareholders have limited ability to provide governance checks and balances. For long-term shareholders, this arrangement may bring both a long-term orientation and a control discount.
Has past capital allocation been excellent? If the evaluation standard is "whether it can seize growth opportunities," the answer is on the positive side. The company expanded from mining into AI, winning Microsoft and Nvidia in turn and acquiring Mirantis and Nostrum, showing that its capital allocation is offensive and oriented toward platform expansion. But if the evaluation standard is "whether it steadily raises intrinsic value per share," the answer has to be discounted:
The company pays no dividend and has no meaningful buyback record;
It relies heavily on ATM issuance and convertible notes;
The share count grew from 64.75 million at the end of June 2023 to 186.4 million at the end of June 2024, then to 257.2 million at the end of June 2025, and then to 341.0 million at the end of March 2026;
After the quarter, it further issued 15.88 million shares, raising $683 million. This is a path of "first scale up the platform, then hope future unit economics deliver," rather than one of "steady accumulation of per-share value."
Management and Capital Allocation Score: 3/5. Worth watching, not worth blind faith. Management looks more like an entrepreneurial expander than a mature capital allocator that has entered a phase of "steadily harvesting cash flow."
Financial Quality and Owner Earnings
The table below compresses IREN's financial evolution in recent years into a few key lines. Note in particular: FY26 is the nine months ended 2026-03-31, not a full year, and is not fully comparable with FY25/FY24/FY23.

Note: Gross margin is calculated internally on a reported basis; the FY26 nine-month convertible notes exclude the $3.0 billion 2033 convertible notes added in May 2026; common shares also exclude the further 15.88 million shares issued after the quarter. The table's four most important conclusions:
First, revenue growth is real, but profit quality is not high. FY25 reported net profit of $86.94 million largely because of fair-value changes, gains on certain financial instruments, and non-operating items; although FY26 nine-month revenue continued to grow to $569.8 million, the operating loss widened to $426.3 million. This shows that "reported profit turning positive" does not mean solid earning power in an economic sense has been established.
Second, the improvement in operating cash flow is real, but free cash flow is still very poor. FY25 operating cash flow was $245.9 million and FY26 nine-month was $289.3 million, decent on the surface; but investing cash flow had net outflows of $1.380 billion and $2.609 billion respectively. Translated into owner's language: the company needs more external capital the more it grows, rather than generating more cash the more it grows.
Third, the balance sheet is not fragile in terms of absolute liquidity, but it is very aggressive on capital discipline. As of March 31, 2026, the company had $2.213 billion in cash and $4.600 billion in total liabilities, of which $3.688 billion were convertible notes; and in May 2026, the company issued another $3.0 billion of 2033 convertible notes, netting about $2.96 billion. This means short-term "lack of money" is not the main problem; the main problem is that, in pursuit of a bigger AI opportunity, the company has already pushed the financing pedal very hard.
Fourth, the continuous dilution of shareholders is really happening. Looking only at the common-share count, from June 2023 to March 2026, in less than three years it expanded from 64.75 million shares to 341 million shares; FY24 raised $731.7 million through the ATM, FY25 raised another $601.8 million through the ATM, and FY26's first nine months raised a further $2.631 billion in stock and equity-related funds, with financing continuing after the quarter. For value investors, this is extremely critical: you cannot look only at "how much the company is worth"; you must look at "how much future value each share actually receives."
On ROE, ROIC, net debt/EBITDA, and interest coverage:
FY25 reported ROE briefly turned positive because net profit was positive, but this is an ROE clearly distorted by non-operating items;
The FY26 nine-month operating loss is large, indicating that current ROIC is far from excellent;
FY25 interest coverage (EBIT/interest) was only about 1.6x, while FY26 YTD is not meaningfully comparable because the operating loss turned it negative;
If cash at the end of March 2026 is roughly netted against interest-bearing obligations, the company's net debt is not out of control, but after issuing $3.0 billion of convertible notes in May 2026, the true future net debt and dilution impact still await confirmation in the next quarterly report. These conclusions are more inference than direct disclosure by management, but the direction is clear: today's IREN is not a mature enterprise with high capital returns, low leverage, and strong cash distribution.
How to think about Owner Earnings? On a conservative basis, I do not accept reported net profit, nor do I treat operating cash flow directly as owner earnings. There are three reasons:
Operating cash flow is significantly boosted by deferred revenue and customer prepayments; as of the end of March 2026, deferred revenue had reached about $620 million;
Stock-based compensation was $42.64 million in FY25 and $162.1 million in FY26's first nine months; this is real dilution of future per-share value rather than a "free non-cash expense";
Maintenance capital expenditure is not disclosed, while depreciation and technology-iteration speed for mining rigs/GPUs/power facilities are all very fast.
Therefore, I offer a conservative estimate range for owner earnings:
Using FY25 as the base, operating cash flow of $245.9 million;
Minus stock-based compensation of $42.6 million;
Then deducting a conservative but not exaggerated maintenance-capex proxy of $200 million to $250 million;
Yielding owner earnings roughly between -$50 million and +$40 million.
This is an assumption + inference rather than a precise figure. Yet its economic implication is important: IREN's current distributable-cash-flow capacity is very likely still near breakeven, or even negative. On this basis, buying it today at an equity market cap of about $15.9 billion amounts to paying a very high price for a platform that "may become very profitable in the future but has not yet stably earned owner earnings today."
Valuation, Margin of Safety, and Opportunity Cost
The conclusion first: the current valuation looks more like paying in advance for AI success over the next 3 to 5 years than buying today's verifiable cash flow.
Owner-Earnings Discount Method
Here we must clearly distinguish:
Fact: The AI business the company has signed/disclosed includes a total contract of about $9.7 billion with Microsoft and about $3.4 billion with Nvidia; the Q3 FY26 results disclosed "signed ARR" of about $3.1 billion, with the company's internal-assumption target pointing to $3.7 billion. Most of this revenue is not yet fully reflected in the current financials.
Assumption: I use a diluted share count of about 390 million shares as the valuation denominator, in order to roughly reflect the end-March-2026 share base, post-quarter ATM, and the equity consideration for the Mirantis/Nostrum transactions and other known or higher-probability dilution; this still does not fully cover the scenario of all future convertible-note conversions and the full exercise of Nvidia's investment rights, so the valuation result leans optimistic rather than conservative.
Inference: If the mature owner-earnings margin is below 15%, the current share price is very likely expensive; only if it can stably reach above 20% over the long run does the current price barely have room for discussion.
Based on these premises, I offer three scenarios:
Conservative scenario: By 2030, AI-related revenue ramps to about $2.4 billion, owner-earnings margin 10%, discount rate 12%, terminal growth 2%. This corresponds to an intrinsic value of about $12–20 per share.
Base scenario: By 2030, revenue reaches the normalized level of roughly the signed/high-visibility contracts, about $3.1 billion, owner-earnings margin 15%–18%, discount rate 11%, terminal growth 2.5%. This corresponds to an intrinsic value of about $22–35 per share.
Optimistic scenario: By 2030, revenue reaches $3.8–4.0 billion, owner-earnings margin 20%–23%, discount rate 10%, terminal growth 3%. This corresponds to an intrinsic value of about $36–50 per share.
These figures are value ranges under assumptions rather than "facts." But the direction they reveal is clear: $47.74 already stands near the top of the optimistic scenario.
Relative Valuation Method
Relative valuation is hard for IREN, because many peers are still loss-making, have negative free cash flow, and are also in transition, so PE, P/FCF, and EV/EBITDA are often unattractive and even lose comparative meaning. But several signals are still valuable:
PE: Financial-data tools show IREN's current PE at about 73x, but this PE has weak reference value because net profit is significantly affected by fair-value changes, tax items, and non-operating items.
P/B: Based on end-March-2026 shareholders' equity of $2.665 billion and 340.98 million shares, book net assets are about $7.8 per share; at a $47.74 share price, P/B is about 6x. For a heavy-asset company still facing high impairment risk and undergoing large-scale asset migration, this is not cheap.
P/S: Based on TTM revenue of roughly $757 million (FY25 + FY26 first nine months - the prior-year first nine months), the current market cap corresponds to about 21x price-to-sales. This is clearly close to the valuation language of a "high-growth AI infrastructure platform," rather than a miner's valuation.
Cross-sectional market-cap comparison: IREN's current market cap already exceeds all major listed miners/transitioning comparables. The market is telling you with real money that it believes IREN's probability of AI delivery is higher than peers'; but this also means that any delivery delay, margin miss, or additional dilution will do greater damage to the valuation.
Asset or Liquidation Value Method
If we view IREN as an "asset stock," I think the conclusion leans bearish. As of March 31, 2026, the company had $7.265 billion in total assets, $4.600 billion in total liabilities, and $2.665 billion in book shareholders' equity. The book looks fine on the surface, but the problem is:
A large portion of the assets are GPUs, mining rigs, construction-in-progress, and data-center facilities;
The company already recognized $188.4 million in impairment in FY26's first nine months;
The quarterly report further warned that as the AI transition advances further, roughly $520 million in additional impairment may be added in the future.
This means book net assets are not a good safety cushion. From a liquidation perspective, the recoverable value of many assets may be significantly below book value.
Margin of Safety and Ideal Entry Point
Combining the three methods, I offer the following ranges:
Conservative intrinsic value range: $12–20 per share
Fair intrinsic value range: $22–35 per share
Optimistic intrinsic value range: $36–50 per share
Current price relative to intrinsic value: a clear premium to the conservative and base scenarios; even for the optimistic scenario, it is only within the high end of the range.
Accordingly, my price framework is:
Ideal buy price range: $18–25
Acceptable holding price range: $25–40
Clearly overvalued price range: above $50
This is pricing based on "giving long-term owners enough margin for error," rather than a short-term forecast. The margin of safety is insufficient.
How to compare opportunity cost? Broadly speaking, putting money into IREN today means giving up more diversified S&P 500 exposure and a 10-year Treasury yield of around 4.6%–4.7%. For me to be willing to bear IREN's project-execution, financing, and dilution risks, its long-term expected return must significantly exceed these alternatives; and at the current price, this excess return is not certain enough.
Risks, Counterpoints, Checklist, and Final Verdict
The most important risk is permanent capital loss, not share-price volatility.
