The AI buildout has been very good to this business. The argument is about the revenue line. Second-quarter sales came in roughly 110 million USD light, and management blamed supply congestion and the sequencing of large multiphase projects. The balance sheet mostly backs that story. Deferred revenue doubled in six months to 3.63 billion USD, which means customers have already paid for work not yet delivered, and inventory rose to 2.52 billion USD as Vertiv bought and built against those orders. What the evidence does not settle is the size of the catch-up. Full-year guidance of 13.8 to 14.2 billion USD implies about 4.33 billion USD of fourth-quarter sales at the midpoint, 32% above the second quarter.
The moat is integration and field service rather than liquid cooling itself. Vertiv can package power, cooling, racks and controls together and stand behind the result, which component specialists cannot. Eaton has bought Boyd Thermal for 9.5 billion USD, Delta expects liquid cooling to reach at least 12% of its 2026 revenue, and Google has been discussing custom cooling units with Chinese suppliers, so rising liquid-cooling penetration does not guarantee Vertiv's share of it.
Price is the binding problem. At 277.94 USD the shares trade at roughly 41.5 times guided 2026 earnings, a 2.4% owner-earnings yield against a 4.63% ten-year Treasury yield. The report puts conservative value at 211 to 241 USD, sets the ideal buy range at 165 to 190 USD and rates the margin of safety none, with downside near 53% to 58% if organic growth falls below 10% and the multiple compresses. It suggests waiting for that price or for two clean quarters of backlog conversion.

Research summary
Vertiv is best understood as a mission-critical electrical and thermal equipment company that has acquired a growth-company earnings profile during the artificial-intelligence data-centre construction boom. It sells uninterruptible power supplies, switchgear, busway, power distribution, conventional and liquid cooling, racks, prefabricated data-centre modules, controls and monitoring systems. It then installs, maintains and services that equipment through more than 300 service centres and approximately 5,000 field engineers. The combination matters because a data-centre operator can purchase individual components from specialists, but the cost of an electrical or cooling failure greatly exceeds the cost of the equipment. Customers therefore pay for qualification, integration, installation certainty and rapid field support as well as hardware.
The recurring-services claim needs proportion. Services and spares generated 2.02 billion USD in 2025, 19.8% of group sales, against 1.77 billion USD and 22.0% in 2024. Service revenue rose, but the equipment boom grew faster and diluted the mix. Vertiv therefore has an installed-base annuity, but four-fifths of current revenue still comes from products and project work. At the time of the 2019 SPAC presentation, services represented about 30% of sales. The subsequent decline in mix makes today’s business more exposed to first-fit data-centre capital expenditure than the listing narrative implied, even though the absolute service base is larger.
The market currently trades Vertiv as one of the most direct listed expressions of AI infrastructure spending. The narrative rests on three linked changes. GPU clusters require much more power per rack than traditional computing. Heat density is forcing a transition from room-level air cooling toward direct-to-chip liquid cooling and hybrid systems. Large operators increasingly want power, thermal equipment and prefabricated modules engineered together to reduce deployment time. Vertiv has products across all three layers and has worked with NVIDIA on reference designs, including infrastructure intended for GB200 NVL72 systems and higher-voltage direct-current architectures.
This narrative is supported by unusually strong reported fundamentals. Revenue grew 27.7% to 10.23 billion USD in 2025, backlog reached 15.0 billion USD at year-end, and operating cash flow rose to 2.11 billion USD. In the first half of 2026, sales increased 26.7% to 5.92 billion USD, while gross margin rose to 37.7% from 33.9%. Management now guides to 13.8–14.2 billion USD of 2026 sales, 30–32% organic growth, a 23.3–24.3% adjusted operating margin and adjusted EPS of 6.65–6.75 USD.
The second-quarter controversy is about conversion rather than demand. Organic revenue grew approximately 18%, adjusted operating margin expanded about 410 basis points to 22.6%, and adjusted EPS of 1.52 USD exceeded consensus. The open question is whether the roughly 110 million USD revenue miss represented a temporary scheduling shift or the first visible symptom of a business struggling to convert an enormous backlog into revenue. Management attributed the shortfall to temporary supply-chain congestion and the sequencing of large, multiphase projects. It said these projects contain more dependencies than conventional product shipments and that delayed work should be recovered in the second half.
The balance sheet provides meaningful support for management’s explanation. Deferred revenue rose from 1.81 billion USD at the end of 2025 to 3.63 billion USD on 2026-06-30, contributing 1.82 billion USD to first-half operating cash flow. Advance and milestone payments are difficult to reconcile with a broad demand collapse or wholesale loss of business to competitors. Inventory simultaneously increased from 1.46 billion USD to 2.52 billion USD, including sharp increases in raw materials, work in progress and finished goods. Those movements look like a company procuring and assembling against contracted projects whose delivery dates have shifted.
The same evidence also exposes the risk. First-half receivables absorbed 644 million USD and inventory absorbed 1.05 billion USD. The project machine is carrying far more material and customer funding through the balance sheet than it did six months earlier. A clean timing shift should produce a later reduction in deferred revenue and inventory as sales and cash milestones are recognized. Continued accumulation would indicate bottlenecks, forecast errors or customer schedules moving faster than Vertiv can deliver.
The revenue-recognition data do not show a conspicuous accounting change. About 22.1% of first-half 2026 revenue was recognized over time, compared with 22.4% in the corresponding 2025 period. Vertiv recognizes qualifying customized projects over time using costs incurred relative to estimated total project costs. That policy creates estimation risk on complex work, but the stable mix argues against the Q2 miss being produced by a sudden change in recognition method.
The recovery required by guidance is steep. First-half sales of 5.924 billion USD leave 7.876–8.276 billion USD to be recorded in the second half. At the 14.0 billion USD midpoint, Q3 guidance of 3.65–3.85 billion USD implies approximately 4.33 billion USD of Q4 sales. That is a 15% sequential increase from the Q3 midpoint and a 32% increase from Q2. Full-year EPS guidance similarly implies approximately 2.21 USD of adjusted EPS in Q4 after the Q3 midpoint of 1.80 USD. The missed 110 million USD by itself is small relative to second-half revenue, but the guide depends on a much larger capacity and execution ramp than simply moving one quarter’s shortfall.
Backlog is real but not equivalent to guaranteed revenue. Vertiv defines backlog as products and services for which it has received a purchase order or purchase commitment and has not yet delivered. The company said the majority was firm and expected to ship within twelve to eighteen months, while also warning that orders can be cancelled or rescheduled and that backlog is not necessarily indicative of future sales. The disclosure does not provide the portion represented by non-cancellable orders, framework commitments, capacity reservations or individual customers.
The most defensible reading is that the Q2 shortfall was mainly an execution-timing event, but management has not supplied enough contract-level evidence to treat recovery as proven. The deferred-revenue surge, inventory procurement and stable revenue-recognition mix make a widespread loss of demand unlikely. The inventory and receivables build, the complexity admitted on the call and the steep implied Q4 ramp show that the operational burden is genuine rather than semantic.
The competitive case is also more nuanced than the phrase “liquid-cooling leader.” Vertiv’s CoolChip portfolio covers direct-to-chip cooling distribution units from in-rack systems above 100 kW to larger units reaching approximately 2.3 MW, and its disclosed reference architecture can support rack densities around 132 kW. The company is strongest where liquid cooling must be integrated with power distribution, heat rejection, controls and field service.
Several competitors can nevertheless win individual sockets. Delta Electronics combines high-volume power electronics with server-side thermal systems and expects liquid cooling to represent at least 12% of 2026 revenue. Asia Vital Components and Auras work close to server and component designers and have reported much faster growth from cooling modules. China’s Envicool has developed customized cooling-distribution units and was reported to be in procurement discussions with Google. Eaton’s 9.5 billion USD acquisition of Boyd Thermal gives it direct chip-to-grid cooling capability, while Schneider already has broad electrical, cooling, automation and software coverage.
Vertiv’s advantage is therefore system-level integration and lifecycle execution, rather than exclusive possession of the liquid-cooling technology. The market is fragmented, customers often dual-source, and design activity occurs at several layers: chip, server, rack, facility and electrical grid. Rising liquid-cooling penetration expands Vertiv’s addressable market, but it does not guarantee a constant share or premium pricing.
Management deserves credit for a genuine operating turnaround. Giordano Albertazzi became chief executive at the start of 2023 after running Vertiv’s Americas and EMEA operations. Revenue, margin and cash conversion improved sharply under his tenure, and the company moved from negative operating cash flow in 2022 to 900.5 million USD in 2023, 1.32 billion USD in 2024 and 2.11 billion USD in 2025. The improvement preceded the largest 2025–2026 revenue acceleration and cannot be attributed solely to the latest quarter.
The market rewarded both earnings growth and a change in identity. Vertiv finished 2023 at 47.88 USD, 2024 at 113.40 USD and 2025 at 161.94 USD, before reaching a record closing high of 376.15 USD in May 2026. The stock fell 17.2% to 223.04 USD after Q2, then recovered about 25% to 277.94 USD by 2026-08-05. Its inclusion in the S&P 500 in March 2026 increased passive ownership and cemented its status as a large-cap AI-infrastructure asset.
At the current price, Vertiv trades at approximately 41.5 times the midpoint of 2026 adjusted EPS guidance. Market value is roughly 7.6 times guided sales, and enterprise value is approximately 32 times guided adjusted operating profit before allowing for modest net cash. These are growth-stock valuations applied to an equipment and project business. They can work if revenue continues to compound rapidly, margins remain above 23% and the company converts advance-funded backlog without material cost overruns. They provide little protection if growth normalizes more rapidly than expected.
The prior report’s ranges are now too low as a complete description of probable value. Its bull ceiling of 270 USD equals about 40 times the new 2026 adjusted-EPS midpoint, while the earlier base midpoint of 170 USD equals roughly 25 times. Since May, guided earnings have risen, second-quarter margin exceeded 22%, the balance sheet has accumulated far more customer funding, and the market price has fallen from 322.63 USD to 277.94 USD. Those changes justify a higher independently derived base range than the prior report used. They do not make the shares conventionally cheap.
The current 277.94 USD price is 13.9% below the old reference price, but 2.9% above the old bull-range ceiling. The market has repriced the shares down from the May extreme, yet the rapid rebound from the post-results low shows that the capital market still expects the timing explanation to be substantially correct. Seven or more research firms reportedly reduced targets after the quarter, including cuts by Goldman Sachs, RBC, Citigroup, Bernstein and KeyBanc, while most retained positive ratings. Consensus targets remain far above the current price, but that is evidence of sell-side expectations rather than intrinsic value.
The qualitative portrait is high-quality growth inside a capital-expenditure cycle. Vertiv has developed a dense service network, broad system expertise, credible customer relationships, improving cash generation and a balance sheet capable of funding capacity. Its current growth rate is nevertheless being pulled forward by a historic AI construction cycle, and its market valuation assumes that management can industrialize unusually large projects without sacrificing schedule or margin.
Vertical history and financial evolution
From computer-room cooling to an integrated infrastructure supplier
Vertiv’s industrial roots precede the current corporate entity by decades. Ralph Liebert founded Liebert Corporation in Columbus, Ohio, in the 1960s to address the temperature and humidity requirements of early computer rooms. Computing equipment could no longer be treated like ordinary office machinery; it required dedicated, continuously operating environmental control. That created the original economic niche: hardware whose purchase price was small relative to the loss caused by downtime. Liebert later became part of Emerson Electric and formed the thermal core of Emerson Network Power.
Under Emerson, the business expanded beyond precision cooling into uninterruptible power, DC power for telecommunications, racks, monitoring, power distribution and services. The strategy matched the architecture of modern data centres. Electrical continuity, heat removal, monitoring and physical infrastructure increasingly had to be designed as one system, while the installed base created years of inspection, parts and maintenance work.
By the mid-2010s, Emerson Network Power was a large global operation but sat inside a diversified conglomerate whose capital priorities had moved elsewhere. Platinum Equity acquired the business from Emerson in December 2016 for more than 4 billion USD and renamed it Vertiv. Emerson retained a subordinated interest. The transaction established the current company as a private-equity carve-out rather than a conventional start-up.
The carve-out had two consequences. First, Vertiv inherited global brands, manufacturing plants, service engineers and customer relationships that would have taken decades to reproduce. Second, it inherited a cost structure and operating processes that required repair. Platinum sold the ASCO automatic-transfer-switch operation to Schneider Electric for 1.25 billion USD in 2017 and used acquisitions such as Geist, Energy Labs and MEMS to sharpen the remaining portfolio.
The SPAC listing was an operating-turnaround proposition
Vertiv entered public markets in February 2020 through a business combination with GS Acquisition Holdings, a special-purpose acquisition company led by former Honeywell chief executive David Cote. The 2019 transaction presentation valued the company at approximately 5.3 billion USD of enterprise value, or 8.9 times projected 2020 adjusted EBITDA of 595 million USD. Approximately 705 million USD of SPAC cash and 1.2 billion USD of private placement capital were committed, while existing owners rolled most of their equity. Pro forma leverage was projected at approximately 3.6 times EBITDA.
The listing pitch was originally an industrial self-help story attached to secular data growth, not “buy the dominant AI liquid-cooling company.” Management presented an adjusted EBITDA margin gap exceeding 500 basis points against peers, opportunities in pricing and procurement, service expansion, strong free-cash-flow conversion and rapid deleveraging. Data centres already represented about 70% of 2018 sales, services approximately 30%, and the top 50 customers about 35%.
That framing proved accurate about the potential but early about the delivery. The 2020 pandemic disrupted factories and logistics. Semiconductor, electrical-component and freight shortages then collided with inflation and a debt-bearing balance sheet. Vertiv could sell into strong demand, but it struggled to source, price and deliver reliably enough to convert that demand into cash.
The 2021 acquisition of E&I Engineering was the most important portfolio decision of the public-company era. Vertiv agreed to pay approximately 1.8 billion USD upfront, including 1.17 billion USD of cash and 630 million USD of stock, plus a possible earn-out. E&I added switchgear, busway and modular electrical systems used in larger data-centre projects. This moved Vertiv deeper into the electrical power path and increased the amount of each facility that it could supply.
The acquisition strengthened the strategic portfolio while increasing execution and financing pressure at an unfortunate point in the supply cycle. In 2022, Vertiv produced only 76.6 million USD of net income and negative operating cash flow of 152.8 million USD. Working capital absorbed cash as the company purchased scarce materials and carried unfinished equipment. That year established the central historical warning for today: strong orders do not create shareholder value until procurement, pricing, production and cash collection work together.
The Albertazzi turnaround changed the earnings model
Giordano Albertazzi, a long-serving operating executive who had run the Americas and EMEA regions, became chief executive in January 2023. His mandate was practical: improve pricing, supplier resilience, factory throughput, accountability and working-capital conversion. Vertiv increasingly referred to these processes as the Vertiv Operating System.
The financial turn was sharp. Operating cash flow rose to 900.5 million USD in 2023, 1.32 billion USD in 2024 and 2.11 billion USD in 2025. Net income increased from 460.2 million USD in 2023 to 495.8 million USD in 2024 and 1.33 billion USD in 2025. Revenue increased to 10.23 billion USD in 2025, while adjusted operating margin reached 20.4%.
This was both a management recovery and an industry tailwind. Pricing actions and lower supply-chain disruption restored margins. AI computing then changed the demand mix. Larger electrical loads, higher rack densities and accelerated construction schedules increased demand for Vertiv’s power, thermal and modular equipment. The business went from repairing an old margin gap to supplying a bottleneck in a capacity boom.
The stock’s transformation followed the earnings transformation. It closed 2023 at 47.88 USD, more than doubled to 113.40 USD at the end of 2024 and ended 2025 at 161.94 USD. The May 2026 peak of 376.15 USD was almost eight times the 2023 closing price. Earnings rose rapidly, but the share price also incorporated a new valuation label: Vertiv was no longer treated as a leveraged industrial turnaround and was priced as an AI growth platform.
Capacity expansion and the move into complete AI infrastructure
The next stage has been about increasing the amount of infrastructure supplied per project. Vertiv launched OneCore, a converged prefabricated infrastructure offering, and SmartRun, a prefabricated data-hall system. It acquired Great Lakes for customized racks, Waylay for AI-enabled monitoring and PurgeRite for liquid-cooling fluid-management services. The 2026 proxy said these acquisitions consumed approximately 1.2 billion USD in 2025.
PurgeRite is strategically relevant because liquid cooling requires more than a cooling-distribution unit. Fluids must be filled, flushed, treated, commissioned and monitored. A hardware supplier that cannot control fluid quality and installation at the site remains exposed to failures created by someone else’s work. PurgeRite extends Vertiv’s service model into that part of the system. The acquisition also shows that some capability advertised as an integrated moat had to be purchased rather than grown internally.
Vertiv has also aligned its product roadmap with NVIDIA designs. The disclosed GB200 NVL72 reference architecture supports rack density around 132 kW and combines liquid cooling with electrical distribution and heat rejection. The company has introduced equipment spanning in-rack cooling-distribution units above 100 kW and larger CDUs up to about 2.3 MW.
The collaboration has commercial value, but a reference architecture is not an exclusive supply contract. NVIDIA works with a wide ecosystem, and hyperscalers customize designs. The relationship improves Vertiv’s probability of qualification and gives its engineers earlier visibility into power and heat requirements. It does not reserve every subsequent order for Vertiv.

Revenue growth has recently been led by volume and mix rather than acquisition alone. Of the 24% Q2 2026 reported increase, roughly 18 percentage points were organic, five came from acquisitions and one from foreign exchange. In 2025, product revenue rose by 1.96 billion USD, while services and spares added 256 million USD. The fastest growth has therefore occurred in project equipment attached to large data-centre builds.
Americas has become the economic engine. Q2 sales rose 29.2% to 2.07 billion USD and segment operating margin reached 27.6%. First-half Americas sales rose 39.4% and operating margin reached 27.3%. Asia-Pacific grew 22.5% in the half but earned only a 13.2% margin, while EMEA sales fell 8.4% and margin was 22.1%. The regional dispersion suggests that the extraordinary group margin expansion depends heavily on high-volume, favourable-mix North American data-centre work.
Gross margin did not rise smoothly in 2025 because tariffs, accelerated capacity additions and project mix offset part of the operating improvement. Selling, general and administrative expense fell as a share of sales, producing operating leverage. The first half of 2026 added a further margin step as higher volume, pricing and improved execution spread engineering, factory and corporate costs over a larger revenue base.
Cash conversion over a longer period is better than the 2022 failure implies. Aggregate operating cash flow for 2021–2025 was approximately 4.39 billion USD against aggregate net income of 2.49 billion USD, a ratio of about 1.77 times. The ratio for 2021–2024 was still approximately 1.98 times, although annual conversion was volatile. First-half 2026 conversion was 2.10 times net income, primarily because customer advances increased deferred revenue.
This cash quality is real but partly conditional. Customer advances reduce Vertiv’s funding requirement and provide evidence of committed projects. They also create a future performance obligation. Cash collected before delivery is not economically earned until the equipment is installed and accepted. A project delay can therefore coexist with strong current operating cash flow.
The balance sheet is far stronger than it was at listing. Cash was 2.81 billion USD on 2026-06-30 against long-term debt of 2.94 billion USD, leaving the group close to net cash before smaller balance-sheet items. Capital expenditure is expected to reach 550–570 million USD in 2026, well above 220 million USD in 2025, as Vertiv adds factories, tooling, testing and service capacity.
Vertiv does not disclose a maintenance-versus-growth capital-expenditure split. Historical capital expenditure before the current buildout ran around 2% of revenue, while 2026 guidance is around 4%. A reasonable research assumption is that 250–300 million USD of 2026 spending represents maintenance and recurring tooling, with approximately 250–320 million USD attributable to incremental capacity and growth. This assumption is uncertain and is treated explicitly in valuation.
Goodwill has increased through acquisitions, but the reviewed 2025 filing reported no goodwill impairment. The more immediate balance-sheet risk is working capital rather than solvency: inventory is now 1.07 billion USD higher than at the end of 2025, and its quality will be tested by second-half shipment and acceptance.
Price and valuation history
Vertiv has passed through four capital-market identities. The 2020 listing presented a mid-teens-growth, margin-repair industrial at an enterprise value of 8.9 times projected EBITDA. The 2021–2022 market treated it as a leveraged supply-chain disappointment. The 2023–2024 recovery converted it into a credible operational turnaround. The 2025–2026 AI cycle then brought a growth-stock multiple and large passive-index ownership.
The valuation centre moved because both earnings quality and market preference changed. Cash flow improved, leverage fell, margins expanded, and the addressable power and cooling content per data-centre rack rose. At the same time, the market began capitalizing several years of hyperscaler spending at once. The current 41.5 times guided adjusted EPS is lower than the multiple near the May price high but far above the listing valuation and above Schneider’s and Eaton’s current forward multiples.
A precise historical percentile would be misleading. Vertiv has only traded publicly since 2020, early earnings were distorted by SPAC-related accounting, debt, supply disruptions and restructuring, and today’s profit base is several times larger. On any practical comparison with the post-turnaround period, the current valuation remains in the expensive regime even after the Q2 decline.
Business model, moat, industry, and horizontal competition
The revenue machine
Vertiv reports three geographic segments rather than separate power, cooling and service divisions. This limits investors’ ability to quantify thermal-management revenue, liquid-cooling revenue, modular-solution revenue or product-level margins. The external presentation is a system portfolio, but the financial statements do not reveal how much profit comes from each technology category.
The economic model has four layers. Product equipment creates the initial revenue and installed base. Large engineering projects add design, project-management and prefabrication content. Commissioning and installation generate service revenue around the deployment. Maintenance, parts, monitoring and upgrades extend the relationship over the equipment’s life.
Point-in-time revenue still dominates. In the first half of 2026, 4.61 billion USD was recognized when products or services transferred at a point in time, while 1.31 billion USD was recognized over time. That means approximately 78% of revenue remains linked to shipment, delivery or discrete service completion, rather than a subscription-like stream.
Over-time projects usually involve customized products controlled at a customer site. Vertiv measures progress using incurred cost relative to estimated total project cost. This method aligns revenue with economic work performed, but errors in estimated completion cost can alter recognized margin. Larger multiphase projects increase both revenue visibility and estimate sensitivity.
Cost structure and operating leverage
Materials, electronic components, copper, steel, cooling equipment and outsourced subassemblies are the largest variable costs. Freight and contract labour also move with volume. Factory overhead, engineering, product certification, software development, sales infrastructure, service depots and corporate functions are more fixed over a quarter or year.
The recent margin expansion shows considerable operating leverage. First-half sales rose 26.7%, while operating profit rose much faster, and gross margin expanded approximately 380 basis points. The Americas segment’s 27% operating margin indicates the profitability possible when factories run at high utilization and project mix is favourable.
The leverage works in reverse. Engineering and service capacity cannot be removed quickly without damaging customer support. Factories being added for anticipated demand carry depreciation and labour costs even if order growth slows. Customized inventory may be difficult to redirect to another customer. A 10% revenue miss in a normalized year could therefore reduce operating profit by substantially more than 10%, especially if pricing weakens.
Research, engineering and development spending rose about 20% in 2025. That spending is required to qualify equipment for new voltages, chip designs, cooling fluids and rack densities. It is both an investment and a recurring cost of remaining relevant through rapid technology changes.
Moat: what is durable and what is promotional
The first real moat is the global service network. Vertiv has more than 300 service centres, around 5,000 service engineers and a reported first-time fix rate above 90%. Customers operating critical facilities value local technicians who understand installed equipment and can obtain parts quickly. This network also generates information about failure patterns and creates opportunities to replace or upgrade equipment.
The second is system breadth. Vertiv can combine UPS equipment, switchgear, busway, cooling, racks, controls and prefabricated modules. Integration reduces the number of technical boundaries for which a customer must take responsibility. That matters most in large AI projects where power and cooling specifications change together.
The third is qualification and application engineering. Participation in NVIDIA reference architectures, high-density testing and collaboration with hyperscalers help Vertiv understand future requirements before they reach broad commercial deployment. Qualification cycles and reliability testing create switching costs, particularly after a product has been incorporated into a standardized facility design.
The fourth is global execution capacity. Vertiv can manufacture, deliver and service in more than 130 countries, which suits global cloud and colocation customers. The capability is difficult for a cooling-component specialist to reproduce. It is less difficult for Schneider, Eaton, Delta or Huawei, all of which have global supply chains and large engineering organizations.
Vertiv’s durable moat is the combination of qualification, integrated engineering and field service; liquid-cooling hardware by itself is not a durable moat. CDUs, cold plates, pumps, heat exchangers and control systems have many qualified suppliers. Customers can allocate the facility-level package to Vertiv while sourcing server-side components elsewhere, or reverse that arrangement.
The company is less clearly protected by software. Monitoring and controls improve attachment and service efficiency, but Vertiv does not disclose material software recurring revenue, net retention or subscription economics. Its software supports the equipment franchise rather than creating a separate platform monopoly.
Liquid cooling as contested profit pool
Direct-to-chip cooling removes heat by circulating fluid through cold plates attached to processors. It preserves much of the conventional server architecture and is the principal path reflected in Vertiv’s current portfolio. Immersion places servers or components in dielectric fluid and remains more specialized. Vertiv offers hybrid and liquid systems but its strongest disclosed references are direct-to-chip CDUs, facility water systems and heat rejection rather than immersion leadership.
Vertiv’s opportunity grows as thermal load shifts from room air to liquid loops. A high-density deployment may require CDUs, pumps, heat exchangers, liquid distribution, fluid services, controls and redesigned facility heat rejection. The company can bundle several of these layers and connect them with its power architecture.
Delta competes from power electronics and high-volume manufacturing. It reported Q2 2026 revenue growth of about 48% and an operating margin of 16.7%. Management expected liquid cooling to contribute at least 12% of 2026 revenue, although the transition toward liquid-to-liquid systems was proceeding more slowly than previously expected. Delta’s advantages are component integration, manufacturing cost and proximity to server supply chains. Its service and complete-facility presence are less extensive than Vertiv’s.
Asia Vital Components and Auras compete closer to the chip and server. Asia Vital Components reported first-quarter 2026 revenue of approximately 49 billion TWD, up about 110%, while Auras reported first-quarter revenue growth of 57.7% and an operating margin of 14.1%. These companies can co-design cold plates, heat pipes, vapor chambers and rack thermal modules rapidly with original-design manufacturers. Their narrower portfolios create customer concentration and technology-transition risk, but their growth shows that specialist suppliers are capturing meaningful economics.
Envicool attacks from a lower-cost, cooling-system position. Reuters reported that Google procurement personnel were discussing customized CDUs with Envicool and other Chinese suppliers. The report described a fragmented market that also includes Taiwanese manufacturers and server companies. This is direct evidence that large customers are qualifying alternatives rather than awarding the category to one Western incumbent.
Eaton’s acquisition of Boyd Thermal is the most consequential strategic response from a diversified power competitor. Boyd was expected to produce approximately 1.7 billion USD of 2026 sales, mostly from liquid cooling. Combining Boyd’s chip-level thermal equipment with Eaton’s electrical distribution creates a credible chip-to-grid alternative to Vertiv. The 9.5 billion USD purchase price also shows how highly the market values control of the thermal stack.
Management and governance
David Cote remains executive chairman, and Giordano Albertazzi serves as chief executive and director. Cote previously led Honeywell from 2002 to 2017 and sponsored the SPAC transaction. His operating background helped frame the original margin-repair programme. Albertazzi’s internal experience and results since 2023 give him stronger execution credibility than an external chief executive would have had.
The governance structure is conventional for a U.S. public company. Vertiv has one class of common stock with one vote per share, annual director elections, separate chairman and chief-executive roles, no poison pill and policies prohibiting executive hedging and pledging. Ernst & Young was proposed for reappointment as auditor.
Insider ownership is modest. Directors and executive officers together owned or had exercisable rights over 4.21 million shares, 1.10% of outstanding stock as of 2026-04-15. Albertazzi’s reported beneficial ownership was 1.63 million shares, most represented by exercisable options. Low direct ownership weakens founder-style alignment, although performance options make compensation sensitive to share-price outcomes.
Albertazzi received total reported 2025 compensation of approximately 18.3 million USD, including 13.0 million USD of option awards and a 4.0 million USD cash bonus. The package reflects real results but also raises the hurdle for judging pay-for-performance: the board rewarded the AI upcycle and operational turnaround before the company had fully demonstrated large-project execution through a downturn.
Capital allocation has generally improved the franchise. E&I materially strengthened electrical distribution, the 2025 acquisitions added racks, software and fluid services, and the company repurchased approximately 600 million USD of stock in 2024. The acquisitions also increase integration complexity and goodwill, and buying thermal capability during an AI investment boom carries valuation risk.
Industry structure and cycle
Data-centre infrastructure is in a high-growth phase driven by computing density, new facility construction and replacement of older power and cooling designs. Current hyperscaler investment is extraordinary: Reuters estimated that capital expenditures among major technology companies were approaching 800 billion USD, with AI spending a major contributor.
The profit pool is divided across utilities and generation, transformers and grid equipment, medium- and low-voltage electrical distribution, backup power, thermal systems, server-level cooling, racks, controls, construction and maintenance. Vertiv participates from facility electrical distribution through rack and thermal equipment, but it does not own the grid, the chip or the server.
Upstream suppliers have bargaining power when electrical components, semiconductors, compressors or specialized heat exchangers are constrained. Downstream hyperscalers have real bargaining power because their projects are large, technically sophisticated and suitable for dual sourcing. Vertiv’s margin depends on occupying the integration layer where failures are costly and few vendors can accept global responsibility.
This is primarily a capital-expenditure cycle combined with a technology-iteration cycle. The capital-expenditure cycle drives project volume. The technology cycle increases content per rack as electrical voltage and thermal architecture change. These cycles can offset one another for a time: even if data-centre floor-space growth slows, higher rack density may raise power and cooling content. Eventually a slower construction cycle reduces first-fit equipment demand.
Vertiv has limited direct regulatory exposure, but tariffs, product-efficiency standards, environmental requirements and export controls affect costs and design. The 2025 filing said pricing and productivity helped offset tariff pressure. Geopolitical fragmentation can also require regional manufacturing and limit the products that U.S. or Chinese suppliers can sell into particular projects.
Grid constraints are both opportunity and risk. Delayed utility interconnections create demand for on-site generation, energy storage and more efficient electrical systems. They can also postpone complete data-centre projects, moving Vertiv revenue even when customer capital budgets remain intact.
Horizontal group portrait
The most relevant comparison set contains two broad system competitors and three specialist thermal models.
Schneider Electric became the broadest global electrical-automation and data-centre system platform. Its portfolio combines electrical distribution, APC-branded UPS and cooling, automation, controls, software and field services. In the first half of 2026, revenue grew 14% organically to 21.2 billion EUR, adjusted EBITA reached 4.09 billion EUR and margin was 19.3%. Schneider raised its annual organic revenue outlook to 10–13%. Its advantages are diversification, software, channel reach and complete electrical architecture. Its data-centre exposure is less pure, making growth slower but earnings more durable.
Eaton became a high-return electrical power-management company with heavy exposure to data centres, utilities, commercial buildings and aerospace. Q2 2026 sales grew 21%, including 14% organic growth, and segment margin was 23.1%. Data-centre orders rose 85% and data-centre revenue 65%. Boyd adds the missing chip-side cooling capability. Customers choose Eaton for electrical reliability, distribution breadth and an increasingly complete power-to-cooling package.
Delta became the scale manufacturer connecting power electronics, server systems and thermal management. Its lower system margin reflects manufacturing intensity, but its proximity to server design and Asian supply chains can make product iteration faster. Customers choose Delta when unit economics, customization and integrated electronic-power conversion matter more than a global facility-service contract.
The Taiwanese specialists became rapid-design thermal partners. Asia Vital Components and Auras do not need to win an entire data-centre electrical package to earn attractive returns; they need to be specified into the server or rack. Their narrower scope gives them speed but also leaves them exposed if an architecture, chip customer or original-design manufacturer changes.
Envicool became a Chinese cooling-system challenger with domestic scale and an expanding international ambition. Its probable competitive weapon is custom engineering at lower cost. Export restrictions, customer-security requirements and geopolitical concerns constrain its accessible market, but its presence can still lower global hardware pricing.

Vertiv receives a valuation premium to Eaton and Schneider because its revenue growth and AI exposure are higher. The premium also compensates for less diversification, lower recurring-revenue mix and greater project-execution sensitivity. At 41.5 times guided earnings, the market is assigning most of the benefit of pure-play exposure while discounting little of the associated cycle risk.
Vertiv occupies the industry’s integrated mission-critical specialist niche: narrower and faster-growing than Schneider or Eaton, but broader and better serviced than the Asian thermal specialists. That niche becomes more valuable as system complexity rises. It becomes less valuable if customers standardize interfaces and purchase power, cooling and racks as interchangeable modules.
Current fundamentals and expectation gap
The last four quarters
Vertiv entered Q2 2026 with a record of repeated earnings outperformance. Q3 2025 adjusted EPS was 1.24 USD against a consensus around 1.00 USD. Q4 adjusted EPS was 1.36 USD. Q1 2026 adjusted EPS reached 1.17 USD on 2.65 billion USD of sales, with revenue up approximately 30%. Q2 then produced the unusual combination of an EPS beat, revenue miss and higher annual guidance.
The pattern matters. Pricing, mix and factory productivity have allowed profit to outrun sales. That is favourable while volumes rise, but it raises the probability that future disappointments occur first in revenue and bookings rather than EPS. Cost absorption and customer advances can preserve earnings temporarily even if project schedules stretch.
Q2 sales were 3.274 billion USD, approximately 110 million USD below market expectations. Organic sales increased about 18%, acquisitions contributed approximately five percentage points and currency about one. Adjusted operating profit rose 51%, and adjusted operating margin reached 22.6%.
Americas accounted for most of the strength and most of the timing issue. Q2 Americas revenue was 2.071 billion USD, with a 27.6% segment margin. APAC grew 28.5%, but EMEA grew only 1.7%. The group is therefore not experiencing a synchronized global boom; North American AI projects are carrying an increasing share of growth.
Testing the timing explanation
Three balance-sheet tests support management.
First, deferred revenue doubled in six months to 3.63 billion USD. This represents cash collected before revenue recognition and indicates that a substantial portion of future work has customer funding behind it. Second, raw materials rose by 579 million USD, work in process by 102 million USD and finished goods by 386 million USD. Vertiv has physically purchased or produced equipment that has not yet reached revenue recognition. Third, backlog remained above 15 billion USD rather than collapsing after the missed quarter.
These indicators distinguish timing from a straightforward competitive loss. Revenue lost to another supplier would normally reduce orders, customer advances and procurement against those orders. Revenue that was never contracted on the assumed timeline could still appear in a broad “purchase commitment,” but it would be less likely to generate the observed advance-payment inflow.
Two tests remain unresolved. Vertiv has not identified the amount of Q2 sales tied to specific delayed purchase orders, the revised delivery dates or the share of those orders protected by cancellation charges. It also has not disclosed contract assets or unbilled receivables in enough detail to reconcile project progress to the claimed shift. The public evidence supports management’s explanation at portfolio level but cannot verify it order by order.
The backlog definition creates the second uncertainty. “Purchase order or purchase commitment” covers more than non-cancellable contracted revenue, and orders may be rescheduled or cancelled. The company says the majority is firm, but does not quantify “majority.”

The midpoint requires Q3 sales to rise 14.5% sequentially from Q2 and Q4 sales to rise a further 15.4%. Q4 would be 32.1% above Q2. This is arithmetically possible because backlog and deferred revenue are large, but it leaves little room for renewed supply problems, customer-site delays or commissioning bottlenecks.
The annual guide’s low end could still be achieved with Q4 revenue of approximately 4.03 billion USD, which is less demanding. The high end requires 4.63 billion USD, more than 40% above Q2. Guidance therefore describes a broad range of execution outcomes hidden behind a narrow-looking headline.
The EPS bridge is similarly back-loaded. Q1 and Q2 adjusted EPS totalled 2.69 USD. Full-year midpoint guidance of 6.70 USD and a Q3 midpoint of 1.80 USD imply Q4 adjusted EPS of 2.21 USD. The projected Q4 profit level assumes revenue conversion and at least stable margins near the top of the current range.
What the market is trading
The share price reflects three real fundamentals: accelerating data-centre demand, operating-margin expansion and customer-funded backlog. It also reflects a capital-market narrative that treats AI infrastructure as a multiyear scarcity trade. S&P 500 inclusion, analyst target increases before Q2 and a limited number of U.S.-listed pure plays intensified demand for the shares.
The 17.2% post-results fall was primarily a multiple event. Full-year earnings guidance rose rather than fell. The market reduced the certainty attached to the earnings path and demanded a lower price for each dollar of forecast profit. Crowded positioning probably amplified the move, although public data cannot quantify how much came from leveraged or momentum-oriented funds.
The rebound to 277.94 USD is equally important. The shares recovered approximately 24.6% from the 223.04 USD post-results close within five trading sessions. The current setup is therefore not “a quarter cheaper after the miss” in any durable sense. Much of the panic discount has already disappeared.
Bull and bear divergence
Bulls see deferred revenue and inventory as evidence that the sales miss is sitting on the balance sheet awaiting delivery. They point to a 15 billion USD-plus backlog, 30–32% annual organic-growth guidance and more than 400 basis points of Q2 adjusted-margin expansion. In this view, Vertiv is adding capacity while customers pre-fund projects, and the temporary mismatch between material procurement and revenue recognition should reverse.
Bears see the same inventory as evidence that large projects are less standardized and less controllable than investors assumed. The first truly large integrated programmes have already encountered sequencing problems. If customers or construction partners delay sites, Vertiv cannot recognize revenue merely because it owns the materials.
Bulls argue that higher rack density offsets eventual moderation in data-centre floor-space growth. Each AI rack requires more electrical distribution, more heat removal and often new voltage architecture. Vertiv’s revenue could therefore grow faster than deployed megawatts for several years.
Bears argue that customers will not award all added thermal content to one supplier. Eaton has purchased chip-level capability, Delta and the Taiwanese specialists are growing quickly, and Google is examining Chinese CDU vendors. Greater category penetration can coincide with lower Vertiv share or price per unit.
Bulls value Vertiv on 2027 or 2028 earnings and see the current 41.5 times 2026 multiple falling rapidly as EPS grows. Bears value it on through-cycle owner earnings and question whether a project-oriented equipment company should retain a multiple above 30 times once organic growth slows below 15%.
The disagreement can be settled by observable data. Bulls need backlog conversion, lower inventory, stable deferred revenue generation from new orders and margins above 23%. Bears gain evidence if backlog growth falls below revenue growth, inventory remains above 18–20% of annual sales, Q4 revenue is pushed into 2027 or liquid-cooling wins increasingly go to component specialists.
Valuation, risks, catalysts, and tracking
Cash-flow passthrough and owner earnings
Five-year aggregate operating cash flow exceeded aggregate net income by about 77%. On the surface, this is excellent conversion. The annual path was volatile, however, and the latest period was boosted by 1.82 billion USD of deferred-revenue inflow. The economic cash result should therefore be judged across a complete project cycle rather than at the point when advances are received.
Vertiv’s 2026 adjusted EPS midpoint implies adjusted earnings of approximately 2.58 billion USD using roughly 385 million shares. Estimated maintenance capital expenditure of 250–300 million USD is broadly offset by depreciation embedded in earnings, while growth capital expenditure consumes another estimated 250–320 million USD. Normalized owner earnings are therefore approximately 2.5–2.7 billion USD, or roughly 6.50–7.00 USD per share.
At 277.94 USD, owner-earnings P/E is approximately 40–43 times and normalized owner-earnings yield about 2.3–2.5%. The owner-earnings valuation is close to the headline adjusted P/E because Vertiv is not structurally capital intensive. The larger difference lies between current customer-funded cash flow and normalized cash flow: using reported first-half annualized free cash flow would overstate sustainable owner earnings.
Historical and peer valuation
Vertiv’s current guided P/E of 41.5 times compares with approximately 33 times for Eaton on its 2026 guidance midpoint and about 30 times Schneider’s current forward earnings. Delta’s trailing multiple is above 50 times, showing that enthusiasm is not confined to Vertiv, but Delta’s growth and accounting base differ.
A premium to Schneider and Eaton is justified by higher current growth and purer AI exposure. A premium of approximately 25–40% already prices much of that advantage. Vertiv is less diversified, has a lower service and software mix, discloses less customer concentration and faces more severe downside if the construction cycle slows.
The 4.63% U.S. ten-year Treasury yield on 2026-08-05 raises the valuation hurdle. A 41.5 times earnings multiple provides a 2.4% earnings yield before growth. Investors are accepting a yield roughly 220 basis points below the government-bond yield because they expect rapid earnings compounding.
Absolute valuation scenarios
The valuation uses forward owner earnings and terminal P/E, checked against enterprise value to operating profit and normalized free-cash-flow yield. It does not assume that current deferred-revenue cash inflows recur indefinitely.

This is valuation-scenario analysis within a research framework, not investment advice.
The conservative multiple is still generous compared with Vertiv’s pre-AI history because the service network, balance sheet and operating system are better than they were at listing. The scenario does not assume bankruptcy or a collapse in data-centre investment. It assumes growth normalizes, customer schedules stretch, margin falls from the current guide and the market prices Vertiv as a high-quality industrial rather than a scarcity asset.
The base case assumes the Q2 timing shift is substantially recovered, 2026 guidance is achieved near the midpoint and 2027 organic growth remains in the high teens. The multiple remains above Schneider and Eaton because Vertiv continues to grow faster.
The optimistic case requires more than demand. Vertiv must retain system share as Eaton, Delta and Asian cooling vendors expand, improve operating margin above the 2026 guide and turn large integrated programmes into repeatable products. The 350–410 USD value range is therefore a demanding execution case, not a simple continuation of current backlog.
Expectation gap
The current price sits close to the base valuation. It appears to discount successful delivery of the full-year guide, no material backlog cancellations and a 2027 growth rate materially above the long-run data-centre equipment market. It does not discount a severe boom-bust outcome, but neither does it require the highest analyst forecasts.
The next earnings print will be judged less on EPS than on four operating facts: Q3 revenue relative to 3.65–3.85 billion USD guidance, sequential inventory movement, deferred-revenue conversion and the implied Q4 revenue requirement. An EPS beat produced by mix or expenses will not resolve the debate if sales slip again.
The most consequential positive surprise would be Q3 sales near the high end while inventory and deferred revenue decline in an orderly way. That combination would show that customer-funded orders are leaving the balance sheet as recognized revenue. The most consequential negative surprise would be maintained annual EPS guidance accompanied by another revenue deferral, because it would push an even larger execution requirement into Q4 or 2027.
Independent margin-of-safety recheck
The current price is above the conservative fair-value range of 211–241 USD. The margin of safety relative to that scenario is zero.
The most fragile base-case assumption is 2027 organic growth of 16–20%. Reducing that assumption to 70% gives approximately 11–14% growth. With operating margin around 22.5–23.5%, owner EPS would likely fall to roughly 8.1–8.6 USD. Applying 28–30 times produces 227–258 USD, approximately 7–18% below the current price.
If adjusted earnings remain flat at 6.70 USD for three years and the P/E remains unchanged at 41.5 times, annualized price return is approximately zero. This is a good company at a price that already requires continued growth. Waiting has an opportunity cost because another clean quarter could take the shares back toward the optimistic range. That cost is preferable to accepting a 2.4% owner-earnings yield before proof that the large-project operating model is repeatable.

Permanent-loss risks
The first risk is large-project execution. Probability is medium and impact high. Inventory above 2.5 billion USD, the admitted multiphase sequencing difficulties and the implied Q4 step-up show that Vertiv is doing work at a scale it has not repeatedly demonstrated. A second revenue delay would reduce estimates, weaken confidence in backlog conversion and compress the valuation multiple simultaneously. The earliest indicators are Q3 revenue, finished-goods inventory, over-time project margin and any additional reference to customer-site readiness.
The second is AI capital-expenditure normalization. Probability is medium and impact high. The downside scenario does not require hyperscalers to cut absolute spending; a deceleration from extraordinary growth can reduce order growth and remove the scarcity multiple. The transmission path is slower bookings, lower factory utilization, weaker price realization, margin compression and a shift from a 40-times to a 25–30-times P/E. Current concentration by hyperscaler or neocloud customer is not disclosed, increasing uncertainty.
The third is share loss in liquid cooling. Probability is high that competition intensifies; impact is medium to high. Eaton is integrating Boyd, Delta is increasing liquid-cooling mix, Taiwanese suppliers are expanding server-side content and Envicool is seeking global customers. Share loss would first appear in cooling order growth and customer reference wins, then in price and gross margin.
The fourth is backlog-quality overestimation. Probability is medium and impact high. Orders can be cancelled or rescheduled, and Vertiv does not quantify non-cancellable backlog or customer concentration. A cancellation wave would strand customized inventory and reverse part of deferred revenue, turning the strongest current bull evidence into a cash and margin problem.
The fifth is valuation compression. Probability is medium to high and impact high. The stock’s beta exceeds two, the earnings yield is below the Treasury yield and the market has recently repriced AI-linked shares violently even after earnings beats. A move from 41.5 to 30 times current guided EPS would take the price to approximately 201 USD without an earnings decline.
The sixth is acquisition and capacity overreach. Probability is low to medium and impact medium. Vertiv spent approximately 1.2 billion USD on acquisitions in 2025 and is more than doubling capital expenditure in 2026. If demand slows after capacity opens, returns on invested capital would fall and acquired goodwill could be impaired.
Catalysts
The primary positive catalyst is a Q3 result near the high end of revenue guidance, with adjusted margin at or above 24% and a sequential reduction in inventory. That would validate the timing explanation more persuasively than another EPS beat.
Further positive catalysts include backlog remaining above one year of sales despite conversion, additional customer advances on new programmes, named liquid-cooling or 800V reference wins, faster PurgeRite service attachment and evidence that OneCore or SmartRun shortens installation cycles.
The primary negative catalyst is another revenue deferral. Other negatives include a lower Q4 guide, backlog cancellation, inventory exceeding 20% of annualized sales, margin falling below 22%, a hyperscaler delaying facilities, or Eaton, Delta, Envicool or Taiwanese specialists announcing large cooling wins.

The financial indicators should be read together. Falling inventory is favourable only if it accompanies revenue recognition rather than order cancellation. Falling deferred revenue is favourable if customer-funded work converts into sales and is replaced by new advances. Backlog that remains high while inventory and revenue both rise would show that capacity is beginning to catch demand.
The services mix is a longer-term durability indicator. A recovery toward 22–25% would give Vertiv a larger recurring buffer after the construction cycle. Continued dilution below 18% would make the earnings base increasingly dependent on new facilities.
Cross-synthesis, conclusion, uncertainties, and sources
What Vertiv has actually proven
Vertiv has proven that an inherited industrial franchise can be rebuilt into a faster, more profitable business. The company entered public markets with global brands and service assets but poor conversion. It survived a period in which supply constraints, leverage and working capital nearly invalidated the listing thesis. Under Albertazzi, pricing, procurement, factories and cash collection improved enough to turn strong end demand into profit.
That capability matters more than the label “AI winner.” Many companies can announce a liquid-cooling product. Fewer can certify equipment, coordinate electrical and thermal systems, manufacture globally, commission at customer sites and maintain the installation for years. Vertiv has demonstrated those functions across conventional data-centre infrastructure and is extending them into higher-density environments.
Its past success came from three sources. The inherited Liebert and Emerson installed base supplied customer trust and service density. Management repaired execution and pricing. The AI cycle then amplified both by increasing the power and thermal content of each project. Luck in industry timing helped, but the margin and cash improvements began before the most extreme 2025–2026 demand acceleration.
Those strengths remain present. The service network, electrical portfolio acquired through E&I, customer advances, NVIDIA collaboration and balance sheet are tangible. The weakest link is the industrialization of enormous multiphase projects. Vertiv’s historical strength was mission-critical equipment and services; the current valuation increasingly depends on becoming a repeatable megaproject integrator.
Horizontally, Vertiv is better placed than Asian thermal specialists to own the facility-level relationship and provide lifecycle support. It is more exposed and faster growing than Schneider or Eaton. It is not clearly ahead of every competitor at every technical layer. Eaton can now combine electrical systems with Boyd’s chip-level cooling. Delta and Taiwanese companies can move quickly with server manufacturers. Envicool can compete on customized CDU cost. Vertiv wins when the customer values integrated accountability; it is more vulnerable when interfaces become standardized and purchasing separates into components.
The current valuation is pre-spending part of future success. At approximately 41.5 times 2026 adjusted EPS, investors receive little current earnings yield and rely on rapid 2027–2029 growth. The shares no longer price the perfection evident at the May high, but the rebound after Q2 has removed much of the short-lived discount.
The market may be misjudging two things in opposite directions. It may underestimate the evidentiary value of 3.63 billion USD of deferred revenue: customers have placed real cash behind future work, making a broad demand failure less likely. It may overestimate the certainty and profitability of converting that work. Cash received in advance cannot eliminate construction delays, engineering rework, customized inventory risk or customer rescheduling.
Over the next year, Q3 and Q4 execution dominate. Over three years, the key variable is whether Vertiv can maintain operating margin above 22% as organic growth slows and cooling competition increases. Over five years, durability depends on the service and upgrade economics of the installed AI base. A first-fit equipment boom becomes a compounding franchise only if liquid loops, power electronics, batteries and controls produce recurring maintenance and replacement work.
A better investment setup would combine one of two conditions. The first is price: 165–190 USD would provide a wide discount to conservative forward value while leaving room for growth. The second is evidence: two consecutive quarters of on-time large-project conversion, normalized inventory and new backlog replacing recognized revenue could justify paying near the middle of the base range. The present price offers evidence still in progress and limited valuation protection.

The first loss script begins in late 2026. Q3 revenue reaches only 3.55 billion USD because several customer sites are not ready, but favourable mix keeps EPS close to guidance. Management lowers Q4 sales and pushes 500–700 million USD into 2027. Inventory remains above 2.5 billion USD and backlog growth turns negative as customers reschedule. The market cuts 2027 EPS from roughly 9 USD to 7.50 USD and applies 25 times earnings instead of more than 40 times. The resulting price near 188 USD would be about one-third below the research-base price.
The second script unfolds through 2027–2028. Eaton integrates Boyd and wins complete power-and-cooling packages, while Delta, AVC, Auras and Envicool take server-side CDU and cold-plate content. Liquid-cooling hardware pricing falls 15–20%, Vertiv’s organic growth slows below 10% and operating margin falls from about 24% to 19–20%. AI capital expenditure still grows, but Vertiv no longer captures disproportionate content. EPS stalls around 6.5 USD and the market applies an 18–20 times industrial multiple. The share price falls to roughly 117–130 USD, a decline of approximately 53–58%.
Key data and research uncertainties
The valuation is most sensitive to 2027 growth and terminal multiple. Every one-turn reduction in P/E changes value by approximately 9 USD per share at base-case 2027 owner earnings. A five-point multiple compression therefore removes about 45 USD even if earnings remain intact.
Customer concentration is the largest disclosure gap. The reviewed filings do not quantify current top-five or top-ten customer exposure, the share attributable to hyperscalers versus colocation and neocloud operators, or payment terms by customer. Historical listing materials said the top 50 customers generated about 35% of 2018 sales, which is too old and too broad to answer the current question.
Backlog quality is the second blind spot. Vertiv discloses a definition, expected conversion period and cancellation warning but not the value of non-cancellable purchase orders, capacity reservations, framework commitments or variable-price clauses. Deferred revenue provides partial confirmation but cannot be mapped directly to individual backlog orders.
Product economics are the third blind spot. Vertiv does not report liquid-cooling revenue, thermal-management margin, modular-solution margin or service attachment by product. This prevents a clean assessment of whether liquid cooling is raising group profitability or merely supporting the sale of lower-margin project equipment.
Maintenance capital expenditure is not disclosed separately. The owner-earnings calculation uses an estimated 250–300 million USD maintenance requirement based on historical spending and current capacity plans. A higher recurring requirement would reduce fair value.
The expected 2026-10-21 earnings date was an external calendar estimate as of the base date, not a date announced by Vertiv. Investors should replace it with the company’s formal announcement when available.

Final research conclusion
Vertiv is a materially better company than the one that entered the stock market in 2020. Its margins, cash conversion, electrical portfolio, balance sheet and management execution have improved. The AI buildout has given it a rare combination of high organic growth and operating leverage. The second-quarter revenue miss does not overturn that evidence. Deferred revenue, inventory procurement and backlog make a broad demand loss improbable.
The same balance sheet shows that the business is crossing into a more difficult operating regime. Vertiv must coordinate large, customized, multiphase programmes while capacity, product architecture and customer timetables change rapidly. The market is paying a growth-company multiple before that capability has been proven through several consecutive quarters. The current price is fair under a successful base case, expensive under a normalizing case and attractive only if the optimistic AI infrastructure path persists.
The re-research conclusion differs from the May report in valuation level. The prior 150–190 USD base range now understates the earnings and margin evidence, while its 220–270 USD bull range is closer to a conservative-to-base outcome on current guidance. The current price remains slightly above the old bull ceiling, but it falls inside this report’s independently derived acceptable-hold range. The price decline and higher earnings base have closed much of the former valuation gap, though they have not created a margin of safety.
