The "factual basis" in the table comes from the company's annual reports, quarterly reports, and proxy materials; the "strength assessment" is my inference. Overall, I give moat strength 4/5, but I want to stress that its essence is a stack of niche-market moats, not a single super-moat like Microsoft's or Visa's. The moat currently looks stable and slightly widening: the Digital Imaging and defense-electronics growth and margin improvement in 2025 and Q1 2026 suggest the competitive position has at least not deteriorated. In an inflationary environment, the company's gross and operating margins were broadly stable or even improving in 2023-2025, which also supports some ability to raise prices or pass through costs.

Management and Capital Allocation

Fact: In 2024 the company separated the Executive Chairman and CEO roles, with the board explicitly stating this was to further advance succession planning and let the executive chairman focus on strategy, technology, M&A, and margin improvement. George C. Bobb III was promoted to CEO in April 2025. Most of the board is currently independent, and all three standing committees are composed entirely of independent directors.

The strength is that the company clearly emphasizes pay-for-performance, and has historically not automatically paid out long-term incentives in full: for example, the 2023-2025 three-year cash performance plan achieved only 50.9% of target; the performance shares granted in 2023 vested at a confirmed rate of only 69% in 2026. This shows the assessment is not a rubber stamp. The weakness is that absolute insider ownership is low: as of 2026-02-17, all directors and officers together held about 628,000 shares, just 1.3%; of that, CEO Bobb held about 26,572 shares and Executive Chairman Mehrabian about 200,722 shares. Doubts worth keeping I still would not give capital allocation a perfect score, for three reasons. First, a substantial part of Teledyne's growth comes from M&A: 2025 acquisition spending was $811 million, of which Qioptiq alone was about $703 million; if an acquisition is overpaid, the aftermath often shows up only years later as goodwill impairment. Second, the company's balance sheet carries goodwill of $8.688 billion and intangibles of $2.100 billion, together about 71% of total assets, which means "book earnings" and "acquisition accounting" have a large impact on the financials. Third, although buybacks are recovering, the company executed no new buybacks in Q1 2026. That is actually what I want to see: buying back less at a high valuation is more rational than forcibly buying to dress up EPS.

How to read these numbers Fact: In 2020, revenue was only $3.086 billion, yet the company still earned net income of $402 million that year; from 2021 to 2025, revenue grew from $4.614 billion to $6.115 billion, and net income grew from $445 million to $895 million. This proves the company has considerable resilience amid macro and industry volatility.

Inference: Teledyne's profits are, overall, closer to "real cash profits" than to pure accounting profits. In both 2024 and 2025, operating cash flow was around $1.19 billion, well above net income; 2025 free cash flow of $1.074 billion was also well above net income of $895 million. Fact + Inference: Capex has long been low, with 2023-2025 capex at only about 1.5%-2.0% of sales; for 2026 the company plans capex of about $150 million, mainly for facilities, manufacturing-equipment upgrades, and internal growth projects. For an industrial-technology company, this is an attractive capital intensity, meaning growth does not need to keep devouring large amounts of tangible capital. Put differently, Teledyne is more of a "technology- and customization-capability-driven" platform than a heavy-asset manufacturing plant.

Layer two, the conservative basis: The company does not separately disclose maintenance capex, so I treat all capex as maintenance capex; and to be more conservative, I subtract 2025 stock-based compensation of $39.6 million from free cash flow as an "implicit shareholder cost." This yields "conservative owner earnings" of about $1.034 billion. On a trailing-twelve-month basis, conservative owner earnings is roughly in the $1.00-1.02 billion range. On the current market cap of $32.4 billion, the conservative owner-earnings multiple implied by the current stock price is about 31-32x. This is a classic "high-quality but not cheap" valuation.

Valuation, Margin of Safety, and Price Ranges

Method 1: Owner-Earnings Discounting The discounted valuation below is not "truth"; it lays out current market expectations. I take base owner earnings in the $1.02-1.08 billion range. My scenario assumptions are as follows:

These ranges are this report's independent estimates based on the company's free cash flow, stock-based compensation, and growth and discount assumptions. The core message they convey is clear: the current stock price of about $704 already sits near the upper edge of a range that only the "optimistic scenario" can barely justify. For a conservative buyer, this is not a comfortable position. The data basis behind the estimates is the 2025 annual report, the Q1 2026 10-Q/earnings release, and the latest market cap.

Method 2: Relative Valuation Start with Teledyne itself. On current market cap and TTM cash flow, TDY's P/FCF is about 30.8x and EV/EBITDA about 22.5x; on market cap/book equity, P/B is about 3.1x, but given the very high intangibles, P/B has limited reference value.

Across peers, comparable companies are not uniformly cheap, but Teledyne is certainly not in the cheap tier. For example, AMETEK has a current market cap of about $42.46 billion and data sources show a P/E of about 31x; yet AMETEK's 2025 free cash flow of $1.672 billion, EBITDA of $2.334 billion, and net debt of $1.825 billion work out to a P/FCF of about 25.4x and EV/EBITDA of about 19.0x, meaningfully cheaper than Teledyne. Agilent has a current P/E of about 25.6x, Mettler-Toledo about 25.7x, Xylem about 27.4x, while TransDigm is about 30.9x, and Keysight has risen to about 62.4x on cyclical recovery and higher expectations. So Teledyne today looks more like a "quality-premium stock" than a "value stock."

My conclusion: On relative valuation alone, Teledyne can be said to be "not the most expensive," but on cash-flow multiples it is a notch more expensive than high-quality industrial-technology platforms like AMETEK; and in terms of "the price you pay as a long-term business owner," this gap is not small. Put differently, the fact that peers are all expensive does not automatically make Teledyne cheap.

Method 3: Asset or Liquidation Value Here I will be very direct. Teledyne's year-end 2025 shareholders' equity was $10.514 billion, but goodwill was $8.688 billion and acquired intangibles $2.100 billion, together $10.788 billion, already slightly above book equity. This means the company's tangible net assets are close to zero or even slightly negative. So:

  • Fact: The asset approach offers Teledyne almost no "low-valuation protection";

  • Inference: If future acquired assets earn less than expected, shareholders are more likely to bear a value drawdown in goodwill or intangibles rather than a backstop of tangible assets;

  • Opinion: This further reinforces my judgment of an "insufficient margin of safety."

At the current $704, the price is roughly equal to or slightly above the optimistic valuation I define. So if you act on a "10-years-plus, balanced-to-conservative" standard, the current price does not give you enough margin of safety.

Risks, the Bear Case, and Opportunity Cost

The Most Important Risks Teledyne's real risks lie in the following factors that could cause permanent loss of capital, not in day-to-day volatility. First, valuation risk: the current P/E and P/FCF are already not low, and if growth falls short or market preferences shift, the drawdown could be large. Second, M&A and goodwill risk: the company is an acquisition-integration platform with very heavy intangibles on the balance sheet, and if future integration goes poorly, impairments would directly hit return on capital and market confidence. Third, technology and competition risk: the company itself admits many of its markets are highly competitive, some patents have expired or will expire, and customers may also vertically integrate on their own. Fourth, government and defense-budget risk: government sales reached 25.5% in 2025, and government contracts carry risks of budget delays, termination for convenience, audits, and compliance. Fifth, working-capital-swing risk: the sharp inventory rise in Q1 2026 shows that cash flow can be periodically affected by supply-demand and project timing.

The Strongest Bear Case The strongest short thesis is actually quite concise: this is a good company, but the market is already pricing it almost as "sustained high quality, high growth, and no missteps." If the next few years deliver only mid-single-digit organic growth, with acquisitions continuing but at declining returns, and the valuation falls back to the range of a more ordinary industrial-technology company, then shareholders may not earn a satisfactory return even with steady operating performance. More pointedly: Teledyne may not be a "bad company," but a textbook case of "a high-quality asset overvalued by a high-quality story." That is also why, although its operations were not bad from 2021 to 2025, the company's disclosed cumulative shareholder-return index rose only from 100 to 132, while over the same period the S&P 500 went to 199 and the S&P 1500 Industrials to 193. This is a timely reminder: you can buy a good company and still lose to a good price.

Which Facts Would Overturn the Investment Thesis If the following facts emerge, I would admit the original judgment has failed and reassess: First, two to three consecutive years of high revenue growth but low cash growth, with free cash flow persistently and clearly below net income; second, a decline in ROIC after large acquisitions together with new, substantial impairments; third, sustained share loss or margin deterioration in the core segments, especially Digital Imaging and Aerospace and Defense Electronics; fourth, net debt/EBITDA rising clearly above 2.5x and not for a very-high-conviction acquisition; fifth, management buying back stock heavily at a high valuation, or incentive discipline visibly loosening. All of these matter more than short-term price swings.

Comparison With Other Opportunities Compared with a broad-market index, I do not think Teledyne is "clearly better than buying the index" at the current price. Historically it did not beat the S&P 500 from 2021 to 2025, and as a single stock you also bear extra risks from M&A, defense budgets, technological substitution, and valuation compression. Compared with risk-free or high-grade bonds, the current 10-year Treasury yield is about 4.50% and the effective yield on AAA-rated U.S. corporate bonds about 5.02%; whereas Teledyne's free-cash-flow yield at the current price is only a little over 3%. This means: if you buy Teledyne now, you are betting on a decade of sustained growth and a valuation that does not collapse, not on "current cash return." For conservative capital, this trade is not particularly attractive.

Open Questions and Limitations I explicitly keep three reservations. First, the company does not disclose a group-level recurring-revenue share, nor maintenance capex, so owner earnings must be estimated conservatively. Second, Teledyne is a multi-segment platform, and a single ROIC metric is significantly distorted by goodwill and acquisition accounting.
