Conclusion First

Preliminary conclusion: Watch. If you look at SEI as a business to "buy outright and hold for ten years or more," it looks today more like a high-capex infrastructure equipment platform undergoing rapid transformation, with enormous opportunity but not yet through its validation period, than a classic value stock with a clear, wide moat and stable, established cash flows. The company has rapidly pivoted from its original oilfield-services logistics platform toward distributed natural-gas power generation and power-distribution leasing aimed at data center, energy, and industrial and commercial customers. By Q1 2026, its minimum long-term lease receivables had risen to $3.50 billion, Power Solutions already accounted for the bulk of revenue, and the company had signed new AI data center long-term contracts of 500+ MW and 600+ MW. The problem is that capital commitments, customer concentration, supplier concentration, debt, and potential dilution have all risen in step: as of Q1 2026, equipment purchase commitments due within the next 12 months reached $928 million and total purchase commitments reached $1.330 billion, and management further expects roughly $1.263 billion of remaining 2026 capex; meanwhile, in 2025 a single customer accounted for 47% of company revenue and a single supplier accounted for 51% of purchases. At the May 20, 2026 share price of $72.44 and a market cap of roughly $5.195 billion, the market is already paying in advance for the optimistic script of "smooth large-scale deployment, sustained high utilization, and ultimately converting EBITDA into genuine distributable cash flow," and the current margin of safety is not evident.

The biggest uncertainties fall into three areas. First, SEI's current share price rests largely on the premise of large-scale unit deliveries, deployment, and full-load utilization over the next several years, which requires the supply chain, financing, customer demand, and project execution all to go smoothly at once. Second, the cash-flow quality of Power Solutions is still forming: Q1 2026 operating cash flow included a $64.87 million increase in deferred revenue, indicating that part of the cash comes from customer prepayments and cannot simply be equated with steady-state owner earnings. Third, the capital structure is not "Buffett-style simple": the company has an Up-C structure, a tax receivable agreement, convertible notes, JV debt on a consolidated basis, and substantial potential dilution.

For the parts involving valuation, I will clearly distinguish fact, assumption, inference, and opinion.

Business Understanding and Industry Landscape

How does this company actually make money

Fact: As of Q1 2026, SEI operates through two reportable segments. Solaris Power Solutions provides configurable, all-electric-drive, natural-gas-powered mobile turbines and supporting equipment, leased to data center, energy, and other industrial and commercial customers; Solaris Logistics Solutions provides raw-material management at oil and gas completion sites, including mobile proppant/fluid management systems, last-mile logistics, and supporting services. In Q1 2026 the company's total revenue was $196.2 million, of which Power Solutions leasing revenue was $105.4 million and service revenue $23.1 million; Logistics Solutions service revenue was $67.7 million.

Fact: In terms of the revenue model, the core of Power Solutions is long-term lease contracts, with rents typically fixed over the lease term; service revenue comes from generators, trailers, cables, and switchgear related to the power-generation system, along with distinct elements such as mobilization, commissioning, and demobilization. The company disclosed that as of March 31, 2026, future minimum lease receipts from long-term lessor arrangements totaled $3.503 billion, of which each year from 2027-2030 falls roughly in the $477 million to $487 million range. By contrast, Logistics Solutions is closer to oilfield-services revenue and is more affected by completion activity and commodity-price cycles.

Fact: Current demand for Power Solutions comes mainly from the intersection of rising U.S. data center power demand and constrained grid interconnection. In a 2024 report, DOE noted that U.S. data center power load had tripled over the past decade and could double or triple again by 2028; in its 2025 Energy and AI, the IEA projected that global data center electricity use will rise to roughly 945 TWh by 2030, with the U.S. as the largest source of the increment; LBNL noted that U.S. grid interconnection wait times have lengthened significantly, with the median time from application to commercial operation for projects completed in 2023 already reaching about 5 years. SEI's behind-the-meter natural-gas generation solution targets precisely this "load arrives first, grid arrives later" gap.

Inference: If the only question is "is this a business I can understand," the answer is broadly yes, but not exactly simple. The core logic is not complicated: customers lack power, SEI provides mobile natural-gas generation and supporting electrical equipment and charges via leasing and services; a separate legacy business does materials management at shale oil and gas completion sites. But the real difficulty is that this company is no longer a single oilfield-services equipment company, but a hybrid of oilfield-services logistics + distributed power-equipment leasing + power distribution/control systems + JV project financing, which makes its financial reporting, capital structure, and owner-earnings assessment far more complex than a traditional "good business."

Customers, recurrence, and dependencies

Fact: Recurrence is improving, but concentration is also rising. In 2025, two customers accounted for 47% and 13% of revenue respectively; as of March 31, 2026, two customers accounted for 45% and 14% of accounts receivable. In 2025, one supplier accounted for 51% of total purchases and 71% of accounts payable. This means SEI is now not a "highly diversified infrastructure platform" but a "project-type platform holding large orders yet highly dependent on major customers and key suppliers."

Fact: The company's current largest Power business customer is an unnamed AI-data-center-related customer. The 2025 annual report states that one data center customer accounted for 47% of the company's consolidated revenue, and that Power Solutions is currently "highly dependent" on this customer; in February 2026 the company signed a 500+ MW contract with an affiliate of another global technology leader, and in April signed a 600+ MW contract. Management also stated that by early 2028 generating capacity is expected to reach roughly 2,200 MW, most of which is already locked in by 2-to-7-year commercial agreements.

Fact: Revenue "predictability" also warrants a closer look. Of Power Solutions' Q1 2026 leasing revenue, $44.6 million came from sublease income, while total leasing revenue for the quarter was $105.4 million. This shows that a substantial part of current growth comes from subleasing third-party equipment rather than entirely from pure leasing returns on the company's own assets. Commercially, this captures demand quickly; but from an owner-earnings standpoint, it reduces transparency into "how sustainable this portion of revenue really is, how thick its margins are, and how much capital it takes to sustain."

Opinion: If the stock market were to close for 5 years, would I be willing to become a long-term business owner of this company at today's price? My answer: I am willing to keep tracking this business, but not to "hold blindly and ignore valuation" at the current price. The company does not lack opportunity; the issue is that it has not yet completed the transition from a "theme-driven growth story" to an "excellent business with stable distributable cash flow."

Industry landscape and attractiveness

Fact: The distributed-power / behind-the-meter arena where Power Solutions operates is currently in a high-growth stage in which the competitive landscape has not yet solidified. In its 2025 annual report, the company states bluntly that its Power business's primary competitor is the grid itself, followed by numerous distributed-energy companies offering similar or different technologies; most such companies are currently private, competition is relatively fragmented in the low-power segment, and only a few companies have SEI's capability for "large-scale, integrated behind-the-meter solutions." Logistics Solutions, by contrast, sits in a mature and fiercely competitive oilfield-services niche, with competition from logistics companies, equipment manufacturers, fracking-service providers, and sand-mining companies.

Inference: So this is not "an obvious good company in a good industry." More precisely, it is a potentially very good new arena plus an ordinary-to-below-average old arena, with the company itself working hard to let the new arena swallow the old. The industry's attractiveness comes from the power supply-demand mismatch and AI data center demand, but the threats are also clear: if grid construction accelerates, distributed-generation competition intensifies, or natural-gas generation is restricted by policy, the industry's profit pool will narrow quickly.

Moat and Management

How wide is the moat, really

Broken down by Buffett's common moat types, SEI's moat is not "textbook obvious."

Brand advantage: Limited. Customers care more about reliability, delivery speed, technical solutions, and equipment availability than about a mass-market brand. Cost advantage: Some early signs, but not yet proven. The company has built up a sizable order book and supporting capability in power-generation equipment; at the end of 2025, equipment held for lease was $1.074 billion net, of which construction in progress was $481 million. But forming a genuine unit-cost advantage still requires years of high utilization to spread costs. Scale advantage: Moderate. The company says only a few firms can execute large-scale, integrated behind-the-meter deployments, which is a positive signal; but the arena is still early, and scale barriers are not as solid as those of railroads, payment networks, or rating agencies. Network effects: Almost none. Switching costs: Moderate-to-high at the individual project level. Once a customer has completed selection, gas hookup, power distribution, and commissioning with SEI, switching suppliers in the short term is not easy; but whether contracts are renewed at expiry still depends on price and grid availability. Channel advantage: Limited; more a matter of project execution and engineering capability than a traditional channel network. Patents/licenses/regulatory barriers: Some patent protection in Logistics Solutions, but of limited strength; the company discloses that its patents mainly cover systems, services, and technologies, with granted patents expiring between 2032 and 2044. In January 2026, the U.S. Patent Trial and Appeal Board found all claims of a Masaba patent at issue in litigation to be unpatentable, lowering one intellectual-property litigation risk for the current period, without changing the overall judgment that the moat is limited.

Fact: The 2025 annual report's description of competitive factors is worth noting. The core competitive factors the company lists include: equipment reliability, technical expertise, patent-protected technology in the Logistics business, the ability to provide unique or bundled services, equipment capacity, employee capability, efficiency, safety record, reputation, experience, and price. These look more like an execution-type moat than a structural moat that can keep returns on capital durably high.

Inference: I therefore judge SEI as currently more of a project-type company racing ahead through speed, execution, customer relationships, and financing capability than a great enterprise whose moat is already wide enough to cross cycles comfortably. Is the moat widening, stable, or narrowing? My conclusion is that it is "trying to widen, but not yet proven."

Moat Strength Score: 2.5/5

Is management trustworthy, and is capital allocation rational

Fact: Alignment between management and shareholder interests is not bad. The 2026 proxy shows that as of March 20, 2026, directors and all executive officers together held roughly 20.2% of the company's combined voting power; William Zartler himself held roughly 7.6% of combined voting power, and the company discloses that current directors and officers have no pledged shares. In addition, Amanda Brock was appointed co-CEO in October 2025, and Zartler and Brock jointly lead the company.

Fact: On capital allocation, management shows both highlights and points that must make a long-term owner frown. The highlights: after initiating a buyback authorization in 2023, the company has cumulatively repurchased and retired 4.272 million Class A shares, spending a cumulative $34.6 million at an average price of about $8.09 per share; it has also maintained continuous dividends, and after the quarterly dividend announced in April 2026 it will be the 31st consecutive dividend. The October 2025 issuance of $747.5 million of convertible notes due 2031, used to repay old high-cost term loans and extend debt maturities, is also reasonable financial engineering.

Fact: But the negatives are just as real. First, in 2024-2026 management clearly adopted a playbook of high-intensity acquisitions plus high-intensity expansion capex: the 2024 MER acquisition cost roughly $323.1 million, the 2025 HVMVLV acquisition cost roughly $59.7 million, and in 2026 it completed the Genco acquisition, paired with new bridge loans and additional purchase commitments. Second, the company still has transactions with management-related parties: the proxy discloses that in 2025 the company paid roughly $700,000 to Solaris Energy Management and Blanco Air Services, both owned by Zartler, for "at-cost" services such as office rent, travel, and administrative support; KTR is both one of the seller-related entities in the MER transaction and a party to a lease arrangement with the company. The company has a related-party transaction policy, with the Audit Committee responsible for approval, but from a "shareholder-friendly and simple" standpoint, this is not a plus.

Fact: On the trust question, in 2025 the company faced securities litigation and shareholder derivative litigation stemming from a short-seller report; by February 2026, these suits had all been voluntarily withdrawn by the plaintiffs without prejudice. This does not make management "beyond reproach," but it at least indicates that so far no substantive legal conviction has formed regarding the company's operations. The company acknowledges in its annual report that the short-seller report exists and says it contains allegations "the company believes are misleading."

Opinion: My overall assessment: management's capability looks strong and equity alignment is acceptable; but the style is clearly on the aggressive side and complexity is high, not the type of management that conservative value investors love most.

Financial Quality

Five-year financial profile

The table below is compiled from the company's 10-Ks over the years and the latest 10-Q, with some ratios calculated by me from the financial data; the free-cash-flow measure here is operating cash flow minus capex, a rough measure that does not equal owner earnings.

These numbers tell three things. First, revenue and profit are improving markedly, especially after the rise of Power Solutions: 2025 revenue nearly doubled versus 2024, and Q1 2026 operating margin rose further to 25.8%. Second, GAAP profit does not equal distributable cash flow: 2025 operating cash flow was strong, but capex was stronger, driving rough free cash flow deeply negative; in Q1 2026 this pattern intensified. Third, the company has shifted from a "lighter oilfield-services equipment provider" into a heavy-asset, heavy-procurement, heavy-financing expansion platform.

Cash-flow quality, leverage, and accounting observations

Fact: Q1 2026 operating cash flow of $79.01 million looks very pretty, but it includes a $64.87 million increase in deferred revenue; in the same quarter, accounts receivable instead rose by $45.14 million. This indicates that Q1 operating cash flow was materially boosted by customer prepayments. Customer prepayments are of course real money, but treating them directly as "steady-state distributable cash flow" would overstate the company's current true earnings quality.

Fact: The balance sheet has clearly become "heavier" over the past two years. Total liabilities were $153 million at the end of 2023, rising to $464 million at the end of 2024 and further to $1.316 billion at the end of 2025; total equity rose from $316 million at the end of 2023 to $827 million at the end of 2025, but liabilities grew faster. At the end of 2025, equipment held for lease on the books had reached $1.074 billion net, of which construction in progress of $481 million had not yet begun depreciating; this means a large amount of capital has already been invested, but the corresponding cash returns are still in the process of forming.

Fact: The leverage judgment depends on whether you treat the convertible notes as "debt" or "potential equity." At the end of 2025, long-term debt plus the current portion on the books was roughly $184 million, and convertible notes $880 million; at the end of March 2026, the total consolidated debt management gave in its investor presentation was roughly $1.628 billion. If the convertible notes are treated as debt, "net debt attributable to SEI" is roughly $1.498 billion; if treated as equity, net debt attributable to SEI is roughly $594 million. This measurement difference is itself a major point of complexity in the company's valuation and risk analysis.

Fact: The interest burden is also rising. In 2025, operating profit was $135.4 million and interest expense $27.59 million, for a static EBIT/interest coverage ratio of about 4.9x; in Q1 2026, operating profit was $50.56 million and interest expense $4.77 million, for a static quarterly coverage ratio of about 10.6x. But the company also discloses that the bridge loan matures in March 2027, the Stateline JV loan will continue to be drawn, and management's Q2/Q3 guidance signals that net interest expense will rise. In other words, profit is currently growing faster than interest expense, but this does not mean interest pressure over the next two or three years will disappear on its own.

Fact: The share count is also increasing significantly. Class A shares outstanding at year-end rose from 28.97 million in 2023 to 53.08 million in 2025, and reached 58.34 million at the end of Q1 2026. In its April 2026 presentation materials, management gave two valuation measures: if convertible notes are treated as stock, total potential diluted shares are roughly 88 million; on an EPS basis, fully diluted shares are roughly 92 million. This means future "per-share" value growth depends not only on business growth but also on financing and dilution.

Fact: There is no clear evidence of financial fraud, but the complexity of the financials is indeed increasing. In 2025 the auditor listed the accounting treatment of the convertible notes' embedded features as a critical audit matter; in addition, 2024 profit included a $7.5 million gain on the sale of the Kingfisher facility and a $2.48 million property-tax provision reversal, while 2025 included a $41.45 million loss on debt extinguishment. In other words, SEI is not the kind of company you can judge from a single P/E; you must break out one-time items, deferred revenue, and expansion capex separately.

Opinion: From a financial-quality standpoint, my assessment is: "growth is strong and profit improvement is real, but free cash flow and return on capital have not yet crossed the validation period." Profit is not a pure accounting illusion, but it is also far from the point where it "can be safely treated as owner earnings."

Owner Earnings and Intrinsic Value

A conservative owner-earnings estimate

Let me first separate fact, assumption, and inference.

Fact: As of Q1 2026, over the trailing 12 months the company's revenue was roughly $692.1 million and operating cash flow roughly $262.4 million; the $79.01 million of single-quarter operating cash flow in Q1 2026 includes a $64.87 million increase in deferred revenue. Management disclosed future minimum lease receivables of $3.503 billion at the end of Q1 2026, along with short-term purchase commitments over the next 12 months of $928 million in 2026, total purchase commitments of $1.330 billion, and expected remaining 2026 capex of roughly $1.263 billion.

Assumption: The company does not disclose a "maintenance capex" measure, so it can only be estimated. I use a somewhat conservative method: first deduct from trailing-12-month operating cash flow the cash pull-forward caused by the large Q1 2026 deferred revenue, then assume annualized maintenance capex of roughly $100 million to $120 million. This assumption rests on two points: first, trailing-12-month D&A is roughly on the order of $89 million; second, the company is now a heavy-asset leasing platform, and maintaining the availability of its existing fleet over the long term cannot be nearly capital-free.

Inference: Under this framework, the conservative owner earnings I arrive at are only roughly $80 million to $100 million per year. Considering roughly 88 million potentially economically diluted shares, this corresponds to owner earnings per share of roughly $0.9 to $1.1. At the current share price of $72.44, that is equivalent to roughly 65-80x conservative owner earnings. Even if this estimate is conservative, it is enough to show that what the market is pricing today is not "current true distributable cash flow," but successful large-scale deployment years from now.

Valuation by three methods

Discounted owner-earnings method

The valuation below is not "truth"; it is a way to make assumptions transparent. The discounted method's three most fragile variables are maintenance capex, future utilization/pricing, and the final diluted share count.

Opinion: In my view, the current share price of $72.44 is already close to the low-to-middle end of the optimistic scenario and clearly above the midpoints of the conservative and neutral scenarios. This means that buying today, an investor is effectively betting that management's displayed expansion roadmap largely materializes, data center demand stays strong, equipment deliveries are not materially delayed, financing costs do not spiral, and future owner earnings can be significantly higher than the current level.

Relative valuation method

Because SEI's business spans both oilfield-services logistics and distributed/backup power, there is no perfectly comparable public peer group. The comparison below can serve only as directional reference. SEI's current public-market valuation is roughly: P/E ~86x, P/S ~6.09x, P/B ~5.39x, EV/Revenue ~7.93x, EV/EBITDA ~25.09x. For comparison, Atlas Energy Solutions is roughly P/S 2.18x, P/B 2.00x, EV/Revenue 2.81x, EV/EBITDA 21.14x, P/FCF ~130x; ProPetro's EV/EBITDA is roughly 13.69x, with a recently reported ROIC of roughly -1.27%; Generac is roughly P/E ~76.23x, P/B ~5.36x, P/FCF ~43.42x, EV/EBITDA ~29.36x.

Inference: This set of data is telling. SEI's valuation is already clearly above traditional oilfield-services/logistics comparables, and approaches or even rivals the high-valuation range of some mature backup-power equipment companies; but compared with more mature companies like Generac, SEI's customer concentration, supplier concentration, capex pressure, and business-model complexity are all higher. So one cannot call SEI cheap just because "peers are also expensive"; on a relative-valuation basis, it looks more like a thematic growth stock the market has already fully embraced.

Asset or liquidation value method

Fact: At the end of March 2026, total shareholders' equity was roughly $1.105 billion, of which equity attributable to Solaris Energy Infrastructure, Inc. was roughly $781 million; the current market cap is roughly $5.195 billion. In other words, the market cap is about 4.7x total equity and about 6.6x attributable equity. The company certainly owns a large amount of leased equipment and future contracts, but it also carries heavy capital commitments, JV debt, and potential dilution.

Inference: From an "asset protection" standpoint, SEI is not the kind of company whose share price today has obvious hard-asset support. Its asset value must largely be realized through continuous deployment, continuous utilization, and continuous pricing; if demand, delivery, or financing runs into trouble, the book assets may not be realizable at an ideal price. The asset method therefore cannot provide a strong safety cushion for the current price.

Valuation conclusion and price zones

Combining the three methods, my conclusion is:

  • Conservative intrinsic value range: $25-40

  • Fair intrinsic value range: $45-65

  • Optimistic intrinsic value range: $70-95

  • Current price relative to intrinsic value: Expensive relative to the conservative and fair ranges; roughly at the low-to-middle end relative to the optimistic range.

Under this uncertainty, I believe at least a 25%-30% margin of safety is needed for the price to look acceptable to a long-term owner. Therefore:

  • Ideal buy price range: $45-55

  • Acceptable holding price range: $55-75

  • Clearly overvalued price range: above $90

This is not to say the share price will not go higher in the short term; it is to say that by the standard of long-term value investing, today's odds are unappealing.

Margin of Safety, Risk, and the Counterargument

Is the current price cheap enough

Opinion: Not cheap enough. SEI's strengths are visible to everyone: strong power demand, lengthening contract cycles, a rapidly rising Power Solutions share, and very large future minimum lease receivables. But strengths this "visible to everyone" are usually the easiest for the market to price in ahead of time. The question now is not "does SEI have opportunity" but "if I buy today, is there still enough room to be wrong." Combining valuation, capital commitments, and concentration, my answer is: not much room.

The most important risks

What most deserves vigilance is not short-term share-price volatility, but permanent loss of capital. I see the main risks as follows:

Competition risk and technology-substitution risk. The company itself admits that the Power business's primary competitor is first the grid, and second numerous distributed-energy companies. If grid interconnection accelerates, customers treat SEI merely as transitional power, or competitors offer cheaper/cleaner/more efficient solutions, current high-return expectations would be revised down markedly.

I would treat the following facts as signals that "I must admit my judgment was wrong": first, signed projects such as 500+ MW / 600+ MW / Stateline show significant delays, downsizing, or termination; second, Power Solutions' new capacity does not convert into corresponding owner earnings, but only into larger revenue and larger capex; third, the company is forced into large-scale refinancing in 2026-2027 with clear dilution of shareholders; fourth, the quality of accounts receivable and deferred revenue deteriorates, showing that contract cash flows are worse than expected; fifth, customer or supplier concentration deteriorates further.

Looking at the strongest comparable choices in the public market: Atlas Energy Solutions is more mature on the logistics side and valued significantly lower; among more mature power/backup-power equipment companies, Generac may have less growth elasticity than SEI but a more mature business model.     Founder alignment is quite solid, and there is evidence of long-term vision and "daring to sacrifice the present for the future": management is actively using enormous capex to depress current free cash flow in exchange for post-2027 scale. But this team's style leans aggressive and complexity is high; it is not the "simple, restrained" ideal management that conservative value investors have in mind. The report gives "management and capital allocation" 3/5, and I agree with this neutral-to-positive magnitude.

    First, alignment of interests, which is SEI's strength. The report cites the 2026 proxy: as of March 20, 2026, directors and all executive officers together held about 20.2% of combined voting power, founder William Zartler himself about 7.6%, and current directors and officers "have no pledged shares." In October 2025, Amanda Brock was appointed co-CEO, jointly leading the company with Zartler. About 20% voting power and no pledging mean the founder and shareholders are "in the same boat," and SEI clears this threshold cleanly.

    Next, "long-term vision + willingness to sacrifice current profit for five-to-ten years out": this question is almost a "bullseye" for SEI. Its current financials are precisely an extreme sample of "sacrificing current cash flow for the future": the report discloses roughly $1.263 billion of remaining 2026 capex guidance and $1.330 billion of total purchase commitments, driving TTM free cash flow to about -$583 million.     First, "if it disappeared tomorrow, how much would customers miss it": the indispensability side is quite strong. The demand scenario the report describes is "load arrives first, the grid has not yet": customers (AI data centers) have built or are building compute but cannot get power because of grid-interconnection queues (an LBNL measure of a median of about 5 years). SEI's mobile natural-gas units can energize within months, which directly determines whether a customer's compute can boot up and earn money. This question is SEI's most critical "quality test," and one must view "accounting margin" and "cash unit economics" separately, without being misled by the former.

    First, book unit economics, which are indeed improving. The profile the report compiles: operating margin 13.1% in 2022 → 17.0% in 2023 → 16.9% in 2024 → 21.8% in 2025 → 25.8% in 2026Q1, trending up with scale effects. Q1 adjusted EBITDA was about $84 million, net income $32 million, diluted EPS $0.32. On the surface, this is a "bigger is more profitable" good business.

    But what Baillie Gifford really asks is "incremental returns" and "where the money earned goes," and these two points are exactly SEI's soft spots:

    • The money earned all goes to buying equipment, and it is far from enough. The report discloses 2025 operating cash flow of $209.1 million but capex as high as $646.8 million, for rough free cash flow of -$437.7 million; Q1 2026 operating cash flow of $79.0 million and capex of $343.4 million, for free cash flow of -$264.3 million. TTM free cash flow ~-$583 million. In other words, it not only reinvests all the cash the operations earn but also relies on borrowing and issuing shares to fill the gap. This is classic "heavy-asset leasing platform" unit economics: incremental revenue requires a large amount of upfront capital to obtain.

First, of Q1 leasing revenue of $105.4 million, $44.6 million comes from subleasing third-party equipment (sublease), and the report's comment is spot on: this lowers transparency into "how thick this portion of revenue's margin is and how much capital it takes to sustain." The report candidly admits the company does not disclose a maintenance-capex measure, so it can only be estimated (annualized roughly $100-120 million, referencing TTM D&A of about $89 million). On this basis, the conservative owner earnings the report arrives at are only about $80-100 million per year. For a heavy-asset business, when "how much it costs to maintain unit availability" is unclear, the unit economics are not truly settled.

    "Do they get better or worse as it scales" is precisely the biggest suspense right now. The bull logic is: high utilization will ultimately spread unit costs and convert the high book margin into real free cash flow, so bigger is better. The bear logic (which the report adopts as the strongest counterargument) is: it may just be "turning EBITDA into larger revenue and larger capex," rather than turning it into distributable cash; that is, the bigger the scale, the more fiercely it eats cash and the larger the free-cash-flow gap.

    My conclusion: book unit economics (gross margin/operating margin) do indeed improve with scale, and this is real, not a pure accounting illusion; but cash-level unit economics (incremental return on capital, maintenance capex, sublease/prepayment water) have not yet crossed the validation period, and "the money earned" is in fact, together with the money borrowed, all pressed into equipment expansion. The report discounts conservative owner earnings to about 65–80x and notes that SEI's conservative owner-earnings yield is even below the current roughly 4.52% U.S. 10-year Treasury yield. In other words, what the market prices today is not "already-undervalued cash flow"; it is the advance reward for "successful large-scale deployment years from now."
