My preliminary conclusion is: Liberty Energy is a business I can understand, but not an exceptional one. Its core business remains North American onshore oil and gas well completion services — fundamentally a highly cyclical, asset-heavy oilfield services business with intense price competition. The company is genuinely one of the stronger operators in this space and has built new capabilities in digitalization, electric fracturing, sand logistics, and distributed power, but that is not yet enough to make it a textbook "Buffett-style, high-certainty good business." Free cash flow was clearly pressured in both 2025 and the trailing twelve months, and at a current price of about $33.11, a market cap of about $5.50 billion, and a trailing P/E of about 36.4x, the stock is no longer cheap. What really underpins the bullish case is not just a recovery in the traditional fracturing business but also the successful realization of the LPI power business; this makes the current investment look more like "cyclical recovery plus a new-business option" than "buying a stable cash cow at a low price."

For a long-term business owner, the reasons not to buy are actually quite clear: the core business lacks a strong moat, and earnings and cash flow are heavily influenced by oil prices, customer capex, service pricing, and equipment supply and demand; the company itself explicitly acknowledges that the industry is cyclical, that service pricing is largely adjusted based on market conditions, and that projects are frequently won through competitive bidding. At the same time, 2025 GAAP net income included a sizable fair-value gain on investments, which can make the headline "profit" look stronger than core operations really are. Taking a 10-year view, I would rather keep it on a watchlist as "capable, but not cheap enough and not stable enough," rather than adding it to a core position right away.

Understanding the Business

Fact: In its 2025 annual report, Liberty Energy defines itself as a "leading integrated energy services and technology company" and an important completion services provider to North American onshore oil, gas, and enhanced geothermal producers. It currently generates revenue primarily by providing hydraulic fracturing, wireline perforating, proppant mining and last-mile sand logistics, on-site natural gas processing, and compressed natural gas distribution. In addition, Liberty Power Innovations is developing distributed power and fuel solutions, but the company still reports as a single operating segment, so outside investors cannot see the power business's revenue and profit separately.

How the company charges. The company discloses that work is contracted mainly through master service agreements, statements of work, pricing agreements, and specific quotes; fracturing revenue is typically recognized based on pumping hours, number of fracturing stages, and days on location, with final revenue also depending on sand, chemical, and fluid consumption. Some agreements lock in pricing for up to about a year, but most pricing adjusts with market conditions — meaning Liberty does not hold the kind of highly autonomous pricing power a software company would, and instead behaves more like a service provider that can raise prices when industry supply and demand are tight and must cut prices when they loosen.

Who the customers are, and whether revenue is stable. Customers are North American onshore oil and gas exploration and production companies. Customer concentration is not extreme, but it should not be ignored either: in 2025, two customers each accounted for 11% of company revenue, and in Q1 2026 Customer A and Customer B accounted for 12% and 12% of revenue, respectively. The company also discloses that the vast majority of customer payment terms are within 45 days. This suggests a relatively professional customer base with reasonable payment cycles, but order demand is highly dependent on customers' capex budgets and commodity price expectations — so "repeat business" does not mean "stable business," and predictability is markedly weaker than in consumer, software, or utility industries.

Cost structure and dependencies. The company explicitly states that major costs include direct costs of personnel, services, and materials, general and administrative expenses, and depreciation and amortization; a substantial portion of these costs varies with activity levels, a classic high fixed-asset plus high variable operating cost model. On the supply side, the company says it does not depend on a single source and maintains long-term relationships with multiple sand, chemical, and equipment suppliers; in addition, the acquisition of Proppant Express and its own Permian sand mine help mitigate sand-supply shortage risk. In other words, the supply chain is not Liberty's most notable weakness, but it remains exposed to the cost environment for equipment, spare parts, fuel, labor, and logistics.

Is it understandable? Looking only at the core fracturing business, this is an understandable business: customers have wells to complete, and Liberty provides equipment, personnel, sand, and on-site coordination capability, charging based on activity level; the company competes for higher utilization and better gross margin through greater efficiency, lower fuel costs, less downtime, and a better customer experience. The difficulty is that the new LPI power platform is changing the company's capital structure and narrative, but has not yet disclosed its financial performance separately. So the business as a whole is "understandable," but it is no longer a fully pure, transparent, easily modeled single-line fracturing company.

If the stock market closed for 5 years, I would split this question into two layers. For the core fracturing business, I would be willing to hold it at a low valuation, low debt, and early in an up-cycle; but at today's price and stage of transition, I would not feel as comfortable holding it as I would a mature consumer staple or a high-quality industrial leader. For most long-term value investors, this is more like "understanding it, but still waiting for better odds." Based on the above, I give "how understandable the business is" a score of 4/5.

Industry Landscape and Moat

Industry stage. Liberty's core industry is not a typical growth industry but a mature and highly cyclical oilfield services industry. The company itself states clearly in its annual report that the business is affected by global oil and gas supply and demand, commodity prices, E&P capex, geopolitics, regulation, and weather, and that quarterly and annual results can fluctuate significantly. On the other hand, the industry is not entirely without structural support: as horizontal drilling and shale completion complexity have increased, the amount of sand required per well — based on the company's own database — has grown from roughly 6 million pounds in 2014 to roughly 25 million pounds in 2025, meaning that even if rig count does not grow linearly, service intensity per well is still rising.

Is long-term demand stable? Here we need to distinguish "service demand" from "end-use energy demand." As long as North America continues to develop shale oil and gas at scale, there will be demand for completion services; in 2025 the company still defined its customers as important suppliers to the global oil and gas market, and in Q1 2026 the company also noted that oil prices and energy-security concerns are prompting North American E&P companies to reassess different macro scenarios. The issue is that demand for completion services is not the kind of steady-state demand seen in household consumption, but rather a "second-order demand" tied to customers' investment pace. It is more volatile than oil and gas demand itself.

Is it vulnerable to technological or regulatory disruption? From a regulatory standpoint, the risk is high. The company discloses that it faces regulatory and public-opinion pressure related to water resources, wastewater disposal, methane emissions, climate policy, PFAS, seismic risk, and restrictions on federal land development. The technology angle is comparatively mild: fracturing will not disappear in the near term, but equipment form factors, fuel substitution, digital controls, well-site efficiency, and electrification will keep reshaping the competitive landscape. Liberty has indeed made moves in these directions, but these mostly improve its competitive position rather than freeing the industry from cyclicality.

Key competitors and industry position. The competitors the company names directly in its 2025 annual report include Halliburton, Patterson-UTI, ProFrac, and ProPetro, among others. Liberty describes itself as one of the "largest providers"; based on its business description, it is a leading player in the North American fracturing space, but not a globally diversified giant like SLB. Competitive factors are mainly technical capability, equipment capacity, workforce quality, efficiency, safety record, reputation, experience, and price, and projects are frequently won through competitive bidding. In other words, the industry's profit pool has not formed a particularly stable oligopolistic pricing structure — it looks more like a highly competitive market with a few large players plus a number of regional players.

Industry attractiveness and moat. Viewed through the lens of "a good company in a good industry, versus an excellent company in a poor industry," my judgment leans toward the latter: this is a company with strong execution and a relatively advanced technology roadmap, operating in an industry that is not an elegant one. Let's break down the moat below:

The above judgments are based mainly on the company's disclosures regarding competitive factors, technology platform, database, sand logistics, its own sand mine, LPI, and its competitors.

My inference is that Liberty's moat is not a "deep moat" in the traditional sense, but rather a combination of operating advantages, digital capability, and a relatively good asset/logistics/customer execution mix. Its moat is most likely "stable to slightly widening" — not because the industry itself has improved, but because the company may be relatively more aggressive than peers on technology and power-related capabilities; however, this moat is still not deep enough to free the company from cyclicality, competitive bidding, and swings in asset utilization. It is not implausible for competitors to replicate its core fracturing capability — usually, with capital, an equipment supply chain, and customer relationships, competitors could catch up within two to four years; LPI's distributed power system-integration capability may take longer to build, but it has also not yet formed a proven, high-return moat. This is an inference based on public materials, not a conclusion the company has explicitly stated.

In an inflationary environment, Liberty is not without pricing power, but its ability to raise prices depends more on whether industry supply and demand are tight than on any unilateral brand power of its own. The company itself states that most service pricing adjusts with market conditions and input costs. As for whether it can stay profitable during an economic downturn or weak oil prices, history has already answered that: the company posted a loss in 2021, and its 2025 GAAP operating margin fell to about 1.8%, showing that it cannot sustain stable profitability through a downturn the way a truly high-quality business can. Its past high profits look more like cyclical tailwinds combined with execution leadership than a purely structural moat. Taking all of this together, I give "industry attractiveness" a score of 2/5 and "moat strength" a score of 2/5.

Management and Capital Allocation

Is management trustworthy? An important governance change took place at the company in 2025: former Chairman and CEO Christopher Wright was confirmed as U.S. Secretary of Energy on February 3, 2025, and resigned from the company; at the same time, the company followed its established succession plan and appointed William Kimble as Non-Executive Chairman and Ron Gusek as CEO and Director. This handoff shows, at minimum, that the company had a governance plan in place rather than facing an ad hoc breakdown. Ron Gusek and CFO Michael Stock are both long-tenured internal executives. Based on public materials, I have not seen any obvious governance red flags — but this kind of judgment is fundamentally a probabilistic call, not a definitive conclusion.

Are shareholder interests aligned? The proxy statement shows Ron Gusek holds about 1.352 million shares, Michael Stock holds about 782,000 shares, and current directors and executives collectively hold about 3.182 million shares. Against the company's roughly 162 million shares outstanding, this is not "controlling-owner-level" ownership, but it is not low for professional managers and does create some alignment of interests. More importantly, executive incentive design places considerable emphasis on metrics such as ROCE, comparative ROCE, and adjusted pre-tax EPS, and in 2025, half of certain executives' long-term equity incentives were tied to three-year Comparative ROCE.

Capital allocation track record. Liberty's history of returning capital is not bad: the company has paid a continuous quarterly cash dividend since December 2022; it repurchased approximately $203 million, $127 million, and $24 million of stock in 2023, 2024, and 2025, respectively, at average buyback prices of about $14.82, $20.16, and $15.50. Looking back from today's roughly $33 share price, the 2023 and 2025 buybacks look disciplined, and 2024 was not bad either. Basic share count fell from 184.3 million shares in 2022 to 161.9 million shares in 2025, a reduction of about 12%. This is a clear positive in capital allocation.

But capital allocation entered a new phase in 2026. The company already stated clearly in its 2025 annual report that supporting the power-business expansion would require significant funding, potentially in the form of debt, project financing, co-investment, or even equity financing. By Q1 2026, that statement had become reality: the company issued a total of about $1.295 billion in 0% convertible notes, paired with capped calls, aimed at funding long-term growth projects, boosting liquidity, and reducing potential dilution. The convertible notes carry initial conversion prices of about $34.50 and $37.44, with corresponding capped-call cap prices of about $65.10 and $72.00. This financing gives the company ample cash on one hand, but on the other hand it also means that Liberty's investment success over the next several years will depend heavily on whether this new capital can generate returns above the cost of capital in the distributed power business.

My view is that management overall appears honest, professional, and focused on capital returns, and the buyback history and incentive design show that they are not simply chasing scale; but starting in 2026, they are also proactively steering the company into a more complex, more capital-intensive new phase with as-yet-unproven returns. For value investors, this means the management score cannot rest only on the past — it also has to account for whether, over the next three years, they turn the "power story" into "power cash flow." I give "management and capital allocation" a score of 3.5/5.

Financial Quality and Owner Earnings

Let's start with the key financial data. The table below deliberately separates facts from estimates: revenue, profit, operating cash flow, and capex are company-disclosed; free cash flow, margins, some return metrics, and leverage ratios are derived from disclosed data.

The most important takeaway from this table is not that "the company has made a lot of money in the past," but that its financial performance is highly dependent on where it sits in the cycle. 2023 was the high point, with strong revenue, profit, and free cash flow; 2024 pulled back; operating income was nearly flattened in 2025; and by Q1 2026, even though revenue was still up year over year, operating cash flow was only $8.4 million, and quarterly free cash flow turned clearly negative. From an owner's perspective, this shows that Liberty is not the type of business that "gets easier to earn money as it grows bigger" — instead, it needs continual capex, maintenance, equipment upgrades, and working-capital investment to maintain its competitive position and capacity.

Earnings quality. A key accounting point in 2025 is that the company recognized about $162.6 million of investment gains, primarily from fair-value changes on equity investments such as Oklo and Tamboran; this directly boosted GAAP net income. The company's own EBITDA/Adjusted EBITDA reconciliation also strips this gain out. In other words, 2025 GAAP net income is not equivalent to cash profit generated by core operations. As for whether there is "fraud," I have not seen clear evidence of that; a more precise statement is that the company's profit is materially affected by fair-value gains, and investors who look only at EPS risk overestimating operating strength. This is "accounting noise," not necessarily an "accounting problem," but it matters a great deal for valuation judgments.

Capital returns and leverage. On the management-defined basis disclosed in the company's proxy statement, Adjusted ROCE was about 42.9% in 2023, about 22.7% in 2024, and about 12.3% in 2025, averaging about 26.0% over three years. This shows that capital returns are genuinely strong in good years; but a rough estimate based on GAAP operating income and the current capital base suggests true operating ROIC in 2025 had already fallen to a fairly ordinary level. On leverage, the company had very low net debt at the end of 2025, but by Q1 2026, due to the convertible note financing, total debt rose to about $1.278 billion while cash rose to about $699 million; net debt has not spiraled out of control, but the financial structure has clearly shifted from a "lightly levered oilfield services company" to a "transition-stage company with large long-term financing".

Working capital and survivability. The company's accounts receivable plus unbilled revenue rose from about $605 million at the end of 2025 to about $729 million in Q1 2026, an important reason for the significant weakening of Q1 2026 operating cash flow; inventory was relatively stable. For an oilfield services company, this kind of swing is not unusual, but it does show that when the business expands or revenue rises, working capital often eats into cash. The good news is that, as of Q1 2026, the company had no drawn ABL balance and about $1.2 billion of liquidity, so short-term survivability is not a clear concern. The bad news is that shareholder returns will increasingly depend on this new capital being deployed efficiently, rather than on the existing business naturally generating a large amount of free cash flow.

Owner Earnings analysis. Here I will write this in a "fact — assumption — inference — opinion" structure:

Fact. 2025 net income was $147.9 million, but this included about $162.6 million of investment gains; 2025 depreciation and amortization was about $500.3 million, and Adjusted EBITDA was about $634.1 million; operating cash flow was $609.6 million and capex was $595.5 million. Q1 2026 Adjusted EBITDA was about $125.9 million, while operating cash flow was only $8.4 million.

Assumption. Because the company does not disclose a breakdown between "maintenance capex" and "growth capex," I can only make a conservative assumption. Given the high wear rate of fracturing equipment, ongoing upgrade needs, LPI new-business spending, and 2025–2026 capital investment in power and new equipment, I assume the core oilfield services business's maintenance capex runs roughly $450–500 million per year; this is close to but somewhat below recent depreciation levels, a deliberately conservative treatment. This range is not company-disclosed data but a valuation assumption.

Inference. Starting from 2025 Adjusted EBITDA of $634.1 million, subtracting cash interest of about $39.7 million and cash taxes of about $11.1 million, and then subtracting maintenance capex of $450–500 million, 2025 conservative Owner Earnings come out to only roughly $80–130 million. Factoring in that working capital does not always continue releasing cash in a normal year, I lean toward putting conservative Owner Earnings at about $100–150 million. Against the current market cap of about $5.50 billion, that works out to roughly 37x to 55x conservative Owner Earnings. This estimate does not add separate value for large-scale LPI success, nor does it treat the 2023 peak profit as the norm.

Opinion. So, if you look through "owner earnings" rather than "trailing EPS," LBRT is not cheap today. What it looks most like is this: the core business is in a cyclical trough, and the market has already priced in some option value for the distributed power business ahead of time. That is not necessarily wrong, but it is no longer the typical "low-risk, low-price buy" style of value investing.

Valuation and Margin of Safety

Owner Earnings Discounted Cash Flow Method

The DCF below is not "forecasting the stock price" but a rough estimate of current equity value. Because maintenance capex, the return on the new power business, and future dilution are all highly uncertain, I present three scenarios with explicit assumptions.

These ranges are based on the earlier inference about Owner Earnings and implicitly embed different degrees of cyclical recovery and probability of LPI success. The neutral scenario roughly means that the fracturing business recovers from its 2025–2026 lows to a more normal level of profitability, but LPI only partially delivers; the optimistic scenario requires the distributed power business to land higher-quality contracts, generate solid returns on capital, have convertible-note dilution well cushioned by the capped calls, and see the core fracturing business's margins recover. Source data and assumption basis are as described above.

Relative Valuation Method

Based on market data, LBRT currently trades at about $33.11, with a market cap of about $5.50 billion and a trailing P/E of about 36.4x. Over the same period, Halliburton has a market cap of about $36.06 billion and a P/E of about 138.6x; SLB has a market cap of about $86.01 billion and a P/E of about 25.0x; and the more directly comparable North American fracturing peers — Patterson-UTI, ProPetro, and ProFrac — have negative trailing EPS, making their trailing P/E distorted or even unusable. In other words, LBRT's relative valuation does not support a "significantly cheap" conclusion: it "looks better" than some loss-making peers, but that does not make it absolutely cheap; relative to the more globalized, more diversified SLB, it is not trading at a clear discount either.

Looking at enterprise value, based on a Q1 2026 market cap of about $5.50 billion, total debt of about $1.278 billion, and cash of about $699 million, LBRT's current enterprise value is about $6.08 billion. Against 2025 Adjusted EBITDA of $634 million, EV/EBITDA is about 9.6x; on a rough TTM rolling Adjusted EBITDA of about $592 million, it is about 10.3x. For a highly cyclical, asset-heavy company with a shallow core moat that is entering a more capex-intensive phase, this valuation does not naturally bring to mind "Buffett-style cheap."

Asset Value and Liquidation Value Method

As of Q1 2026, the company held about $699 million of cash on the books and also held investments in Oklo, Tamboran, Nomad, and others with a combined book value of about $87 million; total shareholders' equity was about $1.948 billion, or roughly $12 per share of book value. But a large share of this company's assets is oilfield equipment, leased equipment, and construction in progress; when the industry is weak, the secondhand/liquidation value of these assets is typically discounted. So, book assets provide some downside reference but fall well short of "putting a floor under" a $33 stock price. Viewed through the asset method, this also is not the type of name with "so much net cash that it's cheap even if the business is mediocre."

Margin of Safety Conclusion

Putting the three methods together, my conclusion is fairly clear:

The current price of about $33.11 sits roughly in what I'd call the "above neutral, not yet optimistic" zone: it is not absurdly overvalued, but it does not offer an adequate margin of safety either. The most fragile assumption embedded in the valuation is that the market is defaulting to the new LPI business earning a decent return in the future, plus the core fracturing business recovering from its lows; if only one of these two assumptions comes true, returns could end up quite ordinary. If margins simply recover while capex and dilution both rise at the same time, shareholders will not necessarily earn the return they should. Margin of safety conclusion: insufficient.

Risks, Bear Case, and Alternative Opportunities

The most important risk is not share-price volatility but permanent capital loss. First, cyclical risk is the number-one risk: the company states explicitly that demand depends mainly on current and expected oil and gas prices, customer capex, and drilling and completion activity, and that oil-price swings directly suppress utilization and pricing. Second, regulatory and social-license risk is not small, including water resources, wastewater disposal, PFAS, methane emissions, climate policy, and ESG-related financing pullback.
