Resonac Holdings is a Japanese materials group that supplies process-critical chemicals and films to chipmakers, and the report rates it Hold. The ¥62.5 billion difference came from impairments, divestment costs and other items management classes as non-recurring, though such charges have recurred throughout the restructuring. FY2026 guidance assumes the gap narrows to ¥35 billion: ¥27.5 billion of the forecast improvement comes from those deductions shrinking and ¥13.5 billion from a turnaround at the loss-making Chemicals segment. Capitalizing the full rise in net profit as recurring AI-driven growth would overstate the semiconductor engine's contribution.
One qualifier attaches to every price in this report. ¥12,125 buys one Resonac share plus the entitlement to one share of Crasus Chemical, the petrochemical business being partially spun off, with a separate Tokyo listing scheduled for 2026-09-29 and distribution for 2026-10-01, subject to a board resolution and exchange approval. Resonac's quote should fall mechanically by whatever value the market assigns to that Crasus share, and a fall on the day the entitlement comes off would not by itself be an economic loss.
Valuation is why the call is Hold. On that pre-spin package basis, ¥12,125 is 28.5 times management's FY2026 guidance EPS; the report's base case lands close to the current price, and its conservative case values the package at ¥8,000 to ¥9,000. The verdict is no margin of safety, and the report's pre-mortem puts the loss at roughly 25% to 35% without needing an industry recession. The balance sheet is manageable rather than strong, with net debt to EBITDA around 3.5 times and FY2025 operating cash flow less capital expenditure of only ¥23.6 billion, and a convertible bond adds dilution risk.
The report classifies the current price as an acceptable hold and sets the ideal buy zone at ¥6,400 to ¥7,200 on the same pre-spin package basis, advising new purchases to wait for that level or for post-spin disclosure on Crasus debt and dilution. The price basis is the latest completed trading session available at the research cut-off: the Tokyo market had not yet closed when this report was prepared on Friday, 2026-07-31. Resonac’s own stock-price page records a ¥12,125 close on Thursday, 2026-07-30; the market-cap calculation uses the company’s disclosed issued-share count. The quote is pre-spin and cum-entitlement: it still includes the economic value of the Crasus Chemical distribution scheduled for autumn 2026.

Research summary
Resonac presents itself as a diversified chemical company, but its economic identity has changed faster than its consolidated revenue statement suggests. The company owns businesses spanning semiconductor materials, mobility products, specialty chemicals, graphite electrodes, petrochemicals and various operations being sold or reorganized. Yet FY2025’s numbers show where the earnings power now sits. Semiconductor and Electronic Materials produced ¥108.4 billion of core operating profit against ¥109.1 billion for the entire group, or 99.3% of group core operating profit after corporate costs and portfolio losses. Its ¥506.3 billion of revenue represented only 37.6% of consolidated sales.
That concentration needs careful reading. The non-semiconductor operating businesses were not collectively worthless: Mobility, Innovation Enabling Materials and Crasus Chemical generated positive core profit, while Chemicals lost money. Before corporate and other adjustments, those businesses contributed roughly ¥14 billion, and corporate costs, discontinued activities and other adjustments consumed almost the same amount. Resonac is therefore better understood as a profitable semiconductor-materials franchise carrying a collection of lower-return industrial assets and central costs, rather than as a balanced conglomerate whose divisions contribute evenly.
Resonac is now an advanced-packaging materials company surrounded by a portfolio in retreat. Its most valuable products sit at the interfaces between semiconductor dies, substrates and packages: die-bonding films, epoxy molding compounds, copper-clad laminates, photosensitive films, thermal materials and related chemicals. These are less visible than lithography tools or AI accelerators, but failures can ruin an expensive package. Qualification periods, material interactions and reliability requirements create switching costs. Resonac’s acquisition of Hitachi Chemical brought a broad back-end portfolio into the same group as Showa Denko’s materials and process technologies. The resulting product breadth is unusually relevant as chip performance moves from transistor scaling toward chiplets, high-bandwidth memory and three-dimensional packaging.
The share price is trading that transition, not FY2025’s consolidated revenue decline. Resonac’s ¥12,125 close was within a 52-week range of ¥3,472 to ¥20,495. The scale of that range signals that investors have repeatedly revised what they think the company is. At the lower end, it was valued as a leveraged, cyclical chemical conglomerate still digesting the Hitachi Chemical acquisition. At the upper end, it was treated as a scarce public-market proxy for AI advanced-packaging materials. The shares also became an event-driven instrument after Resonac finalized the partial spin-off of its petrochemical business into Crasus Chemical.
The Crasus transaction is the central valuation complication. Resonac plans to distribute more than 80% of Crasus to its shareholders, retain less than 20%, and obtain a separate Tokyo listing for Crasus on 2026-09-29. The last day to acquire the entitlement is expected to be 2026-09-28; Resonac becomes ex-entitlement on 2026-09-29. Shareholders of record on 2026-09-30 are scheduled to receive one Crasus share for each Resonac share on 2026-10-01. The Resonac share price should mechanically fall by the market value assigned to the distributed Crasus share, while an entitled holder receives a separate asset.
This report values the current security as a pre-spin package: one Resonac share plus the right to receive one Crasus share. Post-spin quotations will not be directly comparable with the ¥12,125 reference price. A fall on the ex-entitlement date would not, by itself, represent an economic loss. The economically relevant comparison will be the value of post-spin Resonac plus the quoted value of Crasus, adjusted for taxes, transaction frictions and any difference between record-date and distribution-date trading.
Two accounting consequences follow that the guidance does not yet reflect. From the third quarter of FY2026 Resonac will classify Crasus as a discontinued operation under IFRS 5, presenting its revenues and expenses separately from continuing operations, so full-year actuals will not be directly comparable with the guidance as issued. The disposal group is measured at the lower of carrying amount and fair value less the costs of distribution, and any shortfall, together with the remeasurement recognised on deconsolidation, runs through profit or loss from discontinued operations rather than through operating profit. The company states that the impact of the spin-off on its consolidated results is under review and has not yet been determined.
FY2025 illustrates why statutory and management-adjusted earnings cannot be blended. Revenue fell 3.2% to ¥1,347.1 billion. Core operating profit rose 18.4% to ¥109.1 billion, helped by semiconductor materials. Reported operating profit, however, fell 47.6% to ¥46.7 billion, and profit attributable to owners fell 60.5% to ¥29.0 billion. Core operating profit exceeded reported operating profit by ¥62.5 billion. The difference included impairments and expenses associated with decisions to divest businesses, including FIAMM Energy Technology, alongside other items that management classifies as non-recurring.
The distinction matters because “non-recurring” charges have recurred during the portfolio restructuring. Some are genuine clean-up costs that should disappear once the disposals finish. Others reveal that capital invested in the old portfolio did not earn its carrying value. Core operating profit is useful for understanding current operating momentum, but reported profit and cash flow remain necessary for judging what shareholders actually received after restructuring costs.
Management’s FY2026 forecast calls for revenue of ¥1,310 billion, core operating profit of ¥140 billion, reported operating profit of ¥105 billion and parent net profit of ¥77 billion. The net-profit forecast is roughly 2.7 times FY2025’s level. This recovery does not rest on one factor. Semiconductor and Electronic Materials is expected to add ¥19.6 billion of core profit. Chemicals is expected to swing from a ¥5.5 billion loss to an ¥8.0 billion profit, adding ¥13.5 billion, and Crasus is forecast to add ¥2.3 billion. Weaker Mobility, Innovation Enabling Materials and corporate adjustments partly offset those increases. The gap between core and reported operating profit is also forecast to narrow from ¥62.5 billion to ¥35 billion.
The FY2026 recovery is partly operational and partly the absence of FY2025’s charges. Roughly ¥30.9 billion of the improvement occurs at the core operating level. Another ¥27.5 billion comes from a smaller core-to-reported adjustment. Investors who capitalize the full rise in net profit as recurring AI-driven growth would overstate the semiconductor engine’s contribution.
The first quarter supports the operating recovery, but it also exposes the concentration. Group revenue declined 4.1% to ¥307.9 billion, while core operating profit more than doubled to ¥33.6 billion and reported operating profit rose to ¥22.1 billion. Semiconductor and Electronic Materials revenue grew 21.1% to ¥134.7 billion, and segment core operating profit rose 73.7% to ¥34.0 billion. The semiconductor segment earned slightly more than the group because the rest of the portfolio and corporate costs were negative in aggregate. Back-end material sales reached a quarterly record, according to the company. Management raised first-half core-profit guidance but left the full-year forecast unchanged, citing macroeconomic and geopolitical uncertainty.
The structural bull case has real evidence behind it. Resonac forecasts average annual growth of 31% from 2024 to 2028 for the AI-semiconductor demand addressed by its advanced-packaging materials. It is expanding dicing die-bonding film capacity by 60%, with operation scheduled to begin in 2026. Its US-JOINT initiative in Silicon Valley brings materials and equipment suppliers closer to package-development customers, aiming to shorten the loop between formulation, prototype assembly and reliability testing.
The 31% figure needs containment. It is a company forecast for AI-related demand, not the growth rate of the whole packaging-materials market. SEMI reported that worldwide semiconductor packaging-materials revenue grew 9.3% to $27.4 billion in 2025. Broader industry forecasts generally place advanced-packaging growth in the high-single-digit to low-double-digit range. Resonac’s targeted AI submarket can grow much faster because high-bandwidth memory, chiplets and large packages use more sophisticated materials per device. The forecast should not be read as a 31% perpetual growth rate for the entire ¥506 billion segment.
The bear case begins with valuation. At ¥12,125, Resonac trades at 28.5 times management’s FY2026 EPS guidance of ¥425.45 and approximately 75.6 times FY2025 statutory EPS of ¥160.49. The price-to-book ratio is around three times. That is a very different valuation from the sub-one-times-book conglomerate treatment seen during the integration and semiconductor downturn. The market is already granting part of the rerating that management seeks.
Cash flow offers mixed evidence. Operating cash flow was ¥130.3 billion in FY2025, while purchases of property, plant and equipment were ¥106.7 billion, leaving ¥23.6 billion under a simple operating-cash-flow-minus-capex definition. The company’s broader definition, which offsets all investing cash flows against operating cash flow, produced ¥43.2 billion. Both fell sharply from FY2024. Net debt remained around ¥685 billion on a straightforward borrowings-less-cash calculation, and company materials reported net debt to EBITDA of roughly 3.5 times.
The balance sheet is manageable rather than strong. The 2020 acquisition of Hitachi Chemical was strategically transformative but increased financial leverage at precisely the wrong point in the semiconductor and pandemic cycle. Resonac has since sold assets, reduced debt and improved earnings. It also issued ¥100 billion of zero-coupon convertible bonds due in 2028. The original conversion price of ¥4,638 implied potential issuance of roughly 21.6 million shares before anti-dilution adjustments, equivalent to about 12% of the current issued-share base. The conversion price will be adjusted in connection with the Crasus distribution, preserving the bondholders’ economic position.
The fundamental disagreement is precise. Bulls see a broad, difficult-to-replicate advanced-packaging portfolio entering a multi-year content-growth cycle, while management removes low-return businesses and pays down acquisition debt. Bears see an industrial company with thin free cash flow, recurring portfolio charges and a leveraged balance sheet being valued as if AI packaging growth, high segment margins and successful restructuring have already been secured.
The best qualitative portrait is company in transition with a re-rating component. “Cyclical reversal” captures the recovery from the 2023 semiconductor downturn, but it misses the portfolio change. “High-quality compounding growth” overstates current cash conversion, balance-sheet strength and earnings diversification. “Valuation bubble” is too categorical because the back-end franchise is producing real growth and high margins. Resonac has changed what it earns from faster than it has changed its capital structure and consolidated accounts.
Vertical history and financial review
Resonac’s modern form is the product of two industrial histories. Showa Denko was established in June 1939 through the merger of Showa Fertilizers and Nihon Electrical Industries, companies rooted in founder Nobuteru Mori’s efforts to industrialize chemical and electrochemical production in Japan. It listed on the Tokyo Stock Exchange in May 1949. The original model centered on capital-intensive basic materials: fertilizers, industrial chemicals, aluminum, carbon products and petrochemicals. Those operations required scale, energy access and heavy fixed investment rather than the customer-specific formulation and qualification model that defines today’s semiconductor materials.
Hitachi Chemical followed a different path. It originated in Hitachi’s materials operations and became an independent company in 1962. Its expertise accumulated around resins, printed-circuit materials, semiconductor packaging, automotive components and batteries. It listed in 1970 and developed a culture of application engineering: materials were designed around customer processes and reliability requirements rather than sold principally as commodities.
The first stage of the combined story was Showa Denko’s long life as a diversified industrial chemical producer. The portfolio absorbed and survived several commodity cycles, but returns were uneven. Commodity chemicals and graphite electrodes could generate large profits when supply was tight, then lose money when capacity, energy costs or customer inventories turned. That legacy explains both the company’s industrial capabilities and the capital-market discount that followed it for years.
The second stage began when Showa Denko decided that specialty and semiconductor materials offered a better future than relying on basic chemicals. The defining transaction was its acquisition of Hitachi Chemical. Showa Denko announced the tender offer in late 2019 and completed control in 2020 in a transaction valued at roughly ¥960 billion, or close to $9 billion at the time. The acquisition supplied product depth, customer relationships and packaging technologies that would have taken decades to build internally. It also imposed substantial leverage and goodwill.
The strategic logic was stronger than the timing. The purchase closed into the COVID-19 shock, and Showa Denko reported a large loss in 2020. Liabilities rose sharply, while the group inherited a sprawling collection of automotive, battery and industrial assets alongside the desired electronics portfolio. Net debt to equity reached about 1.8 times at the end of 2020. Subsequent equity financing, asset sales and earnings recovery reduced that burden, but ordinary shareholders paid through dilution and several years of balance-sheet repair.
The third stage was integration. Showa Denko Materials, the renamed Hitachi Chemical, and Showa Denko were reorganized under the Resonac name from 2023. The holding company retained ticker 4004. Management framed the new company around functional chemistry and semiconductor materials, while beginning to dispose of operations that lacked technological or customer overlap with the target portfolio. CEO Hidehito Takahashi, who had experience in banking, GE and specialty materials before joining Showa Denko, became the central architect of that transformation.
Integration coincided with the 2023 semiconductor inventory downturn. Under IFRS, FY2023 revenue was ¥1,295.4 billion, reported operating loss was ¥9.4 billion and parent loss was ¥19.0 billion. Cash flow remained positive because depreciation, impairment and working-capital effects were substantial. The market still had reason to treat Resonac as a leveraged restructuring story: the semiconductor portfolio’s quality had not yet appeared clearly in group earnings.
The fourth stage began in 2024 as memory and advanced-packaging demand recovered. IFRS operating profit rebounded to ¥89.0 billion and parent profit to ¥73.5 billion. Semiconductor materials, hard-disk media and a weaker yen supported earnings. The stock reacted strongly when the company raised forecasts in 2024, reflecting the market’s growing willingness to treat it as an AI and data-centre supply-chain beneficiary.
The fifth stage is the current separation of the semiconductor franchise from the conglomerate shell. Management has divested or agreed to divest numerous non-core operations. The Crasus partial spin-off is the largest step because it removes about ¥300 billion of petrochemical revenue from consolidated Resonac and gives the market a separate price for the legacy business. Management has said portfolio transformation is approaching completion, although the remaining Chemicals segment, graphite electrodes, SiC and mobility assets still require proof that they can earn acceptable returns.
The vertical financial record captures the cost of reaching this point.

Revenue was broadly stagnant across this period despite the acquisition’s scale because asset disposals, weaker commodity pricing and the semiconductor downturn offset growth in electronic materials. This is a portfolio-quality story more than a consolidated-sales story. The relevant question is whether Resonac can replace low-margin revenue with enough high-margin semiconductor revenue to grow absolute cash earnings after central costs and investment.
Operating cash flow exceeded parent net income by a wide margin. Over FY2021–FY2025, cumulative operating cash flow was about ¥628.3 billion, versus cumulative parent net income of about ¥102.3 billion, a ratio of 6.1 times. The ratio looks strong but is not evidence that accounting earnings were conservative in a simple sense. Large depreciation, amortization and impairment charges, loss years and working-capital movements made the denominator unusually low. The same period consumed approximately ¥436 billion of PP&E purchases. Cumulative operating cash flow less those purchases was about ¥192 billion, before acquisitions, divestments, financing costs outside operating cash flow and shareholder distributions.
FY2025’s income statement shows the current earnings-quality issue. Gross profit was ¥323.8 billion, equivalent to a 24.0% gross margin. Selling, general and administrative expenses were ¥265.7 billion. Other income was ¥17.6 billion, other expenses were ¥29.0 billion, and reported operating profit was ¥46.7 billion. Core operating profit of ¥109.1 billion removed the net effect of specified non-recurring items and impairments.

The bridge makes two things visible. The semiconductor franchise was already highly profitable on management’s operating measure. Shareholders did not receive anything close to that amount as statutory earnings because restructuring and impairment costs absorbed more than half of core profit. Portfolio simplification should reduce that leakage, but past acquisition and disposal decisions are the cause of the charges, so they cannot be dismissed as irrelevant to capital allocation.
The year-end balance sheet contained ¥262.0 billion of cash, ¥280.2 billion of trade receivables, ¥206.1 billion of inventories, ¥662.9 billion of property, plant and equipment and ¥410.7 billion of intangible assets. Current and non-current bonds and borrowings totaled approximately ¥946.6 billion. Total equity was ¥727.6 billion. A straightforward net-debt calculation gives about ¥684.7 billion before lease and hybrid-capital adjustments.
Goodwill and intangible assets equal more than half of total equity, largely reflecting the Hitachi Chemical acquisition and other transactions. The balance sheet can withstand an ordinary semiconductor correction if cash generation remains positive, but another large acquisition, a long downturn or further impairments would constrain strategic flexibility. Reported net debt to EBITDA of around 3.5 times at FY2025 was high for a company the market increasingly values as a quality materials compounder.
Returns on capital are only beginning to recover. The company reported ROIC around 6.2% and a net debt-to-equity ratio around 0.83 at FY2025. A 6.2% return is an improvement from the loss years, but it does not yet justify a premium conglomerate-wide valuation when the Japanese 10-year government-bond yield was about 2.80% on 2026-07-30. The spread over the risk-free rate remains modest after allowing for equity risk and cyclicality.
The original acquisition decision changed Resonac’s fate because it bought a scarce semiconductor-materials portfolio. It was also expensive enough to suppress returns and force defensive financing. Management’s present task is to prove that the acquired franchise can generate returns above the cost of capital after all central costs, growth capex and dilution, rather than only at the segment core-profit line.
Business model, moat and industry
Resonac’s operating structure in FY2025 was as follows.

Semiconductor and Electronic Materials is the business machine. It earns its money supplying process-critical materials at the semiconductor front end, packaging back end and device level. The back-end portfolio includes die-attach and dicing die-bonding films, die-bonding pastes, epoxy molding compounds, photosensitive films, copper-clad laminates, solder-resist materials, thermal-interface materials and package-processing consumables. The front-end portfolio includes CMP slurry and specialty gases, while Device Solutions includes hard-disk media and SiC-related products.
The economics differ from bulk chemicals. A new formulation is qualified against a customer’s process, equipment set, package structure and reliability standards. Material cost may be a small part of the finished chip’s value, while failure can destroy yield or shorten product life. Once qualified, the supplier gains stickiness. Price remains negotiable, particularly with large foundries, memory manufacturers and outsourced semiconductor assembly and test companies, but customers are reluctant to change solely for a modest saving when the switch requires testing and introduces yield risk.
Fixed costs include plants, clean production environments, application laboratories, quality systems, engineering teams and R&D. Raw materials, energy and logistics are more variable. Operating leverage is high because qualification, engineering and depreciation expenses remain when volumes fall. The 2023 downturn showed that group profits can collapse quickly even though operating cash flow remains positive. The 2024–2026 recovery shows the reverse: additional volume, richer product mix and factory utilization can produce profit growth far above revenue growth.
Continued investment is mandatory. Resonac has expanded capacity in CMP slurry, copper-clad laminates and dicing die-bonding films since 2022. The announced 60% die-bonding-film expansion begins operating in 2026. Management’s 2026 materials indicate record semiconductor and electronic-materials investment, while group PP&E purchases had already risen to ¥106.7 billion in 2025.
The moat rests on four connected elements.
Qualification and reliability create the switching costs. Die-bonding film thickness, adhesion, stress behavior and curing conditions affect stacked-memory packages. Molding compounds must manage warpage, heat and coefficient-of-thermal-expansion mismatches. CMP slurries interact with process recipes and device structures. Customers can qualify alternatives, but the process consumes engineering time and exposes production yields.
Resonac also has product breadth across the package. A supplier that can model and test combinations of films, molding compounds, substrate materials and thermal products can solve interactions that a single-product vendor may miss. Resonac’s Package Solution Center and US-JOINT are attempts to turn breadth into system-level engineering rather than a catalogue of inherited products. The US-JOINT consortium began operating in Silicon Valley in April 2026 with Japanese and US materials and equipment companies, close to leading chip designers and packaging development centers.
Formulation knowledge is difficult to observe and copy. Patents matter, but production recipes, impurity control, dispersion technology and feedback from customer failures often matter more. Resonac’s company disclosures claim top or near-top positions in several packaging materials. Its die-bonding-film release cites a global-top market share based on third-party market research; other product-share figures in integrated reports are company estimates and should be treated as directional rather than independently audited facts.
The last element is customer proximity, which improves development speed. Advanced packages involve materials, equipment and design decisions that cannot be optimized independently. Resonac’s ability to assemble and test representative structures can shorten customer validation and create early knowledge of the next package generation. That advantage becomes valuable only if customers use the centers for commercial programs and Resonac converts joint development into qualified revenue.
The moat is strongest in qualification, formulation and package-level co-development; product breadth alone is not a moat. A broad portfolio acquired through M&A can also create bureaucracy, duplicated facilities and weak accountability. The evidence to watch is sustained share, price/mix improvement and margins through a downcycle, rather than the number of products shown in an investor presentation.
Mobility illustrates the weaker side of the portfolio. FY2025 core margin was only 2.5%, and FY2026 guidance calls for lower revenue and profit. Automotive materials can have long qualifications and sticky contracts, but automakers’ purchasing power, program-specific costs and slow price resets constrain returns. The business may be strategically related to power modules and thermal management, yet its current economics do not support a premium valuation.
Innovation Enabling Materials generated an 11.2% core margin in FY2025, making it the strongest non-semiconductor operation. It includes functional materials and technologies that support other divisions. Its scale is too small to change the group thesis, but it can provide useful chemistry and internal supply capabilities.
Chemicals produced a ¥5.5 billion core loss in FY2025. Graphite-electrode volumes and prices weakened, and the company incurred costs in businesses undergoing repair or disposal. Management guides to an ¥8 billion profit in FY2026, making this turnaround an important part of the group forecast. Graphite electrodes have attractive positions in electric-arc-furnace steelmaking, but the business remains exposed to steel utilization, Chinese supply, electricity costs and customer inventories.
Crasus consists largely of the Oita petrochemical complex and related businesses. FY2025 revenue of ¥300.3 billion produced only ¥4.7 billion of core operating profit, a 1.6% margin. The business suffered from weak petrochemical conditions and inventory-valuation effects. It also owns specialty positions, including high-purity allyl alcohol, but its aggregate earnings remain commodity-like and capital intensive. Separating it should raise post-spin Resonac’s margin, semiconductor concentration and reported growth quality even though it removes revenue and some positive earnings.
The industry backdrop is favorable but cyclical. SEMI estimated global semiconductor-materials revenue at a record $73.2 billion in 2025, with packaging materials rising 9.3% to $27.4 billion. WSTS estimated worldwide semiconductor sales of about $796 billion in 2025 and forecast another strong expansion in 2026, driven particularly by memory and logic. Back-end equipment spending also entered an upcycle as packaging capacity followed AI accelerators and high-bandwidth memory.
The profit pool is shifting toward materials and equipment that enable heterogeneous integration. Traditional scaling places more transistors on one die. Advanced packaging combines logic dies, memory stacks, interposers and substrates into one system. Larger package areas, more interfaces, finer connections and higher heat density increase material usage and performance requirements. A packaging-material supplier can therefore grow faster than semiconductor units if material content per package rises.
The cycle has several layers. AI accelerators are in a technology and capital-expenditure upcycle, and memory is recovering from an inventory cycle. Conventional electronics and smartphones are softer. Resonac’s hard-disk operations remain linked to data-centre storage demand, while SiC materials are exposed to electric-vehicle adoption, customer qualification and industry overcapacity. Graphite electrodes and petrochemicals follow separate commodity and industrial cycles. Consolidated results can contain a strong AI cycle and weak commodity cycles at the same time.
Resonac’s 31% AI-related demand CAGR through 2028 is defensible as a narrow content-growth assumption, but it is too aggressive for the broad market. The whole packaging-materials industry grew 9.3% in 2025. The gap can be reconciled only if Resonac’s targeted products gain content, share or exposure to AI packages much faster than the market. The forecast becomes dangerous when investors apply it to the whole semiconductor segment or extend it beyond the four-year window.
Policy and geopolitics cut both ways. Japan considers semiconductor materials economically important and has supported domestic supply-chain resilience. Resonac has worked with Japan’s Ministry of Economy, Trade and Industry on semiconductor-material supply-chain visibility and has received support for SiC development. Japanese suppliers can benefit as US, Japanese and European customers diversify critical inputs.
The same environment creates risk. China is building domestic materials capacity. Export controls can change where equipment is installed and which customers can access advanced processes. Tariffs or local-content incentives could require Resonac to build more production in the United States. CEO Takahashi has indicated that US manufacturing would be considered if demand, subsidies and tariffs justify it. Such localization can deepen customer relationships, but it raises capex and duplicates capacity.
Management has shown greater willingness to sell weak businesses than previous regimes, and debt reduction after the Hitachi Chemical acquisition has been material. The record remains incomplete. Capital allocation should be judged against the total acquisition cost, equity dilution, impairments and years of subpar ROIC, not only the quality of the assets retained. The current CEO deserves credit for accelerating portfolio action; the investment case still depends on whether disposals cease before another expensive expansion begins.
Horizontal competitor analysis
There is no single perfect public comparable. Resonac combines front-end materials, back-end packaging materials, device products, mobility materials, graphite electrodes and chemicals. The relevant peer set changes with the question.
Shin-Etsu Chemical is the quality benchmark for Japanese semiconductor materials. Tokyo Ohka Kogyo is a focused benchmark for high-purity process chemicals and photoresists. Fujifilm is a diversified technology group with a growing semiconductor-materials portfolio, including CMP products. Ibiden sits downstream in advanced package substrates and provides a capital-market reading of AI packaging scarcity. JSR, now privately owned following its acquisition by Japan Investment Corporation, remains an important product competitor but no longer supplies a public-market multiple. Equipment suppliers such as Disco, BE Semiconductor Industries and ASMPT are cycle indicators rather than direct product competitors.

Shin-Etsu became the quality compounder of the group. Customers choose it for purity, process consistency, production scale and a balance sheet that allows investment through downturns. Its semiconductor exposure is led by silicon wafers, photoresists, photomask-related products and other process materials, while its PVC franchise supplies cash and scale outside semiconductors. It has produced much stronger returns with lower leverage than Resonac. Its capital returns also set a high bar: Shin-Etsu completed up to ¥500 billion of repurchases under its 2025–2026 authorization and announced another program of up to ¥250 billion.
Resonac can grow faster in an advanced-packaging upcycle because its product mix is more directly exposed to back-end content. Shin-Etsu remains the safer owner of semiconductor-material economics because one product cycle does not determine almost all group profit, and its capital structure does not depend on divestments to recover flexibility. Resonac deserves a growth premium only when its packaging growth and margin expansion offset this financial-quality discount.
Tokyo Ohka Kogyo became a focused process-material specialist. Its reputation rests on photoresists and high-purity chemicals used in semiconductor and display fabrication. Customers choose it for front-end process control and close collaboration with fabs. Its exposure is cleaner than Resonac’s, but it does not offer the same breadth across package films, encapsulation and substrate materials. At roughly 29 times earnings near the base date, the market valued it as a focused, high-quality semiconductor-materials company.
Resonac’s forward multiple on management guidance is similar, despite higher leverage, more restructuring and poorer group-level cash conversion. The implied market argument is that Resonac’s growth is sufficiently stronger to compensate. That argument is plausible for the semiconductor segment but demanding for the consolidated company.
Fujifilm became a diversified technology and healthcare group rather than a pure chemical company. Its semiconductor-materials operation benefits from expertise in dispersion, coatings, high-purity chemicals and imaging chemistry. Fujifilm has disclosed global shares of roughly 26% in copper-wiring CMP slurry and 20% in post-CMP cleaners, and it markets combinations of slurries and cleaning products. Customers can select Fujifilm when they want an integrated CMP process solution backed by a large R&D organization.
Fujifilm traded around 16.5 times earnings near the base date, far below Resonac’s statutory and guidance multiples. The discount does not mean Fujifilm’s semiconductor business is inferior. Its consolidated multiple is diluted by healthcare, imaging and business-solutions exposures. Investors do not automatically grant a semiconductor multiple to every yen of conglomerate profit.
Ibiden is adjacent rather than directly comparable. It manufactures high-end IC package substrates that sit downstream from many Resonac materials. Customers choose Ibiden for substrate technology, qualification and capacity at the difficult end of the market. AI server demand created scarcity and drove a dramatic rerating; its trailing P/E was above 60 times near the base date.
Ibiden matters because it reveals how the market prices an obvious bottleneck. Resonac’s materials are more fragmented across many products and customers, so its scarcity is less visible. It can capture attractive economics if package complexity raises material content and if its formulations become de facto standards. It lacks Ibiden’s clean linkage to substrate capacity and should not receive the same peak-cycle multiple without comparable evidence of contracted demand.
At individual product level, competition is broader than the listed peer table suggests. CMP slurries compete with Fujifilm, Entegris, DuPont and Japanese specialists such as Fujimi. Encapsulation and underfill compete with Sumitomo Bakelite, Henkel, Namics and other formulation suppliers. Package-substrate materials overlap with offerings from Panasonic Industry, Mitsubishi Gas Chemical, Ajinomoto and Taiwanese laminate producers. Die-attach films face Japanese, Korean and global adhesive specialists. Each market has separate qualifications; Resonac’s high share in one product does not guarantee pricing power in another.
The competitive advantage is ecological. Resonac occupies the role of package-material architect: broader than a single formulation specialist, but upstream of the substrate and assembly companies that control capacity. Its opportunity is to take part of the profit pool created when customers need several materials to work together. Its threat is that customers may continue sourcing each material separately, using Resonac’s development centers for knowledge without granting it an economically meaningful bundle.
Technological substitution should favor Resonac when packages become larger, more heterogeneous and more thermally demanding. It would hurt if customers simplify package structures, vertically integrate material recipes, qualify cheaper Chinese suppliers or move toward processes that use less of Resonac’s high-share products. Price competition is less likely to eliminate demand than to compress the premium attached to formulation and service.
The capital-market comparison is also revealing. Shin-Etsu is priced for durability, Tokyo Ohka for focus, Fujifilm for diversified cash generation and Ibiden for bottleneck growth. Resonac is being repriced from leveraged conglomerate toward packaging-growth supplier. It has not yet completed that migration in financial terms. Its balance sheet resembles the former category while its multiple increasingly resembles the latter.
Current fundamentals, capital-markets narrative and valuation
FY2025 looked weak at the statutory bottom line and strong inside the semiconductor segment. The following bridge shows why FY2026 guidance appears so dramatic.

The semiconductor assumption is demanding but not implausible. Management forecasts segment revenue rising 12.6% to ¥570 billion and core profit rising 18.1% to ¥128 billion, implying a margin increase from 21.4% to 22.5%. First-quarter performance was ahead of that pace: revenue rose 21.1% and core profit 73.7%, producing a 25.2% core margin. Volume, mix, cost improvements and currency contributed, while the back-end business recorded its highest quarterly sales.
The first quarter did not remove downside risk. Crasus underwent planned turnaround maintenance and posted a small core loss. Chemicals remained loss-making, though less so than a year earlier. Group revenue declined because non-core and commodity businesses contracted. Management raised first-half core-profit guidance from ¥53 billion to ¥74 billion but left full-year core profit at ¥140 billion. That stance creates a potential positive expectation gap if second-half orders remain strong, but it also signals that management expects tougher comparisons or wants a cushion for macroeconomic and geopolitical risks.
The next formal test is the second-quarter result scheduled for 2026-08-06 at 15:30 JST. The market will focus less on consolidated revenue than on back-end materials sales, segment margin, full-year guidance and evidence that the first-quarter margin was not inflated by timing or mix.
The current market narrative has four components.
AI advanced packaging comes first. Investors are treating Resonac as a materials beneficiary of high-bandwidth memory, chiplets and large AI packages, and the company’s own 31% AI-related demand forecast and capacity expansions reinforce that narrative.
Next comes earnings normalization. FY2026 guidance offers both semiconductor growth and a rebound in Chemicals, while restructuring charges decline. This creates a sharp statutory EPS recovery even if consolidated revenue falls.
Then conglomerate simplification. Removing Crasus should lift post-spin margins and make the semiconductor contribution easier to see. A simpler group may command a higher multiple, but that rerating has already begun before the transaction.
Last is event-driven price discovery. The current share includes the Crasus entitlement. Investors can buy, hedge or sell around the September ex-entitlement date, the Crasus listing and the conversion-price adjustment on Resonac’s bonds. These technical flows can temporarily separate price action from changes in underlying demand.
The July price action illustrates the tension. Resonac closed at ¥18,680 on 2026-07-01 and at ¥16,750 on the date of the spin-off release, 2026-07-06. It fell to ¥15,675 the following session and continued lower to ¥12,125 on 2026-07-30. The release clarified the transaction but did not create an immediate one-way rerating. The decline also occurred within an unusually volatile semiconductor tape, so attributing every move to the spin-off would be speculative.
The quote remains a pre-spin package price. A useful bridge is illustrative rather than predictive because Crasus does not yet have a quoted market value.

These figures are not Crasus price targets. They show how a separately quoted Crasus value changes the residual price assigned to post-spin Resonac. The range is wide because the opening debt allocation, standalone central costs, minority stake, commodity-cycle assumptions and market multiple remain insufficiently disclosed for precise valuation.
Crasus generated ¥300.3 billion of FY2025 revenue and ¥4.7 billion of core profit; FY2026 guidance is ¥280 billion and ¥7 billion. Even a modest standalone equity value can create a visible mechanical adjustment because shareholders receive one share per Resonac share. The business’s low margin argues against treating its revenue at a specialty-chemical multiple.
The convertible bonds add another bridge item. The ¥100 billion zero-coupon issue had an original ¥4,638 conversion price, implying about 21.6 million shares at full conversion before adjustment. The Crasus distribution triggers an adjustment designed to protect bondholders. A fully diluted valuation should use roughly 200 million shares rather than relying solely on the current issued-share base, unless the assumed future share price is below the adjusted conversion threshold.
Historical valuation has changed regime. During the integration downturn, Resonac could be purchased near or below book value because investors treated it as a leveraged cyclical chemical group. By the base date, price-to-book was around three times and FY2026-guidance P/E was 28.5 times. Market data placed the multiple materially above its recent normal range. The business mix has improved, but the magnitude of the rerating also reflects a market preference for AI supply-chain assets.
At 28.5 times guidance EPS, the earnings yield is 3.5%. The indicated ¥65 annual dividend provides only about a 0.54% cash yield. Japan’s 10-year government bond yielded approximately 2.80% on 2026-07-30. Investors are accepting much less current cash income than the risk-free bond yield because they expect growth, portfolio improvement and eventual free-cash-flow expansion.
Cash-flow passthrough requires a separate framework. Cumulative operating cash flow over FY2021–FY2025 was 6.1 times cumulative parent profit, but cumulative PP&E purchases absorbed around 69% of operating cash flow. Resonac does not disclose a clean maintenance-versus-growth capex split. Based on FY2025 depreciation and amortization, announced semiconductor expansions and the age and breadth of the industrial asset base, this valuation estimates maintenance capex at ¥55–70 billion and growth capex at ¥35–50 billion out of FY2025’s ¥106.7 billion PP&E purchases. This is an analytical estimate, not company guidance.
Using ¥60 billion as mid-point maintenance capex gives FY2025 owner earnings of roughly ¥70 billion: ¥130.3 billion operating cash flow less maintenance capex. At the base-date market capitalization, that is an owner-earnings yield of about 3.1%, or approximately 32 times owner earnings. A more conservative ¥65 billion owner-earnings estimate produces a 2.9% yield and 34.5 times multiple. These calculations exclude the value and future cash flows of the Crasus distribution only imperfectly because FY2025 cash flow is consolidated.
The owner-earnings multiple is lower than the 75.6-times statutory P/E because reported net income was depressed by impairments, but it is higher than a traditional value investor would accept for a leveraged cyclical materials company. The cash-flow basis therefore confirms that Resonac is priced for growth even after adjusting statutory earnings.
The valuation scenarios below use the pre-spin package basis. They estimate the combined value of post-spin Resonac, the distributed Crasus share and Resonac’s retained minority interest. They use a diluted share count to reflect the convertible-bond overhang and do not treat FY2025 impairments as perpetual.

The conservative case assumes that packaging demand remains structurally higher than in 2023 but slows far below the company’s narrow 31% AI-demand forecast. Semiconductor margins settle around 20%, Chemicals makes only a modest contribution and the market pays a quality-industrials multiple rather than an AI scarcity multiple. The resulting value is below the current quote.
The base case assumes continued content growth in advanced packages, successful capacity ramps, semiconductor margins in the low-to-mid twenties, fewer portfolio charges and no major deterioration in other businesses. It produces a value close to the current package price. The current market is already pricing much of a successful transition.
The optimistic case requires Resonac to convert breadth into package-level share gains, maintain segment margins approaching the first quarter’s level and generate much stronger free cash flow after the capex program. A 28–30-times multiple is defensible only if earnings become less cyclical and balance-sheet leverage declines.
The expectation gap is concentrated in four metrics: back-end materials revenue, semiconductor core margin, the FY2026 guidance decision, and the standalone Crasus valuation. A guidance increase without stronger cash flow would be less valuable than it appears. A margin above 24% combined with lower working capital and net debt would support the bull case. A strong Crasus opening price would benefit entitled holders but mechanically lower the residual post-spin Resonac price.
The conservative scenario gives a package fair value around ¥8,000–9,000, and the current ¥12,125 quote is 35%–52% above that range. There is no discount to conservative value at the current price.
The most fragile base-case assumption is that semiconductor revenue can compound while core margin remains at least 22%. If the assumed incremental earnings from packaging growth are reduced to 70% of the base estimate, normalized parent earnings fall toward ¥88–93 billion. At a 22–23-times multiple plus Crasus, package value falls to roughly ¥10,000–11,200, below the current price.
If FY2026 EPS remains flat for three years and the market continues to pay 28.5 times earnings, the investor earns primarily the 0.54% dividend yield. That is below the 2.80% 10-year Japanese government-bond yield. If the multiple normalizes to 20 times unchanged EPS, the terminal price would be about ¥8,500 before the Crasus bridge, producing an annualized capital loss near 11% over three years. There is no margin of safety at this buy price.
Margin-of-safety sufficiency verdict: none.
The current valuation is not an obvious bubble because the first-quarter semiconductor results substantiate part of the narrative. It is a good franchise embedded in a still-improving company at a price that assumes management will finish the repair and maintain high packaging growth. That is closer to “good assets, full price” than to a classic bargain.
The principal permanent-loss risks are specific.
AI packaging normalization has medium probability and high impact. The transmission path begins with hyperscale customers slowing accelerator deployments or package architectures requiring less incremental material. HBM, substrate and assembly utilization then falls; customers destock films, slurries and molding compounds; Resonac’s segment revenue growth falls below 5%; fixed-cost absorption weakens; core margin falls below 20%; and the stock loses its AI multiple. The observable indicators are quarterly back-end sales, segment margin, HBM shipment forecasts, advanced-packaging equipment orders and substrate utilization.
Share loss or qualification failure has low-to-medium probability and high impact. A competitor can offer a lower-stress molding compound, better thermal material or cheaper die-attach film and win a next-generation package. The revenue damage may be delayed because existing programs continue, but the lost qualification affects several years of production. Resonac provides insufficient public disclosure of customer concentration and product-level design wins, making early detection difficult.
Free-cash-flow disappointment has medium probability and high impact. Semiconductor capacity, US localization, environmental spending and maintenance of the legacy industrial base can keep capex above ¥100 billion even after reported profit recovers. If operating cash flow remains near ¥130 billion, owners receive little free cash flow and net debt declines slowly. The valuation would then depend on accounting growth rather than distributable cash.
Convertible dilution has medium-to-high probability if the share price remains above the adjusted conversion price. Full conversion of the ¥100 billion bond could add roughly 21.6 million shares before the Crasus adjustment. Earnings may still grow per share, but the hurdle is materially higher than the undiluted guidance presentation suggests.
Crasus price discovery has medium probability and medium impact. A weak listing valuation may reveal that the distributed asset carries more debt, central cost or commodity risk than investors expect. Technical selling by shareholders who do not want a petrochemical stock could depress Crasus after distribution. The economic package could underperform even if post-spin Resonac’s margin looks optically better.
Legacy-business recurrence has medium probability and medium-to-high impact. Chemicals is expected to improve by ¥13.5 billion in FY2026. A graphite-electrode or industrial downturn that prevents this swing would remove more than 40% of the group’s planned core-profit increase outside semiconductors. Further disposal losses would reopen the gap between core and statutory profit.
Positive catalysts over the next 12 months include a full-year guidance increase at or after the 2026-08-06 result, semiconductor core margin staying above 24%, successful ramp-up of die-bonding-film capacity, lower restructuring charges, and Crasus receiving a stronger standalone valuation than implied by its low consolidated margin. The September listing and October distribution may also broaden the investor bases for both companies.

The semiconductor growth and margin indicators should be taken from Resonac’s quarterly materials. Back-end sales are the cleanest operating measure when disclosed because consolidated semiconductor revenue also includes front-end and device businesses. Cash conversion should be assessed on a rolling 12-month basis to reduce maintenance timing noise. Leverage should fall as earnings recover; stable or rising leverage during a strong semiconductor cycle would indicate that capex and restructuring are absorbing the benefit.
The Crasus alert levels are analytical reference points, not forecasts. They should be revised once the standalone balance sheet, debt allocation, share count and listing disclosures are available. The valuation multiple should be applied to a consistent pre- or post-spin earnings base; a post-spin price cannot be divided by historical consolidated EPS without adjustment.

Vertically, Resonac has proven one capability beyond doubt: it can assemble industrial technologies through acquisition and operate them at global scale. Showa Denko survived as a diversified producer for decades, and the Hitachi Chemical acquisition brought a rare collection of packaging materials and customer qualifications under common ownership. The acquisition transformed the company’s strategic relevance. It did not prove that management could buy those assets at a price that immediately created shareholder value.
The years after 2020 show both sides. The transaction supplied the products that now drive virtually all core profit. The market may be misjudging the composition of FY2026’s profit recovery. The semiconductor segment supplies the most valuable growth, but the group forecast also depends on a ¥13.5 billion Chemicals turnaround and a ¥27.5 billion reduction in core-to-reported deductions. The 2.7-times net-profit increase is a poor shorthand for recurring AI earnings growth.
The market may also be underestimating how much of the current quotation belongs to Crasus. Until 2026-09-29, the share is a bundled asset. Post-spin price screens will show a mechanical decline, and historical multiples will become misleading unless adjusted. A clean analysis should add the market values of Resonac and Crasus for an entitled holder, then compare that package with the current ¥12,125.
For the next year, the decisive variables are second-half semiconductor orders, segment margin, guidance, Crasus listing terms and the core-to-reported profit gap. For the next three years, they are capacity utilization, share in AI packages, owner-earnings growth, debt reduction and dilution. Over five years, the question becomes whether Resonac can repeatedly co-develop successive package generations rather than benefit from one HBM and AI-capex cycle.
The investment becomes more attractive under three conditions: the package price falls below ¥7,200 without evidence of share loss; semiconductor margin remains above 22% through a demand pause; and rolling owner earnings exceed ¥100 billion while net debt to EBITDA falls below 2.5 times. Those conditions would combine a better price with evidence that the business quality has changed.
The research judgment should be overturned positively if Resonac discloses sustained back-end growth above 20%, converts it into free cash flow, and demonstrates that US-JOINT or similar programs produce measurable commercial wins across multiple material categories. It should be overturned negatively if segment margin falls below 20% for two quarters, full-year core-profit guidance drops below ¥130 billion, net debt to EBITDA remains above 3.5 times in an upcycle, or additional impairments keep statutory profit structurally below core profit.

Owning the shares at ¥12,125 requires a different claim: that the franchise is worth a premium multiple before the balance-sheet repair, cash-flow conversion and portfolio clean-up are complete.
