2025 revenue was $4.754 billion (Semi Tech $2.642 billion + Interconnect $2.112 billion), with a 46.2% gross margin, 21.4% EBIT margin, $1.273 billion of operating cash flow, $988 million of free cash flow, and 2026Q1 revenue +17.6% year over year, with clear improvement in reported earnings quality; but the spinoff simultaneously loaded on $4.1 billion of debt, net debt of $3.17 billion, and from 2026 about $265 million of annual interest begins to genuinely drag on OCF, while the 2025 reported cash flow did not fully reflect standalone interest costs. Goodwill and intangibles exceed shareholders' equity, and tangible net assets are negative $5.3/share, so the book offers no liquidation protection.

Three valuation methods give an intrinsic-value range of $35–55 conservative / $55–85 fair / $85–115 optimistic, with the current $159 still about 38% above the optimistic upper bound; current EV/EBITDA is about 23x and FCF yield only 1.6%, lacking cash-return appeal against the 10-year Treasury at 4.50%. Ideal buy $40–55, acceptable hold $55–90, above $110 is clearly overvalued; measured at the current price, the conservative-scenario annualized return is -8% to -6%, and if the AI/advanced-packaging environment cools alongside valuation compression, a 50%–70% permanent loss of capital is not unimaginable.

Core judgment: Qnity is not a "bad business." On the contrary, it is a high-quality industrial-technology company, freshly spun off from DuPont, that spans semiconductor materials, advanced packaging, interconnect, and thermal management, with deep customer relationships, products embedded in manufacturing processes, and tailwinds from AI and advanced-node upgrades. From 2023 to 2025 the company grew revenue, operating cash flow, and free cash flow; first-quarter 2026 revenue rose 18% year over year and management raised full-year guidance, indicating that both the demand environment and execution are sound. The problem lies mainly not in the "business" but in the "price": at roughly $159.11 per share and about $33.46 billion in market cap, the market has already priced in very durable high growth, high margins, and high-quality capital allocation. For a balanced-to-conservative value investor holding for 10+ years, I do not see a sufficient margin of safety.

Is there a margin of safety at the current price? No. As of May 27, 2026, Q traded at roughly $159.11 per share; at the end of Q1 2026 the company held $857 million in cash and $4.00 billion in long-term debt. Even measured against the midpoint of the company's raised 2026 guidance, current enterprise value is about $36.6 billion, corresponding to roughly 23x EV/EBITDA; under the more conservative "owner earnings" basis I adopt, the valuation is higher still. For a company that has only just been spun off, whose true standalone capital structure and cash flow are still "taking shape," this is not a cheap price.

Suitable investor profile: This is better suited to long-term investors who are familiar with the semiconductor-materials chain, can tolerate industry cycles and valuation compression, and are willing to track execution details over the long run; it is not suitable for ordinary conservative investors to buy directly at the current price.

The biggest uncertainties: First, what the true, sustainable standalone owner earnings actually are after the spinoff; second, how long the strong demand environment for AI and advanced packaging can last; and third, whether management, against a backdrop of $4.0 billion in interest-bearing debt, can genuinely center future M&A, buybacks, dividends, and capacity expansion on per-share intrinsic value rather than the pursuit of scale.

A note on methodology: Below I try to sort the content into three categories: facts are based on the company's latest 10-K, 10-Q, and IR disclosures together with authoritative industry and interest-rate data; inferences build financial and competitive analysis on those facts; opinions are my investment conclusions. For anything that cannot be rigorously confirmed from public sources, I explicitly write "unknown" or handle it conservatively.

The Business, Industry, and Moat

How does this company make money? Qnity's business is split into two segments. The first is Semiconductor Technologies, which supplies materials and solutions used across many steps of semiconductor manufacturing; its products are "qualified" into customers' process roadmaps to improve yield and performance and to support advanced process nodes. The second is Interconnect Solutions, which supplies materials related to signal integrity, thermal management, power management, and advanced packaging, serving complex PCBs, advanced packaging, and electronic hardware. The company generated $4.754 billion of revenue in 2025, of which Semiconductor Technologies contributed $2.642 billion and Interconnect Solutions $2.112 billion.

Who are the customers, and what is billed for? Qnity's revenue comes mainly from product sales to manufacturers and distributors, with revenue typically recognized at the point of shipment. Its customers span the global electronics and semiconductor value chain; management discloses that its top ten customers have an average relationship of more than 30 years and that it counts nearly all of the world's top 20 semiconductor manufacturers among its customers. In 2025 the top ten customers together contributed 34% of revenue, of which Samsung was 11% and TSMC 8%. This reflects deep customer relationships, but it also implies a degree of concentration.

Is the revenue recurring, stable, and predictable? Economically, this is a "repeatedly consumed but not contract-locked" business. Materials and process products are consumed again and again as wafers and components ship, so they naturally carry a repeat-purchase quality; but the company also states clearly that, while it has contracts with some large customers, there are no long-term minimum purchase commitments. This means revenue has a "process-embedded plus repeat-purchase" character, yet it is still subject to customer capacity utilization, end demand, and shifts in competitive share. It is not subscription software, nor is it a utility.

Cost structure and operating dependencies. Within Qnity's 2025 costs, cost of sales was $2.559 billion, about 53.8% of revenue; R&D was $354 million, SG&A $620 million, and amortization of intangibles $207 million. It uses large quantities of intermediates, resins, metals, and specialty chemicals; raw-material prices are driven by global supply and demand, and because technology advances quickly in the industry, R&D is indispensable. The company discloses that about 70% of raw materials are sourced in the local country, an attempt to build resilience through a "local-for-local" approach. On the other hand, about 79% of the company's 2025 sales came from the Asia-Pacific region and about 33% from China, making it fairly sensitive to geopolitics, export controls, and regional supply-chain changes.

Is this a business I can understand? My judgment: I can understand it, but it is not "especially simple." At its core it sells high-barrier materials and solutions that are embedded in customers' process flows and are critical to yield and performance. The economic logic is more direct than chip design or equipment platforms: once a customer completes qualification, it will not switch lightly; but the products themselves involve complex chemistry, materials science, and process coupling, so for a non-industry investor the transparency is lower than for consumer products or payment networks. Business-understandability score: 4/5.

If the stock market closed for 5 years, would I be willing to hold this business? I would be willing to hold this business, but not to buy the whole thing outright at today's quote. This is the most important distinction I draw on Qnity: business quality and purchase price are two separate things.

Industry and competitive landscape. The broad semiconductor industry is currently in a phase where structural growth and cyclical volatility coexist. WSTS expects the global semiconductor market to grow by more than 25% in 2026, reaching about $975 billion; in May 2026 the SIA likewise said global chip sales are still moving toward $1 trillion. At the same time, McKinsey believes demand from AI, data centers, and edge devices may open the next round of value creation. At its own 2025 Investor Day, Qnity described its serviceable market as more than $30 billion, of which about two-thirds is directly semiconductor-related. In other words, the track is a good one, but it will not be smooth.

Main competitors and industry position. The main competitors the company names in its 10-K include Entegris, Merck KGaA, Resonac, Element Solutions, and MKS Instruments. Qnity's relative advantages are that it spans wafer-fabrication materials, advanced packaging, PCB, and thermal management, with a comparatively broad product line and deep relationships with top customers; its disadvantages are that it does not form extreme dominance in any single sub-segment the way certain niche leaders do, nor does it have platform-style network effects. Industry-attractiveness score: 4/5. A good industry, but one that carries clear cyclical and technology-iteration risk.

Moat analysis. I believe Qnity does have a moat, but of moderate strength, not the impregnable kind. Specifically:

Note: the assessments in the table are my analysis based on public information, not the company's own statements. The main factual bases are given below.

Is the moat widening, stable, or narrowing? My judgment is: broadly stable for now, possibly widening in places, but there is not yet a long enough independent operating record to prove it. Advanced nodes, advanced packaging, thermal management, and the rising complexity of AI systems will increase the importance of materials qualification and co-development; this benefits incumbent suppliers. But against that, the industry is also innovating quickly, customers are more demanding on price, capacity, and localization, and competitors are catching up. The company's 2025 and Q1 2026 disclosures both show that Interconnect Solutions' "local price & product mix" is not strong, indicating that this is not a monopoly model that can raise prices at will. Moat-strength score: 3/5.

Resilience through inflation and recession. Qnity has some ability to raise prices and pass through costs, but it is not an absolute-pricing-power business. More importantly, it is heavily affected by the industry cycle; in its own risk factors the company stresses that the semiconductor industry is distinctly cyclical, and downturns typically bring greater price pressure and an unfavorable product/customer mix. In other words, it will most likely still survive a recession, but its profitability will not necessarily be stable.

Management and Capital Allocation

Is management trustworthy? At this stage my answer is "cautiously positive, but reserving judgment." The governance framework looks standard and shareholder-friendly: the company has established executive stock-ownership requirements, a compensation clawback policy, and an insider-trading policy; at the end of 2025 and in Q1 2026, both the CEO and CFO stated that disclosure controls were effective and disclosed no material weaknesses. The catch is that this company has a very short history as an independent public company, so many governance judgments remain at the "the framework is well designed" stage and have not yet reached the "proven over a long cycle" stage.

Are shareholder interests aligned? Qnity's proxy shows that CEO Jon Kemp holds or has the right to acquire about 188,933 shares, still below 1% ownership; the company also requires the CEO to hold stock worth 6x base salary and other executives 2x, and to retain 50% of net shares acquired until the threshold is met. My view is: the framework is aligning interests, but actual economic ownership is still not very strong. For a newly spun-off company this is acceptable, but it does not yet amount to being "deeply bound to shareholders."

What is the capital-allocation record? This is precisely where it is hardest to draw a firm conclusion. The company's capital-allocation framework through 2028 includes organic growth, strategic investment, opportunistic M&A, and shareholder returns. It began paying a dividend at the end of 2025; in February 2026 the board approved a $500 million buyback plan, and in March it repurchased about 220,000 shares at an average price of $113.78; viewed from today, that price is below the current price, which at least is not large-scale reckless buying at a high. On the other hand, Qnity was loaded with $4.1 billion of debt during the spinoff, effectively transferring capital to DuPont by taking on debt. For minority shareholders, this means what you are buying is not a "zero-debt, high-quality new company" but a company that took on non-trivial financial leverage at the moment of its spinoff.

Are M&A and buybacks rational? For now, one can only say "possibly rational, insufficient evidence." A buyback price below the current market price is a good sign, but the scale is still small, not enough to prove that management has a mature, contrarian buyback discipline. On M&A, the company states it will pursue opportunistic deals, but there is not yet enough standalone history to judge whether its M&A ROIC is excellent. What warrants more caution: on top of debt at the $4 billion level, any further high-priced acquisitions could easily dilute per-share value.

Management and capital-allocation score: 3/5. Adequate at the framework level, but behavior still needs time to be verified; the biggest deduction is not obvious dishonesty but rather that the true capital-allocation record as an independent company is too short. In addition, the former CFO stepped down in January 2026 for health reasons and the current CFO is interim, which adds a bit of execution and transition uncertainty.

Financial Quality and Owner Earnings

First, the data limitations. Qnity only truly completed its spinoff from DuPont and became independently listed in November 2025, so the standalone history directly usable for judgment is not long. Although the financial data in the 2023–2025 annual reports are audited, prior to the spinoff they still included some allocations of DuPont-level corporate expenses; the 2025 cash flow is also affected by the fact that the debt was established in the second half of the year and cash interest was not yet fully reflected. Therefore, the 2025 GAAP/reported cash flow looks very pretty, but it cannot be mechanically extrapolated into long-term true owner earnings.

The table below is compiled from the company's 2025 10-K and Q1 2026 quarterly report raw data; gross margin, EBIT margin, FCF, FCF conversion, ROIC, and so on are calculated by me on a consistent basis, used mainly to judge trends rather than as a precise audit-grade measure.

How do I read these numbers? First, revenue and earnings quality improved over the past three years. From 2023 to 2025 revenue rose from $4.035 billion to $4.754 billion, gross margin climbed from 43.5% to 46.2%, and EBIT margin also rose meaningfully. Second, from 2023 to 2025 accounting profit and cash flow matched up well, and if anything cash was better than profit, since both OCF and FCF stayed consistently above net income. Third, one crucial caveat must be added: the strong 2025 OCF/FCF growth does not mean the post-spinoff true free-cash-flow capability is already "locked in," because in 2025 the company had only just taken on large debt, and full-year cash interest had not fully run through. The company itself discloses that interest alone will cost about $265 million over the next 12 months; Q1 2026 OCF fell year over year, and management stated explicitly that the main reason was that it began paying interest on the long-term debt.

Are the profits real cash profits, or accounting profits? My judgment is: broadly real profits, but the 2025 cash performance is somewhat "flattering," and only from 2026 does it get closer to the standalone truth. In its 2025 audit, PwC listed revenue recognition as a key audit matter, which is not unusual for a manufacturing company; I have not so far seen any explicit disclosure of financial fraud, major restatement, or material weakness. The company said both at the end of 2025 and in Q1 2026 that disclosure controls were effective and that there were no disclosed material changes in internal controls. That said, as a newly listed company, its 2025 annual report does not yet include a formal 404(b) auditor attestation of ICFR, which remains a point to keep watching.

Is growth becoming more profitable, or increasingly cash-hungry? So far it looks more like "growth brings profit, but also consumes some working capital and capex." In Q1 2026, receivables and inventory each rose from year-end, holding operating cash flow to just $135 million, while capex reached $122 million. This pattern is not alarming, but it means this is not the kind of "zero-capital-consumption, asset-light money printer."

Is the balance sheet solid? It can be described as "bearable, but not comfortable." At the end of Q1 2026 the company had $857 million in cash and $4.00 billion in long-term debt, for net debt of about $3.17 billion. Using the 2026 guidance midpoint of $1.58 billion Adjusted EBITDA as a rough basis, net debt/EBITDA is a bit above 2x, which is still acceptable; but that is measured during a fairly strong industry environment. Should a semiconductor downturn arrive, the leverage would clearly become heavier. Add to that a large amount of goodwill and intangible assets on the asset side, and the true asset protection is thin.

Owner Earnings analysis. On a Buffett-style approach, owner earnings should start from net income, add back depreciation, amortization, and other non-cash charges, then deduct maintenance capex and working-capital needs. In 2025 the company's net income was $729 million; after adding back $169 million of depreciation, $207 million of intangibles amortization, and $20 million of stock-based compensation, the surface-level "cash earnings" is very high. The problems are: First, the company does not disclose maintenance capex; Second, in 2025 cash interest was not fully reflected, whereas from 2026 it already clearly drags on OCF; Third, under the strong 2026 environment, working-capital use is also rising. Therefore, I adopt a more conservative lower-bound basis: I take the midpoint of the company's 2026 "Adjusted Free Cash Flow guidance," $550 million, directly as conservative owner earnings, understanding the lower bound as an approximation of "cash truly distributable to shareholders after accounting for the current period's operating pressure and investment spending." On this basis, the current market cap is equivalent to about 61x owner earnings; even calculating with the 2025 annual-report FCF of $988 million, it is still about 34x. Neither is anywhere near cheap.

My conservative conclusion is: Qnity can generate real cash flow over the long run, but for now I am more inclined to view it as a "mid-to-high-quality, cycle-affected cash-flow company" rather than a "money printer that can already deliver very high shareholder cash returns steadily today."

Intrinsic Value, Margin of Safety, and Opportunity Cost

The market's current pricing of Qnity is already very high. To avoid drawing a conclusion from a single method, I look at it through three frameworks: owner-earnings discounting, relative valuation, and asset/liquidation value. The valuations below are my own estimates; the underlying financial and market data come from the company's disclosures and the latest share price.

Method 1: Owner-earnings discounting. I use three scenarios from conservative to optimistic, all discounting on a "cash available to shareholders" basis rather than an enterprise-value basis that then needs a second adjustment. The core assumptions are as follows: The conservative scenario starts from 2026 owner earnings of $500 million, with 6% growth in the first five years, 3% in the next five, a 10% discount rate, and 2% terminal growth; The neutral scenario starts from $575 million, with 8% in the first five years, 4% in the next five, a 9% discount rate, and 2.5% terminal growth; The optimistic scenario starts from $650 million, with 10% in the first five years, 5% in the next five, an 8.5% discount rate, and 3% terminal growth. Under these assumptions, the per-share intrinsic values I get are roughly: about $37 conservative, about $57 neutral, and about $84 optimistic. Given that maintenance capex is hard to separate out precisely, I widen the final ranges somewhat.

Method 2: Relative valuation. Looking only at traditional P/E, Qnity does not appear more expensive than some peers; but companies of this type are broadly affected by acquisition amortization and the cycle, so P/E has limited reference value. I place more weight on EV/EBITDA and EV/Sales. Using the latest market cap and each company's latest quarterly/results disclosures, Qnity is currently at roughly 23x EV/EBITDA and 6.9x EV/Sales; Entegris at roughly 27x EV/EBITDA and 7.6x EV/Sales; MKS at roughly 24x EV/EBITDA and 6.2x EV/Sales; and Element Solutions at roughly 19x EV/EBITDA and 3.7x EV/Sales. This tells me two things: first, Qnity is not obviously cheap on relative valuation; second, the market places it in the higher-quality semiconductor-materials/equipment ecosystem valuation basket rather than pricing it as an ordinary chemical-materials stock. The problem is that a high-basket valuation is not the same as a margin of safety.

Method 3: Asset or liquidation value. This is the company least suited to comforting oneself with "asset backing." At the end of Q1 2026, Qnity's total shareholders' equity was about $7.461 billion; but of that, goodwill was $7.514 billion and other intangible assets $1.061 billion. In other words, book tangible net assets are negative. By my calculation, book net assets are about $35.6/share, but tangible net assets per share are about -$5.3. This means that once the growth thesis fails, the share price has no solid liquidation value as protection.

Margin-of-safety judgment. My conclusion is very clear: there is no sufficient margin of safety at the current price. Even measured against the $115 top of my optimistic range, the current roughly $159 is still about 38% higher; measured against the more reasonable $55–85 range, the premium is higher still. The most fragile assumption in the valuation is not "whether the company will keep growing" but "whether the market is willing to keep awarding it a growth premium close to today's for the next 10 years." For a value investor, that assumption is too dangerous.

Ideal buy, acceptable hold, and clearly overvalued ranges. Based on the three methods above, my rough ranges are: Ideal buy price: $40–55; Acceptable hold price: $55–90; Clearly overvalued range: above $110. This is not to say the share price will definitely return to these levels; rather, if you regard yourself as an owner acquiring an entire business, rather than a trader chasing the next quarter's sentiment, these prices better fit the principle of having a margin of safety.

Comparison with other opportunities. Compared with the strongest peers, I would rather prioritize, at a similar valuation, a longer-standalone-record, more proven capital allocator. Compared with an S&P 500 ETF, Qnity currently carries higher single-company risk, customer concentration, geopolitical exposure, and valuation sensitivity, yet offers me no clearly higher expected return. Compared with the risk-free rate, the picture is even starker: the U.S. 10-year Treasury was about 4.50% on May 26, 2026, while Q's current P/E implies an earnings yield of about 1.95%; using the company's 2026 Adjusted FCF guidance midpoint of $550 million, the current equity free-cash-flow yield is only about 1.6%. Put another way, buying Q now is essentially a bet on very strong long-term growth and a very high terminal multiple, not the purchase of a currently attractive cash-return coupon.

If I could hold only 5 assets, I would not put Q in the portfolio at the current price.

Risks, Bear Case, and Investment Checklist

The most important risks. Qnity's foremost risk is not short-term share-price volatility but permanent loss of capital, which comes mainly from six sources. First, competition and substitution risk: the market the company operates in changes technologically fast, and Entegris, Merck, Resonac, Element Solutions, MKS, and others are all competing for customer qualification and share. Second, customer and geographic concentration risk: in 2025 the top ten customers accounted for 34% of revenue, with Samsung and TSMC together 19%; China accounted for 33% of revenue and Asia-Pacific 79%. Third, cyclical risk: semiconductor demand has historically been strongly cyclical, and the company itself admits that downturns typically bring pressure on prices and margins. Fourth, financial-leverage risk: the spinoff brought $4.1 billion of debt, with interest alone of about $265 million over the next 12 months. Fifth, new-independent-company execution risk: it is still exiting the transition services agreement with DuPont, and although internal controls and system governance are effective for now, they have not yet been tested through a full cycle. Sixth, valuation risk: even if the business keeps growing, if the market re-rates it from a "high-growth semiconductor-materials platform" to a "mid-to-high-quality industrial-materials company," the multiple contraction alone could be enough to make investment returns very poor.

The strongest bear case. The bear case would put it this way: Qnity is indeed a decent company, but it has only just gone public and has not yet been tested through a full standalone cycle; its 2025 reported profit and cash flow are heavily affected by changes in the pre- and post-spinoff accounting basis. Yet the market has already awarded it a high valuation as an "AI core picks-and-shovels seller, long-term high-growth, high-quality cash-flow platform." Once AI investment enthusiasm cools, advanced-packaging growth reverts to normal, customer destocking recurs, or the company makes a high-priced acquisition in capital allocation, buyers at the current price may well find they have bought a good company at a bad price. I consider this a very strong and very respectable short thesis.

What facts would overturn my investment judgment? If the following facts emerge in the future, I would admit I have been too conservative: The company keeps lifting owner earnings above $800 million–$1 billion during 2026–2028, without relying on large-scale borrowing or big acquisitions; Net debt/EBITDA falls rather than rises; Gross margin and EBIT margin remain stable through industry swings; Management keeps buying back stock when it is undervalued, exercises restraint on M&A, and clearly orients around per-share value.
