In the same year it recognized $667 million of restructuring impairment, showing that past judgments on capacity and product roadmaps were not always right. With about $2.4 billion of cash against $3 billion of long-term debt, leverage is moderate, so the real question is not whether it will go under, but that the current $50 billion market cap corresponds to conservative Owner Earnings of only $900 million, about 55x, with a free-cash-flow yield of only a bit over 2%, below the 10-year Treasury's 4.56%.

On an owner-earnings discount, the conservative range is $45-60, fair $75-95, and optimistic $110-135, so the current price is already approaching the optimistic upper edge. The ideal buy range is $70-90, requiring a 25%-35% discount; if the earnings center of gravity recovers short of expectations over the next two to three years, a 40%-60% permanent capital loss is no exaggeration.

The real question is not "can it survive" but "is the price cheap enough right now." Understanding the Business and the Industry Landscape

How exactly does this company make money

[Fact] Almost all of onsemi's revenue comes from selling semiconductor products. Under its reported segments in 2025, PSG (Power Solutions Group) revenue was $2.805 billion, or 46.8%; AMG (Analog and Mixed-Signal) revenue was $2.262 billion, or 37.7%; and ISG (Intelligent Sensing) revenue was $928 million, or 15.5%. In its 10-K, the company explicitly states that revenue comes mainly from selling semiconductor products to distributors and direct customers, with about 99% of 2025 revenue from product sales and only a very small share from development agreements and the like. Its products span SiC, MOSFETs, power modules, analog power management, interface/logic, CMOS image sensors, and more, with end markets focused on automotive, industrial, and AI data centers.

[Fact] On customer structure, in 2025 54% of revenue came from distributors and 46% from direct customers; the company discloses that one distributor contributed about 11% of total revenue in 2025. Orders are not the high-visibility subscription-type revenue of SaaS: the company discloses that standard-product orders can generally be canceled 45-120 days before shipment, while cancellation of custom products requires compensation for actual costs already incurred. This means onsemi's revenue has repeatability after design-in, especially in long-cycle automotive/industrial platforms, but it does not constitute high-stickiness recurring revenue in the strict sense.

[Fact] On cost structure, onsemi remains an IDM/hybrid-manufacturing company with clear manufacturing characteristics. It owns front-end wafer fabs in the United States, the Czech Republic, Japan, Korea, and Malaysia, and back-end assembly-and-test facilities in Canada, China, Malaysia, the Philippines, Vietnam, and the United States; at the same time, its New Hampshire plant produces SiC boules, and its Czech and Korean plants produce silicon and SiC wafers, forming a degree of vertical integration. The manufacturing nature means: when the cycle turns up, fixed costs are spread out and gross margin and cash flow improve quickly; when the cycle turns down, falling utilization rapidly erodes profit. In 2025, PSG gross margin fell sharply from 41.3% to 24.5%, mainly the combined result of falling volumes, low plant utilization, and an unfavorable product mix.

[Inference] From the standpoint of "can I understand this business," onsemi is not hard to understand: it does not make money from advertising, platform traffic, or complex financial engineering, but by selling high-voltage/high-efficiency/high-reliability power electronics and sensing chips to automotive, industrial, and computing-infrastructure customers. The core variables of this kind of business are also relatively clear: end demand, product mix, ASP, utilization, capex discipline, and design-win quality. The difficulty is that it is not a smooth business but one that is "understandable, yet highly volatile." If the stock market closed for five years, I would be willing to hold this business only on the condition that the entry price is conservative enough, and I accept that there will be meaningful earnings swings in the interim.

Business comprehensibility score: 4/5. [Opinion] I can understand how it makes money and where its main risks come from; the point I deduct is because the complexity of semiconductor-manufacturing cyclicality, technology iteration, and capex cadence is higher than that of many traditional "Buffett-style" good businesses.

Industry and competitive landscape

[Fact] The industry onsemi sits in is not a single market but a crossover combination of "power semiconductors + analog/mixed-signal + sensing + automotive/industrial application semiconductors." Long-term industry demand has clear positive drivers: WSTS projects the global semiconductor market will approach $975 billion in 2026, but the main engine of that growth comes more from memory and logic; for the analog, discrete, and industrial/automotive demand more relevant to onsemi, the pace of recovery is usually slower. On the other side, the IEA discloses that 2025 global EV sales already exceeded 20 million units, accounting for 25% of new-car sales; electrification, power conversion, fast charging, energy storage, and industrial automation are all raising the power-semiconductor and sensor content per system. In other words, the long-term demand direction is right, but the short-to-medium term is still affected by inventory and capex cycles.

[Fact] On competition, onsemi is no island. The strongest rivals depend on the sub-segment: in power semiconductors and automotive power devices, Infineon and STMicroelectronics are very strong; in automotive processing/connectivity and security chips, NXP is stronger; in analog semiconductors and capital discipline, Texas Instruments is the benchmark often used for comparison. In its Q1 2026 investor materials, Infineon cites TechInsights and Omdia data to claim leadership in automotive semiconductors, automotive MCUs, and power semiconductors; the same materials list onsemi's 2024 global power discretes & modules market share at about 8.5%, clearly not a marginal player, but not an outright leader either.

[Inference] Therefore, the most accurate positioning for onsemi is not "industry overlord" but an important participant that holds a real position in high-growth arenas yet still sits in a landscape surrounded by strong rivals. This leads to two conclusions: First, the industry profit pool is not evenly distributed; those who can truly capture high returns are generally companies with deep technology, strong customer certifications, and better manufacturing and cost control; Second, onsemi's upside comes from rising penetration in the automotive-drivetrain, industrial-power, and AI-data-center-power chains, not from monopolistic price hikes.

[Opinion] My qualitative take on this industry is: "a better company in a moderately favorable industry," not "a perfect company in a perfect industry." Long-term industry demand is very good, but technology turnover and the supply-demand cycle are strong; the company can capture part of the structural upgrade, but it cannot be as asset-light and cycle-free as a software platform.

Industry attractiveness score: 3/5. [Opinion] The direction is right, the cycle is pronounced; there is structural growth, but it is not inherently highly certain.

[Fact] The part of onsemi that can truly be called a "moat" comes mainly from automotive-/industrial-grade certification, long product life cycles, customer design-in and re-qualification costs, and vertically integrated SiC manufacturing capability. The company acquired GT Advanced Technologies in 2021 to accelerate SiC innovation and "secure SiC supply"; in 2025 it acquired Qorvo's SiC JFET technology business to reinforce AI-data-center AC-DC power applications, while its own boules, wafers, and global manufacturing network give it stronger supply control than a pure design company.

[Inference] But this moat is not wide enough to cross every cycle. The most direct evidence is that in the weak-demand year of 2025 the company had to carry out a manufacturing restructuring, recognizing $667 million in net restructuring/impairment/other charges, including $496 million of equipment impairment and $268 million of inventory impairment; in the same year PSG gross margin fell sharply. In other words, onsemi's moat is more about "letting you earn more in good cycles and not getting killed easily in bad ones," rather than the kind of super-moat that "earns steadily no matter the environment."

[Opinion] So my judgment is: the moat exists, but its width is medium, and it depends more on execution than on natural monopoly. Right now it looks more like "stable with slight expansion" than clearly widening. For a competitor to replicate onsemi's key capabilities takes not just money but also the accumulated time across multiple links — from materials to devices to automotive-grade qualification to customer-platform design-in; but given that Infineon, ST, TI, and NXP have all long existed, onsemi's competitive environment will not suddenly empty out just because it is good.

Moat strength score: 3/5. [Opinion] There are thresholds, but not the kind so formidable that others cannot get in.

Management and capital allocation

[Fact] The positive evidence on management is mainly fourfold. First, incentives lean long-term: the proxy shows that the vast majority of CEO Hassane El-Khoury's 2025 target total compensation is variable pay and equity incentives, and the company sets the CEO a stock-ownership requirement of at least 6x annual salary; as of the record date, all NEOs met the ownership guidelines. Second, the CEO voluntarily forfeited his short-term cash incentive (STI) in 2025 because of the company's restructuring. Third, the company prohibits executives and directors from hedging, pledging, or short-selling company stock. Fourth, on capital returns, in 2023-2025 it repurchased about $564 million, $650 million, and $1.375 billion of stock respectively; the 2025 buyback average price was about $49.24/share, markedly below the current share price.

[Fact] But two reservations should also be noted. First, insiders' truly "life-changingly large" holdings are not high: the proxy shows the CEO holds about 710,000 shares — valuable, but the ownership stake is still less than 1%. Second, in May 2026 the company announced the issuance of $1.3 billion of 0% convertible notes, with a conversion price at a 52.5% premium to that day's closing price, and simultaneously expected to use about $331.9 million to repurchase about 3.1 million shares. This shows management is very good at using low-cost capital instruments, but it also means it continues buying back above $100, which for a new investor is not necessarily a signal of "extremely rational bottom-fishing."

[Inference] My assessment of management is: honesty and execution are broadly positive, capital-allocation capability is above average, but not yet to the point where it can be trusted blindly. They are willing to do painful manufacturing restructuring and to buy back heavily at lows — both good signs; but onsemi remains a technology- and cycle-driven industry, and management is largely "raising the company's quality" rather than turning a poor industry into a divine business.

Management and capital-allocation score: 3/5. [Opinion] More reliable than the many management teams that "only tell stories," but not yet enough for me to pay an extremely high valuation premium.

[Fact] This table very clearly explains onsemi's financial nature: over 2020-2024 it went through a very handsome round of margin and cash-flow improvement, with operating margin rising from 19.1% to 30.8% in 2021-2023 in particular; but in 2025, earnings fell off almost a cliff, with GAAP operating margin dropping to 1.4% and net income to parent at just $121 million. This is not a "mild fluctuation" but a textbook display of a semiconductor + manufacturing-utilization down-cycle layered with restructuring and impairment.

[Fact] On cash-flow quality, 2025 operating cash flow was still $1.76 billion and free cash flow about $1.419 billion — seemingly very strong, but it needs to be unpacked: 2025 operating cash flow included a sizable working-capital release — receivables collection, inventory reduction, and rising payables — plus $496 million of non-cash impairment. So the 2025 phenomenon of "cash notably better than profit" reflects more the cash recovery and non-cash charges of a cyclical adjustment than the company suddenly gaining stronger structural earning power.

[Fact] The balance sheet is not bad. At year-end 2025, cash and short-term investments were about $2.548 billion and total long-term debt about $3.005 billion, so net debt is very low; at the end of Q1 2026, cash and short-term investments were about $2.404 billion and long-term debt about $3.005 billion, still with moderate financial leverage. Interest coverage was as high as about 28x in 2024 but was squeezed to about 1.2x in 2025 because GAAP operating profit was crushed by restructuring and low utilization — but that looks more like the result of a cyclical trough plus large special items than a normalized debt risk. The company's biggest risk is not being crushed by debt, but rather the market re-cutting the valuation if margin recovery falls short of expectations.

[Fact] On share count, over the past few years the company did achieve meaningful share reduction: shares outstanding were about 423 million at year-end 2024 and about 397 million at year-end 2025; in 2025 alone it repurchased 27.926 million shares. This is genuinely favorable to per-share intrinsic-value growth, not a paper game. Since its IPO the company has never paid a common-stock cash dividend; its main means of returning value to shareholders is buybacks.

[Opinion] As for financial fraud, aggressive accounting, or earnings manipulation, I currently see no obvious red flags. On the contrary, the large 2025 impairments and restructuring charges lean, in a sense, more toward "recognizing the problems all at once" than continuing to hide them in inventory and fixed assets. But two kinds of accounting risk warrant continued attention: first, whether large strategic adjustments and asset impairments keep recurring in the future; second, as management increasingly uses non-GAAP metrics, whether investors will overlook the real volatility of manufacturing utilization and capital returns.

Owner earnings analysis

[Fact] On a trailing-twelve-month basis through Q1 2026, onsemi's GAAP net income to parent was roughly $574 million; the corresponding depreciation and amortization for the period was about $805 million, and stock-based compensation about $148 million. On the other hand, trailing-twelve-month free cash flow was about $1.18 billion. This shows that short-term accounting profit is markedly below cash flow, but a substantial part of that comes from 2025 non-cash impairments and working-capital recovery, rather than being fully sustainable.

[Assumption] Using a more conservative "Owner Earnings" approach, I would estimate as follows: Net income $574 million

  • Depreciation & amortization $805 million

  • Stock-based compensation $148 million

  • Maintenance capex $450 million (conservative assumption; higher than actual 2025 capex, lower than peak-expansion capex)

  • Ongoing working-capital drag about $170 million (conservatively estimated from the trailing-twelve-month working-capital change) = Conservative Owner Earnings of about $900 million. This is a "somewhat harsh" way to estimate, but I think it is more appropriate for a cyclical stock. Based on the current market cap of about $50.05 billion, the current share price corresponds to roughly 55x conservative Owner Earnings.

[Inference] Seen this way, the issue becomes clear:

  • Free cash flow over the long run is not clearly below net income, and in most years is even higher;

  • but cash flow being better than profit in 2025-2026 does not mean the valuation is cheap;

  • from a long-term owner's perspective, the market is currently paying a price for future recovery and re-expansion, not a price of "current owner earnings being very cheap."

Intrinsic Value, Relative Valuation, and Margin of Safety

[Opinion] For a cyclical semiconductor company like onsemi, a single-point valuation means little; I put more faith in range-based valuation. In the three methods below, I try to use conservative assumptions throughout.

[Assumption] The core meaning of these ranges is, respectively:

  • Conservative scenario: treats the post-trough recovery as fairly slow, viewing 2025-2026 not as a brief interlude but as a downward shift in the earnings center of gravity;

  • Neutral scenario: assumes the company can return over the coming years to a margin closer to 2024's, while still retaining cyclical characteristics;

  • Optimistic scenario: assumes SiC, automotive drivetrain, AI-data-center power, and analog platformization jointly drive a higher earnings center of gravity. [Opinion] Among these three scenarios, I think the neutral scenario is the most appropriate decision anchor, while the current share price of $127 is already near the upper half of the optimistic range.

[Inference] The core conclusion of this table is not "onsemi is cheaper than whom," but: onsemi is not currently cheap enough for the case to hold automatically on relative valuation. It is indeed not extreme versus TI or STM, but TI has a stronger FCF-per-share culture and a more stable business structure, while NXP is better positioned in automotive semiconductors; onsemi's relative-valuation advantage is not distinct. Looking at onsemi itself again, at a current market cap of about $50 billion against my conservative Owner Earnings of only about $900 million, the owner-earnings yield is on the low side.

Asset or liquidation-value method

[Fact] The asset method offers onsemi the weakest support. At year-end 2025, total shareholders' equity was about $7.69 billion; after deducting $1.68 billion of goodwill and $344 million of intangible assets, tangible net assets were roughly $5.67 billion, or only about $14.3/share. At the current $127 share price, what the market is paying is not a price to "acquire the plants and inventory at a discount to assets," but a price to "pay a high premium for the next decade of earning power." In other words, this is not a stock whose downside is protected by liquidation value.

[Opinion] Within this framework, the current $127 roughly means:

  • versus the conservative range, the premium is very large;

  • versus the fair range, the premium is still clear;

  • only under the optimistic scenario does the current price barely hold up. For a "balanced, slightly conservative" long-term investor, this does not meet my requirement for a margin of safety. I would prefer at least a 25%-35% discount before acting.

[Inference] The most fragile assumption in the valuation is not "whether the company will go under," but: whether the company can prove the 2025-2026 trough to be short-term noise and, over the next 3-5 years, rebuild an earnings center of gravity close to or above 2024. If growth falls short and margin recovery is slower than expected, then even if the business is still a "good company," investment returns could be quite ordinary; if the valuation multiple falls back from its currently recovery-anticipating level, investors could still suffer permanent capital loss. This is exactly the most textbook case of a "good company, but bad price."
