Price is another hurdle. The final takeover offer before delisting was 4,350 yen per share. By the report’s own calculation, the company was actually worth only 1,200 to 3,800 yen. Even under the most optimistic scenario, 4,350 was not cheap. In other words, that price had already baked in a full future turnaround and left no margin for buying cheaply.

The biggest thing to watch is that the good asset, this pile of bad liabilities, and the heavier debt load after delisting are all bundled into one box. Whether the company relists or is sold in the future is not something minority shareholders can decide. The report warns that if the turnaround does not go smoothly, buying in at 4,350 could mean losing half to seven-tenths. Its conclusion is therefore to put JSR on the watchlist and wait, rather than paying a high price for the semiconductor story.

Conclusion First

The most important conclusion first: for ordinary secondary-market investors, JSR is currently closer to an "uninvestable watchlist name" than an executable buy. The reason is not only that it has already been delisted. Measured against the last public trading/acquisition price, the valuation does not offer enough margin of safety. At the same time, the truly high-quality part of the company is mainly concentrated in electronic materials, while the group as a whole has been heavily dragged down by a life sciences business with a worse lifecycle profile and more obvious capital-allocation mistakes. The Tokyo Stock Exchange decided to delist JSR effective June 25, 2024; the economically more relevant last public consideration is JICC-02's tender offer price of JPY 4,350 per share, while the reference market capitalization on the last public trading day was about JPY 903.4 billion, with PBR of about 2.40x.

Investment rating: Watch. Core judgment: First, JSR's electronic materials business has high technical barriers, customer qualification barriers, and long-term demand support. It is a "good-business fragment" I can understand and would be willing to track for the long term. But JSR is not a pure electronic materials stock. In the fiscal year ended March 2025, it was still weighed down by life sciences, with a large impairment and extremely poor group-level profit performance. Second, looking back at the JPY 4,350 tender offer price, that price reflected high expectations for a "smooth rebirth after divesting loss-making businesses," not the kind of mispricing conservative investors prefer. Third, if JSR relists in the future and completes the life sciences divestiture and balance sheet repair, it may again become a company worth studying. But that would be a different JSR with a cleaner financial structure.

Whether the current price has a margin of safety: If "current tradable price" is the standard, the answer is impossible to judge, because the company has been delisted. If the last public consideration of JPY 4,350 is used as a reference, the answer is no. Later in this report, I use conservative, neutral, and optimistic owner earnings DCF scenarios and arrive at an approximate per-share value range of JPY 1,200 to JPY 3,800. JPY 4,350 is not cheap even under the optimistic scenario.

Suitable investor type: It is more suitable for long-term value investors who want to track it as a "semiconductor materials restructuring case that may relist in the future." It is not suitable for ordinary investors to treat it as a Tokyo Stock Exchange stock that can be bought today. Reuters reported that JIC had considered selling JSR in 2026, and JIC also said in 2025 that one of its goals was a potential relisting within 5 to 7 years. This further shows that what you face today is not a stable public-market investment object, but a restructuring story whose ownership and capital structure may still change.

Biggest uncertainties: First, whether the core electronic materials business can, after the life sciences divestiture, truly demonstrate the ability to generate sustained owner earnings of more than JPY 2.0 to 3.0 billion. Second, how quickly the high leverage and high interest costs after delisting will decline. Third, the future sale/restructuring/relisting path and price are not controlled by minority secondary-market shareholders today.

Data basis note: The company's 2025 business briefing materials label the fiscal year "ended March 2025" as FY24. To avoid confusion, this report generally writes "year ended March of a given year." In addition, JSR continued to disclose its 2025 integrated report and business briefing materials after delisting, but the last standard public listed-company "annual financial results" were the financial statements for the year ended March 2024. Much of the information for the year ended March 2025 comes from voluntary company disclosures rather than the regular quarterly system of a listed company.

Business, Industry, and Moat

Business Understanding

JSR's revenue sources today can basically be divided into four blocks: electronic materials, display/optical materials, plastics, and life sciences, which is being divested or scaled down. The company's website and 2025 integrated report both show that the electronic materials business provides materials across the semiconductor manufacturing process, including photoresists, CMP slurry, cleaning solutions, advanced packaging materials, and ALD/CVD precursors. Display and optical materials include LCD alignment film, passivation coat, ARTON resin, and infrared cut filters. Plastics mainly include ABS, AES, AS, ASA, and other synthetic resins. Life sciences covers CRO, CDMO, Bioprocess Materials, and the IVD/IVD materials business previously transferred to Tokuyama.

Its customer base is therefore highly segmented. Electronic materials serves global fabs, logic/memory chipmakers, and packaging houses. Display materials serves panel makers and the consumer electronics supply chain. Plastics mainly serves automotive and industrial materials customers. Life sciences serves pharmaceutical companies, biotechnology companies, and research institutions. In electronic materials, the company emphasizes that it provides materials deeply embedded in customers' process flows, requiring angstrom-level dimensional control and ppt-level impurity control, and that it meets these requirements through an integrated system from molecular design to mass-production supply. In other words, this is not a business of selling standardized chemicals. It is a business of selling material solutions that have been deeply qualified in customer processes and are difficult to replace casually.

The way this business charges customers is not complicated: it is essentially priced by material sales, while part of the life sciences business charges by project/service contracts. The real key is not the billing model but the "stickiness" of revenue. Once electronic materials enter advanced manufacturing processes, they usually require long qualification cycles and stable supply systems, so repeatability is higher than for ordinary chemical materials. But the other parts of the group do not have equally attractive characteristics. The plastics business is heavily affected by automotive and industrial cycles. The life sciences business originally hoped to build a service platform around CRO/CDMO, but in fiscal 2025 it exposed problems in new-plant ramp-up, quality, and customer demand.

In terms of cost structure, JSR is not an "asset-light software model." It is a typical materials company with high R&D, demanding quality systems, and high manufacturing barriers. The 2025 integrated report shows R&D expenses of about JPY 34.1 billion and capital expenditures of about JPY 28.4 billion for the year ended March 2025. As of March 2024, the company had property, plant and equipment of about JPY 174.9 billion and goodwill of about JPY 153.1 billion, and in fiscal 2025 it continued to bear PPA amortization and life sciences goodwill impairment. In other words, JSR needs continuous capital and technical investment to defend its leading process position.

On dependencies, customer concentration and the proportion from any single customer are not clearly disclosed by segment in public materials, so this part can only be marked as requiring additional information. But judging from the nature of the business, electronic materials will clearly be highly tied to the process roadmaps of a small number of leading global semiconductor customers. The company itself is also advancing a closer setup with Taiwanese customers in 2026 and acquired Yamanaka Hutech in 2024 to enter high-purity chemicals, completing more of the semiconductor materials puzzle. This shows its dependence on "close customer service" and "process-support completeness" is very high.

If the "stock market closed for 5 years" question applies only to the core electronic materials business, my answer leans toward "willing to keep researching and possibly hold." If it applies to the entire JSR group as of March 2025, my answer is not willing to hold directly for the long term at a high price. What you are buying is not only high-quality semiconductor materials. You are also buying a complex group that has just gone through a large impairment, rising debt, strategic wavering, and ongoing restructuring. Business understandability score: 3.5/5. Electronic materials is easy to understand. The group portfolio is not simple.

Industry and Competitive Landscape

Looking only at electronic materials, JSR operates in an industry that is structurally upward over the long term but strongly cyclical in the short term. Recent public judgments from WSTS, SEMI, and leading foundries point to the same thing: AI, HPC, advanced packaging, HBM, and more complex process nodes are pushing up global demand for semiconductors and semiconductor materials. SEMI even disclosed that global semiconductor materials revenue reached USD 73.2 billion in 2025, a record high, while TSMC in 2026 raised its 2030 outlook for the global semiconductor market to more than USD 1.5 trillion. So this is not a declining industry. It is a structurally growing industry; the cycle can still be extremely painful.

But JSR's group reality is far more complex than the industry narrative. Display materials are more mature. Plastics is mature and more tightly tied to automotive/industrial cycles. Life sciences was supposed to provide "de-cyclicality," but in fiscal 2025 it instead became a profit sink. In the year ended March 2025, the company's electronic materials and display/optical/edge materials performed well, plastics was basically flat, while life sciences revenue fell 38% year over year and core operating profit was JPY -38.7 billion, almost swallowing the entire group's earning power.

In terms of major competitors, the photoresist and semiconductor materials track cannot avoid Tokyo Ohka Kogyo (TOK), Shin-Etsu Chemical, Fujifilm Electronic Materials, DuPont, and, in broader semiconductor materials, companies such as Resonac. TOK's official and public-market materials position it as a "world-leading company with photoresist as its core product." Japan remains strong in wafer fabrication equipment materials and chemicals, and FT and Reuters reports on Japan's semiconductor materials supply chain have repeatedly mentioned names such as JSR, Shin-Etsu, and Resonac.

JSR's strongest competitive position is in advanced electronic materials. In 2022, the company explicitly stated that it had the world's top share in ArF photoresists, and that its products covered chips accounting for about one-third of global semiconductor output. In 2025, it again emphasized that the electronic materials business would continue expanding around lithography materials, CMP slurry, cleaning solutions, advanced packaging, and precursors, while maintaining a high market share in semiconductor materials. At the same time, in display materials, the company also directly stated in internal materials that LCD alignment film/passivation coating/over coat held the world's No. 1 market share. All of this shows that in core electronic materials niches, JSR is not a marginal player.

Is the industry profit pool concentrated? For electronic materials, the answer is relatively concentrated among a small number of high-barrier companies. But the profit pool of the whole JSR group is not concentrated in one clean, high-return track, because plastics and the former life sciences business have dragged down average group quality. Pricing power is similar: electronic materials has some ability to raise prices/pass through costs, plastics is much weaker, and life sciences looks more like a service-capacity utilization business with higher uncertainty. Industry attractiveness score: 3.5/5. A good industry mixed with a less attractive business portfolio.

Moat Analysis

If JSR is treated as a whole, the moat score will be understated; if it is broken into parts, the moat in electronic materials is clearly stronger. The moat most worth emphasizing is not brand, but process embedding, qualification cycles, proprietary formulas, quality systems, and customer co-development. The company summarizes its electronic materials strengths as broad supply of lithography and cleaning materials, an integrated system from R&D to mass-production supply, scientific capabilities across polymer chemistry / molecular design / data science, and next-generation materials development capabilities such as EUV. Achieving these is not only a matter of spending money. It also requires long-term know-how and customer relationships.

Brand advantage: It means almost nothing to ordinary consumers. For B2B fabs and panel makers, brand is more about "reliable supplier reputation" and yield track record, so it exists but is not explicit.

Cost advantage: This is not the lowest manufacturing cost, but a "total cost of ownership advantage." In advanced process nodes, the material's own cost is not a large part of the customer's total wafer cost, but if a material switch fails, the yield loss can be huge. Customers therefore care more about stability than the lowest quote. In this setting, technology and quality become an implicit cost advantage.

Scale advantage: It exists in advanced electronic materials. The company has historically held a leading share in ArF photoresist, and in 2025 it strengthened its high-purity chemicals puzzle through the acquisition of Yamanaka Hutech, trying to extend scale from a single product into a more complete materials platform.

Network effects: There are almost no network effects in the traditional sense. It is more like a relationship network formed by qualification databases, customer trust, and process co-development.

Switching costs: This is the strongest element. Once photoresist, CMP slurry, cleaning solutions, and advanced packaging materials enter advanced-node processes, the replacement cost is not just placing a new order. It means requalification, yield impact, possible line stoppages, and customer certification risk. The company's description of angstrom-level and ppt-level control is itself evidence of high switching costs.

Channel advantage: Ordinary. This is not a consumer-goods channel; it is a global technical support and supply system close to customers. The company's disclosed group-company footprint and recent moves to strengthen electronic materials subsidiaries in Taiwan, Korea, and China show that the essence of its channel is "serving customers nearby."

Patents, licenses, and regulatory barriers: They exist. In 2025, the company disclosed about 1,794 patents in Japan and 2,244 overseas patents. This alone cannot form an absolute moat, but when combined with process qualification and formulation know-how, it becomes part of the replication barrier.

Data advantage: It exists but is not pure. The company emphasizes applying theoretical science, molecular design, and cross-disciplinary knowledge to development, while its life sciences CRO business once emphasized owning one of the world's largest PDX model collections. But as life sciences is being scaled down, the future contribution of this factor to group value is declining.

Corporate culture or operating capability: Moderate to above average. Governance systems, outside directors, compensation committees, Nomination Committee, Malus Clawback, and similar mechanisms look good on paper. But the life sciences business's new-plant shutdown, quality problems, and large impairment show that operating execution is not stable.

Capital-allocation capability: This is the weakest element. Incremental investment in electronic materials and the Yamanaka Hutech acquisition are understandable. But the life sciences expansion ultimately brought a JPY 15.76 billion impairment, JPY 4.05 billion PPA amortization, and a significant increase in debt and interest burden. It is hard to call that high-quality capital allocation.

Overall, the moat is "strong by segment, diluted at the group level." I would give the electronic materials moat 4/5; for the entire JSR group, only 3/5. In terms of trend, the electronic materials moat remains stable to slightly widening, because AI and advanced processes raise qualification barriers. The group-level moat looks narrower and more uncertain because of life sciences restructuring. A competitor trying to replicate JSR's core electronic materials capabilities would reasonably need years of R&D, customer qualification, and high-quality manufacturing capex. This is not ordinary chemical capacity that can be copied in one or two years. This judgment is an inference, but it is consistent with the company's disclosed process-control requirements, global share, and sustained R&D investment.

Management and Capital Allocation

From a governance-structure perspective, JSR has several positives. The company has long maintained a board, audit system, compensation and nomination advisory committees, and introduced Malus Clawback provisions in FY2021. Around the delisting period, board and committee attendance rates were also almost perfect. In 2025, the company's website disclosed that, both before and after delisting, directors and auditors basically achieved 100% attendance at board meetings. These points show that JSR is not an obviously poorly governed company.

But "sound governance systems" do not equal "excellent capital allocation." Judging by results, the life sciences allocation is hard to grade highly. Over the past few years, the company used M&A and capacity expansion to build a CRO/CDMO/BPM/IVD platform, theoretically aiming to create a second growth curve. Yet by the year ended March 2025, the result was a North Carolina new CDMO plant shut down due to quality issues, a large loss in life sciences, and a JPY 15.76 billion impairment. The company then sold IVD/IVD materials to Tokuyama and BPM to Merck. In substance, it was admitting that the previous portfolio was not the best capital allocation.

On shareholder returns, JSR was not completely indifferent to shareholders. In 2022, the company carried out a buyback program of up to JPY 30.0 billion and cancelled 17.726 million treasury shares, about 7.8% of total shares outstanding before cancellation. Fiscal 2023 financing cash flow also shows about JPY 30.1 billion of treasury share repurchases. This indicates that while publicly listed, the company did take steps to improve capital efficiency. But the later life sciences expansion and impairment offset these positive actions.

Management orientation has also changed markedly. The Eric Johnson era and JIC's take-private logic emphasized escaping listed-company pressure and promoting industry restructuring and M&A. But new CEO Tetsuro Hori, who took office in 2025, had clearly shifted his Reuters messaging toward "repair the finances first, then talk about M&A," and even explicitly said that a sale was possible if life sciences did not improve. This shift is not bad; it is more rational. But it also shows that the previous capital-allocation direction has been corrected by reality.

My conclusion is: management integrity and governance framework are moderate to above average, while capital-allocation results are moderate to below average. If asked whether management is trustworthy, my answer is: I do not see obvious tunneling or cosmetic-governance problems, but I also do not see a capital-allocation record that justifies handing over a high valuation premium with confidence. Management and capital allocation score: 3/5.

Financial Quality and Owner Earnings

Financial Quality

First look at the cross-cycle financial profile. The table below uses the long-term summary data in the company's 2025 integrated report, where official FY2020 to FY2024 correspond to years ended 2021/03 to 2025/03. It is clear that revenue did not collapse, but profit quality deteriorated sharply in the 2024/03 and 2025/03 years. The year ended 2025/03 in particular saw a disastrous drop in both operating profit and net profit.

The table data come from the summary in the company's 2025 integrated report. The operating loss for 2025/03 is also highly related to life sciences impairment, PPA amortization after the TOB, and restructuring expenses.

Looking only at the last complete financial statements while still listed, for the year ended 2024/03, revenue was JPY 404.6 billion, operating profit only JPY 3.6 billion, and net loss attributable to owners of parent JPY 5.6 billion; yet operating cash flow reached JPY 60.0 billion. At first glance, this looks like "cash flow better than earnings." But after unpacking it, a substantial part of the cash flow improvement came from a JPY 20.99 billion inventory decrease and an JPY 8.12 billion increase in accounts payable. It was not entirely high-quality recurring operating cash.

Free cash flow has not been stable in recent years. Verifiable operating cash flow was roughly: about JPY 70.4 billion for 2021/03, about JPY 18.3 billion for 2022/03, about JPY 29.9 billion for 2023/03, and about JPY 60.0 billion for 2024/03. This volatility itself shows that JSR's group cash-flow stability is still far from that of a high-quality company one can hold blindly for the long term. Considering that the company also continued capex, acquisitions, and life sciences expansion during the same period, free-cash-flow conversion does not look attractive.

Now look at the balance sheet. As of 2024/03, the company had cash of JPY 100.6 billion, total interest-bearing debt (current plus non-current bonds and borrowings) of about JPY 179.1 billion, and net debt of about JPY 78.4 billion. Based on EBITDA for the same year, net debt/EBITDA was roughly 2.1x. This was not beautiful, but it was not out of control for a materials company. But by 2025/03, total liabilities had expanded to JPY 772.4 billion, equity attributable to owners of parent had fallen to JPY 338.6 billion, the equity ratio had dropped to 29.6%, and the company also disclosed new borrowings of JPY 220.0 billion and JPY 140.0 billion in April and September 2024, respectively. This shows that the financing structure after delisting had become materially heavier.

Interest coverage therefore deteriorated sharply. For 2024/03, finance costs were about JPY 6.35 billion, while operating profit was only JPY 3.6 billion, so EBIT/interest coverage was below 1x; on EBITDA/interest, it was about 5.9x. For 2025/03, finance costs rose further to about JPY 30.76 billion, while operating profit turned to JPY -209.1 billion. This means that, at the group level, JSR had shifted from a "high-barrier materials company in a cyclical downturn" to a "restructuring company that first needs to repair its balance sheet and income statement."

Changes in inventories, receivables, and payables are also worth watching. As of 2024/03, inventories moved from JPY 118.5 billion to JPY 103.9 billion? Here we need to distinguish the basis of two statements: the cash flow statement shows a JPY 20.99 billion inventory decrease supporting cash flow that year, while total inventories on the balance sheet remained high. This shows inventory management is closely tied to the cycle. At the same time, receivables increased by JPY 5.50 billion and payables increased by JPY 8.12 billion. These changes do not prove accounting fraud, but they show that cash-flow improvement was heavily influenced by working-capital swings.

On share count, the most important recent action was the 2022 repurchase and cancellation of 17.726 million shares, after which total shares outstanding were 208.4 million shares. By the last public trading day, Yahoo Finance still showed shares outstanding of 208.4 million shares. In other words, JSR was not a company continuously diluting shareholders through heavy equity incentives.

The final judgment on financial quality is: profits are not entirely fake profits, but they are also definitely not profits that can be easily treated as "real distributable cash." Cash-flow improvement in 2024/03 clearly benefited from working-capital release; profit in 2025/03 was distorted by large impairment and PPA amortization. For long-term owners, this means two things: first, growth is not easy and often requires capex and acquisitions; second, the group as a whole has proved at least once that it can "grow without necessarily creating per-share intrinsic value."

Owner Earnings Analysis

Using Buffett's owner earnings approach strictly, JSR's biggest problem is not that it cannot make money, but that group-level distributable cash is far lower than the electronic materials business appears to suggest. I suggest looking at owner earnings in two layers: a "historical conservative basis" and a "post-restructuring mid-cycle basis."

Historical conservative basis, anchored to the last complete listed-company financial statements for 2024/03. Net profit attributable to owners of parent was JPY -5.55 billion; depreciation and amortization was JPY 33.51 billion; impairment loss was JPY 2.19 billion; operating cash flow was JPY 60.00 billion; purchases of property, plant and equipment within capex were about JPY 41.04 billion. If we simply use "operating cash flow - total capex," free cash flow was about JPY 19.8 billion. But this would overstate true owner earnings, because cash flow that year benefited from about JPY 23.6 billion of positive net working-capital release. If that portion is treated as unsustainable, and maintenance capex is assumed to be about 70% of total capex that year, then conservative owner earnings are only around JPY 7.0 to 11.0 billion; if maintenance capex is set more strictly, the range would be even lower. This basis is very conservative, but it better fits how a long-term business owner views cash flow.

Post-restructuring mid-cycle basis should refer to the official business briefing for 2025/03. The company disclosed life sciences impairment of about JPY 15.76 billion and PPA amortization of about JPY 4.05 billion, both largely non-cash items. It also expects core operating profit for the year ending 2026/03 to exceed JPY 30.0 billion, and transfers of IVD and other businesses may generate disposal gains. For long-term investors, this means that if low-quality businesses are divested and the life sciences drag is significantly reduced, JSR's "post-restructuring owner earnings center" may recover to the JPY 20.0 to 30.0 billion range. But this is not audited historical data. It is an inferred value based on the company's repair guidance and must be heavily discounted.

Therefore, my conservative owner earnings estimate is: current verifiable historical center: about JPY 7.0 to 11.0 billion; potential post-restructuring center: about JPY 20.0 to 30.0 billion. If one buys the company at the last public tender offer price of JPY 4,350, corresponding to equity value of about JPY 906.5 billion, the valuation multiple on historical owner earnings is extremely high. Even using post-restructuring mid-cycle owner earnings of JPY 25.0 billion, the equity multiple is still around 36x. For a materials company with cyclicality, traces of heavy leverage, and restructuring uncertainty, this is not cheap.

Valuation and Margin of Safety

Intrinsic Value Estimate

I use three valuation methods, but first emphasize: JSR has been delisted. The price ranges below do not represent a "current tradable price," but rather the "value range I would consider if it relists in the future or if comparable transactions emerge."

Owner earnings DCF. I use three scenarios. The starting owner earnings are not taken directly from net profit for 2025/03, but from a "more normalized owner earnings level after divesting low-quality businesses." This is because 2025/03 profit was heavily distorted by impairment, PPA, and restructuring expenses, while 2024/03 cash flow was artificially lifted by working-capital release. The starting assumptions are: conservative JPY 20.0 billion, neutral JPY 25.0 billion, and optimistic JPY 35.0 billion; ten-year growth rates of 3% / 5% / 7%; discount rates of 10% / 9.5% / 9%; and terminal growth rates of 1.5% / 2.0% / 2.5%. These assumptions are anchored in the company's disclosed core competitiveness in electronic materials, core operating profit repair guidance for 2026/03, and the direction of group simplification after life sciences divestiture.

Under those assumptions, the approximate intrinsic value per share I get is: conservative scenario about JPY 1,200 to 1,600; neutral scenario about JPY 1,800 to 2,500; optimistic scenario about JPY 3,000 to 3,800. Compared with the tender offer price of JPY 4,350, these roughly correspond to a clear premium, significant premium, and still not cheap, respectively. This means that to prove JPY 4,350 reasonable, you need to believe JSR can not only fully divest the life sciences drag, but also turn the electronic materials platform into a higher-profit, higher-return, lower-leverage "quasi-pure-play semiconductor materials leader," and that the market will still be willing to assign a high multiple in the future. As a conservative investor, I am not willing to bet on that assumption.

Relative valuation. Based on the last public tender offer price of JPY 4,350 and the last complete listed-company financial statements for 2024/03, JSR's static valuation was roughly: P/B about 2.4x, P/S about 2.24x, EV/EBITDA about 26.5x, and P/FCF about 45.7x. This is not a "deep value" valuation. Compared with Japanese materials leaders still publicly listed today, Tokyo Ohka Kogyo currently has PBR of about 5.05x and ROE of about 15.6%, Shin-Etsu Chemical PBR of about 2.85x and ROE of about 10.4%, Fujifilm Holdings PBR of about 1.09x and ROE of about 7.7%, and Resonac PBR of about 4.22x and ROE of about 4.26%. These comparable companies do not have exactly the same business structures, but they show at least two things: the market is willing to pay high multiples for high-quality, publicly listed materials companies with cleaner earnings; while JSR did not receive enough discount at the point when its earnings and cash-flow quality were at their worst.

Asset or liquidation value. As of 2024/03, JSR had total assets of JPY 771.4 billion, total liabilities of JPY 368.9 billion, and total equity of JPY 402.4 billion. But goodwill of JPY 153.1 billion and other intangible assets of JPY 49.5 billion accounted for a large portion. By 2025/03, the company had also taken a large impairment on life sciences-related assets, further showing that these book assets were not as "hard" as one might imagine. Therefore, JSR's asset floor is not thick. Liquidation value is far below surface net assets, and much further below the then more than JPY 900.0 billion equity transaction value. For long-term value investors, this means it lacks a second layer of protection where "even if the business performs poorly, assets can provide a floor."

Combining the three methods, I give the following ranges: Conservative intrinsic value range: JPY 1,200 to 1,600/share. Reasonable intrinsic value range: JPY 1,800 to 2,500/share. Optimistic intrinsic value range: JPY 3,000 to 3,800/share. Ideal buy price range: JPY 1,200 to 1,800/share. Acceptable holding price range: JPY 1,800 to 2,500/share. Clearly overvalued price range: above JPY 3,200/share, especially before group-level deleveraging and business cleanup are complete.

Margin of Safety

If the last public tender offer price of JPY 4,350 is treated as a proxy for "current valuation," the answer is clear: the margin of safety is insufficient. Its most fragile assumption is not "whether semiconductors will grow over the long term," but whether "JSR can truly convert growth into distributable cash after restructuring, without again being dragged down by mistaken capital allocation and the balance sheet."

Even if growth falls short of expectations, JSR can still recover as long as electronic materials share is defended, the display business remains stable, and the life sciences divestiture proceeds smoothly. But this is more like a restructuring repair investment, not the classic investment of "buying a high-quality cash cow at a low price." If margins fall again, or if interest costs decline more slowly than expected, then long-term returns based on JPY 4,350 can easily fall into the low single digits or even negative territory. Worse, that loss would not be short-term volatility. It would be permanent capital loss from paying too much upfront for overly high recovery expectations.

So I view JSR as a classic case of a "good asset fragment, but once a bad price." If it relists in the future, unless the price returns to my reasonable range and you can see life sciences disposal, net debt reduction, and electronic materials profit realization, the better action is to wait rather than rush to "participate in the story."

Risks, Comparisons, and Final Judgment

Risks and Bear Case

The most important risk is not share-price volatility, but that the electronic materials moat may be less solid than you think. If JSR's leading position in EUV, advanced packaging, PFAS-free alternative materials, or high-purity chemicals is eroded by TOK, Shin-Etsu, Fujifilm, DuPont, and other competitors, its valuation assumptions around "future high growth plus high returns" would quickly fail. Advanced materials look sticky, but once the company loses next-generation-node qualification with a key customer, the impact would be structural.

The second risk is technology and customer qualification risk. The company repeatedly emphasizes that materials require angstrom-level and ppt-level control, which means any quality defect can have major consequences. The shutdown and quality problems at the life sciences North Carolina new plant have already proved that even high-technology companies can make mistakes when scaling capacity and ramping new plants. This lesson could appear in another form in new electronic materials projects.

The third risk is financial and restructuring risk. As of 2025/03, total liabilities had risen to JPY 772.4 billion, and the equity ratio had fallen to 29.6%; finance costs had also increased significantly. Even if life sciences is continuously divested, financing costs and ownership-structure changes will continue to consume shareholder returns. For any cyclical materials company, high leverage means a lower margin for error.

The fourth risk is policy and ownership risk. Part of JIC's original logic for acquiring JSR was to promote consolidation in Japan's semiconductor materials industry. Bears would ask: if you want to invest in high-barrier materials, why not directly buy a public leader with a healthier balance sheet and clearer ROE? For example, today's Shin-Etsu Chemical and Tokyo Ohka Kogyo are at least superior in public investability, earnings quality, and governance certainty. I think this bear case is quite strong.

The key facts that would overturn my judgment are also clear: If future post-restructuring statements disclosed by JSR show that the core electronic materials business can, without relying on one-time disposal gains, steadily generate more than JPY 30.0 to 50.0 billion of operating cash flow and more than JPY 20.0 to 30.0 billion of owner earnings, while net leverage clearly declines, then my cautious valuation today would be too low. Conversely, if electronic materials growth slows, another large impairment occurs, or divestiture gains are fully eaten by interest costs and new investment, then the judgment that the company was "overvalued" at JPY 4,350 would be further strengthened.

Comparison With Other Opportunities

Compared with the strongest competitors among peers, JSR's problem today is not that it lacks a good business. It is that the good business is not presented to you in a clean, verifiable, and low-priced form. Shin-Etsu Chemical currently has PBR of about 2.85x, ROE of about 10.4%, and an equity ratio of about 78.7%; Tokyo Ohka Kogyo has PBR of about 5.05x and ROE of about 15.6%. These companies may not be cheap, but they are at least publicly listed and have clearer financial profiles. JSR's ROE in its last public state was about -1.52%, with an equity ratio of about 48.7%, making it visibly weaker.

Compared with broad-based indices, JSR also does not provide enough reason to occupy capital. The greatest advantage of a broad index is not necessarily higher returns, but diversification, liquidity, and no need to bet on a single restructuring story. JSR currently does not even have public-market liquidity. If it relists in the future but the valuation is not cheap, it still may not be more attractive than buying a quality broad-based index. This is a judgmental inference, but the logic is simple: unless a single company can offer a verifiable expected return materially above the index, diversification is usually more suitable for balanced and conservative long-term investors.

Compared with the risk-free rate, JSR also did not offer enough excess return at the last public tender offer price.     Conclusion: judging only by electronic materials, JSR's ceiling is high enough, but it is expanding and deepening an existing pie that is also structurally growing. It is not creating a new market from scratch. This is exactly the distinction Baillie Gifford cares about most. LTGG prefers companies that define new categories; JSR is a company consolidating leadership inside existing, high-barrier categories. The way the ceiling is realized is completely different.

    Start with the size of the pie and whether it is growing. Semiconductor materials are a real, long-term upward market: according to SEMI's May 2026 disclosure, global semiconductor materials revenue reached a record $73.2 billion in 2025, up 6.8% year over year, including $45.8 billion of wafer fabrication materials and $27.4 billion of packaging materials. The report body cites the same figures and points to AI, HPC, HBM, advanced packaging, and more complex process nodes as continuing demand drivers. This shows the ceiling is not the problem. The real question is which layers of this large pie JSR participates in.

    JSR sits close to the front of that pie. The report cites the company's 2022 disclosure: JSR held the top global share in ArF photoresists, and chips using its products accounted for about one third of global semiconductor production.     But two cold realities matter. First, this is expanding an existing pie, not creating a new market. JSR did not invent the demand for photoresists, and the semiconductor materials market does not depend on JSR for its existence. Its growth ceiling is capped by the objective curve of global wafer capacity expansion multiplied by material usage per wafer, rather than defined by its own narrative. The ideal Baillie Gifford fivefold-in-ten-years story is a company that expands the industry with it. JSR is closer to a company that gets pulled larger along with the industry. Second, JSR is not a pure electronic materials stock. The report repeatedly stresses that the group still carries a mature plastics business and a life sciences business being divested. The latter recorded a JPY 15.76 billion impairment in the fiscal year ended March 2025, nearly swallowing group profit. In other words, even if the electronic materials ceiling is high, the effective ceiling you buy at group level is diluted by lower-quality businesses.

    Overall, I give the ceiling dimension a neutral-to-positive assessment: the track is genuinely large, genuinely growing, and JSR is genuinely a leader, but the nature of growth is consolidating an existing high ground rather than opening a new continent.     Start with scale and the recent trajectory. The report's long-term summary shows JSR revenue rising from JPY 312.0 billion for the year ended 2021/03 to JPY 404.6 billion for 2024/03 and JPY 405.0 billion for 2025/03. Over three to four years it was nearly flat. I independently verified the latest period: according to Reuters' May 2026 report, JSR recorded revenue of about JPY 400.7 billion and net profit of JPY 60.7 billion for the fiscal year ended March 2026, returning to profit. In other words, revenue over the past five years has broadly fluctuated around JPY 400 billion. There has been no trend expansion, let alone a doubling. Reaching JPY 800 billion in five years would require a CAGR of about 15%. For a materials company centered on photoresists/CMP/cleaning solutions and tied to the cadence of global wafer capacity, that is extremely hard to achieve organically.

    Now separate the growth drivers: volume, price, or new businesses. Volume is the main engine but moderate. Incremental growth comes from global advanced-node wafer capacity expansion, AI/HPC/HBM, and advanced packaging.     Start with the failed second curve, because it is crucial to understanding the company. Over the past few years, JSR tried to build a life sciences platform through acquisitions across CRO/CDMO/Bioprocess/IVD as a second engine to reduce cyclicality. The result went the other way: according to the company's 2025 integrated report, in the fiscal year ended March 2025, the new CDMO plant in North Carolina was shut down due to quality problems, life sciences revenue fell 38% year over year, core operating profit was about -JPY 38.7 billion, and a JPY 15.76 billion impairment was triggered. The company then sold IVD/IVD materials to Tokuyama and Bioprocess Materials to Merck. This second curve did not take over. It almost dragged down the main engine with it. The report therefore lists it as the biggest capital-allocation failure.
