This is a Japanese company called Harmonic Drive. It makes the precision “reducer” inside robot joints, the core part that lets a motor deliver force steadily and accurately. It has more than 70% of the global high-end market. The report’s stance is clear: the company is excellent, but the current price is far too expensive. The rating is “Watch,” with a suggestion to consider it only below ¥3,200.

Its most valuable capability is the materials and process expertise built up over decades. In fields such as aerospace and semiconductors, where failure is not acceptable, customers almost exclusively trust it. But this expertise is not protected by a patent lock. Chinese manufacturers are catching up quickly at roughly half the price and have already taken enough share that Harmonic Drive’s China share is down to a little over 30%.

Now look at profits. The company is currently in an industry trough, earning only a little over one-tenth of what it made in its best year. Yet even if profits are adjusted back to a normal year, buying the whole company at today’s price would still take more than a hundred years to earn back the purchase price. That is absurdly expensive. The share price has already risen about 4x from its low two years ago, sits above every expert target price, and one analyst even sees about 60% downside.

The biggest risk is that about 70% of today’s price is a bet on the humanoid robot boom. But the largest part of that opportunity may well be taken by lower-priced Chinese competitors. Harmonic Drive’s own share may get smaller, and less profitable. In short: good company, bad price.

Entity clarification, verified: the subject of this report is the listed Japanese parent company Harmonic Drive Systems (6324, consolidated reporting basis). ① It is entirely unrelated to Harmonic Inc. in the United States (NASDAQ:HLIT, video/broadband equipment); the English names are merely similar. ② Germany's Harmonic Drive SE (Limburg) is a 100%-owned subsidiary of 6324. It was consolidated after the 2017 stake increase and became a wholly owned subsidiary in 2021. It was the entity behind the large 2024 impairment and is not an unrelated third party. ③ It has no equity relationship with Japan's Nidec (6594). Nidec is not on the shareholder register, and its Nidec Drive Technology unit is instead a competitor in the harmonic reducer market. The true controlling parent is the Ito family's KODEN Holdings, with roughly 35% ownership.

1. Conclusion First

Rating: Watch, leaning bearish. Ideal buy price ≤ ¥3,200.

One-sentence view: a great company at an uninvestable price. The global harmonic reducer leader has a real but "eroding" moat (3/5) that deserves close tracking, but the current price has extremely over-discounted a humanoid robot supercycle, while the largest upside pool may be intercepted by half-price Chinese suppliers. The margin of safety is negative.

Core logic chain:

  • A real moat, but an "eroding" one (3/5). Harmonic Drive Systems is the absolute global leader in harmonic reducers, with roughly 58% share by value and more than 70% share in the high-end market. The real barriers lie in decades of materials expertise, including special steel supplied by Japan Steel Works, gear-grinding precision, fatigue life, and miniaturization know-how. HarmonicDrive® is almost synonymous with the category, and the company is close to a sole supplier in high-end aerospace, semiconductor, and medical uses. But the foundational patent (Musser 1959) expired long ago, there is no IP gate protecting the moat, and China's Leader Harmonious Drive continues to erode share with Japanese-series pricing at a 40-60% discount plus fast technological convergence. China's domestic penetration rate reached 75.1% in 2024, while Harmonic Drive Systems' China share fell to roughly 35.6%.

  • The balance sheet is solid, and business quality is far better than prior "option/bad business" cases. The equity ratio is 72.2%, net cash is roughly ¥3.6 billion, and even in the heavy-loss year of 2024, operating cash flow remained positive at +¥12.7 billion. This is a cash-generative cyclical leader that can survive a winter cycle, not a cash-bleeding company. Its quality is far better than Canaan (Avoid) and RXRX (Watch, unprofitable option).

  • Earnings are at the cycle trough, so 417x is a low-E distortion. The latest FY3/2026 revenue was ¥59.56 billion (+7.0%), operating profit only ¥2.57 billion (4.3% margin), net income attributable to owners of the parent ¥1.61 billion (-53.7%), and EPS ¥16.99. Current EPS is only 14% of the historical peak of ¥117.6. But even if earnings are normalized to mid-cycle EPS of roughly ¥65-85, PE remains 85-110x; using the strongest historical earnings still gives 60x. The cycle explains the optical PE distortion, not the valuation itself.

  • Valuation is extremely over-discounted, and the current price is above every sell-side average target. The current price of ¥7,090 is roughly 4 times the 2024 bottom of ¥1,763, up +123.31% over the past year, with forward PE of 116x (149x on guidance), PB of 8.35x (about the 94th percentile of the 16-year range, close to the 2020 historical peak). The current price is already above all sell-side average targets. The core cluster is roughly ¥5,300, implying the stock is about 19-38% above it. Jefferies cut the stock to Underperform with a ¥2,400 target in 2026-02, the only bear call and implying -66%. SWS DCF fair value is only ¥2,358. Roughly 70% of market capitalization is a humanoid robot option.

  • The largest growth dividend may go to Chinese suppliers. For Tesla Optimus, the largest potential buyer, the main incremental harmonic reducer supply has gone to China's Leader Harmonious Drive, with an exclusive Mexico factory, roughly 10,000 sets delivered in 2025, a target of about 60% share, and unit prices roughly halved. Harmonic Drive Systems has not been cleared out and still defends high-end dual sourcing, but the dynamic is "the pie gets larger, its slice gets smaller, and gross margin is pressured." Harmonic reducers are used only in upper-limb rotary joints, about 14 per unit, while high-torque lower-limb joints use planetary roller screws, structurally capping harmonic content per unit at about 7% of BOM.

Why not "Avoid": this is a real global leader, with genuine pricing power, real technical barriers, net cash, and a history of cash earnings at the trough. Its business quality is far above bad businesses such as Canaan. Calling for structural zero would be too harsh on the business itself.

Why not "Hold/Buy": the moat is real but is being structurally eroded by half-price Chinese supply. It is neither broad enough nor durable enough. Margin of safety is negative. The current price is above every sell-side average, forward PE is 116-149x, PB is near the historical top, and DCF/bear targets point to -66%. Risk-reward is highly asymmetric: downside to the sell-side average is about -25%, downside to DCF/Jefferies is about -66%, while upside requires a major beat in the humanoid narrative plus Harmonic Drive Systems simultaneously holding back half-price Chinese competitors. At 116-149x, that is a low-probability combination.

2. Company Profile

Core business and products. Harmonic Drive Systems is a single-business company focused on precision reducers and related application products. It reports under two major categories, based on FY3/2026 external sales:

Revenue structure. By destination: Japan about 41%, Europe about 28%, North America about 20%, China about 7%, and others about 4%. Overseas revenue is about 59%, making this essentially a globalized Japanese company. The wholly owned German subsidiary is the largest single overseas production and sales base. By downstream application, on the parent standalone basis in FY3/2025: industrial robots about 40%, automotive about 19% (almost entirely Nissan, the largest customer, about ¥5.73 billion in FY3/2025 and 10.3% of consolidated revenue; from FY3/2026 no single customer reached 10%, lowering concentration), semiconductor manufacturing equipment about 14%, and aerospace about 11%.

Business model essence: selling a core component regarded by global robots and precision equipment as a de facto standard. This is a typical picks-and-shovels business, with the company's own positioning as "Total Motion Control." Orders are built to order. FY3/2026 consolidated order intake was high at ¥61.6 billion (+16.2%), exceeding sales of ¥59.6 billion, with book-to-bill above 1 and order replenishment underway. Its near-monopoly position gives it pricing power. In FY3/2026, the company explicitly cited improved profitability through product price increases and cost innovation.

Operations. Headquarters are in Shinagawa, Tokyo. Main production capacity is in Nagano Prefecture (Hotaka/Ariake/Matsumoto/Toyoshina/Komagane), plus Limburg in Germany and Beverly in the United States. Shanghai, China is sales only. Tangible fixed assets are mainly in Japan, about ¥30.0 billion, making the business capital-intensive. Consolidated employees were about 1,349, based on the 2024-03 disclosure.

Capital and governance. Listing path: OTC registration (1998) → JASDAQ (2004) → TSE Standard (2022) → TSE Prime (2026-02 transfer, one identity catalyst for the latest rally). The controlling parent is KODEN Holdings, controlled by the Ito family, with roughly 34.8-35.3% ownership, originating from the 1989 merger into KODEN Electronics. The second-largest individual shareholder, Norimitsu Ito, owns about 3.16%, and family-related holdings total about 38%. The family has effective control through the parent company, but below 50%. Nabtesco still owns about 5%, a legacy of the 2005 U.S. joint venture. Foreign institutions, including Norway's sovereign wealth fund, UBS, Morgan Stanley, Goldman Sachs, and State Street, are meaningful holders, but each individual stake is below 3%. There are no dual-class shares or super voting rights. Outside independent directors are 5/10. President Akira Maruyama, a professional manager who joined in 1985 and took office in 2024-06, has publicly sounded cautious about humanoid robot investment. Capital policy: target payout ratio of 35%; FY3/2026 DPS was ¥20 despite trough earnings, implying a payout ratio of 117.7%, supported by net cash and positive cash flow. The medium-term plan targets FY2030 revenue of at least ¥100.0 billion, operating margin of at least 15%, and ROE/ROIC of at least 10%.

3. Vertical Analysis

Company history. In 1955, U.S. inventor C.W. Musser created the strain wave gearing principle, initially designed for aerospace. In 1970, Hasegawa Gear Works and U.S. company USM formed a joint venture to establish the company and localize the technology in Japan. HarmonicDrive® became a trademark. In 1989, the company was absorbed into KODEN Electronics and became its subsidiary, explaining the current control structure. From 1996, it cooperated with Germany's Harmonic Drive GmbH, now SE; in 2017 it increased its stake in the German company to 74.7% and consolidated it; in 2021 it made both the German SE and U.S. LLC 100% owned. It moved to TSE Standard in 2022 and to TSE Prime in 2026-02. Strain wave gearing has long been used in space mechanisms, where light weight and high precision are must-haves, semiconductor equipment, and Honda's ASIMO biped robot. Humanoid robots are the latest growth vector.

Revenue fluctuates sharply with factory automation and semiconductor equipment capex, with peaks and troughs nearly 2 times apart. Profit sensitivity is extremely high: operating profit was ¥10.0-16.9 billion in boom years, then collapsed toward zero or losses in downturn years. Note that the FY3/2024 net loss of -¥24.8 billion came from a one-off impairment of ¥28.16 billion at the German subsidiary (discussed in the financial review), the core event behind the simultaneous bottoming of earnings and the stock price in 2024.

Stock price history, all dates marked, no split, historical prices directly comparable with today:

  • All-time high since listing was ¥9,510 on 2020-12-28. Yet performance was at a trough then, with FY3/2021 net income only ¥0.66 billion. It was a valuation top driven by theme/recovery expectations.

  • The 2021-2024 long bear market followed two cyclical downturns plus the German impairment. The stock hit a multi-year bottom of ¥1,763 on 2024-11-14, in sync with the FY3/2024 heavy loss.

  • 2024-2026 humanoid robot theme surge: the stock moved from the ¥1,763 bottom to ¥5,350 in 2025-02, then fell to ¥2,316 in 2025-09, the 52-week low, before a one-way short squeeze in May 2026. It touched an intraday 52-week high of ¥8,400 on 2026-05-27. Catalysts included the transfer to TSE Prime in 2026-02, FY3/2026 earnings turning operating-profit positive, orders reaching a four-year high, the 2026-2030 plan, and the industry-wide theme of Tesla Optimus nearing mass production.

  • After the peak, it pulled back and closed at ¥7,090 on 2026-06-05. From the ¥1,763 bottom to ¥8,400 was +376%, over about 18 months. Still, ¥8,400 remained about 12% below the 2020 all-time high of ¥9,510. The ¥8,000-8,400 band is a strong resistance zone that capped the stock in early 2018 and again in 2026.

Historical valuation position: trailing PE of 417x is distorted by trough earnings. The cleanest valuation anchor is PBR of 8.35x, about the 94th percentile of the 2010-2026 range of 0.91-8.9x and close to the historical high, corresponding to the 2020 major top. On book value multiples, valuation has returned to near historical top levels.

Vertical summary: a typical trough earnings × top valuation mismatch. Fundamentals are in the early-cycle phase of lifting off from the cycle bottom, with FY3/2027 guidance pointing to operating profit +141%, but the stock has already been pushed by the humanoid theme to a valuation level close to the 2020 historical peak.

4. Financial Review

A strong cycle plus a one-off large impairment drove profit to the trough. Revenue swung from a ¥37.0 billion trough to a ¥71.5 billion peak, nearly 2 times. Operating profit collapsed from a ¥16.9 billion peak in FY3/2019, with 24.5% operating margin, to near zero in FY3/2024 at ¥0.13 billion and in FY3/2025 at only ¥0.007 billion, before recovering to ¥2.57 billion in FY3/2026, a 4.3% margin. Structural gross margin compression: peak gross margin fell from 45-47% in FY3/2017-2019 to 36-39% at the recent cycle peak, and then to the current 30.5%. Consolidating Germany's HD SE pulled down group-wide profitability.

FY3/2024 impairment of ¥28.16 billion, causing a -¥24.8 billion net loss: components were goodwill ¥15.25 billion, customer-relationship intangible assets ¥10.19 billion, and technology assets ¥2.72 billion. The target was Germany's Harmonic Drive SE, consolidated in 2017. European industrial robot demand failed to meet the acquisition plan, while customer-relationship amortization consumed operating profit. Key point: this was a one-off non-cash impairment. Ordinary profit that year was still positive at ¥0.57 billion, and the balance sheet was cleaned up as goodwill/intangibles were sharply written off, reducing future impairment risk.

Is 417x a "low E" or a "high P" problem? Current EPS of ¥16.99 is only 14% of the historical peak of ¥117.62 in FY3/2019 and 21% of the recent peak of ¥79.67 in FY3/2023. Current operating margin of 4.3% compares with the historical peak of 24.5%. Profit has been squeezed to an extremely low level by the cycle and impairment, making E shrink severely and driving the 417x headline multiple. But normalized anchors are as follows:

Judgment: roughly 80% of 417x is distortion from the cycle/impairment trough, but even after normalization, the multiple is still 85-110x, and even the strongest historical earnings imply 60x. The cycle explains why PE looks frightening; it does not justify the valuation itself.

Balance sheet is solid, and the business does not burn cash at the trough. FY3/2026: cash of ¥21.56 billion exceeded interest-bearing debt of ¥18.06 billion, giving net cash of +¥3.62 billion, an equity ratio of 72.2%, and BPS of about ¥849. Operating cash flow has been positive throughout the past 10 years, at ¥6.4-15.1 billion. Even in FY3/2024, the -¥24.8 billion heavy-loss year, operating cash flow was instead the 10-year high at +¥12.7 billion, because the loss was a non-cash impairment plus high depreciation. Free cash flow has remained positive. This is a cash-cow cyclical leader that can withstand a winter cycle, not a cash-bleeding company.

Earnings quality requires layered caution: (i) the FY3/2024 heavy loss was a one-off non-cash impairment; (ii) FY3/2025 net income of ¥3.47 billion came almost entirely below the operating line, while operating profit was only ¥0.007 billion, so quality was low and non-recurring; (iii) the real operating recovery began only in FY3/2026, with operating margin at 4.3%. For 6324, investors must look through to operating margin and avoid being misled by jumps in net income attributable to owners. Countercyclical dividend resilience: DPS has held at ¥20 for years, including the heavy-loss year, and FY3/2027 guidance jumps to ¥42.1. But the current dividend yield is only 0.28%, so dividends are not the investment thesis and provide no yield cushion.

Structural concern: high margin does not mean high ROE. Even at boom peaks, ROE was only about 7-11% and ROIC about 7%, dragged by heavy capital and cash. Financial quality supports the label of "quality leader," but at ¥7,090 the price has already fully discounted a complete cycle recovery plus humanoid volume ramp. Financials do not provide a margin of safety.

5. Moat

Share, by segmented basis, ⚠️ required reading. Harmonic Drive Systems is the undisputed global number one in harmonic reducers, but share varies greatly by measurement basis:

  • Value/sales basis: global share of about 58% in 2024, using a GGII-related basis.

  • High-end market basis: more than 70%, led by mini actuators and high precision.

  • GGII volume basis, units: share is lower and continues to decline. In 2024, global industrial robot harmonic reducer consumption was 1.2187 million units (+21.4%), while China's domestic penetration rate rose to 75.11%.

  • China market: Harmonic Drive Systems had about 35.6% share in 2024H1, declining.

→ Key wording: global high-end share is above 70%, value share is about 58%, but volume share and China share are being rapidly eroded by domestic Chinese suppliers.

Technical barriers, medium: the core is know-how, not IP. The three-part principle of wave generator + flexspline + circular spline delivers high single-stage reduction ratio, zero backlash, light weight, and compact size. Key point: the foundational patent, Musser 1959, US 2,906,143, expired long ago. This is the fundamental reason Chinese and global competitors can legally manufacture the product, and basic IP is no longer the moat. Current barriers consist of peripheral tooth-profile/process patents that can be designed around, plus real materials and manufacturing know-how: special steel/ductile iron supplied by Japan Steel Works, flexspline fatigue life (fatigue fracture is the main failure mode for harmonic reducers), gear-grinding precision, batch consistency, and miniaturization (Harmonic Drive Systems can make size 3 units, while Leader's smallest is size 5). Real, but not insurmountable. Chinese suppliers have caught up in strength metrics and still lag in precision/life/miniaturization, but they are closing quickly.

Customer certification and brand. In aerospace, semiconductor lithography, medical, and high-end collaborative robots, the company is close to sole supplier. Failure is not an option, and switching costs are extremely high, so the moat is broad. But in general industrial uses and humanoid mass production, OEMs actively nurture Chinese second sources to cut cost, so certification barriers are rapidly diluted. HarmonicDrive® is almost a category synonym and brand equity is strong. Pricing power exists, with Chinese products only 40-60% of its selling price, but it is being eroded by the price gap. Gross margin fell from 39% in FY3/2022 to 30.5% in FY3/2026, while peak operating margin of 22-25% was compressed to nearly 0% in FY3/2025.

Competitive landscape:

  • Nabtesco, RV reducers, about 60% global share, is complementary rather than a threat: RV reducers are used in heavy-load bases/upper arms, for joints above 20kg, while harmonic reducers are used in forearms/wrists/collaborative robots below 20kg, covering different joints.

  • Chinese harmonic reducers are the real threat: Leader Harmonious Drive (about 10% global share, about 25% China share and rising, half-price, precision ±30 arc-seconds/life above 10,000 hours already matching strength metrics), Laifual Drive, Shuanghuan Driveline, and others. China's domestic penetration rate reached 75.1% in 2024.

  • Humanoid robots are the biggest variable, and a double-edged sword: the incremental TAM may be captured mainly by Chinese suppliers at half-price. Leader has already entered the Tesla chain, as discussed in the industry-demand section.

Moat score: 3 / 5, medium, an eroding moat of "broad in high-end, narrowing in mass production." Factors supporting 4-5: absolute global number one, category-synonym brand, near monopoly in high-end with very high switching costs, and decades of materials and manufacturing know-how. Factors dragging it to 2-3: ① the foundational patent has expired, and the moat has no IP gate; ② Chinese suppliers offer half-price products with fast technical convergence, and China share has been lost quickly; ③ earnings are extremely cyclical, with operating margin swinging violently between about 0% and about 25%, showing the moat cannot smooth the cycle; ④ the largest humanoid growth opportunity is likely to be captured mainly by the Chinese supply chain at half price. Durability view: sustainable in high-precision/high-reliability/miniaturized niches; structurally eroding in general industry and the main battlefield of humanoid mass production, with the direction "slow narrowing" rather than expansion.

6. Industry Demand

Traditional base: the cycle bottom has passed, and recovery is in the early stage. The drivers are traditional robots and semiconductors, not humanoids. FY3/2024 bottomed with ordinary loss → FY3/2025 orders +14.3% → FY3/2026 profit recovered and was revised upward during the year, with operating profit lifted from ¥1.5 billion to ¥2.5 billion. External confirmation: SEMI forecasts global semiconductor equipment sales to reach a record $139B in 2026 and $156B in 2027, driven by AI/HBM/DRAM. Harmonic Drive Systems' semiconductor equipment line is pro-cyclical in 2026-2027. This is a higher-certainty traditional recovery, and FY3/2027 guidance for operating profit +141% is a bet on this cycle upturn.

Humanoid robot increment: a real bet, but still mainly an unexercised option.

  • Per-unit usage and content value: Tesla Optimus has 28 actuators = 14 rotary actuators, including harmonic reducers, plus 14 linear actuators, which use planetary roller screws, not harmonic reducers. High-torque lower-limb joints use roller screws because harmonic reducer life is insufficient. Harmonic content per unit is structurally capped, at about 14 per unit and roughly 7% of whole-machine BOM, not every body joint.

  • Company action, real capital deployed: it has invested about ¥10.0 billion in dedicated humanoid reducer mass-production capacity at the Ariake plant, targeting FY3/2027 humanoid reducer sales of ¥10.0-20.0 billion, or about 15-30% of total revenue. But FY3/2026 actual growth came from traditional lines, with no visible humanoid volume ramp. Current AI robot orders, including humanoids, are only about ¥2.5 billion on a consolidated basis, or roughly 4% of revenue.
