GlobalFoundries is a factory that makes chips for other companies. It does not design chips itself; it only manufactures them. The report's stance is "Watch": the business has real strengths, but the current price is not cheap.

It is not following the same path as industry leader TSMC. Eight years ago, it voluntarily gave up the most advanced chip processes and focused on mature but specialized work such as automotive chips and mobile RF. Its most valuable feature is this: it is the only Western pure-play foundry with factories in the U.S., Europe, and Singapore, and it has also received the U.S. Department of Defense's highest-level trusted status and a ten-year military contract. This is the kind of work that Chinese fabs cannot take, no matter how cheap they are.

But the ceiling for this business is not high. For every 100 in goods it sells, it keeps only about 26 in gross profit; TSMC keeps 62. That gap is structural and cannot be closed simply through effort. More importantly, over the past year its share price has risen from about $37 to about $85, nearly doubling, while revenue has barely moved and the company even posted a loss last year. In other words, what rose was market sentiment, not real performance.

The main things to watch are these: the current price of $85 has already exceeded the target price of $79 generally accepted by analysts, which means they see little upside left; Chinese peers are fighting a price war; and the major shareholder still holds more than 70% of the shares while continuing to sell. Based on the report's calculation, only a pullback below $65 would leave enough of a margin of safety for buying.

Overall, the report recognizes its scarce position, but believes the current price has already run ahead of fundamentals. The recommendation is to put it on the watchlist first and avoid chasing it at a high level.

Research Summary: A Scarce Western Specialty Foundry Position, but the Stock Has Moved Ahead of Wall Street Consensus

Put the conclusion first. GlobalFoundries (NASDAQ: GFS, GF) is a pure-play wafer foundry spun out of AMD's manufacturing operations. It does not design chips itself; it manufactures chips for fabless chip designers such as Qualcomm, AMD, and NXP, as well as system companies. It is the world's third or fourth largest pure-play foundry, but it has chosen a fundamentally different path from the clear leader, TSMC.

Its most important strategic choice came in 2018: GFS voluntarily announced that it would stop developing advanced processes at 7nm and below. The reason was straightforward: refitting fabs to compete head-on with TSMC and Samsung at 3nm/2nm would require tens of billions of dollars, and the returns did not make sense at GFS's scale. Instead, it redirected resources toward specialty mature processes: RF-SOI for smartphone RF front-end modules, ultra-low-power FD-SOI (22FDX), automotive, power, embedded memory, and more recently silicon photonics. This is a path based on process-feature differentiation rather than node shrinkage (IEEE Spectrum, as of 2018-08). This point is the key to understanding GFS: the company deliberately chose another competitive dimension after leaving the advanced-node race.

Its truly scarce asset today is geography and trust. Global wafer capacity is overwhelmingly concentrated in Asia, especially Taiwan, South Korea, and China, while GFS says it is the only pure-play foundry with manufacturing in the United States, Europe, and Singapore: its flagship Malta, New York fab plus Vermont, Dresden in Germany, and Singapore. Under the national strategy of semiconductor supply-chain reshoring, it has secured a position that others cannot quickly replicate: the U.S. Department of Defense's highest-level Trusted Foundry Cat 1A status, a $3.1 billion, ten-year defense-chip contract, and $1.5 billion in direct CHIPS Act funding to support more than $13 billion of U.S. expansion (GF trusted-foundry contract; CHIPS funding via NIST). However cheap China's mature-node capacity may be, it cannot enter U.S. defense, aerospace, and automotive-safety orders that require de-China supply chains.

What narrative is the market mainly trading now? Three lines: Western trusted foundry, silicon photonics for AI data-center optical interconnects, and pricing power in specialty processes. As AI pushes data-center networking toward optical interconnects, GFS's silicon-photonics business is being framed as a 29% annual-growth option. Management has guided for silicon-photonics revenue to double in 2026, to exceed a $1 billion exit run rate by the end of 2028, and to reach $2 billion by 2030, while saying its technology has been designed in by three of the top four pluggable optical-transceiver vendors (TrendForce, as of 2026-05-07). Over the past year, GFS shares have risen from about $37 to about $85, up roughly 130%, which is the result of this narrative being priced in.

What drove the stock in the past? A combination of cyclical bottoming and an AI/reshoring narrative re-rating. One key fact matters: the stock doubled over the year, while revenue barely grew. FY2024 revenue was still down 8.7% year over year, with a $935 million impairment charge turning the year into a net loss. FY2025 revenue of $6.79 billion was roughly flat, and Q1 2026 was only up 3.1% year over year. In other words, the past year's gain mainly came from multiple re-rating rather than earnings momentum.

The most important bull-bear debate now can be compressed into one sentence: the positioning is real, but should investors buy this price and this growth rate? Bulls say Western trusted foundry is a scarce reshoring asset, specialty processes have pricing power, silicon photonics is an AI option, automotive and data centers are taking over as growth drivers, gross margin can rise from 26% to 40% by 2028, and the company has initiated its first dividend. Bears say this is a mature-node foundry business with only 26% gross margin, versus TSMC's 62%, and cyclical low-growth revenue; the current price of $84.7 has already exceeded the average analyst target of $78.95, implying about 7% downside; and Mubadala still controls 73% and continues to sell, while China's mature-node price war hangs over the sector. The market has already priced the story above consensus.

Qualitative label: a genuinely differentiated Western trusted-foundry position plus a silicon-photonics option, multiplied by cyclical low growth, structurally low gross margin, and a share price already above Wall Street consensus. Like AMKR in OSAT and CRDO in connectivity, which I have covered before, GFS has a real position in the AI semiconductor chain. The issue is the stock is already ahead of fundamentals and has front-loaded the reshoring and silicon-photonics options. The entire analysis in this report is designed to make three questions traceable: how hard the position is, whether the price is expensive, and whether investors should buy now. The investment stance and rating are left to Section 10, after the first nine sections build the factual case.

1. Vertical History: From AMD's Cast-Off Fabs to the Western Semiconductor "National Team"

To understand GFS today, start with its origin as a spun-out manufacturing arm and the strategic retreat that shaped its destiny.

2008-2010: AMD sheds its manufacturing burden, and Middle Eastern sovereign capital steps in. In 2008, AMD decided to move to a fabless model and spin out its capital-intensive manufacturing operations. ATIC, under Abu Dhabi sovereign wealth fund Mubadala, injected capital and took over the assets. GlobalFoundries was formally established in 2009; it then acquired Singapore's Chartered Semiconductor, gaining scale in one step (Wikipedia: GlobalFoundries). From its first day, GFS was a combination of manufacturing assets others no longer wanted and patient sovereign capital. That DNA remains today: Mubadala still controls about 73%, which is central to understanding both governance and the share price.

2018: the strategic retreat that decided its path. This is the most important entry in the company's vertical history. In August 2018, GFS announced it would stop all development of advanced processes at 7nm and below because the cost of upgrading the Malta fab to 7nm was unaffordable, and competing head-on with TSMC and Samsung at scale was unwinnable. Its largest customer, AMD, then moved 7nm orders to TSMC. On the surface this looked like falling behind. In substance, it was disciplined strategic loss-cutting: abandon an advanced-node arms race it could not win and pivot to "More-than-Moore" specialty processes, making differentiated businesses in RF, analog, power, embedded memory, and other areas that earn money from process characteristics rather than node shrinkage (IEEE Spectrum, as of 2018-08). In hindsight, the retreat saved GFS from endless cash burn in advanced nodes, but it also permanently capped its gross-margin ceiling far below TSMC's.

2021-10: one of the largest semiconductor IPOs ever. GFS listed on Nasdaq on October 28, 2021 at an issue price of $47, raising about $2.6 billion and valuing the company at roughly $25 billion. After listing, however, the stock spent a long period below the IPO price. The market initially treated it as a mature foundry business with low growth, low margins, and cyclical swings.

2023-2024: a hard cyclical test. Mature nodes went through a severe inventory correction in these two years. Revenue fell from the 2022 peak of $8.1 billion to about $6.75 billion in FY2024, down 8.7% year over year. FY2024 also included a $935 million impairment charge related to "legacy capacity investment" at the Malta fab, turning the full year into a net loss of $262 million (GF FY2024 results). This downturn clearly exposed its cyclical nature. This is not a business that grows smoothly through cycles.

2025-2026: management transition plus a reshoring/AI narrative re-rating. The company completed a key leadership transition: Tim Breen became CEO in April 2025. He was formerly COO, while former CEO Thomas Caulfield became executive chairman. The CFO role also changed to Sam Franklin at the end of 2025. At the same time, AI data-center demand for silicon photonics, the U.S. national strategy of reshoring, including a $16 billion U.S. investment plan, CHIPS funding, and the $3.1 billion defense contract, plus growth in automotive and data-center businesses, re-rated GFS from a cyclical foundry stock into a strategic Western trusted-foundry plus AI silicon-photonics option. The stock rose about 130% in a year. At the May 2026 investor day, management set targets of 10-12% revenue CAGR, 40% gross margin by 2028, and the first dividend in company history, pushing the re-rating to a high point.

Viewed vertically, GFS has undergone a three-stage re-rating: AMD cast-off, specialty foundry after a strategic retreat, and Western trusted-foundry national team. Its position is real and hard-won, but it has never escaped the business realities of low gross margin, cyclicality, and tight control by a major shareholder. That tension is the main line of the financial review below.

2. Financial Review: The Appearance of Cyclical Recovery and the Reality of Low Gross Margin and a Stock Ahead of Earnings

GFS's financials need to be read on two levels: the surface shows a recovery from a cyclical trough, while the deeper layer shows low gross margin, cyclicality, and a stock price that has run ahead of earnings.

Revenue: the rise and fall of the cycle, just now lifting off the bottom. Over a longer period, the curve looks like this under IFRS (GF filings across periods):

  • FY2021 revenue was about $6.59 billion, with gross margin of only about 15% and a net loss of $254 million. This moved to FY2022 revenue of $8.11 billion, the cyclical peak, with gross margin of 27.6% and net income of $1.45 billion. FY2023 revenue was about $7.39 billion, down 8.9%. FY2024 revenue was about $6.75 billion, down 8.7%, with a $935 million impairment charge and a net loss of $262 million. FY2025 revenue was $6.79 billion, roughly flat, with net income of $888 million and EPS of $1.59.

  • The quarterly recovery inflection: Q1 2026 revenue was $1.634 billion, up 3.1% year over year and down 11% quarter over quarter, with IFRS gross margin of 27.6%, Non-IFRS gross margin of 29.0%, net income of $104 million, down 51% year over year, IFRS EPS of $0.18, Non-IFRS EPS of $0.40, and adjusted EBITDA of $561 million (Q1 2026 results, as of 2026-04).

  • Q2 2026 guidance calls for revenue of $1.76 billion +/- $25 million, up 8% quarter over quarter, IFRS gross margin of 27.4%, Non-IFRS gross margin of 28.5%, IFRS EPS of $0.30, and Non-IFRS EPS of $0.43.

On the surface, this is a recovery curve rising from a cyclical bottom, with Q2 sequential acceleration. But remember: FY2024 was a down year at -8.7%, FY2025 was roughly flat, and Q1 2026 was only +3.1%. This is a cyclical business just emerging from a trough, with growth still in the single digits. It is not a growth stock.

Gross margin: a structural 26% ceiling, the fundamental gap versus TSMC. GFS's current gross margin is about 26%: FY2025 IFRS 24.9%, Non-IFRS 26.1%, and Q1 2026 recovered to IFRS 27.6%. TSMC is at 62%. This 36-percentage-point gap is structural rather than an operating-efficiency issue. GFS does not have the high-premium, high-pricing-power advanced-node business at 7nm and below that is driven by AI/HPC. All of its revenue comes from mature and specialty nodes, where pricing power is weaker, depreciation burden is heavy, and utilization matters intensely. This ceiling is the price of exiting 7nm in 2018. It defines GFS as a mature-node foundry valuation story, in the same gross-margin band as UMC at 26-30%, rather than an advanced-node leader.

The first accounting point to see through: IFRS versus Non-IFRS. The company emphasizes Non-IFRS. Q1 2026 Non-IFRS EPS was $0.40, while IFRS EPS was only $0.18. The roughly $0.22 gap mainly came from stock-based compensation, or SBC, at about $0.11 per share, plus amortization of acquired intangibles and tax adjustments. This report uses a more conservative basis for valuation and reminds readers that the margins promoted externally include SBC adjustments.

The second point: a clean balance sheet and the first dividend. As of Q1 2026, cash plus marketable securities were about $3.8 billion, total debt was about $1.15 billion, and net cash was about +$2.6 billion. The foundation is solid. At the May 2026 investor day, GFS announced its first quarterly dividend in company history, $0.12 per share, annualized at $0.48, for a dividend yield of about 0.57%, payable in 2026-07. It also set a framework to return up to 50% of TTM adjusted free cash flow, and launched a $500 million buyback at the start of 2026. Capital return is part of the new story, but with a yield below 0.6%, the signal matters more than the cash return itself.

The third and most important point: valuation has moved ahead of earnings. This is the key point today: the share price is up 130% over the past year, while revenue has barely grown. P/E is 51-61x depending on methodology, because TTM earnings are depressed by depreciation and one-offs; P/S is 6.79x; and EV/EBITDA is about 18-22x. For a mature foundry growing at +3%, this front-loads future recovery and the silicon-photonics option. The multiple rose, not profits.

One-sentence financial profile: the surface is a recovery from a cyclical trough with Q2 sequential acceleration, while the underlying reality is a structural 26% gross-margin ceiling, single-digit revenue growth, and a valuation that doubled through re-rating over the past year ahead of earnings. The recovery is real, but earnings quality is limited by the mature-node ceiling, and the price has already digested the recovery and option value in advance.

3. Business Model and Moat: Real Differentiation, but Moat Depth Is Constrained by Mature-Node Economics

GFS's moat can be split into four layers, from strongest to weakest, but each layer needs its limits stated honestly.

First layer, the hardest and scarcest: the geography and trust barrier of Western trusted foundry. This is GFS's most valuable moat today, and one that others cannot build quickly. Global wafer capacity is overwhelmingly concentrated in Asia, while GFS is the only Western pure-play foundry with manufacturing capacity in the United States, Europe, and Singapore. Its Malta, New York fab is certified by the U.S. Department of Defense as a highest-level Trusted Foundry Cat 1A supplier, has received a $3.1 billion, ten-year defense-chip contract, and implements ITAR (GF aerospace and defense page). For defense, aerospace, and automotive-safety orders that require de-China supply chains, China's mature-node capacity cannot enter no matter how cheap it is. This is a hard barrier built by law and procurement rules. Limit: this moat covers high-value but limited-scale niches, namely defense and trusted manufacturing, not the majority of revenue.

Second layer: customer-certification stickiness in specialty processes. Specialty processes such as RF-SOI, FD-SOI, and automotive power have real engineering barriers, and customer qualification, especially automotive functional-safety qualification, takes a long time and creates high switching costs. GFS is a global leader in RF-SOI, manufactures RF front-end modules for most smartphones, and works deeply with Qualcomm (GF RF-SOI platform). Limit: general-purpose mature nodes that are not trusted foundry and not automotive remain directly exposed to Chinese price competition, discussed in Section 8.

Third layer: the silicon-photonics growth option. This is the layer that excites the market most, but it needs to be framed honestly: it is an option rather than a cash cow. Silicon-photonics revenue is currently about $200 million, less than 3% of company revenue. Management guides for it to double in 2026, exceed a $1 billion exit run rate by the end of 2028, and says it has been designed in by three of the top four pluggable optical-transceiver vendors (TrendForce, as of 2026-05-07). It also layers in GaN power through partnerships with Navitas and onsemi. Limit: these are future moats. The current base is small, the pull on overall gross margin is limited, and CPO, co-packaged optics, will not make a meaningful contribution until 2028-2029.

Fourth layer, the softest: scale and global footprint. GFS is the world's third or fourth largest pure-play foundry, and scale plus geographic diversity is itself a barrier. Limit: the structural weakness of mature processes is weak pricing power and long-term pricing pressure, which forms the basis of the bear case.

Business model essence: GFS provides foundry services for customers' specialty mature-node chips. Revenue is recognized with customer shipments, and gross margin is determined by utilization and product mix, with more automotive and silicon photonics being better. This is a capital-intensive business that earns utilization and specialty-process premiums.

Honest moat conclusion: GFS has a real and scarce position: Western trusted foundry, specialty processes, and a silicon-photonics option. But moat depth is constrained by the nature of mature-node manufacturing. The highest-value advanced nodes are not in its hands, the gross-margin ceiling is low, general-purpose mature nodes are exposed to China's price war, and the hardest new piece, silicon photonics, is still ramping. It has a differentiated moat, but the moat is medium depth and the growth engine is still under construction.

4. Industry Cycle and TAM: A Stable Mature-Node Base Plus a High-Growth Silicon-Photonics Subset

GFS's market is a combination of two very different layers: a stable but low-growth mature-node base, and a high-growth but small-base silicon-photonics and specialty subset.

Mature processes: large and stable, but moderate-growth and over-supplied. The market for mature nodes, 28nm and above, is about $58 billion to $64 billion, growing about 6-8% per year (Fortune Business Insights; Intel Market Research). It accounts for more than half of total foundry value, and automotive is more than 20% of it. This is a stable and large market, but growth is moderate, and it faces structural overcapacity from China's expansion, discussed in Section 8.

Specialty and high-growth subsets: silicon photonics is the brightest, but definitions must stay separate. Several related submarkets, using multiple institutional definitions, are marked separately and must not be added together:

  • Silicon Photonics: the highest growth. Precedence estimates about $2.86 billion in 2025 with roughly 29% CAGR, while Mordor estimates about $10.4 billion by 2030. This market is driven by AI data-center optical interconnects.

  • RF-SOI: estimates vary widely. One estimate puts 2026 at about $910 million, with 20% CAGR.

  • FD-SOI: one of the fastest-growing SOI subsets, with multiple estimates putting CAGR at 17-35%.

  • Automotive semiconductors, overall and not only mature nodes: about $57 billion to $88 billion in 2026, with 7-11% CAGR.

Honestly stated, GFS's base business, mature processes, is a large market with moderate growth. The real growth imagination comes from silicon photonics, a high-growth subset that currently contributes less than 3% of GFS revenue. Its growth story is a stable base plus structural handoff to silicon photonics, automotive, and data centers. It is not a high-growth story for the whole company.

Why silicon photonics is related to AI. AI pushes data-center network loads toward east-west traffic, meaning machine-to-machine communication between GPUs and accelerators. Optical interconnect becomes one of the performance bottlenecks. GFS's silicon photonics sits on this line, and the company has launched the SCALE platform for AI scale-up optical compute interconnects. But the timing needs discipline: meaningful CPO contribution will arrive in 2028-2029, while the near-term business mainly depends on pluggable optical modules (Yahoo Finance, as of 2026-03).

Reshoring as national strategy. U.S. fab investment is massive, but mature processes and back-end capacity remain overwhelmingly in Asia, creating a strategic supply-chain weakness. GFS's $16 billion U.S. investment plan announced in 2025-06, $1.5 billion in CHIPS Act funding, $3.1 billion defense contract, and EUR 1.1 billion Dresden expansion supported by EUR 495 million in EU subsidies are all moves in this reshoring strategy (GF $16 billion investment, as of 2025-06). This is GFS's distinctive strategic value versus Asia-only mature-node foundries.

Industry conclusion: GFS sits in a position defined by a stable large base, a small high-growth subset, and reshoring tailwinds. But its overall growth is held back by the mature-node base, with the price sword of Chinese overcapacity hanging overhead. The track is not bad, but GFS is a second-line player that relies on differentiation and trusted-foundry status to avoid price wars and relies on silicon photonics for growth-option value.

5. Horizontal Peers: Priced Like UMC on Revenue, with Gross Margin Far Below TSMC

Place GFS in the peer map of pure-play wafer foundries, and several important conclusions emerge.

Company-by-company view plus three key conclusions:

  • Conclusion 1: on revenue, GFS is almost priced the same as UMC. GFS's P/S of 6.79 is about equal to UMC's 6.63, only a 2.4% premium. They are the cheapest tier in this peer group, while Tower at 18.2 and SMIC at 10.7 are much more expensive. So within mature-node foundry, GFS has almost no P/S premium over its most direct peer, UMC.

  • Conclusion 2: on earnings, GFS is about half again as expensive as UMC, but the denominator is depressed. GFS's P/E of 51-61 is above UMC's 32, a premium of about 60-90%. But this mainly reflects GFS's TTM earnings still being dragged down by depreciation and one-time impairment charges, which shrink the denominator. On forward P/E, GFS at 42.7 versus UMC at 28.8 is about a 48% premium, which sits in the middle.

  • Conclusion 3: the 26% versus 62% gross-margin gap with TSMC is structural. This 36-percentage-point gap defines GFS's valuation band. It belongs to mature-node foundry, in the same tier as UMC, not to the advanced-node leader group. This gap will not disappear through better execution. It is the permanent cost of exiting 7nm in 2018.

The most direct comparisons: UMC and Tower. UMC is a pure mature-node foundry and is the closest match to GFS, while GFS differentiates itself through Western trusted foundry plus silicon photonics. Tower is a specialty/analog foundry and is highly similar to GFS, but its valuation is much higher at 18.2x P/S. GFS's position in this group is slightly more expensive than UMC on earnings, but with room for a reshoring and silicon-photonics differentiation premium.

What about the sector overall? It is near historical highs. The entire mature/specialty foundry group has been systemically re-rated to historical highs by AI and reshoring narratives. GFS itself is up about 130% over the past year and is close to its 52-week high of $31.51-$92.55, making it part of this high-valuation sector backdrop.

Key takeaway from this section: GFS does not look expensive in a horizontal valuation sense, given that its P/S is in line with UMC and it is far from the most expensive in the group. The issue is the vertical timing and the match with fundamentals. It is up 130% in a year because of valuation re-rating rather than earnings, and the current price is already above analyst consensus targets. The main risk is the stock moving ahead of earnings and consensus, with the reshoring and silicon-photonics options already largely priced in.

6. Current Bull-Bear Fundamentals: Differentiated Position Versus Valuation Ahead of Consensus

Put the strongest bull and bear arguments on the same table.

Bull case, where it is strong:

  • Scarce Western trusted-foundry position. The only Western pure-play foundry with capacity across the United States, Europe, and Singapore. DoD Cat 1A, a $3.1 billion defense contract, and $1.5 billion of CHIPS funding lock in de-China defense and automotive orders.

  • Pricing power in specialty processes. Global RF-SOI leadership plus FD-SOI, automotive, and power differentiation help avoid pure price competition.

  • Silicon-photonics growth option. A 29% annual-growth market, guidance for revenue to double in 2026 and exceed a $1 billion exit run rate in 2028, and design adoption by three of the top four pluggable optical-transceiver vendors.

  • Automotive and data centers taking over. Q1 2026 automotive grew 23.6%, while communications infrastructure and data center grew 32.2%, offsetting shrinking mobile exposure.

  • Gross-margin expansion plus first dividend. A 40% gross-margin target for 2028, the first dividend in company history, a 50% FCF return framework, and $2.6 billion of net cash.
