But this business has one weak spot: it often does not have enough backlog in hand. Quarterly sales depend heavily on how many orders it can win during that quarter, so revenue is not very stable.

Is the cash generation dependable? The report runs the numbers. Cash earned over the past year has swung up and down, and was very low in both 2023 and 2025. This is not a machine that steadily produces cash. The bigger issue is price: the stock is now around 124 U.S. dollars. Based on current earnings, it would take 143 years to earn back the price, with a P/E ratio of about 143x, which is extremely high. Teradyne, a comparable but larger company, is only around 70 years. Using several valuation methods, the report estimates that a more realistic value for FormFactor is probably only about 35 to 55 U.S. dollars per share, far below 124 U.S. dollars.

The main risks to watch are these: if the current cycle supported by AI and high-end memory chips cools down, or if the new factory’s capacity ramp falls short of expectations, returns from such a high purchase price could look ugly. In the worst case, the stock could fall by more than half, not because the company has collapsed, but simply because investors paid too much. The report’s conclusion is: good company, bad price. Put it on the watchlist and wait patiently for a cheaper entry point.

Conclusion First

Preliminary rating: Watch. If FormFactor is viewed as a business to own for the long term rather than as a trading stock, my conclusion is: this is an understandable, above-average-quality semiconductor test and measurement business with a degree of moat in its niche; however, at the current price, the market has already prepaid too much for "strong HBM and AI demand, successful capacity ramp, and a material lift in margins," leaving a margin of safety that is not merely "unclear" but close to nonexistent. The company posted record revenue in Q1 2026, and management even said the quarterly run rate had already exceeded its target model and, when combined with Q2 guidance, could validate that model on an annualized basis. Yet even using the company's own target model of $850 million in revenue and $2.00 in non-GAAP EPS, the current share price of about $124.25 still implies roughly 62 times target non-GAAP EPS. That does not meet the standard of conservative value investing, which seeks to buy quality businesses at low prices.

Core judgment. FormFactor's business centers on high-end probe cards and engineering test systems. Customers include leading fabs and memory manufacturers such as Intel, Samsung, SK hynix, TSMC, and Micron, and the company participates deeply at the early stage of customer development, giving it an integrated advantage across design-in, validation, and volume production. At the same time, this business does not have network effects, and its revenue is not sticky subscription cash flow. The company states clearly in its 10-K that it usually does not have enough backlog to cover quarterly revenue targets, so a large share of quarterly revenue depends on orders received and delivered within the same quarter. Looking deeper, GAAP operating income in both 2023 and 2024 benefited from large gains on business divestitures, which means headline margins would overstate true operating quality unless adjusted. Overall, FormFactor looks more like a technical leader in an attractive industry than a classic Buffett-style company with a wide moat, strong pricing power, and highly predictable cash flow.

Is there a margin of safety at the current price: no. Based on the latest market data, FORM trades at about $124.25 per share, with a market capitalization of about $9.87 billion. As of the end of Q1 2026, the company had about $303 million in cash and marketable securities and only about $12 million in long-term debt, so the balance sheet itself is not weak. The problem is that the current enterprise value implies a TTM revenue multiple above roughly 11 times and a P/E of about 143 times based on current earnings power. Even for a high-quality but visibly cyclical semiconductor equipment/consumables business, that is too high.

Suitable investor type. This is better suited to growth-oriented or industry-cycle investors willing to track the HBM, advanced packaging, and AI infrastructure cycles continuously. For balanced and relatively conservative investors whose core principle is "long-term value plus margin of safety," FORM belongs on the watchlist rather than in the portfolio at the current price.

The biggest uncertainties. There are three key uncertainties: first, whether the HBM/high-end DRAM cycle is only a temporary peak, which would pull the current record-level DRAM revenue back down; second, whether the Farmers Branch new facility ramp can truly deliver higher gross margins and scale effects; third, how high a valuation premium the market is willing to give the company, and for how long.

Business, Industry, and Moat

How this company makes money. FormFactor defines itself as a supplier of electrical and optical test and measurement technologies across the full semiconductor lifecycle. Its products include high-performance probe cards, analytical probes, probe stations, thermal test systems, and cryogenic systems, serving both semiconductor companies and research institutions. By fiscal 2025 market segment, revenue came from about $370 million in Foundry & Logic, about $247 million in DRAM, about $21 million in Flash, and about $147 million in Systems. Based on historical disclosures, most of the company's revenue still comes from probe-card products. In other words, this is not a "software sales" business. It sells technically intensive, customized, relationship-driven test interfaces and engineering systems.

Who the customers are and how the company charges. Customers are the world's leading foundry, logic-chip, and DRAM/Flash memory manufacturers, as well as some research institutions. In its April 2026 investor presentation, the company named major customers or validation customers including Intel, Samsung, SK hynix, TSMC, and Micron. Revenue concentration has remained high in recent years: one customer accounted for 22.9% of revenue in 2025, two customers together accounted for 33.5% in 2024, and Intel alone accounted for 19.0% in 2022. The revenue model is mainly product sales. Customers buy customized probe cards and systems for specific chips, packages, and test scenarios. That creates a high technical threshold, but it also means revenue fluctuates with customer product introductions, test complexity, production cycles, and capital spending rhythm.

Whether revenue is recurring, stable, and predictable. The answer is: recurring demand exists, but stability is average and predictability is not high. Recurrence comes from chip iteration, volume-production testing, and equipment maintenance. Instability comes from two facts the company discloses clearly: the business depends heavily on a small number of large customers, and the company usually does not have enough backlog to cover quarterly revenue targets, so quarterly revenue depends heavily on orders received and delivered within the quarter. Put differently, this is not "automatic annual renewal." It is more like "once customers enter a new process node, package, or memory generation, they keep needing you, but the quarterly rhythm and dollar amount are not smooth." That is why FormFactor resembles an excellent industrial technology company more than a consumer staples or software subscription company.

Cost structure and dependencies. Costs mainly include manufacturing materials, employee compensation, manufacturing overhead, shipping, warranty, and inventory write-down provisions. The company's manufacturing also depends on a small number of suppliers, and in some cases sole-source suppliers, for items such as printed circuit board assemblies, plating materials, and ceramic substrates. In 2025, the company stated clearly that tariff costs reduced overall gross margin by 1.4 percentage points. Meanwhile, the cost structure is not purely variable. When scale rises, gross margin and expense ratios can improve; when scale falls, fixed costs weigh on profitability. This is the typical industrial equipment/consumables pattern: operating leverage on the way up and faster profit contraction on the way down.

Industry position and competitive landscape. In its 2026 investor presentation, the company positions itself in "wafer test and measurement": upstream from final packaging test systems, downstream from front-end wafer fabrication equipment, and focused on the critical test interface connecting ATE to wafers as well as engineering-stage test systems. The company's cited framework suggests its served market consists of advanced probe cards and engineering systems, totaling about $2.75 billion in 2024, including about $2.25 billion in advanced probe cards. The advanced probe-card market is expected to reach $2.6 billion in 2027, with a CAGR above 7%. SEMI also expects global semiconductor test equipment to grow 48.1% in 2025 and another 12.0% in 2026, indicating that industry momentum is indeed improving.

Main competitors and industry attractiveness. This is not a monopoly industry. Direct probe-card competitors include at least Technoprobe and Micronics. Technoprobe's official materials describe it as the world leader in probe cards by both volume and revenue. Micronics' official medium-term plan states that it had about 12% share of the probe-card industry in 2022 and held an overwhelming number-one position in DRAM probe cards. Teradyne and Advantest sit in the adjacent test platform/interface ecosystem. Teradyne even invested in Technoprobe and formed a strategic partnership with it, showing that the industry is not dominated by FORM alone. It is a long-term contest among a few strong players around customer roadmaps, yield, throughput, and speed of design-in. Industry attractiveness should therefore be rated above average: long-term demand is supported by chip complexity and AI infrastructure, but cyclicality, technology substitution, and customer bargaining power cannot be ignored.

Moat judgment. FormFactor's moat is not consumer brand mindshare or network effects. It is closer to a combination of customer relationships + engineering know-how + early participation in customer roadmaps + global delivery capability. The company emphasizes four points in its presentation materials: early customer engagement, application and technology leadership, world-class lead times and quality, and the largest R&D budget in its served market. In the TechInsights 2025 customer satisfaction survey, the company was ranked global number one in both test subsystems and focused chip manufacturing equipment. The company also received SK hynix's Best Partner Award, with the award explicitly referencing core use cases such as HBM and advanced packaging test. These facts show that FormFactor has a real position in technology and execution. The issue is that these strengths look more like a moderately wide moat that requires continuous investment to maintain than a moat like Coca-Cola's brand, which can widen even while the company does relatively little.

Based on the above, I assign the following scores:

Would I be willing to hold this business if the stock market closed for five years. At a reasonable price, yes; at the current price, no. The reason is straightforward: the business itself can be held, but buying at today's price requires simultaneous optimism about strong HBM demand, a step-change in margins, maintenance of competitive position, and no compression in a high valuation. That is no longer a typical low-risk, slow-odds investment.

Management and Capital Allocation

Whether management is honest, rational, and long-term oriented. CEO Mike Slessor has served as CEO since 2014 and came from MicroProbe, which FormFactor acquired. His tenure is long and closely tied to the core probe-card business. In the company's incentive structure, 70% of short-term incentives depend on financial performance and 30% on company goals. Long-term PRSUs are based on TSR, creating, at least on the surface, a dual constraint of financial targets and shareholder returns. The company also has stock ownership guidelines and clawback provisions, all of which are positive governance items.

But management is not a heavily invested owner. This point matters. The 2026 proxy statement shows that the CEO beneficially owned about 487,000 shares, which is meaningful in absolute terms but still below 1% of the company. All current directors and executives together owned about 615,000 shares, also below 1%. That means alignment with shareholders comes more from compensation design and job attachment than from an owner-operator structure where a large portion of net worth is tied to company stock. For conservative value investors, this lowers the management assessment from "strongly aligned" to "neutral to positive."

Capital allocation has to be split into parts. On the positive side, the company completed two fairly good divestitures. In 2023, it sold the FRT business to Camtek for about $100.1 million in net cash, while the total consideration when it bought that business in 2019 was about $24.4 million. In 2024, it sold its China operating entity for about $21.4 million in net proceeds, generating about $20.3 million in pre-tax gain. This suggests management can make portfolio-level subtractions instead of blindly holding every business. On the other hand, the company invested about $67.16 million in FICT in 2025, with a year-end carrying value of $64.10 million, and recorded a $2.02 million equity-method loss. The Keystone Photonics acquisition was only $20.60 million, too small to judge clearly. Overall, capital allocation is not poor, but it has not yet proven top-tier either.

Buybacks, dividends, and dilution. The company pays no dividend. Cash is mainly used for reinvestment, acquisitions, facility expansion, and modest buybacks. In 2025, the two categories of buybacks totaled about $26.20 million, including about 665,000 shares for about $22.10 million under the earlier program and about 135,000 shares for about $4.10 million under the new plan. In Q1 2026, the company did not continue buybacks. The company states explicitly that the main purpose of the new buyback plan is to offset potential dilution from equity compensation, which is not the same as aggressive share retirement when shares are undervalued. Meanwhile, the 2026 annual meeting approved an additional 5 million shares for issuance under the 2012 equity incentive plan. The proxy statement disclosed that, based on historical grant pace, the related overhang was about 11.3%, and the average burn rate over the past three years was about 1.43%. Therefore, although FORM's share count has not expanded out of control, management is also not an extremely restrained "per-share value" repurchaser.

One reservation on compensation metrics. The proxy statement shows that adjusted operating income used for compensation assessment excludes amortization, inventory and fixed-asset fair value adjustments, stock-based compensation expense, restructuring costs, net gains on business divestitures, acquisition-related costs, and other items. For operating assessment, such adjustments may not be unreasonable. But for owners, SBC and acquisition costs are not costs that automatically disappear. This keeps me cautious in scoring management and capital allocation.

Financial Quality and Owner Earnings

Start with the past few years: the conclusion matters more than the story. The key financial data below are summarized based on the company's GAAP disclosures. 2020-2022 data come from the 2022 10-K; 2023-2025 data come from the 2025 10-K; Q1 2026 is from the latest 10-Q. Capital expenditure is cash paid for property, plant, and equipment.

How to read this table. First, revenue growth has not been as "linearly impressive" as the share price performance. From 2020 to 2025, revenue increased from $694 million to $785 million, a total gain of only about 13%. The real strength is concentrated mainly from the second half of 2024 to the first half of 2026, especially in DRAM/HBM. Second, gross margin has long fluctuated in the 39%-42% range and has not shown sustained expansion. In 2025, the company even stated clearly that tariff costs reduced overall gross margin by 1.4 percentage points. Third, free cash flow is highly volatile: it was only about $8.6 million in 2023 and about $11.7 million in 2025, showing that this is not a machine that steadily prints cash. It is a hard-tech company with cash creation capability across the cycle, but one that can also suddenly look much less profitable because of facility expansion, inventory, and receivables absorption.

Profit quality needs adjustment. GAAP operating income in 2023 and 2024 included about $72.95 million and $20.58 million, respectively, of gains on business divestitures. Without adjustment, operating quality would be overstated. Conversely, 2025 included a $2.026 million equity investment loss from FICT and $3.025 million of new facility start-up costs, while Q1 2026 included $7.074 million of factory start-up costs, meaning GAAP profit was also depressed by short-term ramp factors. Put simply, FORM's accounting profit is not distorted, but it is very easily disturbed by asset-sale gains and temporary start-up costs. Investors must separate "reported profit" from "sustainable earnings power."

Cash flow and working capital. Operating cash flow in 2025 was $115.4 million, mainly consumed by higher inventory and receivables. The company disclosed that net working capital absorbed about $43 million that year, including an increase of about $20.16 million in receivables and about $20.66 million in inventory. This is consistent with the high growth in Q1 2026, but it also reminds us that the company's growth is not a light-capital, low-working-capital model. On inventory, year-end 2025 inventory was $110.9 million, higher than $101.7 million in 2024. The company recorded about $14.90 million of inventory write-downs/impairments that year, and KPMG listed the assessment of excess and obsolete inventory as a critical audit matter. For conservative investors, this is not evidence of fraud, but it is an important profit-quality variable to monitor.

Balance sheet and survivability. As of the end of Q1 2026, the company had about $303 million in cash and short-term/long-term marketable securities, only about $11.80 million in long-term debt, and an unused $150 million revolving credit facility. Debt-service pressure is extremely light. Even if the industry enters a downturn, the company is more likely to experience profit compression than a financial crisis. This is very important: FormFactor's main risk is not a leverage blowup, but valuation damage if the cycle weakens while the stock is highly valued.

How to think about owner earnings. Under Buffett's owner earnings framework, the hardest part is not adding back depreciation and amortization, but distinguishing maintenance capex from growth capex. In 2025, the company's capital expenditure reached $103.7 million, of which about $55 million was directly related to the new Farmers Branch manufacturing facility. Therefore, treating 2025's low free cash flow directly as the long-term norm would understate the company's medium-term earnings power. On the other hand, ignoring all of this growth capex would overstate current distributable cash. Conservatively, I prefer to view the company's current "true distributable cash capacity" for 2025-2026 as a range rather than a single point:

  • Based on the 2025 audited figures, net income was about $54.36 million;

  • Add back depreciation and amortization of about $37.59 million;

  • Do not treat SBC as a "free cost" that can be ignored at will;

  • Estimate maintenance capex at $40 million to $50 million, rather than the full $103.7 million in 2025;

  • Reserve an additional $10 million to $20 million for working capital needs during the growth phase. Under this framework, my estimate of the company's current conservative owner earnings is roughly in the $80 million to $110 million range. If anti-dilution costs are further internalized under a stricter approach, the range could be lower. Under any approach, the conclusion is the same: the current share price implies a very high multiple of owner earnings.

Valuation, Margin of Safety, and Opportunity Cost

The current share price is shown below.

Several key valuation facts at the current price. As of June 9, 2026, FORM traded at about $124.25 per share, with a market capitalization of about $9.87 billion. The company's shareholders' equity at the end of Q1 2026 was about $1.059 billion, so the current P/B is about 9.3 times. The company had about $303 million in cash and marketable securities and about $12 million in total debt, making it almost net-cash, but that does not meaningfully reduce the valuation multiple. Combining full-year 2025 revenue of $785 million with Q1 2026 revenue of $226.1 million, FORM is currently an asset trading at roughly more than ten times EV/Revenue based on recent run-rate levels. Based on the real-time finance-tool metric, P/E had reached about 142.8 times.

FORM is not cheap compared with peers either. The peer comparison here is only directional because Teradyne, Cohu, and FORM do not have identical business structures: Teradyne is larger and more platform-like, while Cohu has a different segment mix and earnings quality. Even so, the current market premium for FORM's earnings is still very aggressive. Teradyne's current P/E is about 69.5 times, while FORM's is about 142.8 times; Cohu is currently loss-making. Based on latest quarterly book value, Teradyne's P/B is about 18.8 times, Cohu's is about 3.2 times, and FORM's is about 9.3 times, placing FORM in the middle. But FORM's cash-flow stability is plainly lower than that of a more mature platform company. My conclusion: FORM is neither "the cheapest among peers" nor "so high-quality that valuation can be ignored."

Method 1: owner earnings discounted valuation. I use three scenarios. The core is not to forecast the short-term share price, but to ask how much real cash this company can contribute from a long-term owner's perspective. The assumptions are:

  • Conservative scenario: start with $80 million in owner earnings, grow 7% for the first five years and 3% for the next five years, use an 11% discount rate, and apply a terminal multiple of 16 times owner earnings.

  • Base scenario: start with $110 million in owner earnings, grow 11% for the first five years and 4% for the next five years, use a 10% discount rate, and apply a terminal multiple of 20 times owner earnings.

  • Optimistic scenario: start with $150 million in owner earnings, grow 14% for the first five years and 5% for the next five years, use a 9% discount rate, and apply a terminal multiple of 24 times owner earnings. These starting points are already well above 2025 GAAP free cash flow, and the optimistic scenario essentially treats the profitability in management's target model as sustainable. Even so, the per-share intrinsic values I get are still only about:

  • Conservative range: $20-30;

  • Fair range: $35-55;

  • Optimistic range: $60-80. This does not mean the company is worth only that little. It means that as long as one insists on the conservative valuation discipline of owner earnings, reasonable discounting, and a normal exit multiple, it is hard to push value close to $124. The operating starting points and management targets are based on the company's 2025 10-K, Q1 2026 10-Q, and 2026 investor presentation.

Method 2: relative valuation. Here I prefer to compare with "management's own target model" rather than only with peers. The company's 2026 presentation gives a target model of $850 million in revenue, 47% non-GAAP gross margin, 22% non-GAAP operating margin, and $2.00 in non-GAAP EPS. At the current share price of $124.25, FORM is trading at about 62 times target non-GAAP EPS. If one applies 25-30 times earnings, a valuation more in line with a mature growth stock for a cyclical, highly customer-concentrated semiconductor test company that requires continuous R&D investment, the corresponding price would be only around $50-60. In other words, the current price is no longer "pricing in improvement"; it has prepaid a very large portion of that improvement.

Method 3: asset or liquidation value. This company is not well suited to a heavy-asset, resource-style replacement-cost or real-estate valuation, but the asset cushion is still worth checking. At the end of Q1 2026, the company had about $303 million in cash and marketable securities and about $291 million in net cash. Shareholders' equity was about $1.059 billion, corresponding to book value per share of about $13.6. In other words, the balance sheet is very solid, but the asset cushion comes nowhere close to supporting the current $124 share price. Therefore, FORM's valuation must come from high growth and high margins realized over many future years, not from the assets themselves.

Margin of safety judgment. In my view, the current price rests on three fragile assumptions: first, HBM and AI-related DRAM/logic demand must remain high for many years; second, Farmers Branch capacity and efficiency ramp must materially improve gross margin; third, the market must be willing to maintain an extremely high valuation multiple for a long time. If any one of these conditions fails, returns could deteriorate sharply. If two fail at the same time, the risk of permanent capital loss would rise materially. By comparison, the U.S. 10-year Treasury yield was about 4.56% on June 8, 2026. Buying FORM at the current price offers a cash return far below that level, whether measured on trailing earnings or on my relatively optimistic normalized owner earnings. What investors are really buying is the duration of distant growth, not current cash yield. This is the classic case of a good company at a bad price.

Based on the three methods above, I give the following ranges:

These are not market consensus estimates. They are valuation conclusions based on conservative value-investing discipline. The purpose is not to "guess the short term," but to refuse to pay an excessive price under high assumptions, long duration, and a high premium.

Risks, Checklist, and Final Judgment

The most important risks. First is competition risk: Technoprobe, Micronics, and others are not going away, and leading customers have the ability to pursue dual-supplier strategies. Second is technology substitution and roadmap risk: if package architectures, test methods, or customers' internal capabilities change, FORM's design-in advantage could be eroded. My judgment is that FORM’s demand sources are sustainable and its social profile is healthy; but it is not immune to regulation. Whether future growth is smoothly realized depends on whether it can keep serving core customers in Korea, Taiwan, the United States, and elsewhere under compliance requirements, while reducing shocks from single regions, single supply chains, and customer dual sourcing.

    On gross margin, one must distinguish GAAP from non-GAAP. In 2025, the company’s GAAP gross margin was 39.3%, and 2026Q1 GAAP gross margin was still 38.4%; but in the same quarter, non-GAAP gross margin had reached 49.0%, and Q2 guidance was 46.6% GAAP and 49.5% non-GAAP. This shows that marginal improvement is genuinely present. However, the 2025 10-K also says gross margin is affected by revenue scale, product mix, price, factory loading, and material costs, and mentions a tariff drag of about 1.4 percentage points, so this looks more like “manufacturing unit economics with operating leverage,” not software-like stable high gross margins.

At the current share price of USD 124.25 and market capitalization of about USD 9.87 billion, the market is already paying for “successful delivery of the target model,” not for a machine already steadily producing USD 160 million of FCF.

    The problem is that the company’s own target model is still nowhere near that level: the target model is only USD 850 million in revenue, 47% non-GAAP gross margin, 22% non-GAAP operating margin, USD 2.00 non-GAAP EPS, and USD 160 million in free cash flow. Based on about 79 million diluted shares, USD 2.00 EPS roughly corresponds to about USD 160 million of profit, still about 10 times short of the USD 1.6-2.0 billion in net income needed for a fivefold outcome over ten years. In other words, the fivefold thesis cannot rely merely on “delivering the target model”; it must rely on “a much larger new target model emerging after the target model.”

    The expectations embedded in today’s share price are already aggressive: a USD 124.25 share price corresponds to about 142.8 times TTM PE, and even against the company’s USD 2.00 target non-GAAP EPS, it is already about 62 times.     A positive “narrative inflection point” will not be another AI/HBM report, because that narrative is already in the price; the real inflection point should be a verifiable upward shift in the model: several consecutive quarters with revenue stably annualizing above USD 900 million-1.0 billion, and not from one-off adjustments, while Farmers Branch translates into higher GAAP gross margin, free cash flow margin, and cash conversion; CPO/silicon photonics moves from “customer collaboration/early opportunity” into an independent, quantifiable large revenue line; customer concentration declines; and both DRAM/HBM and Foundry & Logic can maintain share. Only if these facts appear can the market shift from “FORM is a beneficiary of the HBM upcycle” to “FORM’s long-term target model needs to be raised overall.”

    The negative inflection points are just as clear: HBM orders cool, customers allocate more share to competitors such as Technoprobe and Micronics, inventory write-downs or new-factory start-up costs keep suppressing GAAP profit, or dilution and cash consumption from equity compensation/expansion exceed expectations.
