The company plans to provide service primarily through wholesale commercial agreements with mobile network operators, rather than operating its own retail telecom brand facing end consumers directly; it also plans to extend the capability to government applications. In its 2025 annual report, the company explicitly states that going forward it intends to provide SpaceMobile Service to operators' subscribers through wholesale commercial agreements with cellular service providers.

【Fact】At this stage, the revenue mix does not resemble a mature business model. In 2025, the company's revenue consisted of product revenue of $44.389 million and service revenue of $26.529 million, totaling $70.918 million; in Q1 2026, revenue was $14.735 million, of which product revenue was $13.406 million and service revenue was $1.329 million. In its Q1 2026 update, the company further stated that quarterly revenue was primarily driven by gateway deliveries and U.S. government milestones. In other words, today's revenue is not the high-stickiness subscription/usage-based revenue of a mature company.

【Opinion】So if you ask "what does this company actually charge for," the most accurate answer today is not "end-user monthly fees" but: in the near term, gateway equipment deliveries plus engineering and government project milestones; the long-term goal is wholesale cellular satellite service revenue-sharing with operators. These two are very different in economic character. The former is project-based, episodic revenue; the latter is what could become the recurring revenue value investors favor.

【Fact】The cost structure is currently very heavy. In 2025, operating cost of services was $142.5 million, general and administrative expenses were $101.7 million, R&D was $28.12 million, and depreciation and amortization was $51.11 million; in Q1 2026, engineering cost of services was $84.10 million, G&A was $43.66 million, R&D was $7.13 million, and depreciation and amortization was $17.62 million. This shows the company is still at the "engineering + manufacturing + deployment" stage rather than the stage of releasing operating leverage.

If the stock market closed for 5 years, would I be willing to hold it today? 【Opinion】If I were holding it with a "venture capital" mindset and a very small position, I could accept it; but if I were buying a large position today at this price with a "long-term acquisition of a cash-generating business" mindset, I would not. The reason is not that the dream isn't big enough, but that truly distributable cash flow is still far away, and the path there has to clear too many execution hurdles.

Industry and Competitive Landscape

【Fact】From the demand side, long-term demand for mobile connectivity is extremely stable. GSMA discloses that the global mobile industry supported 8.8 billion wireless connections and 5.8 billion unique mobile subscribers in 2025; this shows the underlying demand pool is enormous. At the same time, the FCC's 2026 commentary on the D2D market notes that over the past 18 months, the U.S. D2D space alone has seen at least 130MHz of spectrum and over $28 billion in transaction flow, indicating the market is still in an early stage of rapid formation and capital inflow.

【Fact】But the industry is also clearly at an early, heavily regulated, technologically fast-iterating stage. Even as the FCC approved AST in 2026, it explicitly described the company as "one of many satellite companies in intense competition"; T-Mobile and Starlink's T-Satellite service is already open to the public in the U.S., supporting texting, some apps, location sharing, and some voice chat, though officials also emphasize that data rates are limited and performance depends on network and satellite conditions. A more accurate description of the moat's state is that it is trying to widen, but has not yet completed verification.

【Opinion】For a competitor to replicate AST would take a long time and enormous capital, but that does not mean AST will easily win. For an ordinary new entrant, replication would take years and several billion dollars; but for a rival like SpaceX/Starlink that already has launch capability, an on-orbit satellite fleet, and terminal and spectrum dealmaking capacity, the barrier to replication is significantly lower, and in some respects such a rival is even stronger. This keeps the founder aligned with a long-term strategy, but it also significantly weakens governance checks for minority shareholders.

【Fact】From an "alignment of interests" standpoint, Avellan's incentives are broadly aligned with shareholders: since the business combination closed in 2021, he has not taken a base salary above the statutory minimum wage requirement and did not participate in the 2025 annual cash bonus program; he also previously founded EMC and sold it to Global Eagle for $550 million in 2016. Earlier data is more affected by business divestitures, R&D-stage status, and corporate structure changes, so it offers limited help in judging long-term economics.

【Fact】A few key financial conclusions stand out clearly. First, revenue is growing, but off a small base and still skewed toward project-type sources; second, growth is extremely dependent on capital input; third, share count is rapidly expanding; fourth, the income statement is nowhere near demonstrating that the company has crossed a commercialization inflection point. Operating cash flow improved in 2025 versus 2024, but this was driven largely by a $161.5 million increase in contract liabilities, not by the organic growth of a steady operating cash machine.

【Fact】The balance sheet is not as "pressure-free" as it appears on the surface. As of Q1 2026, the company's cash, cash equivalents, and restricted cash totaled about $3.459 billion, but total debt had also reached $3.024 billion; of that, $428.4 million of restricted cash is collateral for UBS bridge financing. In other words, if restricted cash is excluded from "freely deployable funds," AST's net cash cushion is not "several billion dollars thick" the way it might first appear.

【Fact】In addition, as of the end of March 2026 the company still had approximately $540 million to $560 million of purchase commitments and about $200 million to $250 million of future minimum launch commitments; the spectrum-rights transaction related to Ligado has also generated large capital advances, part of which remains an off-balance-sheet commitment. The company had already invested $476.4 million into Ligado/spectrum intangible assets in 2025, and added another $117.66 million in Q1 2026 (including the Ligado capital advance and spectrum acquisition).

【Opinion】This means AST is not currently a company that "gets more profitable as it grows," but rather a textbook example of a company that needs more cash the further it pushes deployment. The real inflection point is not revenue moving from $70 million to $150 million, but rather: once new satellites, gateways, regulatory approvals, and operator integrations are complete, will incremental revenue clearly outpace incremental capital expenditure, depreciation, satellite replenishment, and equity dilution. Until that point arrives, I will not treat this as a high-quality financial model.

Owner Earnings Analysis

Buffett-style "owner earnings" typically starts from net income, adds back non-cash charges, and subtracts maintenance capital expenditure and working capital needs. But two fundamental problems apply to AST here: First, 【Fact】the company is still in its network-buildout phase, and maintenance capex cannot be honestly separated from growth capex; Second, 【Fact】the current large revenue figures have not yet shown the cash-collection rhythm of a mature subscription-type service, so using a single year's profit to represent "true distributable cash flow" would be badly distorted.

I offer a conservative, though still imperfect, approximation of 2025 owner earnings:

On this basis, before subtracting maintenance capex, 2025 "conservatively-estimated owner earnings" already come to roughly around -$430 million; if you assign even a very low placeholder value for maintenance capex, the result only gets worse. This estimate is not meant to be precise — it is meant to establish that: AST's true distributable cash flow today is significantly negative.

【Opinion】Why do I subtract the increase in contract liabilities? Because this cash is essentially customer prepayments or milestone-related funds — it is not cash the company already owns freely and can distribute to owners over the long run. Why don't I treat all capital expenditure as "maintenance capex" and subtract it entirely? Because doing so would understate potential future mature-stage earning power; but if none of it is subtracted, current owner earnings would be overstated. The most honest conclusion is: AST's owner earnings at this stage are not only negative, but also unstable and not yet comparable on a mature basis.

【Opinion】So the question "how many times owner earnings does the current valuation represent" strictly speaking has no meaningful answer, because owner earnings are still negative. If you force today's price to bet on positive owner earnings 10 years from now, what you are buying is not "a business already generating cash flow," but a high-priced, long-dated option on future commercialization success.

Valuation and Margin of Safety

Intrinsic Value Estimate

The conclusion has to come first here: 【Opinion】AST's valuation can only be a high-uncertainty range judgment, not a "precise point estimate." The reason is that current free cash flow is still deeply negative, maintenance capex is unknown, the future service revenue structure is undetermined, and the convertible notes and Up-C structure make per-share value calculations more complex. To stay conservative, I prefer to think in terms of a near-fully-diluted share count, rather than looking only at the Class A market cap quoted on secondary-market websites. As of the end of Q1 2026, AST disclosed approximately 387.8 million total Class A/B/C common shares outstanding; translating this roughly at the current share price, the intuitive look-through equity value is around $32.4 billion. This is an inference, not a figure the company states explicitly, but it is a useful reminder that the nominal market cap the public market sees is not necessarily the full extent of shareholder economic claims an investor actually faces.

Discounted Owner Earnings Method

I use a very conservative approach: 【Assumption】I anchor to the midpoint of 2026 revenue guidance, $175 million, as the near-term reference point, and set up conservative, neutral, and optimistic owner-earnings paths separately from there; 【Assumption】the discount rate is uniformly set at 14%, to reflect launch, regulatory, commercialization, capital-structure, and technical execution risk; 【Assumption】terminal growth rate is set at 2.5% / 3.0% / 3.5%; 【Inference】using a near-fully-diluted share count, the resulting per-share intrinsic value ranges are roughly as follows:

These are not "market forecasts," but a value-oriented assumption framework I derive from the information available today. At the current share price of $83.67, the market price is already significantly above my conservative, reasonable, and even most of my optimistic scenario ranges.

【Opinion】In other words: for today's price to be justified, the long-term owner earnings and returns on capital AST ultimately needs to achieve would very likely have to far exceed my optimistic scenario here. That's not impossible, but it is already outside the comfort zone of "sound value investing."

Relative Valuation Method

【Fact + Inference】Looking only at the listed Class A market cap and using the midpoint of 2026 revenue guidance of $175 million, AST's current EV/2026E Sales is roughly 136x; using the more conservative look-through equity basis, it's roughly 183x. If you use actual 2025 revenue of $70.92 million, the multiple looks even more extreme. By comparison, Iridium's 2025 revenue was $871.7 million with OEBITDA of $495.3 million; using its current market cap and its disclosed roughly $1.8 billion of debt and $96.5 million of cash, EV/Sales works out to roughly 7x and EV/OEBITDA to roughly 12x; Globalstar's 2025 revenue was $273 million, and using its year-end cash of $447.5 million, total debt book value of $483.8 million, and current market cap, EV/Sales also works out to roughly 39x. Even against the higher-valued GSAT, AST still looks very expensive.
