As of May 20, 2026, APLD trades around $36.62, for a market cap of roughly $10.33 billion. At the same time, following the completion of the cloud-business spinoff on May 5, 2026, the company still holds approximately 97% of ChronoScale; based on the disclosed share count and CHRN's closing price that day, this stake is worth roughly $2.17 billion, or about $7.6 per APLD share. That means the market isn't simply valuing "traditional colocation space" — it's valuing an "AI data center development platform + signed long-term contracts + CHRN stake."

My initial rating: Watch. Core judgment: Applied Digital today looks more like a cluster of rapidly-under-construction AI infrastructure projects than a mature business that has already proven it can generate free cash flow over the long run. The company genuinely holds valuable assets: power and campus-development capability, long-term contracts, on-the-ground partnerships with major customers, and the CHRN stake retained after the spinoff. But it also carries several traits value investors dislike most: customer concentration, enormous capital expenditure, a complicated financial structure, heavy share dilution, negative free cash flow, and an adverse opinion on internal controls from its FY2025 auditors. At today's price, what you're buying isn't "realized cash flow" — it's the expectation that "projects get delivered successfully and the financing loop closes over the next 2-4 years."

Does the current price carry a margin of safety? Not obviously. Judged on "financials already realized," APLD's valuation looks very expensive; judged on "the steady-state cash flow once all signed long-term contracts are fully operational," the current price isn't outlandish. That's exactly the problem: the valuation depends heavily on execution, not on existing cash flow. For a long-term business owner whose core risk definition is "permanent loss of capital," that's not comfortable enough.

Investor fit: Better suited to growth/cyclical-hybrid investors who can tolerate high volatility and are willing to bet on AI data center construction and financing execution; not suited to ordinary long-term investors who want a "wide-moat, low-reinvestment, steady-dividend" value stock.

Biggest uncertainties: First, whether already-signed AI campuses can be delivered on time, on budget, and at target returns. Second, whether project financing costs will eat up most of shareholder returns. Third, the value, liquidity, and eventual disposition path of the CHRN stake after the spinoff.

To avoid confusion, the analysis below tries to separate four types of statements: Fact: from SEC filings, financial reports, official press releases. Assumption: growth rates, margins, discount rates, and maintenance capex used in the valuation. Inference: logical extensions built on facts. Opinion: the final investment judgment.

Business Understanding and Industry Landscape

How This Company Actually Makes Money

Fact. As of FY2026 Q3, Applied Digital identified three reportable segments: Data Center Hosting, Cloud Services, and HPC Hosting. For the nine months ended February 28, 2026, the three segments generated revenue of approximately $117.1 million, $53.2 million, and $182.3 million, respectively; HPC Hosting has become the largest revenue source. Subsequently, the company completed the cloud-business spinoff in May 2026, with the cloud business becoming separately listed as ChronoScale, while Applied Digital retained roughly 97% ownership.

Inference. This business looks complicated, but the core isn't hard to grasp: Part of it is traditional data center colocation — providing customers with powered space and supporting services; Part of it is higher-value AI/HPC campus development and long-term leasing, essentially a "custom, high-power, high-density digital infrastructure landlord"; And there used to be a cloud GPU services piece, but that's now been spun out. So, looking only at APLD going forward, the core entity will increasingly resemble an AI data center developer/operator, not a cloud service provider.

Fact. Revenue quality today is a mix of "long-term contract vision" and "short-term realized revenue." The company disclosed in FY2025 Q4 that two roughly 15-year leases with CoreWeave at Polaris Forge 1 correspond to about 250MW, expected to generate roughly $7 billion in contract revenue; it subsequently disclosed an additional 150MW option/lease, bringing PF1's total to about 400MW and roughly $11 billion in contract value. In October 2025, the company disclosed Polaris Forge 2's 200MW, worth roughly $5 billion in contracts; in April 2026, it disclosed Delta Forge 1's 300MW, worth roughly $7.5 billion in contracts, and stated that total contracted lease revenue had exceeded $23 billion.

But an equally important fact: the revenue already showing up on the income statement today isn't all future, stable, long-term rent. Management stated explicitly in FY2026 Q3 that roughly $71 million in incremental quarterly revenue came from HPC Hosting, of which about $44.1 million was base rent, about $18.9 million was tenant fit-out installation/refurbishment services, and about $8.1 million was power pass-through and other add-on revenue. In other words, current revenue includes a fair amount of one-time, low-margin, engineering-delivery-type revenue that shouldn't all be treated as "permanent, high-quality rent."

Fact. Customer concentration is extremely high. In FY2025, "Customer A" — the largest revenue customer among the company's top-five over the prior years — accounted for 93% of revenue, versus 75% in FY2024. Even though the company announced a new highly-rated hyperscaler tenant in April 2026 and stated that a third hyperscale tenant had landed, diversification at the level of realized revenue is nowhere close to having formed.

Inference. This means: From a "contract book" perspective, the business is improving, and revenue visibility is rising; From a "realized, verifiable, distributable cash flow" perspective, the business is still on the eve of project delivery and has not truly matured.

Is This a Good Industry

Fact. AI-driven data center demand remains very strong. McKinsey projects global data center investment demand of roughly $6.7 trillion by 2030; JLL projects the world will add nearly 100GW of data center capacity between 2026-2030, with total capacity nearly doubling to about 200GW; the IEA projects global data center electricity consumption will rise to about 945TWh by 2030, a sharp increase from 2024; and the Uptime Institute notes the industry is simultaneously facing higher costs, increasingly tight power constraints, supply-chain delays, and the density challenges brought by AI demand.

Inference. This isn't a weak-demand industry — the question was never "is there demand," but "who can secure the power, land, capital, and customers, and who can actually get projects built on time." So the industry's attractiveness is genuinely high, but capital intensity is also high, and the cost of failure is extreme. That's exactly why APLD's story can captivate the market, and exactly why it shouldn't be valued as an "asset-light software stock."

Competitive Landscape and Understandability Assessment

Among mature peers, the truly comparable "high-quality data center landlords" are Digital Realty and Equinix; closer to APLD's risk profile are Core Scientific, some mining-infrastructure companies converting to AI/HPC, and large hyperscalers building in-house. The problem is: APLD doesn't have EQIX's mature platform, scale network, and customer stickiness, nor has it entered the stable-rent-collection stage like a traditional REIT; it more closely resembles "a project developer rapidly levering up capacity in a hot industry."

My judgment: This business is understandable, but not yet simple enough. On a 5-point "understandability" scale, I'd give it a 3. If the stock market were to close for the next five years, I wouldn't be willing enough today to hold it based solely on today's financials, because over the next two to three years, project delivery, financing cost, and customer realization will determine most of the value's direction.

Industry attractiveness score: 4. Not because the company is already excellent, but because demand in this space is strong; but a "good industry" doesn't automatically equal a "good investment."

Moat and Management

Where Exactly Is the Moat

Running down a Buffett-style checklist, my conclusion is: APLD has a "resource-position advantage" and an "execution-window advantage," but not yet a wide moat proven by time.

Brand advantage: weak. Customers don't come for a brand premium; they come for power capacity, delivery speed, location, and total cost.

Cost advantage: some, but not fully verified. The company repeatedly emphasizes its campus site selection, power-procurement capability, liquid-cooled/air-cooled designs, and its "Different by Design" model; Delta Forge 1's official investor presentation gives a management target of 85%±3% site NOI margin, with expected capex of roughly $11-13 million per MW. This suggests the company believes it has strong project-level economics, but this is still a management target, not an already-realized long-term financial track record.

Scale advantage: not yet strong. In an April 2026 presentation, management stated the company already has 1GW of critical IT load under construction, of which 900MW is already under signed long-term contracts; this shows scale is forming, but relative to EQIX and DLR it's still a new entrant.

Network effects: almost none. Switching costs: for hyperscalers that have already signed 15-year leases, switching costs will rise once campuses are built and operational, but this is essentially project-level lock-in, not a typical software network effect.

Channel advantage: limited. Patents/licenses/regulatory barriers: the real barriers aren't patents but power, land, permits, construction management, and customer relationships. These barriers genuinely exist, but they tend to be "project-level," not "enterprise-level."

Data advantage: weak. Corporate culture / operating capability: unproven. Winning large contracts and moving financing forward quickly in a short period shows the team has some execution capability; but this hasn't yet been fully proven by a long-cycle, low-error-rate operating track record.

Capital allocation capability: can't score high right now. The company has consistently found capital and kept pushing projects forward, but "being able to raise money" doesn't equal "excellent capital allocation." If the cost of capital is too high or equity dilution too heavy, shareholder returns will ultimately be eaten away.

My conclusion: moat strength — 2. It's more like a moat still under construction than a brand/network/cost composite moat already proven by time. My judgment on the moat's current state: it may be widening, but the evidence is still insufficient.

Is Management Trustworthy

Let's start with the positives. Fact. CEO Wes Cummins holds approximately 21.876 million shares, roughly 7.5% of the company as of the September 2025 ownership disclosure — showing management isn't purely "salary without skin in the game."

But the drawbacks must be stated, and they matter greatly to long-term shareholders. Fact. In FY2025, Wes Cummins reported total compensation of approximately $27.71 million, of which the fair value of equity awards was about $25.46 million; the CFO and COO also each received total compensation near $9.8-9.95 million that year. The same proxy statement also shows the company asked shareholders to authorize an additional 15 million shares for the 2024 equity incentive plan, and to increase authorized common shares by 200 million.

Fact. Share dilution is very pronounced. Weighted-average shares outstanding rose from 93.98 million in FY2023 to 114.1 million in FY2024, 201.2 million in FY2025, and reached 271.7 million for the nine months of FY2026 Q3; actual shares outstanding as of February 28, 2026 were about 285.4 million. In addition, the company disclosed that full conversion of its convertible notes would add roughly 46.1 million more potential shares.

Fact. FY2025 auditors issued an Adverse Opinion on the company's internal controls; management acknowledged a material weakness in accounting for complex financial instruments. While the company states that several prior weaknesses have since been remediated, this item is especially sensitive for a company with a complex capital structure and frequent financing activity.

Now for capital allocation. Fact. On one hand, the company is advancing projects using 2.75% convertible notes, 9.25% 2030 senior secured notes, 6.75% 2031 secured notes, DevCo development loans, and a 364-day bridge loan; on the other, it brought in Macquarie Asset Management for up to $5 billion at the HPC asset level — but that preferred capital isn't cheap: presentation materials show a dividend starting at about 12.75%, plus 15% common equity in the HPC platform, with a mandatory exit/sale arrangement after a set number of years.

Inference. This capital-allocation approach isn't "outrageously bad" — from a project-development standpoint, it's arguably quite proactive and effective, because the company has genuinely stitched together land, power, customers, and capital. But from an ordinary shareholder's standpoint, the problems are: One, financing costs are high; Two, the structure is complex; Three, equity dilution is heavy; Four, the "residual cash flow" future shareholders receive isn't secure.

So, on the "honest, rational, long-term-oriented" dimension, my assessment is: Management and capital allocation score: 2. Not an "uninvestable, bad management team," but still with clear distance to travel before becoming a capital allocator that puts value investors at ease.

Financial Quality and Owner Earnings

Key Financial Snapshot

Let me start with an important limitation: the company has no mature 5-10 year record of stable operations to look back on. It only completed its IPO in 2022, and between 2023-2026 the business transformed rapidly — from blockchain hosting to cloud GPU to AI campus development — so comparability of historical data is inherently weak. FY2025 then classified the cloud business as discontinued operations, the FY2026 Q3 filing reclassified comparative periods due to transaction-structure changes, and the cloud spinoff completed in May 2026. So "the trend of the past few years" must always be read alongside these structural changes, not mechanically extrapolated.

Looking only at the "surface of the financials," a few clear conclusions emerge. First, revenue is growing fast, but growth quality isn't pure. Second, GAAP profit has stayed negative, and operating cash flow was negative in both FY2025 and the FY2026 Q3 nine-month period. Third, capex is the overwhelming dominant line item, far exceeding operating cash flow. Fourth, debt and share count are both expanding rapidly.

What Profit Quality Actually Looks Like

Fact. For the nine months of FY2026 Q3, total revenue was $352.6 million, but the operating loss was $111.6 million; operating cash flow was -$42.86 million, and investing cash flow — including purchases of property and equipment — reached -$1.577 billion. FY2025 operating cash flow was also -$115.4 million. This shows that, at least on a consolidated basis, the company "isn't profitable on an accounting basis, nor has it become a steady-state net cash generator."

Fact. Management likes to present adjusted performance metrics — for example, Adjusted EBITDA of $64.88 million and adjusted operating income of $33.61 million for the FY2026 Q3 nine-month period — but these adjustments exclude large stock-based compensation, the loss on reclassifying the cloud business as held-for-sale, and various fair-value changes on financial instruments. In just the FY2026 Q3 nine months, stock-based compensation alone was $94.74 million, exceeding adjusted EBITDA for the period.

Inference. This means: APLD's real value today isn't "reported profit," but rather "whether, once projects come online as planned, contracted rent will actually settle into real cash." But value investors must be very conservative at this stage, because today you still can't see that cash flow proven.

Owner Earnings Estimate

Following Buffett-style owner-earnings thinking, I care more about "cash that can genuinely be distributed to shareholders without impairing competitive position."

Fact. For the FY2026 Q3 nine-month period, the company's GAAP net loss was about $101.9 million; after adding back $33.55 million in depreciation and amortization, $94.74 million in stock-based compensation, $74.99 million in non-cash interest, and various other non-cash items, operating cash flow was still -$42.86 million. This shows working-capital changes and the pace of project construction are still consuming cash.

Assumption. I believe the vast majority of the $1.577 billion in capex during the FY2026 Q3 nine months is growth capex rather than maintenance capex, since the company itself describes the business as being of a "project development nature" and consistently directs financing proceeds toward building new campuses and buildings. At the same time, the company hasn't clearly disclosed exactly how much maintenance capex amounts to — a significant limitation.

Conservative inference. On a "consolidated basis, based on today's already-realized operating results" premise, my owner-earnings estimate is: still negative today, running roughly -$50 million to -$150 million annualized. The reasons are simple: One, operating cash flow itself hasn't stabilized into positive territory; Two, maintenance capex is unknown and shouldn't be treated optimistically; Three, stock-based compensation, while non-cash, isn't "cost-free" to shareholders; Four, short-term revenue includes one-time components like fit-out.

Further inference. If you treat most of the capex on under-construction campuses as "investment in a future new money-making machine," then owner earnings for the "existing, already-operating assets" alone might be close to breakeven or even modestly positive; But if you ask, "Can this company sustainably generate real, distributable cash flow today?" My answer is: it cannot yet be proven.

So, using an "Owner Earnings multiple" for a static valuation isn't appropriate right now, since the denominator is most likely still negative. What the market is valuing it on today isn't "current owner earnings," but owner earnings once operations stabilize in 2027-2029.

Valuation and Margin of Safety

What the Current Price Actually Implies

As of May 20, 2026, APLD trades around $36.62, with a market cap of about $10.33 billion. Using the February-2026-end share count and the company's roughly 139.5 million shares of CHRN at CHRN's closing price of about $15.58 that day, the CHRN stake is worth roughly $2.17 billion; in other words, the market is implicitly assigning APLD's core AI/data-center assets and future development capability an equity/enterprise value of roughly $8.1-9.1 billion, depending on how you treat CHRN, project-level cash, and restricted cash.

The question isn't whether this number is "absolutely high" or "absolutely low" — it's: Are you willing to pay for profit that will be highly dependent on execution over the next three years, or do you only want to pay for proven cash flow? If the former, APLD is attractive; if the latter, APLD is still too early.

The conservative framework I use is: First, acknowledge that current owner earnings remain negative; Then, based on the company's disclosed total contract value for PF1, PF2, and DF1, estimate the stable owner earnings that might form once projects are fully operational. The most useful public management data point here is the Delta Forge 1 disclosure: 300MW, roughly $7.5 billion in base-term contract revenue, about 85%±3% site NOI margin, capex of roughly $11-13 million per MW, expected delivery from H1 2027 through H1 2028. On this project-level basis, the implied unlevered NOI yield runs roughly 11-13%, while the company's financing cost side already shows 6.75-9.25% secured bonds, 12.75%-starting Macquarie preferred capital, and a 364-day bridge loan. In other words, project-level returns are decent, but not necessarily generous enough to offset all financing and execution risk.

On this basis, I offer three scenarios:

These ranges already build in considerations of future financing costs, corporate-level expenses, some level of maintenance capex, and an execution discount. Opinion: At the current $36.62, the stock sits roughly in the middle of my "neutral range" — this is not a deeply undervalued position.

Relative Valuation

Stripping the CHRN value out of APLD's market cap and rough-annualizing the FY2026 Q3 nine-month figures, APLD's core business roughly corresponds to: Annualized revenue of about $470 million; Annualized adjusted EBITDA of about $86 million; While simultaneously carrying extremely high development, customer-concentration, and financing risk. On this basis, APLD's current implied EV/sales and EV/adjusted-EBITDA multiples are valuations for many years into the future, not for today's actual operating results. Put differently, judged on "today's financials," it's expensive; judged on "the-day-after-tomorrow's financials," it may not be expensive.

Comparing against mature players: Digital Realty highlighted a net debt/adjusted EBITDA ratio of 4.7x in 2026 Q1; Equinix guided full-year 2026 adjusted EBITDA of roughly $5.165-5.245 billion. These companies already have mature leasing platforms, global customer bases, and more predictable operating performance. APLD of course grows faster and has greater upside elasticity, but it's clearly not an asset of the same quality.

Asset or Liquidation Value

Fact. As of February 28, 2026, the company's total assets were about $6.247 billion, of which cash plus restricted cash totaled about $2.108 billion, net property and equipment was about $3.012 billion, long- and short-term debt (at carrying value) totaled about $2.693 billion, and stockholders' equity attributable to common was about $1.581 billion.

Inference. Book value shows this isn't an "air stock" — it genuinely holds real assets; add the CHRN stake, and the asset base isn't hollow. But if you ask, "Do existing net book assets and visible asset value alone justify $36.62?" My answer is: no. The current stock price still relies primarily on future operating delivery, not primarily on existing net assets.

Margin of Safety and Ideal Entry Point

Based on the three methods above, I offer the following actionable ranges:

The Most Important Risks and the Bear Case

The strongest bear case is actually simple:

This may not be a proven good business at all — it may be a set of highly-levered projects in a good sector. If any one of the following occurs over the next two to three years — project delays, construction cost overruns, customer demand shifts, long-term financing costs higher than expected, further equity raises, a decline in CHRN's value, or customer default/contract renegotiation — then today's valuation, built on "future large owner earnings," would quickly lose its support. The company itself stated explicitly in its May 2026 bridge-loan press release that the $300 million 364-day bridge loan was only meant to advance PF1 Building 3, and that further refinancing would still be needed to complete construction. This isn't a minor detail — it's the core of today's investment thesis.

To be more specific, the key risks include:

Competitive risk. Large hyperscalers can clearly build in-house too, and mature third parties like EQIX and DLR already have platform advantages — APLD's window may not last forever.

Technology-substitution and customer-preference risk. AI infrastructure isn't static — power density, cooling method, training/inference workload mix, and chip roadmaps can all change. The Uptime Institute explicitly notes that density and power-supply challenges driven by AI demand are intensifying.

Regulatory and power-supply risk. The IEA, JLL, and Deloitte all emphasize that power is the core constraint; without power, even the best contract can't become revenue.

Financial leverage and refinancing risk. The debt level disclosed in the company's 2026 Q3 filing is already large, and it issued $2.15 billion of 2031 secured notes in March, followed by another bridge loan in May.

Customer-concentration risk. A single customer accounted for 93% of FY2025 revenue; while new tenants are being added, "contract-level diversification" hasn't yet truly become "financial-statement-level diversification."

Accounting and governance risk. The FY2025 internal-controls material weakness and adverse audit opinion show this company isn't a "low-error-rate machine" under a complex capital structure.

Dilution risk. Share count has expanded dramatically over the past few years; if project funding falls short in the future, common shareholders could once again foot the bill for expansion.

What facts would overturn the thesis?
