Lightelligence is one of the few companies in China's photonic computing field with genuine technical substance. Its founder came from MIT, its technology has received top-tier academic recognition, and major institutions such as Alibaba, Temasek, BlackRock stand behind it. But the report's conclusion is blunt: at this price, it is not worth buying. The rating is “Avoid.”

What does it mainly do? In plain terms, it builds high-speed light-based data channels between the thousands or tens of thousands of graphics cards used for artificial intelligence, while also researching the use of light for computation. The former is already making money; the latter is more of a future story.

The report's biggest concern is price. The company generated only RMB 106 million in revenue for the full year, yet the market values it at about 464 times price-to-sales. In other words, at its current sales scale, it would need to sell for more than 400 years to earn back that valuation. Profitable industry leaders trade at only about 30 times, and even the most expensive comparable names in the primary market do not reach 90 times. Lightelligence's number stands far above the rest.

The business itself also has weak spots: 40% of revenue rests on one customer; for every RMB 100 sold, gross profit has fallen from RMB 61 to RMB 39 over three years; and the company keeps burning cash, relying on financing and government subsidies to stay funded. The report recognizes the technology and the direction, but such an expensive price has already pulled a very distant optimistic future into the present. There is no cheapness left, and lock-up expiry selling pressure plus fading hype still lie ahead.

In other words, the company is a good company, but the price is a bad price. The report suggests waiting until the price returns to a less absurd range.

Lightelligence is a scarce listed global AI photonic-computing asset, with 18C shares trading roughly 2x above the IPO price within five weeks of listing. Revenue was only RMB 106 million in 2025, with large accounting losses but about RMB 270 million of adjusted operating losses and roughly five years of post-IPO cash runway. Rating Avoid: the company holds 88.3% of the narrow China independent scale-up optical interconnect segment, but Huawei has 98.4% of the overall market and Lightelligence only about 1.4%.

Conclusion First

If I were evaluating Lightelligence today as a company to buy at the market price and hold for three to five years, my answer would be: do not buy. As of the Hong Kong market close on June 4, 2026, Lightelligence (01879.HK) traded at about HK$569.5, implying a total market capitalization of roughly HK$53.5 billion (about US$6.9 billion). The company generated only RMB 106 million in full-year 2025 revenue, which means the market is valuing it at roughly 464x price-to-sales. For an eight-year-old company whose revenue has only just crossed RMB 100 million, whose largest single customer accounts for 40% of sales, and whose gross margin has fallen from 61% to 39% in three years, this price has pulled forward a very distant and very optimistic future too aggressively.

One point needs to be clear upfront: this is a judgment about price, not about the company itself. Lightelligence is one of the rare real companies in China's photonic-electronic hybrid computing field. Founder Yichen Shen came out of MIT's nanophotonics research group; the company owns foundational intellectual property in photonic computing; its PACE chip work was published in the main journal of Nature in 2025; its flagship "LightSphere X" optical interconnect supernode has been deployed in real GPU clusters with thousands of cards GeekPark; and its IPO cornerstone investors included a long list of top-tier institutions such as Alibaba, Temasek, GIC, BlackRock, Fidelity, Baillie Gifford, Hillhouse, and Lenovo Sina Finance. If you believe that the next bottleneck in AI compute lies in interconnects between GPUs, and that interconnects will eventually move from copper to optics, Lightelligence is the purest listed A-share / Hong Kong share vehicle for that thesis.

The problem is that a good company is not the same thing as a good price, and this company's price has already told the good story to the end. On its listing day, April 28, 2026, the shares rose more than 400% intraday from the HK$183.2 offer price, closed up about 384%, and sent market capitalization to roughly HK$81.5 billion Caixin Global. Even after a one-day pullback of about 19.6% on June 4, the shares still stood at about 3.1x the offer price. Against any comparable I can find, including profitable optical module leader Zhongji Innolight at about 30x P/S (TTM), NVIDIA at about 20x, Cambricon at the emotional A-share extreme of about 100-130x, and the most expensive private-market photonics unicorn Lightmatter at about 88x, Lightelligence's 464x is an outlier on its own. Its fundamental revenue cannot support this price. The valuation is built almost entirely on the long-range assumption, cited in the issuer's prospectus and not fully reconcilable with the company's own data, that China's scale-up optical interconnect market will grow more than 30x in five years.

Company profile: this is a high-beta thematic stock built on "real frontier technology + leadership in a narrow segment + an extremely expensive price." Fundamental quality is medium; growth is high, but from a tiny base; the moat is moderate and not yet validated by cash flow; financial resilience is weak, with continuous cash burn sustained by financing and government subsidies; management credibility is medium-high, with strong technical credibility but concentrated control through concert-party agreements; valuation attractiveness is low; risk is high. It fits high-risk growth investors who can tolerate a 50% drawdown and are betting on an industry trend. It does not fit value investors who care about margin of safety.

Investment rating: Avoid. One-sentence thesis: the technology and the market direction are real, but 464x P/S has already prepaid for far-distant success, while lock-up expiries and fading sentiment create downside catalysts; at the current price, there is no margin of safety.

I. Vertical Analysis: How a Company That Spent Ten Years Chasing Light Was Repriced at Listing

1.1 Origins: From an MIT Nature Paper to a Company Spanning China and the United States

Lightelligence's story begins with a paper. In 2017, Yichen Shen published the cover paper "Deep learning with coherent nanophotonic circuits" in Nature Photonics as first author, validating at both theoretical and prototype levels that using photonic circuits for deep-learning matrix operations was feasible MIT News. The senior authors were Marin Soljačić and Dirk Englund, authorities in MIT nanophotonics. Soljačić later became not only a technical adviser to Lightelligence, but also a shareholder through an equity incentive platform Lightelligence - Wikipedia. This is the first key to understanding Lightelligence: its technical lineage is top-tier, originating from MIT's strongest photonics laboratories. (A widely circulated claim needs correction: some Chinese reports say Shen "studied under Nobel laureate Frank Wilczek," but MIT degree records and paper authorship point to Soljačić and Joannopoulos, while Wilczek studies particle physics rather than photonics. This "Nobel mentor" claim lacks primary-source support and is not adopted in this report.)

The company's corporate evolution carries a clear imprint of the era. In October 2017, Lightelligence, Inc. was incorporated in Boston, United States, to house the initial optical-computing R&D. Shen said he "founded this business in the United States and China" HKEX prospectus. In 2018, the company raised about US$10 million in seed / Series A financing, led by Baidu Ventures with participation from ZhenFund, 5Y Capital, Frees Fund, and other Chinese early-stage investors Global Venturing.

The turning point came around 2020. According to an in-depth founder interview, Shen originally planned to expand the U.S. team to 200 people and sign an eight-year full-floor office lease in downtown Boston. After the geopolitical environment changed, however, "many previous collaborations could no longer proceed," and he shifted the company's center of gravity back to China, relying on strong government support in Beijing and Shanghai for domestic silicon photonics production lines Zhihu interview with Yichen Shen. The prospectus described this pivot more cautiously: "in view of the fact that most of our principal business is carried out in China and to streamline our shareholding structure, we conducted a restructuring in 2024" HKEX prospectus. After the restructuring, Shanghai Xizhi Technology Co., Ltd. (established in China in 2018) became the group's main operating and holding platform, converted into a joint stock company in August 2025, and ultimately became the H-share issuer in Hong Kong. Silicon photonics and advanced semiconductors are highly sensitive areas under U.S.-China export controls. This shift from "U.S. genetics, China focus" is the backdrop to Lightelligence's later domestic-substitution narrative, and also the root of its supply-chain and geopolitical risk. The prospectus did not name any specific control measure targeting the company, so this background should be treated as management context rather than a proven regulatory fact.

1.2 Six Financing Rounds: From RMB 190 Million to RMB 7.8 Billion, the Private Market Built a Unicorn in Eight Years

Before listing, Lightelligence completed six financing events, raising about RMB 2.3 billion in total. The step-by-step valuations disclosed in the prospectus, all in RMB, clearly trace the curve that lifted the company upward:

The widely cited "RMB 6.28 billion" was the post-money valuation of the March 2024 C1-3 rounds, while "RMB 7.8 billion" was the post-money valuation of the April 2025 C4 round, the last round before the IPO. They refer to different points in time and are not contradictory. The investor lineup in the C rounds, which raised more than RMB 1.5 billion cumulatively in 2024-2025, is especially noteworthy: funds under China Mobile, Shanghai State-owned Capital Investment, China Reform Fund, Pudong Venture Capital and other state-backed investors, plus follow-on investment from existing shareholders such as Tencent and Sequoia China Securities Times. The shift in the shareholder base, from early U.S. dollar venture capital to later "national team" investors, itself tells a story of moving from a Silicon Valley startup to a domestic-compute flagbearer.

1.3 The Listing Moment: Hong Kong 18C's First Pre-Commercial Benchmark and an IPO Frenzy

On April 28, 2026, Lightelligence listed on the HKEX Main Board, becoming the first benchmark "pre-commercial" listing under Chapter 18C for Specialist Technology Companies, with CICC and Guotai Haitong as joint sponsors Securities Times. Its bookbuilding process was a textbook frenzy:

  • Pricing: the offer range was HK$166.6-183.2, and the final price was set at the top end, HK$183.2. The global offering included about 13.795 million H shares, plus an over-allotment option of about 2.07 million shares, fully exercised on May 11, raising net proceeds of about HK$2.377 billion Sina Finance.

  • Cornerstones: about 20 institutions subscribed for a combined roughly US$209.9 million, or about HK$1.644 billion, representing about 65% of offered shares. Alibaba led with US$26 million; GIC subscribed US$20 million; Baillie Gifford, BlackRock, Fidelity, Schroders, and Temasek each subscribed US$15 million Sina Finance.

  • Subscription heat: the Hong Kong public offering was oversubscribed by about 5,784.7x; margin financing was oversubscribed by more than 2,100x; and grey-market trading rose about 351% Eastmoney.

  • First day: the shares opened at about HK$880, roughly 380% above the offer price, at one point rose more than 400% intraday, and closed at about HK$886, up about 384%, implying a closing market capitalization of about HK$81.5 billion and setting a multi-year record for first-day gains among Hong Kong IPOs Caixin Global.

The structural reason behind the frenzy was an extremely small float plus overheated IPO sentiment. H shares represented only about 15%-17% of total share capital, and cornerstone investors locked up more than 60% of those shares. The actual freely tradable secondary-market supply was tiny, so any sentiment was amplified. This is critical to understanding the stock's later violent swings, discussed in Sections VI and VII.

II. Financial Review Over Time: The Huge Accounting Loss Is an Accounting Illusion, but Operating Losses and Cash Burn Are Real

Lightelligence's financial statements look frightening at first glance, but reading them correctly requires stripping out an accounting illusion.

2.1 Revenue: High Growth, but Still Startup-Scale in Absolute Terms

Revenue during the track record period (2023-2025), in RMB, was 38.23 million -> 60.19 million -> 106 million, with 2025 revenue up 76.7% year on year and a three-year compound growth rate of about 66.9% HKEX prospectus, Sina Finance prospectus analysis. The growth rate looks attractive, but remember the denominator: this is a company worth tens of billions of Hong Kong dollars whose annual revenue has only just exceeded RMB 100 million. In the revenue mix, optical interconnects accounted for about 79.2% in 2025, including about RMB 75.58 million from scale-up products, while optical computing accounted for about 20.8%, or about RMB 22.09 million, up roughly 579% year on year Sina Finance prospectus analysis. In other words, the "optical computing" business that underpins the company's valuation imagination generated only a little over RMB 20 million in one year; the real cash-generating business today is optical interconnect, which is easier to engineer and can be sold first.

2.2 Losses: Of the RMB 800 Million Accounting Loss, RMB 800 Million Will Disappear After Listing

This is the most important distinction in the entire report. The prospectus discloses three full layers of loss measures, in RMB:

Data source: HKEX prospectus. The accounting net loss expanded 131.5% year on year in 2025, and cumulative losses over three years were about RMB 2.491 billion, which looks alarming. But of the RMB 1.342 billion loss in 2025 alone, RMB 843 million came from "fair value changes of financial instruments issued to investors," such as preferred shares. This is a typical phenomenon for loss-making companies listing in Hong Kong: the faster the company's private-market valuation rises, the more the "book value" of these preferred shares rises, and the larger the "loss" recognized. But they automatically convert into ordinary shares at listing, are reclassified from liabilities to equity, and will no longer recur afterward HKEX prospectus.

After removing this accounting illusion, the company's own "adjusted net loss," adding back share-based payments and listing expenses, was RMB 264 million / 296 million / 271 million over the three years. It was almost flat, and even narrowed slightly in 2025. This stands in sharp contrast to the "131.5% expansion in accounting losses" and is the only useful measure for assessing operating fundamentals.

There is one footnote that cannot be ignored: adjusted losses were able to stay flat largely because "other income," mainly government subsidies, offset them. Other income jumped from RMB 13.90 million in 2023 to RMB 192 million in 2025, about 1.8x that year's revenue HKEX prospectus. Excluding subsidies, operating cash leakage would look worse than the headline accounts. This is the other side of a structure in which the "national team" can be customer, shareholder, and subsidy provider at the same time.

2.3 Gross Margin, Cash Burn, and Survival Capacity

Gross margin fell in one direction over three years: 60.7% -> 53.5% -> 39.0% HKEX prospectus. The reason was not accidental. It was structural: low-margin optical interconnect products became a larger share of the mix, and the company gave price concessions to a single major customer. The prospectus discloses that the gross margin of one overlapping major customer in optical interconnect was only 36.4% in 2024 and 23.4% in 2025, while optical-computing customer gross margin remained above 70%. The shift in revenue mix toward low-margin optical interconnects for a single major customer is the root cause of the gross-margin step-down, which also means the current volume ramp has been achieved to a meaningful extent by trading margin for revenue, with weak pricing power.

R&D is the main battlefield of cash burn: 2025 R&D expenses were RMB 479 million, equal to 450% of that year's revenue, and were fully expensed with no capitalization to flatter profit HKEX prospectus. Net cash flow from operating activities over the three years was RMB -176 million / -182 million / -361 million, while average monthly cash burn rose from RMB 19.30 million to RMB 34.20 million and accelerated clearly in 2025, which the company attributed to front-end R&D for PACE 3.

Survival capacity is this company's lifeline, and the IPO addressed an immediate funding need. Based on the company's own estimate, using the year-end 2025 cash balance and assuming future average monthly burn of about RMB 39.30 million, cash would have supported only about 16 months. After including IPO proceeds, it can support about 64 months, or roughly 5.3 years HKEX prospectus. In one sentence: this IPO essentially extended the cash runway from about 1.3 years to about 5 years. That buffer is critical to whether the company can reach scaled monetization, and it also explains why management needed to complete the offering at the highest possible price while sentiment was hottest.

2.4 A Misreading That Must Be Clarified: The 473% Liability-to-Asset Ratio Does Not Mean Insolvency

Many bearish articles cite a "473% liability-to-asset ratio and 0.16 current ratio" to argue that Lightelligence was "technically insolvent." This is a misreading. Of the company's RMB 5.386 billion in total liabilities at the end of 2025, about RMB 4.9 billion, or about 91%, was the aforementioned "financial instruments issued to investors," namely preferred shares that would convert into ordinary shares at listing HKEX prospectus. After listing, these instruments became equity, net liabilities turned into net assets, and the 473% figure became distorted and disappeared. Likewise, the valuation-adjustment clause under financing agreements that would have triggered redemption if a qualified IPO had not been completed by the end of 2028 was released by the successful listing in April 2026. A research report should not treat the pre-listing accounting illusion as a real solvency crisis. Lightelligence's real financial risk is not "insolvency," but "continuous cash burn, no visible profitability timetable, and eventual need for refinancing."

2.5 Customer Concentration: 40% of Revenue Depends on One Customer

There is a clear flaw in revenue quality: the largest single customer rose from 31.1% of revenue in 2023 to 40.6% in 2025, while the top five customers accounted for 78.9% HKEX prospectus. The total number of customers increased from 12 to 44 over three years, still an early-stage profile. More subtly, the largest customer in 2025 came from the low-margin optical interconnect business. In other words, the customer contributing the most revenue was precisely the order with the weakest bargaining position and thinnest margin. In addition, trade receivables surged about 355% year on year in 2025, far above the 76.7% revenue growth rate. Whether collection pace matches revenue recognition is a cash-flow quality issue that requires ongoing monitoring.

III. Business Model and Moat: The "Picks-and-Shovels" Seller in Optical Interconnect, the "Option" in Optical Computing

3.1 Two Legs: One Makes Money, One Carries the Story

Lightelligence's business engine has two wheels, built on three self-developed chip capabilities: oNOC (optical network-on-chip), oNET (optical network between chips), and oMAC (optical matrix computing) Sohu reposting prospectus.

Optical computing, the oMAC route, is the company's "signboard" and "option." The principle is to use photonic circuits to perform matrix-vector multiplication directly. In theory, optical transmission has no ohmic heat, low latency, and high bandwidth. The company's PACE chip, first launched in 2021 with results published in the main journal of Nature in 2025, integrates more than 16,000 photonic devices on a single chip and performs 64x64 optical matrix multiplication. In solving a class of combinatorial optimization problems, including Ising / max-cut problems, it achieved about two orders of magnitude acceleration over an NVIDIA A10 GPU Nature. In 2026, PACE 2 "Xizhi Tianshu" further expanded the matrix size to 128x128 and used more than 40,000 devices. These are genuine frontier results and the source of the company's technical credibility.

But optical computing has unavoidable physical weaknesses, and the Nature paper itself lists them clearly: there is no optical memory, so data must be converted repeatedly between digital and analog domains; at high bandwidth / high precision, the overhead of photoelectric conversion through ADC/DAC can exceed the energy consumption of optical computing itself; the analog domain is inherently imprecise, with phase noise and cascading losses causing data-dependent errors; and the chip is extremely temperature-sensitive, with a +/-5°C fluctuation degrading precision by about 1 effective bit Nature. These are the root causes of why "commercial optical computing" has been discussed for twenty years yet has struggled to leave the laboratory. They are also why Lightelligence itself, as well as Lightmatter, Ayar Labs, Celestial AI, and almost every other photonics player, has pragmatically shifted focus in recent years from "optical computing" to "optical interconnect."

Optical interconnect, the oNET route, is the business that actually generates cash today, contributing about 79% of 2025 revenue. The logic is straightforward: optical interconnect only needs to "transport" signals with low loss and low latency. It does not need to bear the precision cost of analog computing, so the engineering threshold is much lower and it can be sold first. Its flagship product "LightSphere X" is the first domestic solution to put "optical interconnect + optical switching" into a GPU supernode. Released in July 2025 by Shanghai INESA, Lightelligence, Biren Technology, and ZTE, it can tightly couple tens to thousands of GPUs into one supernode, reconfigure topology in real time, and scale elastically on demand. The company says it can improve model FLOPs utilization (MFU) by more than 50% GeekPark, IT Home. In March 2026, it launched a 128-card commercial version and said it had been adapted to mainstream large models including StepFun, DeepSeek, MiniMax, Kimi, and GLM.

3.2 Moat: Real but Thin, and Not Yet Validated by Cash Flow

Looking one by one at the sources of Lightelligence's moat, two and a half are truly defensible:

  • Technology and talent (valid): an MIT-lineage photonics team + foundational optical-computing IP + Nature-level results. This is a real technical barrier and hard to replicate in the short term.

  • Ecosystem position and switching costs (partly valid): Lightelligence deliberately positions itself as a neutral interconnect layer that is protocol-agnostic and compatible with GPUs from different vendors, solving the interconnection problem of domestic GPUs with "ten vendors and ten protocols." This differentiates it from NVIDIA's proprietary NVLink and has tied it to three generations of cooperation with domestic GPU vendors such as Biren Sina Tech. But whether this binding can become high switching costs depends on whether the supernode solution can truly ramp at scale.

  • No dependence on advanced process nodes (half a point): silicon photonics chips can use mature processes, avoiding the supply-chain choke points below 7nm. This is a plus under U.S.-China controls. But it also means the technical threshold is not as high as advanced logic chips.

Its largest weakness is that the moat has not yet been validated by cash flow. The strength of a company's moat should be judged by whether it can maintain pricing power and returns under adverse conditions. Lightelligence's gross margin is falling, it is giving concessions to its largest customer, and free cash flow is negative. These all suggest that it is currently more like an early-stage player leading a niche segment but not yet converting that lead into profit, rather than a proven cash-flow machine.

3.3 Management and Governance: Strong Technical Credibility, Highly Concentrated Control

Yichen Shen's technical credibility is one of the company's core assets. Investors should note two points in governance.

First, control is highly concentrated through a special mechanism. Shen directly holds only about 6.43% of voting rights, but through concert-party agreements with several equity incentive platforms, he controls about 34.76% of voting rights in total and is the single largest shareholder Securities Times. A common rumor needs clarification: Lightelligence has not adopted a weighted voting rights (WVR / dual-class) structure. The prospectus contains no weighted voting or Class B shares. Control is achieved through "concert-party agreements + aggregation of shareholdings across multiple incentive platforms." This arrangement, in which control is exercised with economic ownership far below control rights, is a governance discount factor, but it is less severe than a statutory dual-class structure.

Second, a "change of control matter" appeared soon after listing and triggered a brief trading suspension, after which trading resumed NetEase. The details of such disclosures need continued tracking. In addition, total director remuneration in 2025 was RMB 107 million, including about RMB 41.88 million for Shen, most of which was share-based compensation. Share incentive expenses increased from RMB 55 million to RMB 205 million over three years. For a company with just over RMB 100 million in annual revenue, this is a meaningful cash / dilution burden.

IV. Industry and Market: The Direction Is Real, but the Prospectus May Have Pulled the Timetable Forward

4.1 Scale-Up and Scale-Out: Where Lightelligence Sits in AI Compute

To understand Lightelligence, start with two terms. Scale-out connects thousands or tens of thousands of GPUs across servers and racks into large clusters, usually over InfiniBand or Ethernet. Scale-up tightly couples multiple GPUs inside one supernode into a "logical single large chip," emphasizing ultra-low latency and shared-memory semantics. The bandwidth gap is an order of magnitude. On NVIDIA GB200, the port bandwidth ratio of NVLink (scale-up) to InfiniBand to Ethernet is about 36:4:1 Introl.

Lightelligence is focused precisely on "the internal scale-up segment that moves from copper to optics." It does not sell GPUs or general-purpose compute. It sells optical interconnect systems, modules, and optical switching chips that connect GPUs. In essence, it is a "picks-and-shovels" seller inside AI supernodes, monetizing the migration from copper to optics.

4.2 "Optics In, Copper Out" Is Real, but the Timetable Is the Key Dispute

The demand driver for optical interconnect is solid: LLM training / inference requires exponentially higher interconnect bandwidth, while copper has hard physical walls. When SerDes speed doubles from 112Gbps to 224Gbps, copper cable reach shrinks from about 2.5 meters to about 1 meter Synopsys. This is the physical basis of "optics in, copper out," and the direction is not in dispute.

But there is a timing dispute that the market underestimates. NVIDIA CEO Jensen Huang explicitly tempered short-term expectations at GTC. He emphasized that short-reach scale-up interconnects inside racks should "use copper where copper can be used, and use optics only when necessary," with copper inside the rack and optics across racks, because copper is passive, consumes zero power, and is low cost. NVIDIA will continue using copper inside racks through 2027-2028, and optics will only see large-scale in-rack adoption on the 2028 Feynman platform 36Kr. Third-party research firms such as LightCounting and Yole also generally place mass deployment of CPO, or co-packaged optics, in 2028-2030. This means Lightelligence's main "scale-up optical interconnect supernode" offering conflicts directly with the current engineering judgment of the industry leader, which believes copper should still be used inside racks for the next few years.

    Bottom line: the theoretical ceiling looks very high, but the layer Xizhi can actually reach today is too small to match its market cap. To answer this, the “market” has to be split into three layers, rather than loosely saying “AI optical computing power has huge room.”

    The first layer is the “existing market”: data-communications optical components/modules. This global market is not small (LightCounting estimates a roughly 22% global optical module CAGR for 2024–2029), but it has long been occupied by scaled leaders such as Zhongji Innolight (revenue of RMB 25 billion in the first three quarters of 2025). Xizhi is not a main player here and does not set pricing. This is someone else’s market.

    The second layer is the “new market” Xizhi is betting on: optical interconnects inside Scale-up supernodes (NPO/CPO/OCS), and even optical computing. Citing Frost & Sullivan, the prospectus says China’s Scale-up optical interconnect market will grow from RMB 5.7 billion in 2025 to RMB 180.5 billion in 2030 (CAGR of about 99.6%); China’s optical computing product market in 2030 is only about RMB 1.46 billion. This is indeed “creating a new market,” but there are two hard constraints: first, the 99.6% curve can only be traced back to “the prospectus + a single institution” as the original source. On a broader global basis, third-party LightCounting gives only about 30–35%, with growth falling back after 2027, a very large difference in scope; second, NVIDIA insists on “using copper inside the rack through 2028” (36Kr), creating timeline tension with the early penetration implied by this curve.

    The most important third layer, the piece Xizhi can “reach” right now, is so small that it is under RMB 100 million. Its much-touted 88.3% share is a share of “the small independent third-party market after excluding Huawei’s internal use”; in the overall Scale-up optical interconnect market, Huawei has about 98.4%, while Xizhi has only about 1.4%. A high share does not mean a large business. Once Huawei turns to external supply, this carefully narrowed small denominator could be overwhelmed at any time.

    In one sentence: the long-term theoretical TAM is high and does contain an element of “creating a new market,” but the accessible market that can land on Xizhi’s books today is extremely small (only RMB 106 million in 2025 revenue on a full-scope basis). “A high ceiling” and “the low layer Xizhi can touch” must be viewed separately. The latter is the reality that a 464 times price-to-sales ratio truly has to face.

A five-year doubling requires only about a 15% CAGR. For a company that just grew 76.7% and sits in the high-growth “China Scale-up optical interconnect” subsegment, this hurdle is extremely low. Doubling itself is almost not in doubt. The real question is the “quality” of that growth.

    Breaking down the drivers, one force is rising while two are weakening:

    • Volume (main engine): Incremental growth comes almost entirely from optical interconnect ramp-up, especially Scale-up product revenue, which rose from RMB 47.02 million to RMB 75.58 million and already accounts for about 71% of total revenue (ZAKER/prospectus interpretation); the LightSphere supernode has already been deployed in clusters with several thousand cards, making it the only leg that can currently be sold at scale for real money.
    • Price (reverse drag): Gross margin has declined one-way over three years from 60.7% -> 53.5% -> 39.0%. The volume ramp came from concessions to the largest customer (that customer’s gross margin was only 23.4%), meaning volume is rising while price is falling.
    • New business (not yet the main pillar): Optical computing’s +579% YoY growth in 2025 looks explosive, but the absolute amount was only about RMB 22.09 million, accounting for about 21%. Physical issues (analog precision, ADC/DAC overhead) remain unresolved, making it hard to become the main driver of doubling within five years.

    The certainty gaps also need to be named honestly: the largest single customer accounts for 40%, and accounts receivable growth (+355%) far exceeded revenue growth, so order repeatability and collection quality both remain to be validated. The hard tracking threshold in the report is whether 2026 revenue can move up to the next level. Doubling is a low bar that can be met, but a “volume up, price down” doubling driven by concessions cannot support the exponential growth expectations implied by a 464 times price-to-sales ratio.

The PACE chip was published in the main edition of Nature, but PACE 2 “Xizhi Tianshu” was only “commercialized” as of March 2026, at a tiny scale, and PACE 3 plans tape-out in the first half of 2026, with engineering samples to be delivered to customers only in 2027. In other words, it has zero revenue today. Optical computing looks more like an option than a successor.

    The real candidate for “taking over” is the newer Scale-up + all-optical switching (OCS) within optical interconnects: in 2025 Q4 it had already secured about RMB 87.30 million of OCS purchase orders (about 8,200 + 2,000 modules), with 56% recognized in 2025 and 44% left for 2026. This is currently the only “new engine” that has received real money. But in substance it is an extension of the first curve (lower engineering threshold, concessions to one major customer, gross margin already falling from 61% to 39%), not an independent high-value new curve. As for NPO/CPO, those need to wait for leading players to roll out in 2028, making them even longer-term.

    Honestly, a revenue-validated second curve does not exist today. The company holds technology options such as “PACE3/CPO” that have no revenue yet, while the market mistakes the old main line (optical computing) for a new engine. This is exactly the most fragile link in the 464 times price-to-sales ratio.

    Bottom line: Xizhi’s core competitive advantage is “genuine frontier photonics IP + leadership in China’s narrow independent Scale-up optical interconnect lane.” Over the next three to five years, this moat will probably “widen within the narrow lane and narrow in global system-level competition.” The net direction depends on whether it can turn a “narrow” lead into a “repeat-purchase” share before the large platforms’ CPO standards roll over the market.

    There are two and a half pieces of the moat that truly stand up. First is the technology and talent barrier: Shen Yichen’s MIT photonics background, the PACE chip result in the main edition of Nature, three self-developed chip blocks in oMAC/oNOC/oNET, and R&D spending equal to 450% of revenue and fully expensed, making it hard to copy in the short term. Second is ecosystem positioning: the “LightSphere X” supernode has already landed in GPU clusters with several thousand cards, positioned as “protocol-agnostic and compatible with GPUs from different vendors,” addressing the pain point of “ten domestic GPU vendors, ten protocols.” The cost is that its 88.3% share is inside the triple-narrowed scope of “China x independent [excluding Huawei] x Scale-up.”

    But three weak spots need to be laid bare. First, the denominator is too small and the share is an illusion: in the overall market, Huawei has about 98.4% (mainly for internal use), while Xizhi has only about 1.4%; 88.3% measures only “the small piece left after Huawei does not sell externally.” Second, it is being squeezed by system-level giants, and this has become real in the past few months: Marvell completed its acquisition of Celestial AI in February 2026 for at least USD 3.25 billion, obtaining Photonic Fabric focused on Scale-up; Broadcom’s Tomahawk 6-Davisson 102.4T CPO switch is already in volume shipment; NVIDIA has pulled its CPO roadmap forward by about five years, and the 2028 Feynman generation will integrate CPO directly into NVLink switches.     Start with what can be confirmed. When its “core route was disproved by reality,” Xizhi did show an ability to pivot proactively, and more than once. First, its business focus shifted from optical computing to optical interconnects: optical computing is its flagship and the source of its technical credibility (the PACE chip was published in the main edition of Nature), but it has physical flaws such as “no optical storage, ADC/DAC overhead exceeding the benefit, inherently imprecise analog domain, and about 1 effective bit of degradation at ±5°C.” It therefore pragmatically moved the cash-generating main business to optical interconnects, which have a lower engineering threshold and can be sold first. In 2025, optical interconnects already accounted for about 79.2% of revenue, while optical computing was only about 20.8%. Second, there was a geographic pivot in entity structure and supply chain: the company started in Boston, USA in 2017. After the geopolitical environment changed, it reorganized in 2024, shifted its center of gravity back to China, used Shanghai Xizhi as the issuer, and rearranged its supply chain under control constraints. These two pivots were not passive blows. When the “original narrative no longer worked,” it changed the entry point and the main battlefield. That is exactly the “reinvention gene” Baillie values, and it has already been validated by the actual revenue mix.

    But honestly, the second test point, how it treats mistakes and bad news, has almost no observable sample. Xizhi listed only on April 28, 2026, and has not yet gone through a complete public-market cycle involving delivery against guidance, a periodic-report “blow-up,” customer loss, or lock-up selling pressure. The two clarifications in the report regarding the false “student of a Nobel laureate” story and the misreading of “473% insolvent” came from external reporting and the prospectus.     Net conclusion: the ability to pivot has been validated; whether it is honest in the face of bad news and willing to amputate losses remains unknown. Investors should list this as a key item to track, especially management’s disclosure posture if the first periodic report, gross margin (already smashed from 61% to 39%), and the largest customer (40% of revenue) deteriorate further.

The founder relies on an acting-in-concert agreement to maintain about 34.76% of voting rights before listing. This is concentrated but not overwhelming control. At the same time, the IPO brought in a large number of institutional and state-backed shareholders, including Alibaba, Temasek, GIC, Baillie Gifford, BlackRock, Fidelity, China Mobile Fund, Shanghai International Group, China Reform, and Pudong Venture Capital. The shareholder base is diversified, and future dilution and lock-up expirations will both dilute the founder’s voice.

    Honestly, the “long-tested governance” item cannot be awarded yet: the company listed on 2026-04-28 as a benchmark under HKEX Chapter 18C for “Specialist Technology Companies” that were “not yet commercialized,” and has been listed for only one month. Delivery against guidance, the pace of lock-up dilution, and investor communication have not gone through a full testing cycle. The direction of the vision is right and the alignment is sufficient, but “long-tested” still needs time. This is precisely the governance-side footnote to the report’s “Avoid” rating (which targets the price at about 464 times price-to-sales, not the company itself).

The report also notes that the “independent Scale-up optical interconnect” subsegment where it leads has an 88.3% share, but in the overall market Huawei has 98.4% and Xizhi only about 1.4%. High share does not equal indispensability.

Operating cash flow has been net negative for three consecutive years (RMB -176 million / RMB -182 million / RMB -361 million), and average monthly burn rose from RMB 19.30 million to RMB 34.20 million, so blood loss is accelerating.

    One “respectable” illusion deserves caution: adjusted net loss has flattened over three years (RMB 264 million / RMB 296 million / RMB 271 million), but this was largely offset by “other income,” mainly government subsidies. As references, profitable optical module leader Zhongji Innolight has a TTM price-to-sales ratio of about 30 times and a P/E ratio of about 64 times, NVIDIA’s price-to-sales ratio is about 20 times, and even Cambricon at an A-share sentiment extreme is only around the hundred-times range. In other words, 464 times means the market has already bought the prospectus narrative of “China’s Scale-up optical interconnects growing more than 30 times in five years” as if it were a done fact.

    Next, what would fivefold require? A fivefold rise over ten years means market cap rising to about HK$267.5 billion and the share price to about HK$2,850, already about 2.5 times above the report’s optimistic upper end of 1150. To deliver that, almost all of the following conditions need to hold: ① revenue expands by about 100 times from the hundred-million-yuan level to several billion or even ten billion (the report’s historical growth rate is 66.9%, but the base is tiny and the largest customer accounts for 40%); ② gross margin stops falling and recovers from 39%; ③ customers and demand move away from dependence on the national team; ④ Huawei (98.4% overall market share) does not crush the sub-RMB 100 million independent third-party denominator by turning to external supply; ⑤ geopolitics and supply chain do not become fatal; ⑥ over ten years, the valuation style for AI hard tech does not contract, and the market keeps assigning a globally rare high multiple to a Chinese company.

    Is that realistic? The sector direction (copper -> optics) is credible on its own, but it requires six or seven independent variables to point in the same direction for a long time, while leading engineering routes (NVIDIA insisting on copper inside the rack through 2027–2028) do not bypass it. The joint probability is low. More importantly, even if all of this happens, the current price is already several times above the report’s ideal buy zone (about HK$170–240), and the report judges the margin of safety as “none, and negative.” Conclusion: a fivefold rise is a high-beta, low-probability right tail, not the base case.

Is it dismissed? The cornerstone lineup had about 20 investors and accounted for about 65% of the offering, including Alibaba, GIC, BlackRock, Fidelity, Schroders, and Temasek. Even Baillie Gifford itself, known for “looking for great growth stocks on a ten-year horizon,” was on the list. Can the market not see far enough? The market is actually seeing too far: it has priced early revenue of only RMB 106 million (2025), a largest customer at 40%, and 39% gross margin at about 464 times price-to-sales and about HK$53.5 billion in market cap. In other words, the growth that should be seen has not only been seen by the market; it has been pulled forward into years 3–10.

    So the part truly “not realized” is not upside, but downside: valuation error tolerance is extremely thin, H shares account for only about 15–17% of total shares, and the tiny free float is easily amplified by sentiment. The narrative inflection point is therefore asymmetric. Positive triggers (named large Scale-up OCS orders, third-party benchmarks for optical computing, gross margin recovery, revenue stepping up) still need years to deliver; negative triggers (orders stuck at intent, gross margin falling below 35%, October 2026 cornerstone lock-up expiry colliding with a tech-stock style rotation) are close at hand, and there are already post-listing halving precedents under Chapter 18C. Honestly, at the current price, the downside inflection point from disproving expectations is closer than the upside inflection point from delivering the imagination.
