The core of this conclusion is not bearishness on the company, but respect for price.

The Business, the Industry, and the Moat

How exactly does this company make money? Williams's core is natural gas midstream and interstate pipeline infrastructure. The business splits into four segments: Transmission, Power & Gulf, Northeast G&P, West, and Gas & NGL Marketing Services. The most important is the first, whose core assets are interstate natural gas pipelines such as Transco and the related storage and transport assets. In 2025, Transmission, Power & Gulf contributed $3.71 billion of adjusted EBITDA, about 48% of total adjusted EBITDA of $7.75 billion; Northeast G&P contributed $2.028 billion, and West contributed $1.450 billion. In its own website language, the company states that its infrastructure carries roughly one-third of all U.S. natural gas. This business model is essentially not about "betting on gas prices," but about "collecting tolls, processing fees, and storage-and-transport fees, and earning marketing and optimization income at a few nodes."

Who are the customers, how are fees charged, and is the revenue repeatable? Customers are mainly natural gas producers, LDCs/utilities, power generators, industrial customers, and LNG-related demand; the fee logic comes mainly from transportation and storage fees, gathering and processing fees, and some product-sales and marketing-services fees. By revenue mix, in 2025 the company had service revenues of $8.348 billion, commodity-consideration service revenue of $192 million, and product sales of $3.290 billion; from a business-quality standpoint, one should focus on service revenue and adjusted EBITDA rather than total revenue, because total revenue is affected by commodity prices and derivative fair-value swings. Interstate natural gas pipelines are also regulated by FERC, and new interstate gas facilities require a Certificate of Public Convenience and Necessity, which naturally creates a high barrier to entry.

Is this a business I can understand? Yes, and it is relatively easy to understand. It does not make money from "the next hit product," nor from fast technology iteration, user attention, or shifting consumer preferences; it relies on scarce infrastructure, long-term contracts, regulated assets, geographic location, and a network connecting supply and demand. You can think of it as a "toll-road system for the flow of natural gas molecules," except its return function is more complex than a highway's, affected by contracts and regulation as well as by project-commissioning cadence and capital spending. Understandability score: 4/5. If the stock market closed for 5 years, I would be willing to hold this business; but I would not necessarily be willing to acquire it outright at today's price.

Industry stage and long-term demand Natural gas midstream is not a fast-penetrating emerging industry, but a structurally growing sub-track within a mature infrastructure industry. Its maturity shows in: heavy assets, strong regulation, high entry barriers, and long project cycles; its growth shows in: rising U.S. natural gas production, LNG exports, power load, and the electricity demand brought by data centers. The EIA forecasts in 2026 that Lower-48 U.S. natural gas production will grow 3% versus 2025; the IEA expects global data-center electricity use to nearly double to 945TWh by 2030 in its base case; the EIA also expects total U.S. power demand to keep hitting records in 2026 and 2027. Meanwhile, at its 2026 analyst day the company laid out a medium-term framework of roughly 10% compound adjusted-EBITDA growth through 2030 and 5%–7% dividend growth.

But the industry is not perfect In some regions, natural gas also faces the risk of having its marginal utilization hours squeezed by renewables and storage. A May 2026 Reuters report noted that gas-fired generation's share in the ERCOT region has fallen to a multi-year low, while clean-energy generation's share exceeded fossil energy for the first time; U.S. storage additions in Q1 also hit a record. For WMB, this is not an imminent "displacement" risk, but it means that how high a long-term growth multiple the market is willing to assign depends on whether natural gas can hold its marginal role in the power system. So this is not an "eternally worry-free industry," but one where "long-term demand is fairly good, yet pressure from the evolving energy mix remains." Industry attractiveness score: 3.5/5. My judgment: a quality company in a neutral-to-favorable industry, rather than "a perfect company in a perfect industry."

Unpacking the moat WMB's strongest moat is not in its brand, but in its network position, irreplaceable assets, regulatory permits, scale, and low substitutability. Transco is critical not because customers "like the brand," but because it connects the most important supply areas, consumption areas, and LNG and generation load centers. FERC's permitting regime, environmental approvals, land coordination, construction cycles, and the supporting compressor stations and storage facilities mean that replicating an interstate network of the same class requires enormous capital, a long time, and extremely high execution capability. Over the past five years the company's adjusted-EBITDA CAGR was 9%, AFFO/share CAGR 10%, and dividend CAGR 5%; and 2025 was its 13th consecutive year of adjusted-EBITDA growth, indicating that the moat has at least not been eroded and has instead benefited as "demand concentrates further into scarce corridors."

Overall, moat strength score: 4/5. I believe its moat is currently stable and slightly widening, especially against the backdrop of continually rising U.S. power and LNG demand while new interstate pipeline approvals remain difficult. In an inflationary environment the company cannot freely raise prices, but it can achieve a degree of return improvement through higher net rates, expansion projects, re-contracting, and regulatory/contract mechanisms; 2025 and Q1 2026 results already reflect EBITDA gains from higher Transco net rates and expansion projects.

Management and Capital Allocation

Is management trustworthy? The current CEO is Chad J. Zamarin, who took over from former CEO Alan Armstrong on July 1, 2025 in a planned succession. This arrangement was not emergency firefighting but a formal succession plan announced by the board in advance, which is especially important for a long-term capital-intensive company, because the greatest fear is "management losing control mid-shift before projects are even built." From a governance standpoint, the company holds annual director elections, allows proxy access, has independent committees review compensation, and prohibits directors, executives, and employees from hedging, pledging, short-selling, or trading derivatives on company stock; the governance structure is not bad.

How closely aligned are management's interests with shareholders'? The latest directly readable proxy materials show that combined executive and director ownership is not very high: as of February 25, 2025, directors and executives beneficially held about 5.83 million shares in aggregate, less than 1% of total shares outstanding; Chad Zamarin, who had not yet been elevated to CEO at the time, held about 518,883 shares, likewise a very small proportion. This is not a founder-style "heavy, shared-stake" alignment, but rather the compensation-based governance common at mature American utility/infrastructure companies. In other words, the incentives exist, but not the kind of extraordinarily strong shareholder alignment that makes you slap the table.

Is the compensation design rational? This is a clear plus in evaluating WMB's management. Its annual cash incentives are based mainly on adjusted EBITDA, controllable costs, and safety and methane-reduction metrics; long-term incentives are tied chiefly to ROCE and AFFO per share, with a relative-TSR modifier added. This design is better than simply pursuing "scale, revenue, and total EBITDA," because it at least puts return on capital and per-share cash-generating ability into the long-term incentives. The company also requires the CEO to hold stock worth at least 6x annual salary and other NEOs 3x annual salary, and until those thresholds are met they must retain 50% of vested stock awards, net of tax. On paper, this arrangement leans rational. Management and capital-allocation score: 3.5/5.

How has capital allocation been in the past? Williams's uses of cash are clear: expansion projects, maintaining the dividend, modest M&A, and controlling leverage. In 2025, common-stock dividends paid totaled $2.442 billion, up from $2.316 billion in 2024; and for 2026 the annualized dividend was raised again to $2.10 per share. The company emphasizes that it has paid cash dividends for 52 consecutive years, indicating dividend-policy stability. In recent years buybacks have essentially not been a primary strategy: there were no significant buybacks in 2025 or 2024, and only $130 million was repurchased in 2023. This means management has not used large-scale buybacks to "dress up per-share metrics," but has instead focused capital on projects and dividends. For an infrastructure company, this is usually preferable to chasing EPS engineering.

Is M&A value-adding or value-destroying? Over the past two years the company's M&A has mainly been bolt-on, system-integration deals, rather than "paying sky-high prices for growth stories." In 2025, West-segment EBITDA benefited from projects/deals such as Louisiana Energy Gateway, Rimrock, and Saber; the Other segment saw a contribution from the Crowheart acquisition. Overall, these deals look more like strengthening basin and terminal connectivity around the existing system than cross-track, out-of-circle big bets. My judgment: so far the M&A direction is basically rational, but whether it ultimately creates value above the cost of capital depends on the ROCE and AFFO/share once the big 2026–2030 projects are delivered.

Financial Quality and Owner Earnings

The table below is compiled from the company's audited 2023–2025 data, its Q1 2026 10-Q/earnings release, and a small set of verifiable historical series; here, "reported free cash flow" is calculated as operating cash flow minus total capex and does not represent Owner Earnings, because WMB is in a phase of rising growth capex.

First, growth and earnings quality. 2025 total revenue was $11.95 billion, above 2024's $10.50 billion; but more importantly, 2025 adjusted EBITDA reached $7.75 billion, up about 9.5% from 2024's $7.08 billion, and for 2026 the company guided EBITDA of $8.05–8.35 billion. Meanwhile, at its analyst day the company disclosed a five-year adjusted-EBITDA CAGR of 9%, adjusted-EPS CAGR of 14%, and AFFO/share CAGR of 10%. This shows WMB is not "fake growth" where revenue appears to rise while per-share cash does not; it has broadly achieved simultaneous improvement in cash-generating ability and per-share ability.

But beware the noise in GAAP earnings. 2023 earnings included an Energy Transfer litigation judgment of $534 million, and commodity-derivative fair-value swings also distort revenue and profit. The 2025 annual report and earnings release also make clear that adjusted EBITDA and adjusted net income exclude unrealized derivative gains/losses, investment gains, asset impairments, and similar items. For a company like WMB, fixating on GAAP net income is often misleading; a more appropriate observation framework is: service revenue, adjusted EBITDA, CFO, AFFO/share, and the real distributable cash flow after maintenance capex. This is also why I won't simply call it "outrageously expensive" just because its static P/E is high, nor simply call its cash flow "poor" just because reported FCF is low.

Free cash flow and capex intensity 2025 CFO of $5.898 billion looks strong, but total capex was as high as $4.893 billion, so reported FCF was only $1.005 billion. For 2026 the company has even raised growth-capex guidance to $7.0–7.6 billion, with maintenance capex of $850–950 million. This means traditional FCF will be depressed by growth projects over the next few years; if you look at WMB through "this year's FCF is very low, so the business is bad," you can easily misjudge; but conversely, if you ignore capex entirely, you overestimate its freedom. The correct approach is to break it down: maintenance capex, growth capex, project return rates, and whether these projects genuinely lift AFFO per share.

Leverage, debt service, and survivability As of March 31, 2026, the company had cash of $950 million and total debt of $30.302 billion; the company's own 2026 leverage midpoint is about 4.1x. Roughly calculated on 2025 year-end total debt of $28.661 billion, cash of $63 million, and adjusted EBITDA of $7.75 billion, 2025 net debt / adjusted EBITDA was about 3.7x, still within the acceptable range for a large midstream company, but it cannot deteriorate much further. 2025 interest expense was $1.442 billion and operating income $4.196 billion, so operating income / interest expense was about 2.9x; that is not absurdly comfortable, but it is also nowhere near the danger edge. My judgment: the company can survive an economic downturn, but the high-growth-capex cycle leaves it no room for big mistakes in project selection and debt management.

Accounting quality and signs of financial manipulation I see no clear red flags of financial fraud or aggressive accounting. On the contrary, the truer picture is: accounting figures swing a lot, but disclosure is adequate. In 2025 the company recognized $212 million of asset impairment/write-offs, explicitly excluded from the adjusted figures; unrealized derivative gains/losses are also publicly disclosed. Goodwill is not large: year-end 2025 goodwill was only $466 million, and the company identified no goodwill impairment in 2025. For a company like this, the biggest accounting risk is not hiding bad debts and inventory, but investors mistaking one-time gains, derivative fair values, or construction-period accounting for sustainable earnings power.

Owner Earnings estimate I give a conservative estimate rather than the most optimistic version. The soundest starting point is 2025 CFO of $5.898 billion. Then subtract what I consider a fairly conservative maintenance capex of $900 million (referencing the 2026 maintenance-capex guidance of $850–950 million, and given the enlarged asset base), then subtract about $200 million for a conservative normalization of working capital / cash taxes. This yields conservative Owner Earnings of about $4.78–5.0 billion, or roughly $3.9–4.1 per share. At the current $78.47 share price, that is about 19–20x conservative Owner Earnings. If you use a measure closer to AFFO, the value would be somewhat higher; but for a conservative investor, I would rather keep it low.

The relationship between Owner Earnings and net income I believe WMB's true cash earnings are over the long run higher than net income, but lower than the most optimistic "adjusted-basis cash story." The reason is simple: CFO has long been clearly higher than GAAP net income to common, showing it is indeed a cash-flow business; but you cannot treat all of CFO as cash freely distributable to shareholders, because the vast pipeline and processing system must still be maintained. The conclusion: the earnings are not fake earnings, the cash is real cash, but growth requires real money. This is not the bad model of "the more it grows, the more cash-starved it gets," because growth projects bring higher EBITDA and AFFO; but it is also by no means the god-tier model of "a consumer franchise that barely needs reinvestment."

Valuation, Margin of Safety, and Opportunity Comparison

The current market price is as follows:

First, the single most important point: WMB's valuation cannot be judged by P/E alone, because GAAP earnings are affected by derivatives and one-time items, nor by traditional FCF alone, because growth capex is very high. What truly matters is: Owner Earnings / AFFO, EV/EBITDA, project return rates, and the total-return framework of dividend plus growth.

Owner-Earnings Discount Method

I use a 10-year equity cash-flow discount, based on the conservative Owner Earnings above of $3.9–4.1 per share, neutral $4.2–4.4, and optimistic $4.4–4.6 as starting points; the discount rates are 10% / 9% / 8.5% respectively, and the terminal growth rates 2% / 2% / 2.5% respectively. These assumptions are not pulled from thin air: they correspond to different combinations of cash growth and cost of capital that a high-barrier infrastructure company might see over the next 10 years, not to a short-term price target. Compared with the roughly 10% EBITDA CAGR and 5%–7% dividend growth through 2030 laid out at the company's analyst day, the growth assumptions here are already clearly conservative.

Accordingly, I give the following intrinsic-value ranges:

Inference: the current $78.47 sits roughly at the upper edge of my neutral range, close to "fairly valued to slightly expensive," but not yet absurdly expensive; if you believe the company can indeed keep delivering close to management's growth framework through 2030, the current price is still explicable. But for a balanced-to-conservative investor, this price does not leave enough room for error.

Relative Valuation Method

Because midstream companies differ considerably in accounting conventions, and MLPs and C-corps are not fully comparable, I place more weight on EV/EBITDA, distributions/Owner Earnings, and leverage, and less on P/B. The table below is directional only; the bases are not fully uniform.

From this table, WMB is not the cheapest among its peers, and may even be among the most optimistically priced of the major natural gas infrastructure assets. The market is willing to assign it a higher multiple because of: purer natural gas demand exposure, better project visibility, Transco's scarcity, and a long record of per-share metric growth. But for a value investor, this precisely means: the quality premium is already partly reflected in the price.

Asset or Liquidation Value Method

From a "liquidation" angle, WMB is not cheap. Q1 2026 total equity was about $15.162 billion, of which common-stockholders' equity was $12.992 billion; yet the market assigns it an equity value of $96.2 billion. This means the market is not pricing it by book net assets at all, but by decades of future cash-flow capacity. From a replacement-cost angle, the company's year-end 2025 gross fixed-asset cost was about $62.010 billion and net value about $41.996 billion, showing that replacing or substituting its assets is very hard; but even so, you cannot simply say "replacement cost is high, therefore the stock is cheap," because debt, maintenance costs, regulatory requirements, and future demand changes all affect the economic value of these assets. My conclusion: the asset method supports WMB mainly in the sense that "it won't easily go to zero," not that "it is clearly undervalued today."

Margin of Safety and Buy Ranges

Based on the three valuation methods above, I give the following operational ranges:

So, the margin of safety at the current price: insufficient. The most fragile valuation assumption is not "whether this year's profit is 5% higher or lower," but whether the market will keep granting the roughly 15x EV/EBITDA high-quality premium. Once growth projects are delayed, return rates fall short, or the long-term natural gas demand logic is re-rated by the market, this premium may contract faster than you expect.

Comparison with the Index, Bonds, and Other Opportunities

Versus the S&P 500 Index, WMB's advantages are: a more visible cash-flow path, clearer dividends, and more concentrated exposure to the U.S. natural gas infrastructure theme; its disadvantages are: greater single-industry, single-regulator, single-project execution risk. If you don't particularly want exposure to U.S. natural gas infrastructure, buying the index carries no less certainty. Versus the U.S. 10-year Treasury yield of about 4.56%, WMB's current dividend yield is about 2.7%, so your excess return comes mainly from future cash-flow growth and no valuation compression, rather than from coupon-replacement income you can collect today.
