For an AI-server company whose revenue is still growing fast, that is not expensive. As of the research base date, I do not believe this has been proven.
The Company's Vertical History
Supermicro's origins are not mysterious. In 1993, Charles Liang founded the company in San Jose, California, having previously worked on high-end motherboard design and chip/system engineering; the early logic was clear: rather than going head-to-head against IBM and HP with complete, closed systems, seize the trend toward x86 standardization and modularity, and use more open motherboards, subsystems, and server designs to turn the performance, thermals, power, form factor, and interfaces customers needed into "building blocks" that could be quickly combined. The company still calls this logic Building Block Solutions today. This path was crucial for a hardware maker without scale advantages, because it made Supermicro bet from the very start on "fast, flexible, customizable" rather than on large-account service terms or brand channels.
In 2007, the company went public at $8 per share, issuing 8 million shares and raising about $64 million, listing on Nasdaq. What it told the capital markets at listing was not today's AI-factory story but a more typical Silicon Valley hardware narrative: enterprise and data-center upgrades needed higher-performance, more energy-efficient, more standardized servers and motherboard platforms, and it could ride that upgrade dividend on engineering efficiency. In January 2024, the company sharply raised its guidance on strong AI-server demand, and the stock surged in a single day to a new high; by March 2024, S&P announced it would add the company to the S&P 500, and the market treated it as one of the most direct high-torque hardware plays in the AI-infrastructure wave. Fiscal-2024 revenue doubled year over year to $14.99 billion, and fiscal 2025 grew further to $21.97 billion, but margins did not expand in step: gross margin was 18.0% in fiscal 2023, 13.8% in fiscal 2024, and fell further to 11.1% in fiscal 2025. In other words, SMCI's AI boom was essentially an expansion in which "revenue and capital turnover charged ahead first, while profit quality and internal-control systems caught up afterward."
What happened in the second half of 2024 abruptly bent this expansion narrative. In August the company disclosed a 10-for-1 stock-split plan and began trading on a split-adjusted basis on October 1; but in the same period, a sliding gross margin, a short-seller report, DOJ attention, and EY's resignation as auditor in October 2024 led the market to start reasking an old question: had this company once again run its speed ahead of its governance? The company then formed an independent special committee, announced in December 2024 that it had found no evidence of misconduct or financial fraud by management; on February 25, 2025 it filed the delayed fiscal-2024 annual report and the first two fiscal-2025 quarterly reports, and on February 26 restored Nasdaq filing compliance. In February 2025, the company cut its fiscal-2025 revenue guidance from an earlier $26-30 billion to $23.5-25 billion, mainly because of Nvidia Blackwell supply delays. By April-May 2025, the company again cut its fiscal-2025 Q3 and full-year outlook on customer platform-decision delays and tariff disruptions. In October 2025, the company again cut its fiscal-2026 Q1 revenue estimate to $5 billion, but at the same time said newly signed design wins exceeded $12 billion. Fiscal-2026 Q2 revenue then jumped to $12.7 billion, and Q3 reached $10.2 billion, and the company lifted its fiscal-2026 revenue outlook to $38.9-40.4 billion. This shows that one misconception about SMCI has always persisted: it is not a traditional server company with linear demand and a smooth cadence, but a project-type hardware company highly dependent on GPU platform transitions, customer project acceptance, supply cadence, and full-rack delivery milestones. Orders can be very large, recognition can be very late, and cash flow can be very ugly.
In March 2026, a new major milestone dragged the governance discount back into the spotlight. The U.S. Department of Justice indicted three individuals connected to Supermicro, including co-founder, then-director and business-development executive Yih-Shyan "Wally" Liaw, alleging they diverted servers containing controlled AI chips for export to China; the company said it was not itself a defendant, had suspended the relevant employees, and terminated the relationship with the contractor, Wally subsequently resigned as a director, and the company appointed an interim compliance officer. In May, Reuters further reported that Taiwanese prosecutors were also investigating a case of high-end AI servers suspected of illegal export. For a company that relies heavily on Nvidia's platform while selling complete systems to global customers, this is not an ordinary executive scandal but an event that directly affects customer trust, supplier attitudes, and the valuation discount rate.
Viewed vertically on financials, SMCI's story over the past five years can be summed up in one hard sentence: revenue accelerated far faster than the organization and the financial statements. From fiscal 2021 to 2025, revenue grew from $3.56 billion to $21.97 billion, expanding more than 6x in four years; but gross margin slid continuously from 18.0% in fiscal 2023 to 11.1% in fiscal 2025, and in the first three quarters of fiscal 2026 operating cash flow turned to a large net outflow. Business Model and Moat
First, take the business machine apart. By fiscal 2025, SMCI's revenue mix was already highly concentrated: server and storage systems were $21.31 billion, or 97.0% of revenue; subsystems and accessories were $660 million, or 3.0%. This means it is not a "software-hardware balanced" infrastructure company but a classic hardware-dominated one. The good news is that the hardware mainstay caught the AI-server boom; the bad news is that the company's profit, cash flow, and inventory are basically all tied to that mainstay. In fiscal 2025, although service and software revenue rose $102.2 million year over year, it was still classified under server and storage systems, far from independently carrying a valuation story.
Going further, what SMCI truly sells is not "a particular server" but a whole set of rack-scale, cluster-scale, liquid-cooled data-center components and delivery capability. In fiscal 2025 the company explicitly advanced DCBBS as a key strategy: from servers, storage, networking, racks, and liquid-cooling infrastructure to software, services, and support, all bundled together, with the goal of compressing the build time for AI-factory-style data centers. Its traditional Server Building Block Solutions provide an engineering capability that is very practical: customers can quickly combine CPUs, GPUs, memory, storage, networking, power, and thermal solutions on the same architecture, achieving faster time-to-market. For AI-infrastructure customers, this ability to "turn GPUs on arrival into deployable racks as fast as possible" is often worth more than brand advertising.
What does this company most resemble? It is a bit like combining the speed of an ODM, the system integration of an OEM, and the flexible quoting of a distributor. In fiscal 2025, the company disclosed that GPU & Super Rack demand drove server and storage systems up year over year, with average selling prices rising 34%, mainly from H200, H100, and B200 systems. In other words, the revenue growth of the past two years did not come from "selling more ordinary 1U rack servers" but from selling more expensive GPU complete systems, full racks, and complex thermal systems.
But the cost of this business model is also direct. First, its cost structure is very heavy. Fiscal-2025 gross margin fell to 11.1%, and management itself admitted in the annual report that the causes of the decline included more competitive pricing to grab market share, intensified competition, and shifts in customer and product mix; at the same time, higher tariff costs, higher write-downs on aging inventory, and higher labor and freight costs were all eroding gross margin. By fiscal-2026 Q3, single-quarter gross margin recovered to 9.9%, but the nine-month cumulative gross margin was still only 8.2%. This point is crucial: SMCI's business model has operating leverage, but it shows up first on the revenue side, and the leverage on the profit side is not stable.
Second, its appetite for working capital is fierce. By March 31, 2026, inventory rose to $11.10 billion, accounts receivable to $8.41 billion, while cash was only $1.29 billion; nine-month operating cash flow was -$7.56 billion, and management explicitly said the main causes were increased inventory purchases, rising receivables, and higher operating expenses. In other words, the company now looks less like the classic "sell a box, earn cash on each box" hardware model and more like "pile up large quantities of components and finished goods on the balance sheet first, then wait for revenue recognition and customer collection." This model can pull revenue up very fast in an upcycle, and can also make cash flow look very ugly whenever the cadence slips a little.
On the moat, the ones that truly hold up, I believe, are only four, and none of them is invincible.
The first is time-to-market. In its 2025 annual report the company repeatedly stressed that it co-develops with NVIDIA, Intel, and AMD and brings products out faster through modular architecture. Reuters wrote it more bluntly in March 2024: because of closer relationships with Nvidia and AMD and geographic proximity, Supermicro often launches AI servers faster than Dell and HPE. For a market like AI clusters where platform transitions are extremely fast, this is a real moat.
The second is modular engineering capability. This is not a brand moat but an engineering-organization moat. Customers choose it not because "Supermicro is the world's number-one brand" but because it can more quickly assemble systems to a specified GPU, specified chassis, specified power, specified thermals, and specified delivery timing. This capability is especially valuable in periods of rapid iteration.
The third is liquid cooling and full-rack integration. In its 2025 annual report the company announced that DLC-2 can cut electricity costs by up to 40% and total cost of ownership by up to 20%; TrendForce expects liquid cooling to reach a 47% adoption rate in AI-server racks by 2026, behind which is AI-chip thermal design power rising from the 700W class of H100/H200 to over a kilowatt in the Blackwell generation. Be careful here: liquid cooling is not a capability unique to SMCI, but it does give the company a first-mover position on a product dimension of growing importance.
The fourth is the "faster than an OEM, more complete than an ODM" niche. Traditional OEMs are strong in global service, financing, and CIO relationships; ODMs are strong in cost and hyperscaler customization; SMCI holds the most elastic range in between. It is not the steadiest, but it is often the one that turns demand into shipments fastest. This position explains why its revenue could sprint during the AI boom, and also why it gets bitten back by greater supply-chain and compliance pressure.
By contrast, the things "that look like a moat in fair weather" deserve wariness. Take brand. Enterprise customers of course know Supermicro, but in large-scale AI-cluster procurement, customers care more about chip availability, complete-system delivery, thermal solutions, financing terms, and compliance auditability; the brand alone is not enough to earn it structurally higher margins than Dell/HPE. Take "the AI concept." That is not a moat, just a track-level dividend. The continuous slide in gross margin already shows that industry prosperity does not automatically translate into high company profit.
Management and governance are the part of this report that must be the most restrained and the most candid. Charles Liang remains the company's founder, CEO, and chairman, at the helm continuously since 1993; on the current executive team, CFO David Weigand took office in 2021, having previously worked at HPE. Per the 2025 proxy statement, as of March 31, 2025, Charles Liang's beneficial ownership was about 13.5%, and directors and officers as a whole about 16.3%. On incentives, since 2021 the CEO has converted most of his compensation into highly performance-based long-term options tied to share-price and revenue thresholds, with nominal cash annual salary pressed to $1. Designs like this are easily read by the market as "alignment of interests," but conversely they also intensify management's sensitivity to fast growth and share-price performance.
The bigger problem is not the holdings but the governance history. The company has long had related-party transactions with Ablecom and Compuware; the two sides cooperate deeply on chassis, power, design, and manufacturing, and these companies' equity in turn overlaps with the Liang family and Wally Liaw's relatives. The 2025 annual report disclosed that Ablecom and Compuware together accounted for 3.3% of fiscal-2025 cost of goods; at the same time, the company still admitted in the 2025 annual report that as of June 30, 2025, material weaknesses regarding ITGC, segregation of duties, information integrity, and related-party-transaction identification disclosure had not been fully remediated, and by March 31, 2026 they remained incomplete. Layer on the 2020 SEC accounting penalty, EY's 2024 resignation, and Wally Liaw's 2026 export-control case, and this is no longer a "sporadic flaw" but a structural source of governance discount.
Industry and Horizontal Competitor Analysis
Only by putting SMCI back in its industry can we see why it is valuable and why it is dangerous. The current round of server prosperity is not a traditional enterprise-IT replacement cycle but an AI-infrastructure capex cycle. IDC data show global server-market spending grew 52.4% year over year in Q4 2025 with no obvious digestion period; in Q3 2025, GPU-equipped server revenue grew 49.4% year over year, accounting for more than half of server-market revenue. TrendForce expects that among high-end AI-server shipments in 2026, major cloud providers will account for 76%; meanwhile, as per-chip AI power keeps rising, liquid-cooling penetration will keep climbing. The industry's money is flowing more and more toward players who "can truly assemble and deliver GPUs, power, thermals, and full-rack systems."
This also means the cyclical character of SMCI's industry is at least fourfold. The first is the AI-capex cycle, driven by cloud-provider and enterprise budgets; the second is the semiconductor and platform-transition cycle, depending on the supply and validation cadence of new Nvidia/AMD platforms; the third is the inventory and working-capital cycle, because complete-system makers must stockpile in advance; the fourth is the policy/export-control cycle, especially in China-related markets. SMCI's most fragile variable historically has not been end demand suddenly vanishing, but demand still clearly being there while a platform transition or customer acceptance slips a quarter, and its margins, cash flow, and stock price all take a beating at the same time.
Horizontally, SMCI's most representative peers do not come from a single category but split into two groups. The first group is the traditional OEMs: Dell, HPE, Lenovo. The second is the cloud-data-center ODM/JDMs: players like Wiwynn. The reason SMCI is hard to value is precisely that it lives between these two groups: it is faster and more flexible than Dell/HPE but weaker in service and financial robustness; it is closer to enterprise customers with more complete products than Wiwynn, but its cost position and hyperscaler-binding ability are not necessarily stronger.
Look first at Dell. Dell has turned AI servers into a new engine that can genuinely support group growth. In fiscal 2026 it achieved total revenue of $113.5 billion, of which the Infrastructure Solutions Group brought in $60.8 billion; full-year AI-optimized server orders exceeded $64 billion and shipments exceeded $25 billion, with ending backlog of $43 billion, and Q4 alone had $9 billion of AI-optimized server revenue. Why do Dell's customers choose it? The answer is very practical: a global service system, financing tools, procurement credibility, and the ability to bundle AI servers and traditional enterprise IT together for large accounts. Dell's problem is equally practical: large scale and heavy processes, so its extreme speed and customization flexibility often trail SMCI's.
Look again at HPE. HPE's fiscal-2026 Q1 total revenue was $9.3 billion, up 18% year over year; within that, Cloud & AI revenue was $6.3 billion and Server revenue $4.2 billion, with overall orders achieving double-digit growth across all businesses. Customers choose HPE not because it is "cheaper" but because its delivery, operations, financing, and compliance in government-enterprise and enterprise-grade IT make boards and CIOs feel more secure. Compared with SMCI, HPE's AI growth is less aggressive, but its profit structure, customer relationships, and global service capability are steadier. SMCI takes profit pool from HPE by being faster, newer, and cheaper; HPE takes back from SMCI with more credible delivery and more complete full-stack solutions.
Lenovo represents another path: global manufacturing and supply-chain orchestration capability. Lenovo's fiscal-2025/26 group revenue was $83.1 billion, of which ISG (Infrastructure Solutions Group) revenue was $19.2 billion, not only a record but also a return to profitability. The reason for "Watch" rather than a more positive rating is not that I doubt AI-server demand but that SMCI's key contradiction right now is not the track but the quality. For balanced-risk-appetite investors, a better entry point usually comes either from a lower price or from stronger evidence—ideally the financials proving over several consecutive quarters that gross margin has stabilized, cash flow has come back, and the internal-control problem is being genuinely fixed, rather than continuing to use "demand is strong" to hold down all other doubts.
