Intuitive Machines is a U.S. space infrastructure company. Its core business is building lunar landers for NASA, delivering payloads to the lunar surface through CLPS cargo missions, and operating a cislunar communications network, satellite manufacturing, and deep-space navigation. After acquiring Lanteris in early 2026, it also entered GEO and defense satellite manufacturing. This report rates the stock Watch: its position in NASA's lunar ecosystem is real and scarce, but it is not yet a mature, proven good business that can consistently generate distributable cash flow.
The tension is not that the company lacks prospects, but that the price has already prepaid too much for success. Revenue remains highly project-based and is recognized according to cost progress. The bigger problem is dilution: weighted shares rose from 17.65 million to nearly 150 million in two years, and when Class C shares under the Up-C structure are included, the market capitalization of just over 5.0 billion shown on quote platforms understates the real economic valuation, which is close to 7.3 billion on an economic-share basis. The moat is “eligibility to win contracts,” not “stable high returns”.
Discounting normalized Owner Earnings gives a conservative intrinsic value of only $3–7, a neutral range of $8–15, and an optimistic range of $16–24, while the current $33.83 already sits above the optimistic band. That means the company must deliver long-term outcomes close to “above optimistic” just for investors not to lose money. The analyst's ideal buy range is $6–10. If missions stumble again, cash flow remains slow to turn positive, or major dilution continues, a 70%–90% downside in permanent capital loss is not unthinkable. Today's price does not offer a reason to act.
LeadIntuitive Machines occupies a scarce position in NASA and lunar infrastructure, but its revenue remains highly project-based, free cash flow is still negative, and equity dilution has been persistent. At the current price of $33.83, the stock is well above even the optimistic intrinsic value case of $24, leaving no margin of safety and suggesting an ideal entry range of $6 to $10. Report rating Watch: a potentially important space-infrastructure platform, but not yet a proven long-term compounding business.

Conclusion First
Let me put the conclusion up front: my investment rating on LUNR is Watch, and the current price offers no margin of safety. In terms of investor fit, it is better suited to growth or thematic investors with high risk tolerance, and not suited to a typical conservative long-term value investor. The largest uncertainties in this business sit in three areas: whether flight and mission execution can truly become repeatable and stable; whether NASA and government contracts can keep converting into high-quality cash flow; and whether, after the Lanteris acquisition, the company can turn “larger revenue” into “larger free cash flow.”
My initial conclusion is: LUNR represents a space-infrastructure story that may become important, but it is not yet a mature good business that has proved it can sustainably generate distributable cash flow. The company does have some scarcity across customers, technology, contract qualifications, and mission history, especially given its meaningful position inside NASA’s lunar ecosystem. But as of today, its revenue remains highly project-based, cash flow is unstable, contracts can turn into loss contracts, equity dilution has been material, and the current share price already discounts much of a bullish scenario in which the company successfully scales over the next decade. For investors targeting a horizon of more than 10 years with a balanced but conservative tilt, this looks more like an industrial bet with high payoff potential but low certainty than a value investment one can “buy and sleep well with.”
There is another important point that is easy to miss: LUNR’s commonly cited “market cap” understates its true economic valuation. As of June 4, 2026, market data showed LUNR trading at about $33.83, with a market capitalization of roughly $5.05 billion. But the company uses an Up-C structure. As of April 10, 2026, in addition to 159.96 million Class A shares, there were 56.85 million Class C shares tied to OpCo units, and the two classes carry equivalent economic interests. On this combined basis, the equity value represented by basic economic shares is about $7.3 billion. If preferred stock, RSUs, options, warrants, and convertible notes are also included for potential dilution, potential fully diluted equity value can approach $8.7 billion. That means looking only at the headline market cap shown by quote services can easily lead investors to misjudge the stock as “not that expensive.”
One-sentence judgment: this company is worth tracking, but today’s share price does not provide enough margin of safety. It is more appropriate either to wait for a meaningful price decline, or to wait until the company first proves that “mission execution + cash flow + acquisition integration” can all work at the same time, before considering a “long-term business owner” style purchase.
Business Understanding and Industry Competition
How This Company Actually Makes Money
Intuitive Machines was founded in 2013. By the time of its 2025 annual report, the company described its business as a Build-Connect-Operate space-infrastructure model: first building spacecraft, landers, satellites, and surface systems; then connecting those assets to communications, navigation, and data networks; and finally trying to extend one-off missions into continuously operated “infrastructure as a service.” Management itself acknowledges that most contracts are still mission-based and milestone-driven, rather than a mature, highly repeatable service-revenue model. The supposedly more predictable and higher-margin service revenue is still more of a destination the company wants to reach than a fully proven reality.
The company’s customers mainly include NASA, U.S. national security and defense customers, and commercial satellite customers. On the NASA side, it participates in CLPS lunar delivery missions, the Near Space Network, the Lunar Terrain Vehicle, Gateway Power and Propulsion Element, and other programs. On the national security side, after completing the Lanteris acquisition in 2026, the company entered larger-scale defense and GEO commercial satellite manufacturing. On the commercial side, its activities include GEO communications satellites, hosted payloads, and commercial lunar payloads.
The revenue-recognition model sets an upper limit on how “understandable” this business can be. A large share of company revenue comes from long-term fixed-price contracts or hybrid contracts, with revenue recognized based on cost progress or upon completion of milestones. That means the income statement rests heavily on whether “total cost estimates are accurate.” The company’s own 2022 materials disclosed that multiple lunar-related contracts had become loss contracts during 2021-2022. The 2025 annual report further disclosed that IM-4 became a loss contract in Q2 2025, while the 2025 third-quarter report disclosed that IM-3 had also moved into a loss position. This accounting model is not inherently problematic, but it is naturally harder to value than a business that sells a software subscription and receives cash. It is also more prone to situations where “revenue is recognized on the books first, while cash and profit quality fail to keep up.”
In the latest quarter, the business has already changed materially because of acquisition activity. In Q1 2026, the company generated $186.7 million of revenue, including $141.6 million of product revenue, $42.08 million of service revenue, and $3.1 million of grant revenue. Compared with the same period in 2025, the surge in product revenue mainly came from the Lanteris acquisition completed in January 2026. This shows that the company is no longer merely a “lunar lander company”; it is rapidly becoming a broader space manufacturing and infrastructure company. The problem is that revenue diversification does not mean cash-flow quality has already diversified.
On “whether the business can be understood,” I give it 3/5. The direction itself is not hard to understand: build systems for NASA and other customers, deliver cargo to the Moon, provide communications and operations. The hard part is that the company’s economic model includes long-cycle projects, complex cost estimates, variable consideration, mission-success payments, government budgets, acquisition integration, and capital-market financing. From a long-term owner’s perspective, that is already beyond the category of “simple and transparent.”
Industry and Competitive Landscape
The industry itself is in an early growth stage, and it is not a single industry. It is a composite field spanning “lunar/deep-space missions, space communications, space manufacturing, and defense aerospace.” NASA’s CLPS vendor pool shows that commercial lunar delivery is not monopolized by Intuitive Machines; Astrobotic, Firefly, and others are also included. Meanwhile, listed companies such as Rocket Lab and Redwire are not identical peers, but they are all competing for incremental budgets in “space platforms, defense aerospace, and infrastructure services.” The overall industry trend is clearly toward growth, but growth does not mean every company will make money, and it certainly does not mean the industry’s profit pool has already stabilized.
Intuitive Machines’ industry position is not low. According to the 2025 annual report, on the NASA lunar side, the company has already won four CLPS lunar delivery contracts. In the Near Space Network, it is one of the two awardees for 1.2 and 1.3, and it is also the sole awardee for 2.2 lunar relay data services. For the Lunar Terrain Vehicle, it is one of three prime contractors. This indicates that it is not a peripheral supplier, but an important participant in Artemis and cislunar infrastructure.
But the industry is also quickly proving that execution matters more than the story. In March 2025, Intuitive Machines’ IM-2/Athena lander tipped over after landing, and NASA later confirmed that the mission ended after obtaining partial data. A few days earlier, Firefly’s Blue Ghost Mission 1 completed what the company and media widely described as the first fully successful commercial Moon landing, operating continuously for more than 14 days. This shows that in lunar delivery, the field that most clearly reflects brand and technical credibility, LUNR has not formed an unchallengeable monopoly position.
From the perspective of industry attractiveness, I give it 3/5. This is an industry with potentially large long-term demand and high strategic value, but today it still has obvious characteristics of being policy-driven, project-based, capital-intensive, and highly nonlinear in outcomes. It looks more like “an early participant in a good track” than “a good company in an already mature good industry.”
Moat, Management, and Capital Allocation
How Deep Is the Moat?
If we break down the moat, Intuitive Machines does have some moat elements, but it is still far from a moat that is “durable, wide, and able to support pricing power.”
Its most real barriers come from three areas. First, technology and qualification barriers: lunar landing, deep-space communications, satellite-platform manufacturing, navigation, and mission operations are not capabilities that ordinary startups can easily replicate. The company’s wins across CLPS, NSN, LTV, PPE, and other programs are themselves proof of qualification. Second, government relationships and mission-history barriers: entering NASA and core defense programs means the company has already passed a series of engineering, supply-chain, quality, and compliance thresholds. Third, the capability puzzle is more complete after acquisitions: KinetX brings deep-space navigation, Lanteris brings GEO and defense satellite-platform manufacturing, and the annual report even notes that its 1300-class platform still has more than 95 satellites operating in orbit.
But it is too early to call these advantages a “wide moat.” The company has no brand premium comparable to consumer goods, no network effects, and no sticky paid-subscription ecosystem. Pricing power is generally weak, because a large share of the business is won through bids and project contracts. Once cost estimates are wrong, contracts can even turn into loss contracts. Multiple historical contracts moving into loss positions, together with IM-4 and IM-3 becoming loss contracts, are the most direct counterexamples. In other words, the company has a “barrier to qualifying for orders,” but not necessarily a “barrier that produces stable high returns.”
On whether the company can raise prices in an inflationary environment, my judgment is cautious. The company operates in project bidding and government contracts, not consumer brands. Even if long-term demand grows, it may not be able to smoothly pass through increases in materials, labor, launch, and subcontractor costs. On the contrary, management repeatedly flags in multiple filings that inflation, supply chains, and budget processes can affect costs and delivery.
On whether it can stay profitable during an economic downturn, the answer is also currently no. The company recorded operating losses in 2023-2025 and was still operating at a loss in Q1 2026. Its profitability has not yet crossed the inflection point of “project volatility and scale investment.”
Overall, I give moat strength 2/5. It has scarce capabilities, but it has not yet proved that those scarce capabilities can sustainably translate into high and stable returns on invested capital. At present, it is closer to “qualified and with opportunity” than “having established a hard-to-shake economic moat.”
Is Management Trustworthy, and Is Capital Allocation Rational?
Management’s strongest point is strong equity alignment. As of April 10, 2026, directors and executives collectively held about 54.1% of total voting power. Among them, Kamal Ghaffarian held about 33.5%, CEO Stephen Altemus about 11.6%, and CTO Timothy Crain about 8.2%. From the perspective of “whether they bear the outcome alongside shareholders,” this clearly looks more owner-like than hired-manager-like.
But from a governance-structure perspective, this is a double-edged sword. The company uses an Up-C and multi-class share arrangement, Class C carries higher voting power, and founders and insiders have strong control. For long-term value investors, that means “management and shareholders are in the same boat” is true, but it also means outside minority shareholders have very limited ability to constrain capital allocation. If the company engages in excessive acquisitions, continues large financings, or substitutes scale for per-share value growth in the future, outside shareholders will have little they can do.
In capital allocation, management’s style over the past two years has been very aggressive. In 2024, the company raised equity through ATM programs and public offerings. In 2025, it issued convertible notes, purchased capped calls, and received substantial cash from warrant exercises. In January 2026, the company acquired Lanteris for $851 million of consideration, including about $403 million in cash, about $404 million in stock, plus a $43.69 million transaction bonus adjustment. This is clearly not a “steady, incremental, internally funded growth” style of capital allocation; it is rapid expansion of the capability boundary using capital markets as fuel.
This playbook has advantages: it allowed the company, between 2024 and 2026, to move quickly from a “lunar mission company” to a “more integrated space-platform company,” and it meaningfully expanded customer coverage. It also has obvious drawbacks: heavy dilution, difficult integration, and a longer execution chain. In addition, the 2025 cash-flow statement included $20.70 million of Class A common-stock repurchases. Given that the company still has not formed stable free cash flow, whether this repurchase was truly based on undervaluation, or instead tied to structural arrangements or technical reasons, cannot be confirmed from the materials I have. I therefore would not give it positive credit.
On integrity and transparency, I give management a neutral to slightly positive assessment. The 2025 annual report shows that management believed its ICFR was effective at the end of 2025 and disclosed a material weakness in internal control that was identified and remediated in the fourth quarter. In Q1 2026, the company disclosed that Lanteris was still being integrated into the company’s internal-control environment. This shows that it at least did not avoid discussing internal-control issues. But Lanteris is a large acquisition, and the accounting, contract, and compliance complexity of integration is far higher than that of the original company.
For management and capital allocation combined, I give 3/5. I recognize the company’s industrial ambition, owner-like incentives, and financing execution. But my confidence that the company is truly centered on per-share intrinsic value is still not high enough. For conservative investors in particular, this capital-allocation style remains aggressive.
Financial Quality and Owner Earnings
Key Financial Metrics
The core conclusion comes first: LUNR is not yet a company whose cash flow has “stood up.” It has revenue growth, but true distributable cash flow has not been proved. Accounting profit also contains substantial capital-market noise from fair-value changes, convertible notes, warrants, and related items, so net income alone cannot be relied on.
The table below is organized as much as possible from official disclosures. Items not directly extracted in this research round are explicitly marked “unknown/requires further extraction,” with no guessing.

The most important point in this table is not revenue, but three facts. First, free cash flow remained negative through 2023-2024, and by a meaningful amount. Second, 2023 net income was positive, but free cash flow was still -$75.19 million, showing that accounting net income was seriously distorted and should not be treated as distributable profit. Third, gross-margin improvement in 2024-2025 did not translate into stable operating profitability, because G&A, R&D, organizational expansion, acquisitions, and contract volatility continued to consume profit.
On the balance sheet, the company’s short-term survivability is much stronger than it was two years ago, but that does not mean financial quality is excellent. At the end of 2024, cash on the books was $207.6 million, with essentially no long-term debt. In 2025, the company further strengthened funding through convertible notes, warrant exercises, and other channels. By Q1 2026, after completing the Lanteris acquisition, the company still had $231.6 million of cash, and management stated that working capital was about $89.80 million. This means the company is not currently in a “running out of cash soon” state. The problem is that this cushion comes to a significant degree from equity and convertible-note financing, not from operating self-funding.
Traditional value metrics such as interest coverage, net debt/EBITDA, ROE, and ROIC mostly have little analytical meaning or are clearly negative at present. The reason is simple: EBITDA and operating profit remain unstable or even negative, and common shareholders’ equity was still negative in Q1 2026. Using these ratios for static judgment would therefore distort the picture. For this kind of company, the more important questions are: when revenue grows, can it also generate free cash flow; is the share base being continually diluted; and are contract assets and receivables increasingly consuming cash?
The change in share count deserves high caution. Basic weighted-average shares were only 17.65 million in 2023, rose to 61.41 million in 2024, rose again to 115.4 million in 2025, and reached 147.9 million in 2026Q1. As of April 10, 2026, there were 160.0 million Class A shares + 56.85 million Class C shares outstanding. After considering convertible notes, preferred stock, warrants, and equity incentives, potential dilution is far higher than the public float that appears on the surface. For value investors, this is not a detail; it is a core variable that determines per-share intrinsic value.
Owner Earnings Analysis
Under a Buffett-style “Owner Earnings” framework, the most conservative and honest treatment for LUNR today is: first approximate Owner Earnings as free cash flow, or at least as operating cash flow minus all capital expenditures. There are two reasons. First, the company does not clearly separate “maintenance capex” from “growth capex.” Second, it is in a stage where the engineering platform, capacity, and business model are all changing quickly. It would be careless to casually define part of capex as “pure growth and therefore ignorable.”
Under this conservative approach, the company’s free cash flow was about -$15.62 million in 2022, about -$75.19 million in 2023, and about -$67.69 million in 2024. This shows that through the most recent full year that can be verified, the company’s “true distributable cash flow” was still negative. In other words, when buying LUNR today, investors are not buying a cash machine that can already distribute dividends, repurchase shares, or reinvest internally with stability. They are buying a growth platform whose economic model still needs ongoing validation.
The clearest example of the mismatch between net income and cash flow is 2023. That year, the company reported net income of +$10.14 million, but operating cash flow was -$45.28 million and free cash flow was -$75.19 million. This basically allows a direct conclusion: 2023 profit looked more like accounting profit than cash profit. Net income was negative in 2024 and 2025, but the income statement was still affected by substantial non-cash fair-value movements. For this company, near-term EPS has very limited reference value.
Therefore, if the question is “what multiple of Owner Earnings does the current valuation represent,” my answer is: strictly speaking, there is currently no positive Owner Earnings value that can be capitalized, so the multiple is not meaningful. If one must estimate, the only viable approach is to discount future normalized Owner Earnings, and that will be extremely sensitive to growth, margins, mission success rates, and dilution control. For conservative investors, this itself is a “no margin of safety” signal.
Valuation, Margin of Safety, and Comparisons
Current Price and True Valuation Basis
As of June 4, 2026, LUNR’s latest share price was about $33.83, and headline market capitalization was about $5.05 billion. But combining the company’s disclosed 159.96 million Class A shares and 56.85 million Class C / OpCo units as of April 10, 2026, the equity value represented by basic economic shares is about $7.33 billion. If preferred stock, RSUs, options, warrants, and convertible notes are also included for potential dilution, potential fully diluted equity value is close to $8.67 billion. This is the starting point for all subsequent valuation judgments here.
If one uses only the $5.05 billion shown by market-data services, LUNR is trading at about 6.8 times sales based on annualized 2026Q1 revenue. Under the more reasonable “basic economic shares” approach, it is about 9.8 times sales. If using actual 2025 revenue of $210.1 million, the corresponding price-to-sales ratio is even higher, in the range of about 24 times to 35 times. For a company that has not yet formed stable Owner Earnings, whose contract revenue still fluctuates sharply, and whose large acquisition has just begun integration, I find it hard to call this valuation “cheap.”
Intrinsic Value Estimate
Owner Earnings Discount Method
Because current true Owner Earnings remain negative, I can only use a discount model based on “future normalized Owner Earnings.” Using annualized 2026Q1 revenue of about $747 million as a baseline, and assuming the company can gradually convert manufacturing, mission, and service revenue into stable cash flow over the next 10 years, the following ranges result:

The meaning of these three valuation ranges is clear: the current price of $33.83 already requires the company to deliver long-term results close to, or above, the bull case. It requires not only revenue growth, but reliable mission execution, controlled contract losses, successful Lanteris integration, emergence of service revenue, and dilution control. For a company with meaningful engineering and policy uncertainty, this degree of prepayment is not consistent with the principle of margin of safety. These estimates are conservative analytical model outputs based on the company’s disclosed revenue structure, current loss profile, and common-sense mature margin assumptions for space manufacturing and infrastructure. They are not company guidance.
Relative Valuation Method
Compared with public-market peers, LUNR is not obviously cheap. Rocket Lab’s same-day share price was about $114.70, with a market capitalization of about $69.4 billion. Its 2025 annual revenue was about $602 million, Q1 2026 revenue was $200.3 million, cash and marketable securities totaled about $1.477 billion as of Q1 2026, year-end 2025 backlog was $1.847 billion, and the company disclosed externally that Q1 2026 backlog had exceeded $2.2 billion. Redwire’s same-day market capitalization was about $3.61 billion. Its Q1 2026 revenue was $96.97 million, contract backlog was $411.2 million, cash and restricted cash were about $145.2 million, and total debt was about $88.20 million. By comparison, LUNR appears lower than RKLB on headline market cap, but under the economic-share-count basis, its valuation relative to annualized 2026Q1 revenue is not obviously below RDW, while its cash-flow stability and execution risk are worse.
More importantly, expensive peers do not make it cheap. If RKLB is used as a reference, it only shows that the market is assigning a high imagination premium to “commercial space” as a whole. That does not help value investing. The real question is: if industry sentiment cools, can LUNR support its valuation with real cash flow? Based on the current evidence, my answer remains more negative than positive.
Asset or Liquidation Value Method
From an asset-based perspective, LUNR also does not look cheap. In Q1 2026, the consolidated balance sheet still showed negative shareholders’ equity, and book support at the common-equity level was weak. The company’s value mainly depends on future contracts, technical capabilities, and mission performance, not net cash, land, or hard assets that can be easily monetized. In other words, it is not an asset bargain, and liquidation-style thinking is not friendly to this stock.
Margin of Safety and Ideal Buy Range
After summarizing the three methods above, my ranges are as follows:

Therefore, the current price of $33.83 offers no margin of safety. The most fragile assumption in the valuation is not “whether revenue can still grow,” but whether “revenue can ultimately become high-quality, self-funded, lightly diluted Owner Earnings.” If any link in that chain breaks, today’s buyers could face low long-term returns or even permanent capital loss.
Risks, Bear Case, and Final Judgment
Strongest Bear Case
The strongest bear case is actually simple: LUNR may become an important company, but the current share price already trades as if it is “almost certain to succeed.” If over the next decade the company merely grows into a mid-sized aerospace contractor with ordinary margins, rather than a high-return cislunar infrastructure platform, the current price will almost certainly deliver unsatisfactory shareholder returns.
Short sellers will focus on three types of facts. First, mission-execution risk: IM-2 ended soon after tipping over, showing that the most critical “last mile” is still not fully proved, while Firefly has already completed a more complete success in the same arena. Second, customer and policy risk: historically, a single large customer has contributed 74% and 90% of revenue, and NASA budget processes, government shutdowns, and priority changes can directly affect the company. Third, capital-market dependence and dilution risk: in recent years, the company has raised capital through ATM programs, public offerings, convertible notes, warrants, and other channels, showing that business expansion still depends heavily on external capital.
There are also two “hidden risks” that cannot be ignored. One is contract accounting and loss-contract risk: the company recognizes revenue based on cost progress, and any change in total cost estimates changes current-period revenue and profit. The 2022 historical loss contracts and the 2025 IM-4 and IM-3 loss contracts show that this is not a marginal issue. The other is acquisition integration and compliance risk: the Lanteris acquisition was large, and the 2025 annual report disclosed that Lanteris had received an initial civil investigative review from the DOJ regarding certain federal contracts. Although the company said the seller provided related indemnification arrangements, integration difficulty and potential tail risk remain.
If the following facts occur, I would consider the investment judgment overturned, and even existing holdings should be reassessed or exited: IM-3/IM-4 suffers another major execution failure; key programs such as Near Space Network/LTV/PPE progress materially below expectations; free cash flow still cannot turn positive over two consecutive full years; the share base continues to dilute sharply while per-share value fails to keep up; or Lanteris integration causes gross margin and cash flow to deteriorate materially. These are not short-term stock-price fluctuations, but warning signs of “permanent capital loss.”
Comparison With Other Opportunities
Compared with its strongest industry competitor, Firefly currently appears stronger at least in “success rate and brand proof” in commercial lunar landing execution, because Blue Ghost completed a more complete lunar-surface mission. LUNR has deeper embedded NASA contracts and stronger follow-on infrastructure imagination, but it still needs to turn “winning contracts” into “high-quality performance and cash returns.”
Compared with a broad market index, I do not see a clear advantage in buying LUNR today. SPY’s same-day price was about $754.24. A low-cost S&P 500 index fund naturally diversifies away single-mission, single-customer, and single-technology-path risk. For capital that is “balanced and somewhat conservative,” the index is probably better suited as the default allocation.
Compared with the risk-free rate, the 10-year U.S. Treasury constant maturity yield was about 4.46% in early June 2026. For LUNR to deserve beating this higher-certainty return, investors would need very high confidence in its long-term success path. Based on the current evidence, that confidence is not sufficient.
