GE Vernova is a global power leader spun out of GE in 2024, with three businesses: gas turbines, wind power, and grid equipment, supporting 25% of global electricity. Rating: Watcha good company at a bad price.

Power and Electrification are genuinely improving, with EBITDA margin reaching 14.7%/14.9% and RPO climbing to $163 billion; Wind is still losing $598 million. The issue is price: at $1038, the market cap is $282.5 billion. The headline PE is 30 times, but after stripping out $2.9 billion of tax items and $4.5 billion of M&A revaluation gains, normalized PE is close to 50 times. Of the $4.99 billion in 2025 operating cash flow, $4.1 billion came from customer prepayments, deposits collected because capacity is scarce, and should not be treated as permanent owner earnings. FCF yield is only 2.3%-2.7%.

DCF is 170-250 under conservative assumptions, 430-560 under reasonable assumptions, and 850-980 under optimistic assumptions; today's price is already above the upper end of the optimistic range. Ideal Buy range: $300-420. If prepayments reverse, Wind remains a drag, or valuation reverts toward industrial-stock levels, the corresponding outcome is a 50%-60% permanent drawdown: no bankruptcy, but time wasted.

GE Vernova is a global power-sector leader spanning gas turbines, nuclear power, wind power, and grid equipment. At the current price of $1,038.74, the stock is well above even the upper end of the optimistic valuation range of 980, while the FCF yield is only 2.3-2.7%, leaving a clearly inadequate margin of safety. Rating Watch: a high-quality power and grid compounder whose current price already discounts too much of a favorable future.

Conclusion First

Investment rating: Watch. Does the current price offer a margin of safety: No. Suitable investor type: More suitable for long-term investors willing to accept a "high quality but high valuation" industrial trend exposure, as well as cycle investors; less suitable for more conservative long-term value investors whose principle is to buy only at a clear discount. Largest uncertainties: First, how much of current free cash flow comes from sustainable operating cash flow rather than timing-driven working-capital benefits from customer prepayments and slot reservations; second, whether losses in Wind, especially Offshore Wind, can truly narrow; third, whether the current share price has already priced in the optimistic scenario of "AI power demand + grid expansion + rising gas turbine demand."

Core judgment. From the perspective of "buying a business for the long term," GE Vernova is not a bad business. Quite the opposite: its Power and Electrification businesses are benefiting from global power demand growth, grid modernization, data center expansion, and tight supply in gas turbines and transmission and distribution equipment, with orders, backlog, and margins all improving meaningfully. The company generated 2025 revenue of $38.068 billion, Adjusted EBITDA of $3.196 billion, and free cash flow of $3.710 billion. By Q1 2026, the company had raised full-year guidance to revenue of $44.5 billion to $45.5 billion, Adjusted EBITDA margin of 12% to 14%, and free cash flow of $6.5 billion to $7.5 billion. The central question is how much of that improvement the stock price has already pulled forward from future years. Based on a market capitalization of about $282.5 billion around May 22, 2026, GEV trades at about 76x 2025 free cash flow and about 86x 2025 Adjusted EBITDA. Even using the raised 2026 free cash flow guidance, the implied FCF yield is only about 2.3% to 2.7%, below the roughly 4.57% risk-free yield on the U.S. 10-year Treasury. For a conservative value investor, the business may be good; the price is poor.

Business, Industry, and Moat

Is this a business I can understand? My answer: understandable, but not simple. Business understandability score: 3/5. 【Fact】GE Vernova is a global power industry company whose products and services cover power system "generation, transmission, distribution, conversion, storage, and orchestration." The company has three main segments: Power (gas, nuclear, hydro, steam, and related services), Wind (onshore and offshore wind turbines and blades, plus wind services), and Electrification (grid solutions, power conversion and storage, and electrification software). The company discloses that its installed base helps generate about 25% of the world's electricity. Within that, the Power segment has an installed base of about 7,000 gas turbines, about 1,800 of which are under long-term service agreements, with an average remaining contract term of about 10 years. The Wind segment has an installed base of about 59,000 onshore wind turbines, of which about 24,000 are covered by service agreements.

How does it make money? 【Fact】Power and Wind sell both equipment and long-term maintenance and upgrade services. Electrification sells transformers, switchgear, HVDC, automation, software, and related offerings. In 2025, the company generated total revenue of $38.068 billion, including equipment revenue of $20.934 billion and service revenue of $17.134 billion, with services close to half of revenue. More importantly, Power had RPO, or remaining performance obligations, of $94.387 billion at year-end 2025, including $69.680 billion of service RPO alone. Electrification RPO was $34.667 billion, and Wind RPO was $21.630 billion. In other words, this is not a pure equipment seller that makes one-off transactions. Its best parts naturally carry strong aftermarket and long-cycle contract characteristics.

Is revenue recurring, stable, and predictable? 【Inference】GE Vernova's revenue quality is structurally uneven. Predictability in Power and Electrification is clearly better than in Wind. In Power, the gas turbine installed base, long-term service agreements, nuclear services, and upgrade work give revenue recurrence and visibility. Electrification benefits from grid equipment shortages, advance customer orders, and long lead times. Wind also has a service business, but its equipment side is more affected by policy, project timing, offshore wind execution, and claims. The company's total RPO approached $150.7 billion in 2025 and rose further to $163.0 billion in Q1 2026, including Prolec GE, showing high short- and medium-term demand visibility. But high visibility does not mean every segment is equally resilient.

Who are the customers, and who does it depend on? 【Fact】Customers include utilities, independent power producers, industrial customers, and government customers. Its supply chain purchases about $20 billion per year from more than 100 countries. This means the business has no single-channel or key-person dependency. It is still highly dependent on large-project customers, global supply chains, raw materials and logistics, policy timing, and the regulatory environment in several key markets. The Wind segment is especially dependent on tax incentives, tariffs, and offshore wind permitting timelines. The company has explicitly disclosed that the pause in U.S. offshore wind leases directly affected the completion timing of Vineyard Wind.

If the stock market closed for 5 years, would I be willing to hold this business? 【View】If I could buy only Power + Electrification, the answer would be closer to "yes." If I am buying the whole company at the current price, the answer is "not as much." Wind's complexity, project execution risk, and the current valuation's heavy future expectations make the overall package less attractive, even though the enterprise clearly has value.

What stage is the industry in? Industry attractiveness score: 4/5. 【Fact】The IEA expects global electricity demand to grow at an annual average rate of about 3.6% in 2026-2030, with data centers, electric vehicles, air conditioning, and industrial electrification as important drivers. The IEA also expects global data center electricity consumption to rise to about 945 TWh by 2030, corresponding to about 15% annual growth from 2024 to 2030. At the same time, the IEA notes that pressure to expand and modernize global transmission networks is pushing up prices and lead times for key components. GE Vernova itself also discloses strong Electrification demand, with demand for transmission equipment driven by renewable interconnection, industrial electrification, data centers, and aging grid replacement.

Who are the main competitors, and what is its industry position? 【Fact】In its 10-K, the company lists Siemens Energy, Mitsubishi Power, Westinghouse, Framatome, and Rolls-Royce as Power competitors; Vestas, Siemens Gamesa, Nordex, Envision, and Goldwind as Wind competitors; and Hitachi Energy, Siemens Energy, Siemens, Schneider Electric, Mitsubishi Electric, and ABB as Electrification competitors. GE Vernova's position can be summarized as follows: a global leader group member in gas turbines and grid equipment, and a large but uneven-quality participant in wind power. More plainly, GEV looks like a combination of "strong companies in two good industries, plus a difficult business in a troubled industry," rather than a pure, uniformly high-quality asset.

Moat strength score: 3/5. Overall judgment: medium, with major unevenness by segment. My moat breakdown is as follows:

Is the moat widening, stable, or narrowing? 【View】I think Power and Electrification's moats are widening, while Wind's moat is narrowing or at least unstable. Power's moat comes from its installed base, service agreements, customer switching costs, and scarce supply. Electrification's moat comes from capacity scarcity, delivery cycles, certifications, and the complexity of grid interconnection systems. Wind looks more like a competitive, policy-sensitive, weak-moat industry where project execution can easily consume profits. The company itself disclosed that Wind still recorded a $598 million segment EBITDA loss in 2025, while Power and Electrification segment EBITDA margins had reached 14.7% and 14.9%, respectively.

Can it raise prices in inflation and remain profitable in downturns? 【Fact + Inference】Power and Electrification explicitly disclose that they adjust pricing based on demand, inflation, and industry dynamics. One important source of margin improvement in 2025 was favorable price. Onshore Wind is also seeing improved pricing, but Offshore Wind remains constrained by project costs and schedules. If the economy slows, Power and Electrification may still rely on backlog and service revenue to remain profitable, while Wind is more fragile. In other words, GE Vernova is not a company where the entire enterprise can sail through cycles. It is a company with strong countercyclical assets inside, alongside high-volatility assets.

Management and Capital Allocation

Is management honest, rational, and long-term oriented? Management and capital allocation score: 3/5. 【Fact】GE Vernova has a very short independent public-company history. It completed its spin-off from GE only on April 2, 2024. It has not yet experienced a full long capital cycle as an independent company, so I would neither give it a high score nor casually give it a low one. In terms of disclosure style, management is broadly candid about Wind losses, supply chain issues, tariffs, the complexity of long-term service agreement estimates, and capital expenditure needs. In the Proxy and annual report, the company clearly lays out capital allocation principles: first maintain an investment-grade balance sheet, then make disciplined organic investments and targeted M&A, and return at least one-third of cash generation to shareholders.

Are shareholder interests aligned? 【Fact】The company has a fairly complete governance framework: a majority of independent directors, an independent board chair, prohibitions on hedging and pledging, a clawback policy, and stock ownership and retention requirements. Before executives meet their ownership thresholds, at least 50% of net shares received from RSU/PSU vesting or option exercises must be retained. The issue is that actual insider ownership is not high: the 2026 Proxy shows aggregate beneficial ownership by all directors and executives remains below 1%. The incentive direction is broadly right; from the perspective of "deeply sharing risk with shareholders," this is not yet a classic high-insider-ownership management team.

Is capital allocation rational? 【Fact】In 2025, the company returned $3.6 billion to shareholders through buybacks and dividends. In Q1 2026, it repurchased about 1.8 million shares, spending $1.3 billion, at an average price of about $720/share. In December 2025, the company doubled its annual dividend to $2/share and raised its repurchase authorization from $6.0 billion to $10.0 billion. At the same time, the company is investing for growth: it committed to $6.0 billion of capex and $5.0 billion of R&D in 2025-2028, and in 2026 completed the acquisition of the remaining 50% of Prolec GE for about $5.3 billion in cash, issuing $2.6 billion of senior notes for the transaction.

How do I view these moves? 【View】The capital allocation framework itself is reasonable: invest first in organic growth, then pursue core M&A, then return capital. The strategic logic of the Prolec GE transaction is also sound. It strengthens key North American grid equipment exposure in one of the strongest demand lanes. The issue is price and timing: when a stock is already very expensive, large-scale buybacks may not be the optimal use of capital. Whether they truly create long-term "per-share value" depends on the repurchase price relative to intrinsic value, not relative to the subsequent higher market price. Q1 2026 buybacks at $720 do not look bad in hindsight with the stock around $1,039 today. But under a strict value investing framework, that does not automatically prove the company was buying back stock at an "undervalued" price at the time.

Are incentives reasonable? 【Fact】The company's short-term incentives are mainly based on Free Cash Flow, Adjusted EBITDA, and Organic Revenue growth. Its 2025-2027 performance shares are mainly based on three-year cumulative Adjusted EBITDA and Free Cash Flow, with a TSR modifier. The design is directionally right: it pulls management toward cash flow and earnings quality, rather than only revenue scale. The drawback is that in strong-cycle years, if FCF is heavily driven by customer prepayments and working-capital tailwinds, executive incentives can also be amplified by the cycle.

Financial Quality and Owner Earnings

Start with the underlying conclusion. 【View】GE Vernova's financial quality is improving significantly, but headline profit should not be directly treated as "true distributable earnings." 2025 profit included a one-time tax benefit, and Q1 2026 profit again included large M&A remeasurement and asset sale gains. Meanwhile, free cash flow over the past two years has clearly benefited from working-capital inflows from customer prepayments and slot reservations. This is a truly improving company whose accounting and cash measures both need normalization.

Key financial metrics table. In the table below, 2021-2023 are pre-spin carve-out combined data, while 2024-2025 are independent-company GAAP data. The trend is therefore useful, but the periods are not perfectly comparable.

Margins and segment quality. 【Fact】In 2025, the company's gross margin rose to 19.8%, above 17.4% in 2024 and 14.5% in 2023. By segment, 2025 Power segment EBITDA margin was 14.7%, Electrification was 14.9%, while Wind remained at -6.6%. From a business-mix perspective, Power and Electrification already show the contours of excellent industrial assets, while Wind still consumes a group-level valuation discount.

Cash flow and working capital. 【Fact】Of 2025 operating cash flow of $4.99 billion, $4.1 billion came from working-capital inflows. Contract liabilities and current deferred income alone contributed $8.0 billion of inflow, offset by receivables of -$1.9 billion, inventory of -$1.4 billion, contract assets of -$0.5 billion, and other items. Q1 2026 operating cash flow was $5.19 billion, of which $5.3 billion came from working-capital inflows, mainly driven by contract liabilities of +$5.6 billion. This structure matters: it shows that the company's growth today does not consume more cash as it grows. On the contrary, at least in the current stage of supply shortage, customer competition for capacity, and competition for delivery slots, growth brings prepayments and positive cash flow.

But is this "clean" owner earnings? No. 【Inference】Prepayments and slot reservations have economic value because they reduce capital employed, improve cash conversion, and reflect scarce supply and pricing power. From a Buffett-style conservative perspective, only part of such working-capital inflows should be treated as permanently distributable cash. The reason is simple: once order growth slows, delivery accelerates, or customer payment timing changes, this cash can reverse. Therefore, GEV's FCF over the past two years deserves attention, but should not be capitalized mechanically.

Balance sheet and survivability. 【Fact】As of March 31, 2026, the company had cash, cash equivalents, and restricted cash of about $10.172 billion, short-term borrowings of about $234 million, and long-term borrowings of about $2.623 billion, for total interest-bearing debt of about $2.857 billion and net cash of about $7.3 billion. This means financial leverage is not the core current risk. The "high-liability feel" of GEV comes more from operating liabilities, especially contract liabilities, than from financial leverage. As of March 31, 2026, total assets were about $65.992 billion, and equity attributable to GE Vernova was about $13.922 billion.

Should we look at ROE, ROIC, and ROA? Yes, but carefully. 【View】If you calculate ROE directly using 2025 net income, the number will look extremely high. But it is meaningfully lifted by the release of the U.S. tax valuation allowance in Q4 2025. The company itself disclosed that one important reason for 2025 net income growth was a tax benefit of about $2.9 billion. On the other hand, GEV's operations use a lot of customer prepayments, naturally creating negative working capital. The result is that reported capital returns will look attractive, but they are not fully equivalent to "mid-cycle, repeatable, fully normalized" true returns on capital. For GEV, the better things to watch are Power and Electrification segment margins, contract liability quality, inventory and receivable changes, and the narrowing of Wind losses, rather than static ROE.

Accounting quality and manipulation risk. 【Fact】I see no clear signs of financial fraud. I do see high-complexity accounting areas: long-term service agreement, or LTSA, estimates; revenue recognized over time on heavy-asset projects; volatility in contract assets and liabilities; M&A remeasurement gains; and the recently completed consolidation of Prolec GE. The auditor identified revenue recognition estimates for long-term service agreements in the Power segment as a Critical Audit Matter. The company also disclosed that its 2026 internal-control assessment will temporarily exclude the newly consolidated Prolec GE. Conclusion: no obvious red flag; enough complexity remains to require a higher discount rate.

Conservative estimate of Owner Earnings. 【Fact】2025 free cash flow was $3.710 billion, but working-capital inflows accounted for a large share. 2025 net income was also boosted by tax benefits. In 2026 guidance, the company expects free cash flow of $6.5 billion to $7.5 billion, but Q1 cash flow was also highly benefited by prepayments.

【Assumption】I use three layers for "owner earnings": First, reported FCF: about $3.7 billion in 2025. Second, conservative normalized OE: after removing the impact of 2025 abnormal tax benefits and treating only part of the working-capital benefit as sustainable, I would prefer to use about $2.5 billion as conservative owner earnings. Third, more reasonable normalized OE: considering continued margin improvement in Power and Electrification and further narrowing of Wind losses, while excluding the full 2026 guidance FCF from permanent distributable cash, I think around $4.5 billion is closer to "reasonable but not aggressive" owner earnings. In a highly optimistic case, if the low end of 2026 FCF, $6.5 billion, is roughly sustainable and high growth continues afterward, then $6.5 billion can be used as an optimistic starting point.

【Inference】Therefore, I do not accept the surface-level conclusion that "GEV looks fine at the current 30x PE." That headline PE includes about $4.5 billion of pre-tax M&A-related net gains in Q1 2026 and tax benefits in 2025. If roughly normalized, the current actual valuation looks far above the surface 30x, close to or above 50x normalized earnings. This is a very important conclusion for conservative investors.

Intrinsic Value and Margin of Safety

Current price snapshot. 【Fact】Around May 22, 2026, GEV traded at about $1,038.74, with a market capitalization of about $282.5 billion and a surface trailing PE of about 30.35x. Combining this with the Q1 2026 balance sheet, the company still had a net cash structure, so enterprise value roughly estimated as market capitalization plus net debt was about $275.2 billion.

First, look at how the market is pricing it. 【Inference】Based on 2025 data, GEV currently trades at about 7.4x sales, 76x free cash flow, and 86x 2025 Adjusted EBITDA. Even using the company's raised 2026 guidance, enterprise value still corresponds to roughly 43–52x 2026 Adjusted EBITDA, while the free cash flow yield is only 2.3%–2.7%. This is not a "cheap industrial stock." It is priced as a standard "long-duration, high-expectation, high-quality growth stock."

Method 1: Owner Earnings DCF. Below is my three-scenario valuation, all based on my own calculations, not company guidance.

Note: Per-share value is estimated using about 272 million shares. The starting points correspond respectively to "conservative normalized OE / more reasonable normalized OE / optimistic OE close to the low end of 2026 guidance FCF." The optimistic scenario already assumes the company can turn today's high orders, high prepayments, and strong cycle into many years of sustained high growth and high margins. Inputs are based on 2025 FCF, 2026 guidance, current market capitalization, and net cash data.

DCF conclusion. 【View】In my framework, GEV's current price is already above the midpoint of the optimistic scenario, and far above the base and conservative values. In other words, buying today means paying in advance for a scenario in which the company sustains and amplifies the 2026 upcycle for the next decade. If any key assumption receives even a modest haircut, including Power/Electrification growth, Wind improvement, prepayment durability, or terminal multiples, intrinsic value moves meaningfully lower.

Method 2: Relative valuation. I use GE Vernova, Siemens Energy, and Eaton for a directional comparison. Because accounting standards, currencies, and business structures differ, the table below is better suited for a "expensive or not" relative judgment than a strict apples-to-apples comparison.

Note: P/S and P/FCF are calculated in each company's own currency, so they are useful for directional comparison. GEV's headline PE is affected by one-time gains, and its true "normalized PE" may be materially higher.

Relative valuation conclusion. 【Inference】If you are buying each unit of sales and each unit of cash flow, GEV is more expensive than both Siemens Energy and Eaton. GEV is expensive less because it already has higher and more stable cash returns, and more because the market is willing to pay a premium for future growth, the quality upgrade in Power + Electrification, and the "U.S. power equipment cycle" theme. For value investors, this kind of premium can be acceptable only when the price has not already bought too much of the future. Today's price has clearly bought too much of that future.

Method 3: Asset/liquidation value. 【Fact】As of Q1 2026, total equity was about $15.065 billion, equity attributable to the parent was about $13.922 billion, and net cash was about $7.3 billion. But the Prolec GE acquisition added about $3.98 billion of intangible assets and about $5.47 billion of goodwill on a one-time basis. This means the company is not a book-value discount opportunity. The current $282.5 billion market capitalization is very far from net cash, net assets, or liquidation value. The investment case must be built on continued growth in high-quality future cash flow, not asset revaluation.

My intrinsic value range and price bands. 【View】 Conservative intrinsic value range: $170–250/share. Reasonable intrinsic value range: $430–560/share. Optimistic intrinsic value range: $850–980/share. Current price relative to intrinsic value: A clear premium to the "reasonable range"; no discount even to the "optimistic range." Ideal buy price range: $300–420/share. Acceptable holding price range: $420–700/share. Clearly overvalued price range: Above $900; the current price is already in this range. These ranges are not a prediction of whether the stock will reach them tomorrow. They are my discipline lines for whether new capital is worth committing.

Is the margin of safety sufficient? My answer: insufficient. 【Reason】The most fragile valuation assumptions are whether high FCF supported by prepayments can be viewed as sustainable owner earnings and whether the market will always assign an exceptionally high terminal multiple. If growth falls short of expectations, margins improve a little more slowly, Wind drags on for longer, or valuation multiples return to a more normal industrial-stock range, buying today could easily create permanent capital loss. The company need not fail; the price paid can simply be too high.

Risks, Bear Case, and Opportunity Cost

Most important risks. First, overvaluation risk. This is the most realistic and important risk in my view. GEV is a resilient company. It can still be a "high-priced asset" among high-quality companies, and a high price alone can create years of low returns.

Second, cash-flow quality risk. Free cash flow in 2025 and Q1 2026 benefited strongly from working-capital inflows created by contract liabilities and slot reservations. Strong orders are certainly positive, but if future prepayment timing slows while inventory and receivables keep rising, FCF could fall meaningfully.

The strongest opposing view. If I were short, I would say this: GE Vernova is indeed positioned on a strong industrial trend, but today's share price is no longer buying the "trend." It is buying "near-flawless execution." You see the upcycle in Power and Electrification.
