Stabilized portfolio occupancy was 91.6%, same-store cash NOI was +7.9% year over year, and renewal cash rents rose 5.0%, with bargaining power still widening in key markets constrained by power supply and grid interconnection. The capital structure is fairly sound: net debt/EBITDA of 4.7x is below management's through-cycle target of 5.5x, fixed/hedged-to-fixed-rate debt is 93.4%, the effective rate is 2.85%, and ratings are BBB+/Baa2/BBB; recent ATM issuance of 7.3M shares at $179-181 per share raised net proceeds of $1.3 billion, supporting large-scale development with high-priced equity + JV capital recycling—rational in logic, but highly dependent on project stabilized yields staying above the cost of capital.

The real key to financial quality is recognizing that this is not a capital-light compounding machine: of 2025 GAAP net income of $1.268 billion, $996 million came from asset-disposition gains, operating cash flow of $2.412 billion was already below total capex of $2.913 billion, and planned 2026 capex rises further to $3.25-3.75 billion. On a conservative basis, Owner Earnings ≈ operating cash flow $2.412 billion - recurring capex $344 million = $2.068 billion = $5.85 per share = 32.8x P/Owner Earnings, and after deducting all growth capex free cash flow is not ample. On customer concentration, in Q1 2026 the top twenty customers accounted for 51.9% of annualized recurring revenue, the largest customer 11.4%, Oracle 9.8%, and Equinix also among them at 2.0%; changes in hyperscaler expansion pace will transmit directly.

Valuation gives three scenarios: conservative $100-115, neutral $135-155, optimistic $190-210; the current $192 is already close to the lower bound of the optimistic range, and the market has prepaid for AI, scarce power, and years of project conversion. The ideal buy price is $135-155 per share, the acceptable holding range is $155-185, and above $205 is viewed as clearly overvalued. The core risks center on capital intensity and external-financing dependence, power and project delivery falling short of expectations, large-customer bargaining, and the lift disposition gains give to GAAP profit; if project stabilized yields cannot be realized and the valuation reverts from a growth REIT to an ordinary REIT, a long-term drawdown of 35%-50% is not unimaginable. The business is worth tracking over the long term and worth respecting, but the current price offers an insufficient margin of safety—none of which constitutes a reason to support active buying.

Conclusion First

Here is the conclusion up front: my current rating on DLR is "Watch." This is a digital-infrastructure business that is relatively easy to understand, has strong long-term demand, but is highly capital-intensive; the company holds real competitive advantages—a global platform, customer relationships, campuses, and power resources—and it has clearly benefited recently from the expansion of AI and cloud demand, with strong bookings and an under-construction pipeline in the most recent quarter. But from the perspective of a long-term business owner, a good business is not the same as a good price: DLR's current share price corresponds to roughly 23.9x the midpoint of 2026 Core FFO guidance, a dividend yield of only about 2.5%, and the "Owner Earnings" yield I estimate on a conservative basis is only about 3.0%—none of which is cheap. It looks more like a "growth infrastructure REIT" than a "high-margin-of-safety cash cow."

Margin-of-safety assessment: not evident. If you are a balanced-to-conservative value investor with a holding period of 10 years or more, I think DLR deserves a place on your priority watchlist, but the current price looks more like a "worth researching, worth holding, but not worth chasing with a heavy position" level. It suits long-term investors who can understand REITs, accept the ongoing financing and development cycle, and are willing to track power supply, lease conversion, and leverage constraints; it is less suited to ordinary investors who look only at dividend yield or at static cheapness metrics.

The biggest uncertainties are mainly threefold. First, AI and cloud demand are indeed strong, but power and grid-interconnection constraints have become an industry-wide bottleneck—new go-lives in EMEA have been slowed by power limits—and this directly affects the pace at which DLR's pipeline converts and its development yields. Second, DLR's growth depends heavily on sustained large capital expenditures, asset dispositions/JV capital recycling, and debt and equity financing, which means that "per-share value growth" hinges not only on leasing strength but also on the financing environment. Third, customer concentration is not low: in Q1 2026 the top twenty customers together accounted for 51.9% of annualized recurring revenue, and the top ten add up to roughly 41.5% based on the table; if a hyperscaler or large technology customer slows its expansion, the impact would be fairly direct.

To avoid confusion, the conclusions below will try to distinguish four types of statements: Fact = drawn from the company's 10-K, 10-Q, supplemental materials, the company IR page, and authoritative media; Assumption = the growth rate, discount rate, terminal value, and so on used in the valuation model; Inference = a logical judgment extended from facts, for example "the top ten customers account for roughly 41.5%"; Opinion = the investment conclusion formed on the basis of the above facts, assumptions, and inferences.

The Business and the Industry

Understanding the Business

Fact: DLR is a global data center REIT. In its 2025 10-K the company disclosed that its global portfolio spans 300+ data centers, 55+ metropolitan areas, and 6 continents, providing roughly 2.9GW of operational IT capacity; as of year-end 2025 the portfolio (including investments in unconsolidated entities) totaled roughly 57.6 million rentable square feet. The data center products the company offers customers include wholesale capacity, cabinets/colocation, interconnection, and related services, with the vast majority of revenue coming from "rental and other services." Total 2025 revenue was $6.113 billion, of which "rental and other services" was $5.969 billion, while "fee income and other" was only $144 million, showing that at its core this remains an asset-operating business centered on leasing and supporting services.

Fact: The customer base is very broad. At year-end 2025 the company said it had 5,000+ customers, with no single customer accounting for more than 11.7% of the portfolio's annualized recurring revenue and, apart from the largest customer, no other customer exceeding 9.0%. The industries covered span cloud and IT services, finance, network and mobile services, social platforms, content providers, and more. By the end of Q1 2026, supplemental materials showed the top twenty customers together accounting for 51.9%, with the largest customer at 11.4%, Oracle at 9.8%, a "Global Cloud Provider" at 4.5%, and Meta at 1.5%; even Equinix is one of its top twenty customers, at 2.0%. Inference: DLR is not a "retail-style small-customer REIT" but rather a company that to a considerable degree serves large technology, cloud, and network customers—customer quality is high, but concentration cannot be ignored.

Fact: The way this business charges is primarily through base rent, interconnection, and other service revenue under long-term lease contracts. Revenue is clearly recurring, but it is not the completely non-volatile, utility-style cash flow. The company disclosed that of its future minimum rental revenue as of year-end 2025, $3.504 billion falls in 2026, $2.748 billion in 2027, $2.350 billion in 2028, $1.960 billion in 2029, $1.549 billion in 2030, and $6.439 billion thereafter; as of the end of Q1 2026 the company also had a signed-but-not-yet-commenced backlog of $1.8 billion (on a 100% basis), or $1.0 billion at DLR's share, and leases newly signed that quarter carried an average commencement lag of roughly 19 months. This shows that visibility is strong, but conversion has a time lag.

Fact: The cost structure is asset-heavy, power-heavy, and development-heavy. Of the company's 2025 cash capital expenditures, development projects were $2.541 billion, enhancements and improvements $28 million, and recurring capex $344 million, for a total of $2.913 billion; the company also expects 2026 capex of roughly $3.25 billion to $3.75 billion (net of joint-venture partner contributions). This means growth requires an enormous, sustained level of investment; the company is not a "capital-light software enterprise" but rather a classic "long-lived assets + high-intensity reinvestment" model.

Fact: The company's most critical external dependency is not any single key individual but rather the pace of power, network, capital-market, and large-customer expansion. In its 10-K risk factors the company explicitly cautions: its data centers depend on third-party power supply and incremental power capacity; if incremental power is insufficient, it may be unable to meet customer demand or its growth plans; it also depends on third parties to provide network connectivity and fiber access.

My judgment is: this is a business you can understand, but not a simple business. You can think of it as "operating and developing digital infrastructure that can be leased long term at globally scarce power and network nodes." If the stock market closed for five years, I would be willing to hold the business itself—but only on the condition that the purchase price is reasonable, because although this business has long-term demand, it does not naturally equate to the classic Buffett-style company of "high free cash flow, low reinvestment." Business understandability score: 4/5.

Industry and Competitive Landscape

The data center industry is in a very rare phase: long-term demand is strong, near-term supply is tight, but the constraint on construction is increasingly power and land/grid-interconnection rather than pure capital. Reuters, citing an EPRI study, reported that by 2030 U.S. data center electricity use could rise to 4.6% to 9.1% of total national electricity use; another Reuters report said the pace of EMEA data center go-lives slowed in 2025, mainly because power supply is constrained rather than demand being weak. This is a double-edged sword for the industry: on one hand it protects existing resources and high-quality campuses, on the other it can slow project conversion.

In DLR's segment, the directly comparable "strongest rival" is usually Equinix. Equinix is described in Reuters reporting as "the world's largest data center operator" and in 2026 continues to emphasize AI-related demand and expansion plans; DLR, in its own materials, emphasizes that it is the "largest global provider of cloud- and carrier-neutral data center, colocation and interconnection solutions." Inference: Both companies sit on the main channel of the track, but compared with Equinix, DLR overall looks more like a "globalized data center real-estate/campus platform," while Equinix's market image tilts more toward an "operating platform with stronger interconnection and enterprise/network ecosystems." This does not mean DLR lacks interconnection capability; rather, within its value composition, real estate, power, development, and large-customer capacity supply carry more weight.

Is long-term industry demand stable? The broad direction is stable. Cloud migration, content distribution, enterprise digitization, and AI training and inference all require data centers; and once a customer deploys its core workloads to a given campus, migration tends to involve networking, latency, cross-connects, compliance, operations, and downtime risk, so it will not be swapped as easily as a software subscription. The catch is: while the industry is a growth industry, it is not one where "mindless capacity expansion is guaranteed to earn high returns." Power being unavailable, rising construction costs, changes in cooling and high-density architectures, and volatile capital-market costs can all eat into returns.

So, looking only at the track, the label I give it is: "a good company in a good industry, but not a good industry where money comes easily." Industry attractiveness score: 4/5.

Moat and Management

Moat Analysis

I would break DLR's moat into its five most important parts.

The first is scale and global coverage. The company spans 300+ data centers, 55+ metropolitan areas, and 6 continents, and holds more than 5GW of future development capacity; as of the end of Q1 2026 the company had 1,169MW under construction, of which 61% was pre-leased, with an estimated stabilized cash yield of roughly 11.4%. For cloud/hyperscale customers deploying across regions, this kind of unified global platform has value in itself, because the customer does not have to separately screen suppliers for each region or sign contracts with differing technical and operating standards.

The second is campus, network density, and the ability to secure power. In its 10-K, DLR emphasizes that many of its data centers sit at major aggregation points, which can lower customer costs and operational risk; certain campuses have formed "densely connected data communities" that management believes competitors find hard to replicate. At the same time, the company stresses that global procurement agreements and relationships with equipment manufacturers help shorten delivery times for critical equipment and lower costs. In today's data center industry, what is truly scarce is not "reinforced-concrete shells" but the ability to secure power, connect to networks, and form scalable campuses.

The third is switching costs and customer stickiness, but it is not the "emotional moat" of a consumer brand. DLR's average remaining lease term is roughly 4 years; at the end of Q1 2026 the stabilized portfolio occupancy was 91.6%, same-store cash NOI grew 7.9% year over year, and renewal cash rents rose 5.0%. This shows that existing customers do not churn en masse the moment leases expire, and in a supply-tight environment the company has pricing power.

The fourth is the capital-allocation and financing moat. This does not sound like a traditional moat, but it is critical for a REIT. In Q1 2026 the company's net debt/adjusted EBITDA was 4.7x, below management's "through-cycle roughly 5.5x" target; fixed or hedged-to-fixed-rate debt was 93.4% of total debt, with an effective rate of roughly 2.85% and a weighted-average initial maturity of roughly 4.7 years; ratings were BBB+ / Baa2 / BBB. This shows that DLR can, at least so far, support large-scale development in a relatively sound manner.

The fifth is brand and operating capability. DLR is of course not a Coca-Cola-style brand, but among the world's large data center and campus suppliers, its brand is the enterprise brand that "gets priority consideration on the procurement lists of CIOs, cloud customers, and carriers," which matters greatly in B2B infrastructure. It does not bring extremely high margins, but it does bring a higher probability of signing deals, better customer quality, and capital-partnership opportunities.

My judgment: DLR's moat is still widening, but unevenly. In critical markets where power and network resources are scarce—Northern Virginia, Frankfurt, Amsterdam, Tokyo—the moat is on the stronger side; in more standardized, purely capacity-oriented wholesale hyperscale supply, the moat depends more on execution and financing than on absolute pricing power. For a competitor to replicate it would take many years, many billions of dollars of capital, and access to power/land/permitting resources. Moat strength score: 4/5.

Management and Capital Allocation

My view of management is: broadly rational, not an outstanding legend; at least for now, I see no obvious red flags of dishonesty.

There are several facts that support this judgment. On governance, the 2025 proxy discloses that a majority of the board is independent, that directors and executives are subject to stock-ownership guidelines, that the CEO is required to hold stock worth roughly 6x base salary, and that the relevant directors and executives are all in compliance; the company has anti-hedging, anti-pledging, and clawback policies. On compensation structure, in 2024 long-term incentives made up roughly 57% to 74% of named executives' total compensation, indicating that incentives are not short-sighted.

But one must also see the real constraints. CEO Andrew Power's beneficial ownership in the 2025 proxy was roughly 291,110 shares—a lot for an ordinary person, of course, but for a company worth tens of billions of dollars it is not "founder-level significant ownership"; I therefore would not classify DLR as one of those "management deeply aligned with shareholders." More importantly, DLR's capital allocation is largely not the art of "buy back or don't buy back," but rather the cyclical management of "develop—finance—recycle assets—redevelop." In and after Q1 2026, the company issued roughly 7.3 million shares through the ATM, raising net proceeds of roughly $1.3 billion; by price, these issuances occurred at around $179-181 per share. Opinion: if the company can deploy the funds into projects with stabilized yields around 11%, then issuing equity when the stock is relatively rich in order to protect the balance sheet and advance projects is rational; but if project yields decline in the future, this model turns into "using share issuance to paper over insufficient free cash flow."

One thing I also fairly appreciate about management is that it does not pretend FFO equals real cash profit. The 10-K plainly reminds readers that FFO does not reflect the capital expenditures and capitalized leasing commissions needed to sustain operations, and so its usefulness as a performance metric is limited. For a REIT, management's willingness to spell out this limitation is a plus.

Overall, I give management and capital allocation a 3/5. They are not my favorite kind of "rarely-finance, steadily-compound-per-share-intrinsic-value" capital allocators, but in a high-capital-density industry, their approach so far broadly follows the logic of conservative leverage + issuing high + JV capital recycling. The only problem is: this logic depends on development yields staying persistently above the cost of capital.

Financial Quality and Owner Earnings

Financial Quality

First, the most core judgment: DLR's profits are not "fake profits," but GAAP net income is not the best handle for understanding it. There are two reasons. One, a REIT's real-estate depreciation significantly depresses accounting profit; two, in recent years DLR has recognized a large amount of gains through asset dispositions, JV deconsolidations, and fund contributions, causing net income to swing widely. The 2025 FFO reconciliation shows GAAP net income to common of $1.268 billion, but from which $996 million of real-estate disposition gains must be deducted; in 2024 and 2023 there were likewise disposition gains of $597 million and $908 million, respectively. In other words, net income contains a fair amount of "capital-recycling/asset-revaluation realization" rather than being entirely recurring operating profit.

The table below, compiled from the consolidated statements and FFO reconciliations in the company's successive 10-Ks, is enough to see DLR's rough financial trajectory over the past six years: revenue grew steadily, operating cash flow improved markedly in 2024-2025, and FFO also hit a new high; but net income is heavily affected by disposition gains and cannot simply be treated as "real distributable cash."

From 2020 to 2025, revenue rose from $3.904 billion to $6.113 billion, operating cash flow climbed from $1.707 billion to $2.412 billion, and FFO rose from $1.382 billion to $2.399 billion. This shows the base is indeed expanding. At the same time, 2025 total capex of $2.913 billion exceeded operating cash flow of $2.412 billion; the 2026 capex plan is higher still, reaching $3.25 billion to $3.75 billion. Inference: DLR's growth is "the more it grows, the more capital it needs," not the kind of business where "the more it grows, the more cash it spits out."

On the balance sheet, I believe things are not out of control, but must be watched continuously. Year-end 2025 total assets were $49.410 billion; at the end of Q1 2026 total debt was roughly $18.138 billion, of which 93.4% was fixed or hedged-to-fixed-rate, with a blended effective rate of roughly 2.85% and a weighted-average initial maturity of 4.7 years; Q1 2026 net debt/adjusted EBITDA was 4.7x, fixed-charge coverage was 4.9x, and credit ratings were BBB+ / Baa2 / BBB. This set of figures shows that DLR's current leverage level is acceptable—at least still far from the fragile edge.

If asked "does the company have enough survival capacity in an economic downturn," my answer is: most likely yes, but only if the capital markets remain open. It does not roll over short-term debt the way a highly leveraged developer does, nor does it burn cash entirely on external financing the way a single-technology growth stock does; but it does need debt, ATM equity, and JV capital recycling to support expansion, so under extreme interest-rate pressure or a closed equity market it would still be affected.

Owner Earnings Analysis

If I use the "owner earnings" approach to estimate DLR's true earning power, I would adopt a very conservative basis:

  • Net income: 2025 GAAP net income to common of $1.268 billion.

  • Add back non-cash charges: 2025 depreciation and amortization of $1.895 billion.

  • Deduct maintenance capex: I use the company's disclosed recurring capex of $344 million, because the company explicitly defines it as including the second-generation tenant improvements and third-party leasing commissions needed to maintain current revenue.

  • Change in working capital: operating cash flow already reflects the change in working capital, so to avoid double-counting I start directly from operating cash flow. 2025 operating cash flow was $2.412 billion.

Therefore, my conservative Owner Earnings estimate is:

Owner Earnings ≈ operating cash flow $2.412 billion - recurring capex $344 million = $2.068 billion, or roughly $5.85 per share or unit. At the most recently available closing price of $192.03, the current share price is roughly 32.8x Owner Earnings.

This result matters because it tells us two things. First, after deducting all development-related capex, free cash flow is not ample—it was even negative in 2025; in other words, DLR does not spit out large free cash flow naturally from its existing assets, but is instead driven jointly by "existing rents + ongoing development + external financing + capital recycling." Second, DLR's Core FFO is far higher than my conservative Owner Earnings, meaning that if the market looks only at FFO, it easily underestimates the capital intensity of this business.

I want to stress one thing: DLR is a high-quality, asset-heavy platform, not a capital-light compounding machine. This is not a denial of the company; rather, it determines the price at which you should buy it. Financial quality composite score: 3/5.

Valuation and Margin of Safety

Intrinsic Value Estimate

First look at current market pricing. At the most recently available closing price of $192.03 on May 22, 2026, combined with the company's latest 2026 Core FFO guidance of $8.00-8.10 per share, the stock currently trades at roughly 23.9x Core FFO; based on a full-year dividend of $4.88 per share, the dividend yield is roughly 2.54%. The company's IR homepage shows a current market cap of roughly $64 billion and enterprise value of roughly $82 billion; using the midpoint of 2026 EBITDA guidance of $3.7 billion for a rough calculation, EV/EBITDA is around 22x. This is not a cheap valuation.

In valuing DLR, I prefer to use Owner Earnings as the starting point rather than net income or a static dividend. The three scenarios below are all my own valuation assumptions, not company guidance:

The logic behind these three sets of assumptions is: In the conservative scenario, I assume DLR merely expands steadily, with mediocre development yields and financing conditions, ultimately reverting to a valuation more like a mature REIT; in the neutral scenario, I assume the backlog continues to convert, same-store NOI maintains mid-single-digit growth, and the development pipeline is released at a level close to current guidance; in the optimistic scenario, I assume AI demand persists for years, power scarcity continues to strengthen the pricing power of existing campuses, and the capital-recycling-and-reinvestment loop runs smoothly. The real inputs used for modeling include: Q1 2026 backlog of $1.8 billion, 1,169MW under construction with 61% pre-leased, an expected stabilized yield of 11.4%, and 2026 Core FFO guidance of $8.00-8.10 per share.

Within this framework, my conclusion is very clear:

  • Conservative intrinsic value range: $100-115 per share

  • Fair intrinsic value range: $135-155 per share

  • Optimistic intrinsic value range: $190-210 per share

At the current $192.03, the share price is already close to the lower bound of my optimistic scenario range and clearly above the conservative and neutral valuations. That is to say, the market is already prepaying for AI, scarce power, and years of future project conversion. This is not to say DLR must fall, but rather: if you require a margin of safety, the current price is not friendly enough.

Relative Valuation and Margin of Safety

On relative valuation, DLR's static P/E and P/B are not the best tools: P/E is too heavily affected by depreciation and asset dispositions, while P/B tends to underestimate the true scarcity of campus power, land, and network resources. More useful are P/FFO, EV/EBITDA, and Owner Earnings Yield. From all three angles, DLR is not cheap right now: P/Core FFO of 23.9x, EV/EBITDA of roughly 22x, and Owner Earnings Yield of roughly 3.0%. Even if you look only at dividend yield, 2.54% is below the recent U.S. 10-year Treasury yield of 4.555%; this means the return logic of buying DLR must rest on hoping for long-term 5%-8% per-share cash-flow growth, not on beating bonds via current cash returns.

From an "asset or liquidation value" angle, DLR is also not a typical asset-discount opportunity. Year-end 2025 total assets had a book value of roughly $49.410 billion, while the enterprise value on the company's IR page is roughly $82 billion and market cap roughly $64 billion. This shows the market long ago stopped pricing it based only on current book assets, and has also capitalized in its future development capacity, campus power, JV platform capability, and industry scarcity. Opinion: book value may understate high-quality data center assets, but the current share price is clearly not a "cigar butt" bargain either.

So my price bands would be drawn as follows:

  • Ideal buy price range: $135-155 per share

  • Acceptable holding price range: $155-185 per share

  • Clearly overvalued price range: above $205 per share

  • Current price judgment: the margin of safety is insufficient, leaning toward Watch rather than active buying.
