Understanding the Business
What is the core business. Baker Hughes currently has two major business segments: Oilfield Services & Equipment (OFSE) and Industrial & Energy Technology (IET). OFSE mainly provides drilling and completion, production, chemicals, artificial lift, subsea and pressure control systems for oil and gas wells; IET mainly covers gas technology equipment and services, industrial solutions, power generation, compressors/turbines, inspection, and certain low-carbon/clean-energy-related technologies. Of the company's 2025 revenue, OFSE was about $14.478 billion and IET about $13.255 billion; by Q1 2026, IET revenue of $3.35 billion had already slightly exceeded OFSE's $3.237 billion, indicating that the company's revenue mix is continuing to tilt toward IET.
Who are the customers, and how does it charge. The company sells equipment, provides field services, long-term service agreements, and maintenance and upgrade services to energy and industrial customers. It sells to customers through its direct sales team, independent sales representatives, and distributors; part of its revenue comes from one-time equipment delivery, and part from services, aftermarket, long-term agreements, and technical support. This business model is not mysterious, but it spans multiple subfields such as oilfield services equipment, gas turbines/compressors, LNG equipment, and industrial inspection, and to a layperson it is not as intuitive as consumer goods or software.
Is revenue recurring, stable, and predictable. The biggest change at this company is that predictability is improving, but it is still not "high certainty." At the end of Q1 2026, IET's RPO reached $33.1 billion and total RPO was $36.1 billion, of which contract liabilities (progress collections and deferred income) were close to $6 billion, and $1.61 billion of revenue in the quarter came from beginning-of-period contract liabilities, indicating that this part of the IET business has strong order visibility and a degree of recurrence. By contrast, OFSE is shorter-cycle; in Q1 2026 OFSE orders were roughly flat year over year while revenue fell 7% year over year, and management explicitly mentioned the impact of Middle East disruptions. In other words, half of Baker Hughes's business increasingly resembles industrial equipment/services, while the other half still resembles cyclical oilfield services.
Cost structure and dependencies. The company's capex has long stayed at about 4%-5% of revenue, not extremely capital-heavy, but by no means asset-light. In 2025, operating cash flow was $3.81 billion and capex was $1.273 billion; over the past few years, capex intensity has been broadly stable at around 4%-5%. Geographically, the company's 2025 U.S. revenue was about $7.661 billion and non-U.S. revenue about $20.072 billion, indicating it is highly international, and the real "concentration risk" is not a single customer but rather global oil, gas, and gas infrastructure capital expenditure, geopolitics, exchange rates, and the pace of regulation. In the verified materials, I have not seen clear disclosure of extremely high single-customer concentration, so on this point I can only say "no prominent evidence found," and cannot assert it is entirely absent.
Is this a business I can understand. I think it is "broadly understandable, but not simple." It is not an incomprehensible black box, but it is also not Coca-Cola or a toll road. You need to understand the oilfield services cycle, the long-cycle orders for LNG/gas turbine equipment, aftermarket service and project execution risk, and the logic of acquisition integration all at once. If the stock market closed for 5 years, I would be willing to hold this business, provided the entry price were lower, and provided I clearly understood that what I hold is a "cyclical stock backed by industrial technology," not a naturally wide-moat compounding machine.

Industry and Competitive Landscape
【Fact】The oilfield services industry is at heart still a mature and clearly cyclical industry, with demand driven by global oil and gas capital expenditure; but Baker Hughes's IET exposure means it also benefits from LNG, gas infrastructure, power generation, data-center supporting power, and some low-carbon technology investment. In its 2026 monthly reports, the IEA lowered its forecast for this year's global oil demand growth to 640,000 barrels/day, reflecting a slowdown in oil demand growth; at the same time, the IEA's official analysis of India's natural gas market projects that by 2030 India's gas demand could grow nearly 60% from current levels, showing that the "oil" and "gas/LNG" demand curves are not the same. The EIA's May 2026 STEO also shows that, affected by Middle East conflict, near-term oil prices and inventories are highly volatile.
【Inference】Therefore, Baker Hughes faces not a one-directionally declining industry but a two-speed industry: OFSE is highly sensitive to oil prices and upstream activity, while IET is closer to long-term energy infrastructure and industrial upgrading. Long-term industry demand does exist, but its "stability" is clearly weaker than consumer goods, medical devices, or software subscriptions. It is more like an industry "with long-term demand but an extremely bumpy path to realizing that demand."
Main competitors. By global integrated strength, Baker Hughes's strongest competitor is still SLB; next is Halliburton, followed by more specialized equipment companies such as NOV. By 2025 revenue, SLB was about $35.71 billion, Baker Hughes about $27.73 billion, and Halliburton about $22.2 billion. By market cap, SLB is currently about $73.9 billion, Baker Hughes about $66.3 billion, and Halliburton about $32.8 billion. Baker Hughes is not the industry leader, but it is already one of the top-three large integrated players globally.

The company's position in the industry. Baker Hughes's differentiation is not that OFSE is stronger than SLB, but rather its IET platform. In 2025, IET revenue already accounted for 47.8% of company revenue, and in Q1 2026 it further exceeded OFSE; moreover, IET's Q1 orders of $4.887 billion, book-to-bill of 1.5x, and RPO of $33.1 billion give it higher visibility and better business "quality" than a typical oilfield services company. On the other hand, OFSE's revenue and EBITDA both declined year over year in Q1 2026, reminding investors that this is not yet a company that has escaped the cycle.
Is the profit pool concentrated, and is there pricing power. The oilfield services industry's profit pool is concentrated among a few international giants and several specialized equipment leaders, with barriers to entry coming from global service networks, engineering capability, certification, equipment reliability, and long-term customer relationships, rather than pure brand premium. Baker Hughes has some pricing power, but not full pricing power: in Q1 2026 the company disclosed that IET's margin improvement came partly from price, FX, and productivity; but management also explicitly mentioned that inflation, business mix changes, and Middle East disruptions offset margins. For OFSE, pricing is usually more constrained by the industry cycle.
Is the industry actually a "good industry." My assessment is: Baker Hughes is more like a better company in a generally difficult industry than "an outstanding company in a good industry." This does not prevent it from being a good investment, but it means you cannot assign it too high a valuation, nor mistake its margins for a purely structural moat.

As IET's weight rises, this moat has widened slightly; but OFSE's competitive nature means the company-level moat can still only earn a moderate score.

Is the moat widening, stable, or narrowing. For the company-level moat, I give a judgment of "slightly widening." The reason is not that OFSE has improved, but that IET's share has risen from 39.8% in 2023 to 47.8% in 2025, and its revenue share exceeded 50% in Q1 2026; meanwhile IET's RPO hit a record high. This means the company's profit structure is shifting from "a small portion of high-visibility + a large portion of short-cycle" toward "more balanced," which is itself an improvement in moat quality.
How long and how much capital would it take a competitor to replicate. If it is replicating a single-point oilfield services tool, regional competitors would not find it difficult; but if it is replicating Baker Hughes's combined capability across gas turbines/compressors/LNG equipment + a global service network + long-term agreements + engineering certification, I think it would take many years and several billion dollars of capital, plus getting through customer certification cycles. The core of the moat here is not a single patent but "combined systems capability." This is my inference, but it has strong industrial logic to support it.
Performance in inflation and downturns. The company has some ability to raise prices, but far from unconditional price increases. IET's Q1 2026 margin improvement explicitly included a price factor, but was also partly offset by inflation. As for economic downturns, history has already given the answer: in 2020 the company posted a huge loss due to goodwill impairment and cyclical decline, and net income attributable to the company in 2021-2022 was also on the weak side. In other words, Baker Hughes can survive quite well, but it does not "elegantly keep making money through a downturn."
Were the past high margins a structural advantage or a cyclical dividend. More precisely, it was structural improvement overlaid on a cyclical tailwind. From 2023 to 2025, operating margin rose from about 9.1% to 12.1%, driven both by IET's rising share and improved operating efficiency, and by industry recovery and order delivery. Treating the current margin entirely as a structural long-term steady state is unsafe.

Management and Capital Allocation
Is management trustworthy. I give a rating of "moderately trustworthy." The supporting points are: in public materials, management has not shied away from risks such as Middle East disruptions, business disposals, and deal approvals, nor did it use high GAAP earnings in Q1 2026 to mask the seasonal weakening of operating cash flow; at the same time, over the past two years the company has indeed been doing "portfolio management"—selling non-core assets, advancing JVs, retaining higher-quality IET assets, and pausing buybacks before the Chart close—demonstrating a degree of rationality.
Equity incentives and shareholder alignment. As of March 24, 2025, CEO Lorenzo Simonelli's beneficial ownership was about 1.769 million shares, and management and directors together held about 2.6899 million shares, relative to roughly 990 million shares outstanding—all under 1%. This means management is not a "heavily invested, in-the-same-boat" founder-type team. The upside is that the incentive system is institutionalized; the downside is that ownership alignment is not strong. The company's 2025 proxy shows that of executives' annual incentives, 70% depends on financial metrics and 30% on strategic objectives; the CEO's long-term incentives are 60% PSU-based, which is more reasonable than a design that simply chases EPS, but still requires ongoing monitoring.
Was past capital allocation excellent. I would categorize it as "good over the past two years, but not yet through its biggest test." On the positive side, in 2024 and 2025 the company repurchased shares at average prices of $31.78 and $39.38 respectively, clearly below the current share price; in Q1 2026, during acquisition preparation, it did not repurchase, which is more sensible than forcing buybacks. The company also completed the sale of the PSI business, JVs of Surface Pressure Control with Cactus, and the HMH IPO, and plans to sell Waygate—overall tilting the portfolio further toward high-quality industrial/energy technology.
But the biggest capital allocation move is Chart. Here one must keep emotions in check. 【Fact】Baker Hughes plans to acquire Chart for $210/share in cash, an enterprise value of about $13.6 billion; the company claims it will achieve $325 million in annualized cost synergies by the end of year three, with net leverage of about 2.25x at close, falling to 1.0x-1.5x within 24 months. 【Inference】This deal is strategically defensible: LNG, data centers, gas and liquid molecule processing, and energy infrastructure are all closer to IET's direction; but the price is not cheap, because the company itself acknowledges that the ~9x EBITDA is calculated on a "fully synergized" basis. In other words, the true acquisition multiple excluding synergies is higher. I regard this as the "final exam" of management's capital allocation capability, not a ready-made plus.
Are buybacks, acquisitions, and dividends rational. Looking only at 2024-2025, the answer leans positive: the dividend rose steadily, buyback prices were good, and pausing buybacks before 2026 to make way for the acquisition follows a sensible sequence. The problem is: once Chart integration goes poorly, the high-leverage phase will quickly make all the prior "rationality" fragile. For a conservative investor, this is not a fatal flaw, but it is enough to lower the position size and entry price.

Financial Quality and Owner Earnings
First, the financial profile over the past six years. Don't be scared off by the 2020 outlier in the table below—that year included a large goodwill impairment; what really matters is the recovery trajectory from 2021 to 2025.

How to read these numbers. First, revenue is recovering, but it is not high-quality linear growth. The 2021-2025 revenue CAGR is about 7.8%, but a substantial part of this growth comes from cyclical recovery and IET order delivery, rather than the kind of long-term compounding that is almost unaffected by the macro environment.
Second, margins are improving, and the improvement is real. Operating margin rose from 5%-6% in 2021-2022 to 11%-12% in 2024-2025, and interest coverage also rose to around 15x. This shows the company's business mix and operating efficiency are indeed getting better, not merely relying on financial engineering.
Third, cash flow quality has improved markedly over the past three years. Since 2023, operating cash flow has been significantly higher than net income attributable to the company; in 2025, net income attributable to the company was $2.588 billion and operating cash flow was $3.81 billion. However, Baker Hughes's cash flow is not pretty every quarter: in Q1 2026 net income attributable to the company was $930 million, yet operating cash flow was only $500 million, which the company explicitly disclosed was due to net working capital use of about $173 million, mainly from accounts payable payments and increased contract assets. This shows that although it can generate cash, working capital volatility cannot be ignored.
Fourth, the difference between accounting profit and real profit must be treated carefully. Q1 2026 GAAP net income attributable to the company was $930 million, including about $721 million in gains on business disposals; therefore GAAP EPS of $0.93 was clearly higher than adjusted EPS of $0.58. This means that if you mechanically use trailing GAAP EPS to compute PE, you will view the company as cheaper than it actually is. For a company like Baker Hughes with many disposals, acquisitions, and valuation swings, one must prioritize cash flow and adjusted earnings over headline PE alone.
Inventory, receivables, payables, and leverage. At the end of 2025, the company had cash of $3.715 billion, total debt of $6.087 billion, and net debt of about $2.372 billion—very healthy. By Q1 2026, cash surged to $14.764 billion and total debt rose to $16.164 billion, which does not mean operations suddenly improved but is mainly a change in financing structure to prepare for the Chart transaction. Management also disclosed a target net leverage of about 2.25x after the acquisition closes. Therefore, the extremely high Q1 2026 cash should not be misread as "permanently safer"; it is more of a transaction bridge state.
Owner Earnings Estimate
My approach: For a company with many acquisitions and disposals like this, I prefer to start from operating cash flow rather than adding back items from net income, because the latter is more easily contaminated by one-time items.
【Fact】In 2025, net income attributable to the company was $2.588 billion, operating cash flow was $3.81 billion, and capex was $1.273 billion. For many years the company has described capex as mainly used to support normal operations and recurring needs, with capex intensity broadly at 4%-5% of revenue.
【Assumption】I conservatively assume that about 85% of 2025 capex was "maintenance capex," i.e., about $1.082 billion. This ratio is not a figure the company states explicitly, but a conservative estimate based on the long-term stability of capex, the company's description of capex uses, and the equipment maintenance/replacement nature of the industry.
【Inference】Accordingly, the conservative Owner Earnings for 2025 is about:

This figure is very close to the free cash flow of $2.732 billion the company disclosed for 2025, showing that at this point in the cycle in 2025, Baker Hughes's accounting profit did not seriously overstate its cash-generating ability.
Free cash flow relative to net income. Looking at 2023-2025, FCF is roughly close to or slightly above net income; looking at Q1 2026, short-term seasonality and working capital disturbances clearly drag down FCF. This fits the profile of a project-based, cyclical enterprise: it generates cash over the long term, but not smoothly in the short term.
At the current price, the Owner Earnings multiple is not low. Against the current market cap of $66.26 billion, Owner Earnings of $2.73 billion corresponds, from an equity perspective, to roughly 24x Owner Earnings, an Owner Earnings yield of about 4.1%. For a company that still has cyclical characteristics and is about to enter the Chart acquisition-integration phase, this yield is not cheap. More importantly: the U.S. 10-year Treasury yield on May 19, 2026 was about 4.67%, meaning Baker Hughes's current Owner Earnings yield is not meaningfully higher than the risk-free rate.
Intrinsic Value and Margin of Safety
Owner Earnings Discount Method
I prefer to use an equity Owner Earnings DCF rather than a simple EV/EBITDA, because the company is currently in a pre-acquisition bridge-financing phase, and a static EV can easily mislead.

Explanation of assumptions. The conservative scenario treats Baker Hughes as a "more cyclical hybrid oilfield services stock with limited Chart synergy realization"; the neutral scenario assumes IET's backlog continues to convert to revenue at high quality and some Chart synergies are realized, but without magically changing the business's nature; the optimistic scenario requires IET to become a higher-quality industrial cash cow, Chart to integrate smoothly, and deleveraging to complete successfully. All scenarios here default to the current roughly 992 million shares outstanding and do not treat one-time profits as sustainable Owner Earnings.
【Opinion】The point of this DCF is not to prove what Baker Hughes "is worth to two decimal places," but to see what premises the current price requires to be reasonable. My conclusion is clear: the current share price is roughly at the upper edge of neutral value, and looks attractive only under the optimistic scenario. For a balanced-to-conservative investor, that is not enough.

In other words, Baker Hughes is not so cheap that you can "see at a glance" a margin of safety; it is more like a company granted a higher quality premium because of its IET transition. This premium is not unjustified, but during the acquisition and deleveraging phase, I am reluctant to grant too much of it lightly.
A sober breakdown of the Chart synergies. Management promises $325 million in annualized cost synergies by the end of year three. Even if fully realized, at a 21% tax rate the after-tax gain is roughly $0.26 per share per year; even at a 15x multiple, this is worth only about $4/share. In other words, Chart synergies add value but are not enough on their own to rescue a somewhat expensive entry price. This is also why I am unwilling to ignore price just for the "transition story."
Asset Value and Liquidation Perspective
At the end of Q1 2026, the company's total equity was about $19.49 billion, and book net assets per share about $19.6; after deducting goodwill of $6.03 billion and intangible assets of $4.07 billion, rough tangible net assets are about $9.39 billion, equivalent to about $9.5 per share. This illustrates two points. First, the current share price is not built on an asset discount; second, this investment case depends on going-concern capability, order execution, and cash flow, not on liquidation value.

It is not a bargain; at most it is "barely within a reasonable range, but leaning toward the upper edge." If growth falls short of expectations, margins retreat, or the valuation multiple reverts to the peer median, uncomfortable long-term returns will emerge. For conservative investors, the better strategy is usually to wait for a better price.

The Strongest Counterargument
The strongest bear case is actually very simple:
Baker Hughes is still a cyclical oilfield services/equipment company; the market is just willing to give it a valuation more like an industrial technology company. If IET's high backlog cannot be sustained into high-quality profit, OFSE weakens due to international oil and gas activity and Middle East disruptions, and the Chart acquisition's leverage and integration difficulty exceed expectations, then this company would simultaneously lose both the "high-quality growth stock" premium and the "undervalued cyclical stock" margin of safety. At that point, investors would find they bought at the moment the story was best and the price was not cheap.
I believe that if the following facts appear, one should admit the original judgment went wrong:
24 months after the acquisition, net leverage remains clearly above the company's promised 1.0x-1.5x.
IET posts book-to-bill < 1 for several consecutive quarters, with margins declining significantly as backlog converts to revenue.
OFSE's international business, absent an extreme oil price crash, still has EBITDA margins persistently below the historical median.
Owner Earnings stay below $3 billion for years after the acquisition, indicating that the overestimated growth/synergies did not materialize.
Another large post-acquisition impairment appears, especially Chart-related goodwill/intangible impairment.
Comparison With Other Opportunities
Versus the strongest competitor. If you want to buy "a purer, larger, more globalized oilfield services technology platform," SLB is usually the stronger first choice; if you want "more traditional oilfield services, with a lower valuation but equally strong cyclicality," Halliburton is more direct. Baker Hughes's uniqueness lies in its hybrid nature of IET + LNG/gas/industrial technology, but the price you pay for it is: you must not only understand the oilfield services cycle but also bear acquisition-integration risk.
Versus a broad index. For ordinary long-term investors, a broad index like SPY offers clearly better diversification; Baker Hughes's current Beta is about 1.91, significantly higher than a broad-market instrument. Without an expected return clearly above the index and a price clearly below intrinsic value, I do not think its risk-reward at the current stage is attractive enough.
Versus the risk-free rate. On May 19, 2026, the U.S. 10-year Treasury yield was about 4.67%. By comparison, Baker Hughes's Owner Earnings yield, on my conservative estimate, is only about 4.1%, and it also has to bear cyclical, acquisition, geopolitical, and multiple-compression risk. This comparison is quite unfriendly to conservative investors.
If you could only hold 5 assets, does it qualify for the portfolio. At the current price, my answer is: most likely not. Not because the company is bad, but because the price is not generous enough, there are too many variables, and there are too many alternatives. If the valuation drops in the future, or the company proves after the acquisition that it can truly turn IET into a stronger cash cow, that answer could change.

Open Questions and Limitations
The biggest limitation is that the Chart deal has not yet closed. The current balance sheet is in a bridge-financing state, and the net debt structure seen today is not the steady state after the deal completes.
Peer ROIC/PB bases are hard to unify. In relative valuation, I place more weight on verifiable PE, EV/EBITDA, P/FCF, and the company's own Owner Earnings, rather than forcing a seemingly precise but actually mixed-basis peer ROIC table.
Owner Earnings is an estimate. I explicitly used the "operating cash flow − maintenance capex" method and used conservative assumptions to lower the result; this is more reliable than looking only at GAAP EPS, but it is still an estimate, not the company's official figure.
